A RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf
of the City of San Rafael a lease or agreement with
Tele-Vue Systems (re contract with Telecommunications for CATV survey)
A copy of which is hereby attached and by this reference made a part
hereof.
I, MARION A. GRADY, City Clerk of the City of San Rafael, here-
by certify that the foregoing resolution was duly and regularly introduced
and adopted at a regular meeting of the City Council of said
City held on Tuesday the 3rd day of September
19 74 , by the following vote, to wit:
AYES: COUNCILMEN: Jensen, Mulryan, Nixon and Mayor Bettini
NOES: COUNCILMEN: Miskimen

Corp.
I am in concurrence with your letter and the attachment, and, to
indicate the same, I have copied your letter and signed it indicating
my acceptance.

This is to confirm a letter agreement between the City of San Rafael and Tele-
Vue Systems, Inc. for the sum of $12,000.00 to be paid for a combination
rate increase and community needs analysis in respect to cable television.
The monies will be used to defray the consultant expenses under a contrac-
tual arrangement between the City of San Rafael and Telecommunications
Management Corp. Included within the scope of work for Telecommunications
-Management Corp. is the proviso that the rate analysis will be conducted for
_ the cities of San Rafael, San Anselmo, Larkspur and Mill Valley. Corte
Madera also will receive a rate analysis if requested by the Corte Madera
City Council.
_ The`City of San Rafael will be billing Tele-Vue Systems, Inc. in accord with
the billing schedule submitted by TMC. The attachment outlines the payment
schedule included within the agreement between the City and TMC.

6. Amendments
The City of San Rafael and Telecommunications Management Corp.
- - -
-agree to modify the above itemized -scope of services to the following
degree:
A) The rate analysis will be conducted for the City of San Rafael,
as well as the cities of San Anselmo, Mill Valley, Larkspur
and Corte Madera.
B) Excluded from the scope of services will be -the provision for
an analysis of the present ordinance and franchise agreement_
The maximum contract payment will be $12,000.00. This will
be paid in installments of $1,800.00 on September 30, October
15, October 31, November 15 and November 30, 1974. A re-
tention of $3,000.00 will be held by the City of San Rafael
until acceptance of the final report.
The target date for the summation of the final report will be
December 2, 1974, and the final report shall be submitted no
later than December 16, 1974.
The aforementioned provisions are agreedto and accepted by:
