Home My WebLink AboutPD Bill of Sale of Canine Ares; Phillip MelodiaPURCHASE AND HOLD HARMLESS AGREEMENT THIS AGREEMENT is executed this 7`h day of February, 2019, by the CITY OF SAN RAFAEL, as SELLER, and Phillip Melodia, as BUYER. RECITALS WHEREAS, SELLER is the owner of that certain retired police dog described as follows: Name: Ares; Breed: German Shepherd; Sex: Male; Birthdate: 07,110/11; and all the terms of this Bill of Sale refer to such dog. WHEREAS, BUYER is a San Rafael Police Officer who has acted as the handler for the dog in connection with the dog's work for the San Rafael Police Department; and WHEREAS, due to BUYER's intimate and long-standing relationship with the dog, BUYER desires to acquire the dog from SELLER, and is uniquely qualified to do so; NOW, THEREFORE, SELLER hereby sells the dog to BUYER, on the terms and with the representations set forth below: AGREEMENT 1. Purchase Price: The full purchase price for the dog, including the dog's kennel, is One Dollar ($1.00), receipt of which is hereby acknowledged by SELLER. 2. SELLER obtained the dog from Golden Gate K9 in June 2013. 3. The dog has been specially trained as a police dog, including the following specific training: Handler protection, Criminal apprehension, and Narcotics detection. 4. SELLER is the legal owner of the dog, and believes that the dog is healthy and in good condition, except for any conditions listed hereafter: None 5. The dog has had the following vaccinations: 3RiGIAp Vaccination Date Veterinarian See Attached 6. The dog will need the following vaccinations next: Vaccination Date Unknown 7. BUYER agrees to take possession of the dog immediately upon execution of this Agreement, and. 8. Upon BUYER taking possession of the dog pursuant to this Agreement, BUYER shall indemnify, defend, and hold harmless SELLER from and against any and all claims or suits for damages, injury or wrongful death caused by or arising from any action or conduct of the dog. BUYER shall further indemnify, defend, and hold harmless SELLER from and against all costs, attorney's fees, expenses, and liabilities related to any claim or any action or proceeding brought within the scope of this indemnification. 9. Except as specifically stated herein, SELLER makes no representations or warranties to BUYER concerning the dog or this sale, and from and after the date of taking possession of the dog, BUYER releases SELLER from any and all expenses attributable to the dog, or liability for loss, injury or damages to the dog or to BUYER or BUYER's real or personal property or to any other person or proper, caused by, arising from, connected with or attributable, in whole or in part, to the dog. 10. If the BUYER decides for whatever reason he no longer wants to own or possess the dog, BUYER shall provide the SELLER with the first right to re -acquire the dog from the BUYER for One dollar ($1.00). BUYER shall provide SELLER with written notice of BUYER'S intention to transfer ownership of the dog. Upon the receipt of such written notice, SELLER shall have ten (10) calendar days to provide BUYER with an unequivocal, irrevocable, written commitment to purchase the dog. If SELLER fails to provide BUYER with such notice within the 10 -day period, BUYER shall be free to transfer the dog to a third party. WHEREFORE, the parties have executed this Purchase and Hold Harmless Agreement on the date first set forth above.
