A RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RE-
SOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute,
on behalf of the City of San Rafael a lease or agreement with
Joint Powers Agreement -Senior Citizens Joint with County f Marin for
Fiscal year 1973-74
a copy of which is hereby attached and by this reference made
a part hereof.
I, MARION A. GRADY, Clerk of the City of San Rafael,
hereby certify that the foregoing resolution was duly and re-
gularly introduced and adopted at a regular meeting
of the Council of said City held on Monday the 16th
day of July 19 73 , by the following vote, to -

JOINT POWERS AGREEP4L.,
FOR THE PROVIDING OF RECREATIONAL PROGRAM
FOR. SENIOR CITIZENS
This agreement, made and entered into this day of
19 , by and between the City of San Rafael ,
a municipal corporation of the State of California, or
District, a public district organized and existing
under the laws of the State of California, hereinafter referred to as
"City"; and the COUNTY OF MARIN, a political subdivision of the State of
California, hereinafter referred to as "County";
R E C I T A L S
WHEREAS, City and County are mutually desirous of providing recreational
services and facilities for senior citizens of the County of Marin;

For and in consideration of the mutual promises, covenants and
conditions hereinafter contained, the parties hereto agree as follows:
1. City shall provide the facilities, staff and housing to
provide a recreational program for all citizens of the County of
Marin regardless of their pike of residence in said County in
accordance with the detailed recreational plans contained in
"Exhibit A", attached hereto and incorporated herein, said
detailed recreational plan hereinafter being referred to as
"Program".
2. City shall prc vide said prr_.gra.-n at least twice a month
primarily for senior citizens residing within the County of P4arin.
3. City shall have complete control, r.esponsibili.ty and
supervision of said recreation program and recreation costs. All
personnel staffing the program shall be employees of the City,
and County shall have no direction, control or responsibility
over said employees.
4. City shall be responsible for providing all eauipment,
furnishings, material and personnel necessary for operation of said
program, and for the organization, promotion and conducting of
said program.

5. City shall indemnify, hold harmless and defend County from
all claims, liabilities, causes of action and judgments for
injury or damage to persons or property arising out of or connected
with the organization, promotion or operation of program.
6. County shall contribute the total sum of $ 12,000.00a
in accordance with the budget submitted by the City, which
budget is attached hereto and marked "Exhibit All and by this
reference is incorporated herein. Said sum shall be paid in
quarterly installments on the following dates: July 1, 1973
$ 3,000.00 ; October 1, 1973 $ 3,OOn.00 ; January 2,1974
$ 3,000.04 ; April 1, 1974 $ 3,000.00
7. City shall expend the funds as specified in "Exhibit A"
and shall account to County upon reauest of its Board of Super-
visors, County Administrator', or County Auditor.
City shall render preliminary accounting not later than June 15,1974 ,
and a final accounting not later than July 15, 1974 . County
may undertake an audit of said expenditures at its own expense.
If City's expenditures pursuant to this agreement are less than
funds furnished by the County, then City shall remit the difference
to County within 30 days after the expiration of this agreement.
8. In the event that City shall for any reason cease to
provide the program during the term of this agreement, then
County's obligation to City hereunder shall terminate forthwith,
and if such event should occur during any month, County's obli-
gation to City for said month shall be pro -rated on a daily basis.
9. It is agreed that 52,000.00 of Country funds shall be used for
conducting the Terra Linda Senior Citizens Program.
