1.APPROVAL OF THE MINUTES OF SPECIAL MEETING OF MONDAY, JANUARY 6, 1997

Vice-Chairman Cohen announced a quorum of Board members did not exist to vote on
this item, as Board Chairman Boro was absent, and Board Members Cohen and Heller
were unable to vote on approval of the minutes, as they were absent from the
meeting of January 6, 1997.
Vice-Chairman Cohen announced the meeting would be put over to February 3, 1997.
