HomeMy WebLinkAboutPD Public Safety Alternative Response TeamAGREEMENT FOR PROFESSIONAL SERVICES BY AND BETWEEN THE CITY OF SAN RAFAEL AND PETALUMA PEOPLE SERVICES CENTER FOR A PUBLIC SAFETY ALTERNATIVE RESPONSE TEAM This Agreement is made and entered into as of !!112 (the "Effective Date"), by and between the CITY OF SAN RAFAEL, a chartered Califo a municipal corporation (hereinafter "CITY"), and PETALUMA PEOPLE SERVICES CENTER, a California nonprofit public benefit corporation (hereinafter "CONSULTANT"). CITY and CONSULTANT may be referred to individually as a "Party" or collectively as the "Parties" or the "Parties to this Agreement." RECITALS A. CITY desires to secure professional services more fully described in this Agreement, at Exhibit A, entitled "SCOPE OF SERVICES"; and B. CONSULTANT represents that it, and its subcontractors, if any, have the professional qualifications, expertise, and necessary licenses and desire to provide certain goods and/or required services of the quality and type which meet objectives and requirements of CITY; and C. The Parties have specified herein the terms and conditions under which such services will be provided and paid for. NOW, THEREFORE, the parties hereby agree as follows: AGREEMENT SERVICES TO BE PROVIDED. Except as otherwise may be expressly specified in this Agreement, CONSULTANT shall furnish all technical and professional services, including labor, material, equipment, transportation, supervision and expertise (collectively referred to as "Services") to satisfactorily complete the work required by CITY at its sole risk and expense. Services to be provided to CITY are more fully described in Exhibit A-1 entitled '`SCOPE OF SERVICES." CONSULTANT acknowledges that the execution of this Agreement by CITY is predicated upon representations and the project budget made by CONSULTANT in that certain response to the request for proposals, dated November 11, 2022 ("Proposal") set forth in Exhibit A-2, which constitutes the basis for this Agreement. Rev. 08.22 2. COMPENSATION. In consideration for CONSULTANT's complete performance of Services, CITY shall pay CONSULTANT on a time and materials basis for all materials provided and services rendered by CONSULTANT, as follows: Direct personnel expenses, consisting of salaries, taxes and insurance; Direct non -personnel operating expenses, including but not limited to materials and supplies, and office space; and Indirect fee equal to 10% of the direct personnel and non -personnel operating expenses. In no case shall CONSULTANT's direct personnel and operating expenses exceed CONSULTANT's actual costs for the Services provided under this Agreement. CITY retains the right to audit CONSULTANT's personnel and financial records to ensure compliance with this Agreement. CONSULTANT's compensation shall not exceed the following total amounts over the Term of this Agreement: Year 1: $708,910, which includes $22,000 in one-time startup expenses Year 2: $686,910 Year 3: $686,910 CONSULTANT will bill City on a monthly basis for Services provided by CONSULTANT during the preceding month, subject to verification by CITY. CITY will pay CONSULTANT within thirty (30) days of City's receipt of invoice. TERM OF AGREEMENT. Unless otherwise set forth in this Agreement or unless this paragraph is subsequently modified by a written amendment to this Agreement, the term of this Agreement shall begin on March 1, 2023 of this Agreement and terminate on February 28, 2026. 4. PROJECT COORDINATION. A. CITY'S Project Manager. Lieutenant Todd Berringer is hereby designated the PROJECT MANAGER for the CITY and said PROJECT MANAGER shall supervise all aspects of the progress and execution of this Agreement. B. CONSULTANT'S Project Director. CONSULTANT shall assign a single PROJECT DIRECTOR to have overall responsibility for the progress and execution of this Agreement for CONSULTANT. Director Elece Hempel is hereby designated as the PROJECT DIRECTOR for CONSULTANT. Should circumstances or conditions subsequent to the execution of this Agreement require a substitute PROJECT DIRECTOR, for any reason, the CONSULTANT shall notify the CITY within ten (10) business days of the substitution. v 08.22 2 TERMINATION. A. Discretionary. Either party may terminate this Agreement without cause upon thirty (30) days written notice mailed or personally delivered to the other party. B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days written notice mailed or personally delivered to the other parry, and the notified party's failure to cure or correct the cause of the termination, to the reasonable satisfaction of the parry giving such notice, within such fifteen (15) day time period. C. Effect of Termination. Upon receipt of notice of termination, neither party shall incur additional obligations under any provision of this Agreement without the prior written consent of the other. D. Return of Documents. Upon termination, any and all CITY documents or materials provided to CONSULTANT and any and all of CONSULTANT's documents and materials prepared for or relating to the performance of its duties under this Agreement, shall be delivered to CITY as soon as possible, but not later than thirty (30) days after termination. 6. OWNERSHIP OF DOCUMENTS. The written documents and materials prepared by the CONSULTANT in connection with the performance of its duties under this Agreement, shall be the sole property of CITY. CITY may use said property for any purpose, including projects not contemplated by this Agreement. 7. INSPECTION AND AUDIT. Upon reasonable notice, CONSULTANT shall make available to CITY, or its agent, for inspection and audit, all documents and materials maintained by CONSULTANT in connection with its performance of its duties under this Agreement. CONSULTANT shall fully cooperate with CITY or its agent in any such audit or inspection. 8. ASSIGNABILITY. The parties agree that they shall not assign or transfer any interest in this Agreement nor the performance of any of their respective obligations hereunder, without the prior written consent of the other party, and any attempt to so assign this Agreement or any rights, duties or obligations arising hereunder shall be void and of no effect. 9. INSURANCE REQUIREMENTS. During the term of this Agreement, and for any time period set forth in Exhibit B, CONSULTANT shall procure and maintain in full force and effect, at no cost to CITY insurance policies with respect to employees and vehicles assigned to the performance of Services under this Agreement with coverage amounts, required endorsements, certificates of insurance, and coverage verifications as defined in Exhibit B. 08.22 10. INDEMNIFICATION. A. Except as otherwise provided in subparagraph B of this section, CONSULTANT shall, to the fullest extent permitted by law, indemnify, release, defend with counsel approved by CITY, and hold harmless CITY, its officers, agents, employees and volunteers (collectively, the "City Indemnitees"), from and against any claim, demand, suit, judgment, loss, liability or expense of any kind, including but not limited to attorney's fees, expert fees and all other costs and fees of litigation, (collectively "CLAIMS"), arising out of CONSULTANT'S performance of its obligations or conduct of its operations under this Agreement. The CONSULTANT's obligations apply regardless of whether or not a liability is caused or contributed to by the active or passive negligence of the City Indemnitees. However, to the extent that liability is caused by the active negligence or willful misconduct of the City Indemnitees, the CONSULTANT's indemnification obligation shall be reduced in proportion to the City Indemnitees' share of liability for the active negligence or willful misconduct. In addition, the acceptance or approval of the CONSULTANT's work or work product by the CITY or any of its directors, officers or employees shall not relieve or reduce the CONSULTANT's indemnification obligations. In the event the City Indemnitees are made a party to any action, lawsuit, or other adversarial proceeding arising from CONSULTANT'S performance of or operations under this Agreement, CONSULTANT shall provide a defense to the City Indemnitees or at CITY'S option reimburse the City Indemnitees their costs of defense, including reasonable attorneys' fees, incurred in defense of such claims. B. Where the services to be provided by CONSULTANT under this Agreement are design professional services to be performed by a design professional as that term is defined under Civil Code Section 2782.8, then, to the extent permitted by law including without limitation, Civil Code sections 2782, 2782.6 and 2782.8, CONSULTANT shall indemnify and hold harmless the CITY and its officers, officials, and employees (collectively City Indemnitees) from and against damages, liabilities or costs (including incidental damages, Court costs, reasonable attorney's fees as may be determined by the Court, litigation expenses and fees of expert witnesses incurred in connection therewith and costs of investigation) to the extent they are caused by the negligence, recklessness, or willful misconduct of CONSULTANT, or any subconsultants, or subcontractor or anyone directly or indirectly employed by them, or anyone for whom they are legally liable (collectively Liabilities). Such obligation to hold harmless and indemnify any indemnity shall not apply to the extent that such Liabilities are caused in part by the negligence or willful misconduct of such City Indemnitee. C. The defense and indemnification obligations of this Agreement are undertaken in addition to, and shall not in any way be limited by, the insurance obligations contained in this Agreement, and shall survive the termination or completion of this Agreement for the full period of time allowed by law. 11. NONDISCRIMINATION. CONSULTANT shall not discriminate, in any way, against any person on the basis of age, sex, race, color, religion, ancestry, national origin or disability in connection with or related to the 08.22 4 performance of its duties and obligations under this Agreement. 12. COMPLIANCE WITH ALL LAWS. CONSULTANT shall observe and comply with all applicable federal, state and local laws, ordinances, codes and regulations, in the performance of its duties and obligations under this Agreement. CONSULTANT shall perform all services under this Agreement in accordance with these laws, ordinances, codes and regulations. CONSULTANT shall release, defend, indemnify and hold harmless CITY, its officers, agents and employees from any and all damages, liabilities, penalties, fines and all other consequences from any noncompliance or violation of any laws, ordinances, codes or regulations. 13. NO THIRD PARTY BENEFICIARIES. CITY and CONSULTANT do not intend, by any provision of this Agreement, to create in any third party, any benefit or right owed by one party, under the terms and conditions of this Agreement, to the other party. 14. NOTICES. All notices and other communications required or permitted to be given under this Agreement, including any notice of change of address, shall be in writing and given by personal delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given as follows: To CITY's Project Manager: Todd Berringer / Lieutenant San Rafael Police Department 1375 Fifth Avenue San Rafael, CA 94901 15. INDEPENDENT CONTRACTOR. To CONSULTANT's Project Director: Elece Hempel / Executive Director Petaluma People Services Center 1500 Petaluma Blvd. South Petaluma, CA 94952 For the purposes, and for the duration, of this Agreement, CONSULTANT, its officers, agents and employees shall act in the capacity of an Independent Contractor, and not as employees of the CITY. CONSULTANT and CITY expressly intend and agree that the status of CONSULTANT, its officers, agents and employees be that of an Independent Contractor and not that of an employee of CITY. 16. ENTIRE AGREEMENT -- AMENDMENTS. A. The terms and conditions of this Agreement, all exhibits attached, and all documents expressly incorporated by reference, represent the entire Agreement of the parties with respect to the subject matter of this Agreement. 08.22 B. This written Agreement shall supersede any and all prior agreements, oral or written, regarding the subject matter between the CONSULTANT and the CITY. C. No other agreement, promise or statement, written or oral, relating to the subject matter of this Agreement, shall be valid or binding, except by way of a written amendment to this Agreement. D. The terms and conditions of this Agreement shall not be altered or modified except by a written amendment to this Agreement signed by the CONSULTANT and the CITY. E. If any conflicts arise between the terms and conditions of this Agreement, and the terms and conditions of the attached exhibits or the documents expressly incorporated by reference, the terms and conditions of this Agreement shall control. 17. SET-OFF AGAINST DEBTS. CONSULTANT agrees that CITY may deduct from any payment due to CONSULTANT under this Agreement, any monies which CONSULTANT owes CITY under any ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments, unpaid checks or other amounts. 18. WAIVERS. The waiver by either party of any breach or violation of any term, covenant or condition of this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or violation of the same or other term, covenant, condition, ordinance, law or regulation. The subsequent acceptance by either party of any fee, performance, or other consideration which may become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding breach or violation by the other party of any term, condition, covenant of this Agreement or any applicable law, ordinance or regulation. 19. COSTS AND ATTORNEY'S FEES. The prevailing party in any action brought to enforce the terms and conditions of this Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs (including claims administration) and attorney's fees expended in connection with such action. 20. CITY BUSINESS LICENSE / OTHER TAXES. CONSULTANT shall obtain and maintain during the duration of this Agreement, a CITY business license as required by the San Rafael Municipal Code, and CONSULTANT shall pay any and all state and federal taxes and any other applicable taxes. CITY shall not be required to pay for any work performed under this Agreement, until CONSULTANT has provided CITY with a completed Internal Revenue Service Form W-9 (Request for Taxpayer Identification Number and 08.22 6 Certification). 21. SURVIVAL OF TERMS. Any terms of this Agreement that by their nature extend beyond the term (or termination) of this Agreement shall remain in effect until fulfilled and shall apply to both Parties' respective successors and assigns. 22. APPLICABLE LAW. The laws of the State of California shall govern this Agreement. 23. COUNTERPARTS AND ELECTRONIC SIGNATURE, This Agreement may be executed by electronic signature and in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one document. Counterpart signature pages may be delivered by telecopier, email or other means of electronic transmission. Rev. 08.22 A-1 Exhibit A-1 Scope of Services SAFE Team (Specialized Assistance For Everyone) 1. Mobile Crisis Intervention Team Contract Executive Summary • Operate within the City of San Rafael (City) and may only leave the city limits to respond to calls for service with permission from dispatch, patrol supervisor, or watch commander. ■ Provide a two -person mobile crisis intervention team, 12 hours per day, 365 days a year. • Focus proactive outreach in identified areas that may include downtown, however the program is intended to reach community members where they are. Provide services in partnership with the San Rafael Police Department (SRPD) and San Rafael Fire Department (SRFD). • Proactively counsel, transport, or refer community members experiencing physical and mental health, substance abuse, or homeless related issues to other open treatment facilities or services with the City and County of Marin (County), or transport those who voluntarily request assistance to and from other open social services agencies with the City and/or the county. • Provide voluntary transport when necessary, however will engage City EMS for consultation before medical transport within the City. ■ Follow established protocols from SRPD Dispatch, San Rafael Fire (SRFD) and PPSC Management. • Report all vehicle crashes/damage or loss of City Police Department equipment such as radios. 2. Hours of Service PPSC will provide trained appropriate personnel to staff one City vehicle in service for 12 hours per day. The services will be provided 365 days a year. Services will be phased in and expand as the staffing and training of PPSC staff increases. Services will initially provide 12 hour per day coverage with the potential to expand the hours of operation based on funding and a needs analysis. Upon a consensus decision between the City, SRPD, SRFD and PPSC, additional staffing may be required, if staffing allows, to cover extra mobile crisis intervention assignments on holidays and special events not limited to New Year's Eve, New Year's Day, Martin Luther King Day, St. Patrick's Day, Fourth of July, Halloween, Thanksgiving, Christmas Eve, Memorial Day weekend, Labor Day weekend, Veteran's Day, or any other day considered to need the services of a two -person mobile crisis intervention team. 3. Area of Patrol and Transportation Services PPSC shall provide proactive outreach and respond with crisis intervention services within the geographic corporate boundaries of the City. PPSC shall also provide transportation services with the geographic corporate boundaries of the City and County. The PPSC SAFE Team shall maintain an emphasis in proactive outreach, servicing and preventative services in the core downtown area, public spaces such as parks, and other areas as identified between SRPD and by PPSC personnel. 4. Types of Services to be Provided For the purpose of this contract, the term "transport" means to provide a courtesy ride to a willing, self ambulatory person who requires no medical attention or treatment during transport. PPSC shall observe, and reach out to any person, while in a public place, that meets any of the criteria referenced in 4.A below. 4.A. Persons Intoxicated/Under the Influence of Controlled Substances 4.A.1. If the person is unconscious, and cannot be aroused, PPSC shall request an ambulance from SRPD Dispatch and standby to assist the responding emergency medical personnel, as necessary. 4.A.2. If the person is willing, PPSC shall transport him/her to the appropriate licensed or certified open treatment facility within the City or the County if - (1) £ (1) The person is conscious but appears mentally ill or intoxicated; -or- (2) PPSC has reasonable cause to believe that the person is dangerous to themselves. 4.A.3. If the person is unwilling to be transported to a treatment center, but appears to be in any of the above, 4.A.1 or 4.A.2, states/conditions, or PPSC has reasonable cause to believe the person is dangerous to others, PPSC shall immediately notify SRPD dispatch to have police officers respond, and shall stand by to assist the officers, as necessary. 4.A.4. If PPSC has reasonable cause to believe the person is intoxicated or under the influence of a controlled substance while in a public place, PPSC may counsel the person on treatment and detoxification options, and if the person is willing, may transport them to the Helen Vine Recovery Center or other appropriate open facility for further assistance. 2 4.11. Persons Needing Non -Medical Care or Treatment for Mental Illness 4.13.1. If a person appears to be in need of care or treatment for mental illness, but not dangerous to themselves or others, PPSC may counsel the person on treatment options and, if the person is willing, transport them to the Crisis Stabilization Unit (CSU), or other appropriate facility within the City or County, to include Kaiser Medical Facilities. Transports to appropriate facilities outside the County of Marin may be permitted if necessary and upon notification to SRPD Dispatch. 4.13.2. If PPSC has probable cause to believe that the person is dangerous to themselves or others, PPSC shall immediately notify SRPD dispatch to have police officers respond and shall standby, as necessary. 4.C. Persons in Need of Immediate Shelter When requested by SRPD Dispatch, the Police Supervisor, Officers, or SRFD Captain/Battalion Chief, PPSC shall provide transportation to mentally ill or disoriented persons in need of immediate transport to an appropriate open shelter or treatment center or provide such persons transportation to and from other open social services agencies or publicly organized and sponsored shelters within the City or the County. 4.D. First Aid and Chronic Care PPSC staff will not provide diagnostic evaluations but may provide first aid and basic life support in accordance with EMT training and request a medical assessment by EMS personnel if indicated. 4.E. Provisions of Services at Direction of the City of San Rafael All PPSC provided proactive outreach, crisis intervention and transportation services shall be subject to the direction of and oversight by the City. PPSC shall respond to all SRPD radio dispatches and contacts from police personnel requesting mobile crisis intervention services or PPSC's assistance unless they are already assigned to another call for service of a higher priority. PPSC shall immediately suspend the services under 4A, 4B, or 4C of this contract when notified to do so by SRPD Program Manager or by a SRPD Police Supervisor/SRFD Battalion Chief/SRFD Captain or Officer. If a provision of service under this contract is suspended due to notice by SRPD or SRFD, PPSC shall reinstate the service upon notice to do so by SRPD/SRFD. While providing services under this contract, PPSC shall obey all lawful commands and direction received from police/fire personnel. 5. Staffmg Restrictions 3 5.A. PPSC represents that it has employees who have experience and training to provide services as described in a reasonable and responsible manner. The City relies upon this representation in entering into this contract. PPSC shall facilitate a background check of prospective employees and shall inform prospective employees that their full name, date of birth, driver's license number, and other information needed will be provided to the SRPD for any necessary background and security clearances. These clearances are needed before using a police radio or operating a City vehicle. All employees will be trained to operate the police radio. 5.B. During the provision of patrol, crisis intervention, and transportation services under this contract, the City provided vehicle(s) shall be staffed by at least two (2) persons per vehicle. At least one (1) person shall be currently certified as an Emergency Medical Technician, First Responder, Registered Nurse, or Licensed Health Care Practitioner, and at least one person shall serve as a transportation officer. The transportation officer shall make the final decision regarding transportation of any person to a non -emergency medical care provider, shelter, or to an alcohol, drug, or mental health treatment facility, unless the transportation officer received direction from SRPD on where to transport the person. 5.C. Except for a trainee observer actively involved in a program leading to employment by PPSC, no person shall ride in the vehicle except for employees of PPSC or the City, who are in the course of provided services under this contract and persons being transported to services or a treatment facility. At no time shall more than three (3) persons employed by, or under training with PPSC, ride in the vehicle. The City reserves the right to reject any employee of PPSC and/or its trainee observer from riding in the vehicle or participating in PPSC's provision of services under this contract, on the basis of the individual's driving record or criminal history record. PPSC shall immediately notify the City should any employee providing services under this contract be arrested or identified as being under criminal investigation. 6. Use of Equipment 6.A. The City will provide PPSC with a modified passenger van type vehicle and portable radios for use during the duration of this contract. Equipment shall be provided in good working order and PPSC agrees to return any vehicle(s), radios, and other equipment the City agrees to provide PPSC for program use, in good working order and general condition at the completion of the contract. The City shall provide necessary fuel, maintenance, and repairs of equipment, except PPSC shall bear any costs of any equipment repair necessary due to deliberate, repetitive or grossly negligent acts by PPSC employees. The City shall provide ongoing maintenance for the equipment according to standard maintenance schedules. 4 6B. Under no circumstances shall City vehicles be used by PPSC for personal use or for the transportation of intoxicated person(s) to their place or residence, nor shall it be driven outside the designated geographic corporate boundaries of the City of San Rafael or the County of Marin except at the direction of SRPD dispatch, police supervisor, or watch commander. The vehicles shall be parked at the area designated by the City of San Rafael. 6C. PPSC shall take reasonable steps to ensure the security of City vehicles, including parking City vehicles at secured locations and locking City vehicles when not in use. PPSC shall only permit its employees to operate City vehicles. PPSC shall ensure that all employees driving and operating City vehicles have valid licenses in California to legally operate City vehicles. Prior to authorizing any employee to operate City vehicles, PPSC shall ensure that the employee receives training on the safe use and operation of City vehicles. PPSC shall maintain the City vehicles so that they are free of all hazards to inebriated occupants. PPSC shall provide a spotter at all times while backing up or reversing the City vehicles. 6D. PPSC will provide a secure area for the police radios, in consultation with the SRPD. All PPSC personnel will keep their radios on and at a volume to hear dispatch communications. If a call for service dictates a quiet environment, one radio must be kept on and at a volume so that PPSC personnel can hear and acknowledge dispatch. If a radio does not work properly, PPSC will make immediate arrangements with SRPD to have the radio repaired or replaced. PPSC will notify the SRPD Contract Manager or representative when a radio or vehicle is out of service for maintenance. 6E. PPSC will not carry any firearms, as defined by California Penal Code section 16520, or dirk or dagger as defined by California Penal Code section 21310 upon their person while working. 6F. PPSC will ensure employees wear an appropriate uniform clearly identifying them as an employee of PPSC or a member of the mobile crisis intervention team as defined in this contract. 7. Training The City shall provide PPSC with applicable training in the use of the City vehicle, radio procedures, and other training needed for successful implementation of this program. PPSC agrees that its employees providing the services under this contract will have successfully completed any of the City - required training in a reasonable period of time and subject to City approval. PPSC EMT may participate in SRFD training as offered. 8. Service Guidelines While providing services in accordance with this contract, PPSC shall observe the following rules: 5 • PPSC shall not use force while observing, contacting, detaining, or transporting persons unless such force is necessary for the protection of a person from bodily harm, and a police officer cannot be summoned or cannot respond quickly enough to provide protection. • PPSC shall summon a police officer when a dangerous situation appears to exist. PPSC shall request SRPD dispatch to have an ambulance respond whenever it appears that a person needs emergency medical treatment. • PPSC shall not provide emergency medical transportation to initired or ill persons. PPSC may provide first aid and/or basic life support to person(s) in need before the arrival of the San Rafael Fire Department emergency medical personnel. PPSC may then provide transportation meeting the criteria under Section 4 to persons evaluated by EMS personnel who are determined to not need or refuse to receive EMS medical transport by ambulance. ■ In no case shall PPSC provide courtesy or other transportation to a person that does not meet the criteria under Section 4. 9. Vehicular Accident Report 9.A If an employee is involved in a motor vehicle accident in a City vehicle, the following steps should occur: 9.A.1. If the accident involves an inipa, contact SRPD dispatch or 9-i-1 as quickly as possible. If the accident does not involve an injury but does involve a traffic violation, another vehicle or damage to private property, call the police non -emergency business number, (415) 485-3000, and the SRPD Officer -In -Charge (OIC). If an accident does not involve an injury, a major traffic violation, another vehicle, or damage to private property, call SRPD's Officer -In -Charge. 9.A.2. Do not leave the scene of the accident until instructed to do so by the SRPD Officer -In -Charge. If another vehicle is involved, remain at the scene and obtain all necessary insurance information. A police supervisor must be notified to respond to document the vehicle collision incident report. 9.A.3. File a traffic collision report with the SRPD if the accident involves another vehicle, regardless of dollar amount of damage or extent of injury. 9.13. SRPD will provide instructions regarding the transportation and repair of the damaged vehicle. Any damage to a city vehicle should be reported to the Police Department Fleet Supervisor immediately. 9.C. PPSC agrees to use the city vehicles only when they are in service as mobile crisis intervention team vehicles, or when they are transporting the vehicles to and from maintenance. When the mobile crisis intervention team vehicles are being 2 used for these functions listed above, they shall notify dispatch of their service type, beginning of their shift, to and from calls, at the end of their shift, and to and from maintenance. Any use of the vehicles outside its mobile crisis intervention intended purpose is prohibited. 9.D. Use of drugs and/or alcohol by PPSC's employees, observer trainees, officers or agents while on duty to provide the services under this contract, and/or reporting to duty with a noticeable presence or effects of alcohol or drugs is prohibited. 10. Disposition of Contraband All drugs, paraphernalia, and alcohol discovered by PPSC during the course of the PPSC's duties shall be removed from patients by PPSC prior to transport. PPSC shall make all reasonable efforts to discover and remove weapons and other objects capable of being used to inflict injury prior to transportation. PPSC shall ensure security of these items in the vehicle and shall inventory each item as it is secured. At the conclusion of the workday, PPSC shall submit any contraband collected to SRPD and reconcile items against the inventory list maintained. 11. Cooperative Planning Requirements PPSC recognizes that planning within the City and other state and local agencies is essential to the success of a coordinated service delivery system. PPSC agrees to attend and participate in a reasonable number of meetings and planning efforts initiated by the City, and to provide non -confidential data already in PPSC's possession which may be required by the City and is reasonably necessary to achieve compliance with City programmatic goals. PPSC agrees to maintain open and responsive working relations with SRPD and the City of San Rafael. 12. Statistical Reporting Each month, PPSC will provide the City with a summary of calls. The report will include if the activity was SRPD or SRFD divert (mobile crisis intervention team handling instead of city personnel) or if it was a co -response; time of call; disposition; and if possible, the transport -pick up location, client problem, time estimate age of client, sex of client, destination of transport, and any pertinent history/treatment. 13. Medical Protocols PPSC shall provide current medical related protocols to the city. I would hope that our proposal is moved forward, and we have an opportunity to work with the Police Department, City and other Public Safety members to create a program that meets the needs of San Rafael. We also just recently signed an MOU to also provide programing on the campus of Sonoma State University co -responding with the Public Safety teams of Rohnert Park and Cotati, making the SAFE Team the first outside program on a State University Campus. Our program is already being recognized by other Crisis Intervention programs throughout California as Best Practices. I will be honest our team works very hard to do the work, but it is the true partnerships that we have with our partners that have led to much of success. If awarded this pilot contract, we would work hard to have that kind of relationship that is necessary to support the residents of San Rafael. Petaluma People Services Center's (PPSC) mission is to improve the social and economic health of our community by providing programs that strengthen the dignity and self-sufficiency of the individual; aging -in-place, family support, family preservation, nutrition, and youth programs are key components of our service array and mission. PPSC is a community based, multi -service non-profit agency founded in 1974 to provide wrap-around services to clients, as a trusted community partner. The agency is a primary access point for community members to receive services, and the number of clients we serve each year continues to grow throughout Sonoma and Marin Counties. PPSC core pillars include: Youth Services, Seniors Services, Counseling Prevention & Intervention, Housing & Homelessness Prevention, Economic Sustainability and Food Security. PPSC is a leader in collaboration and partnership in community resources and support. We have been a partner with the Petaluma Police Department, Petaluma City Schools and Sonoma County Probation in a variety of capacities. Our programming is evidence -informed, and we are skilled at navigating the needs of our community members, while working with community partners, including elected officials. An example of our existing work around preparedness, response and recovery, is our Prevention, Diversion and Success Team (PDS). This is an evidenced -informed program with the goal of disrupting the school to prison pipeline and ensuring high school completion for our community's most vulnerable youth. Many of these youth are affected by structural racism and the highest percentage of youth currently served in the program are Black, Indigenous and Latinx, which is a blatant reminder of how embedded structural racism is in our society and our education system. The program uses a restorative -based approach, and also ensures that probation/diversion programs are completed. Youth are directly referred into the program from the PPD or PCS staff and we are recognizing the value of this alternative to policing on school campuses. PPSC also has contracts with Sonoma County to provide evidence -based behavioral programming, including Functional Family Therapy and Positive Parenting programs. Along with 65 additional evidenced -informed programs, PPSC is integrated in the community and is the trusted source for programming. 2. Provide information detailing the applicant's experience in conducting the same or similar work as described in the RFP. Because of our existing partnership with the City of Petaluma, and an evaluation done by Critical Responses In Supportive Integrated Services Consulting (CRISIS), it was recommended that PPSC would be a perfect partner to launch the SAFE Team (Specialized Assistance For Everyone) in Petaluma. In four months, we were able to work in partnership with the City, Police and Fire and launch the program in July of 2020. This mobile crisis response team is modeled after the successful Crisis Assistance Helping Out on the Streets (CAHOOTS) in Eugene, Oregon. Key to our programming is alleviating the burden placed on police, fire, emergency medical services and hospital emergency departments to manage crises that derive from emotional and physical distress, substance use, and homelessness. Initial analysis estimate that 10% of calls for service currently received by the Petaluma Police Department would be directed to the SAFE Mobile Crisis Intervention Team. Our team responds to and proactively addresses calls for service that have traditionally (and PETALUMA PEOPLE SERVICES CENTER unnecessarily) burdened law enforcement, emergency medical services and health care providers. In July of this year, after a full year of services in Petaluma, and the fall of 2021 launch of programming in Rohnert Park and Cotati, the team responded to over 4,125 calls for services, far expediting the 10% estimate. Of those 4,125 calls, 119 were Emergency Room Diversions, 69 Jail Diversion, 75 of the calls were for suicidal subjects, and over 1,053 were welfare checks. PPSC will be able to leverage existing behavioral health programs in San Rafael and Marin County as post de-escalation referrals. It is also important to note that some of the residents who need counseling services may also qualify for PPSC's Mental Health Counseling services through our existing contracts with BEACON (managed MediCal) and our ability to bill Kaiser for mental health services. The current crisis intervention practice achieves not only harm reduction, but it also helps local governments and economies by diverting people from the criminal justice system and avoiding the societal costs of incarceration. Our proposed model for the ART program would in in alignment with the programming we are already providing in southern Sonoma County. The model would partner with the City of San Rafael to respond to mental health calls for service that SRPD and SRFD currently respond to. These calls would run through dispatch and focus on calls for service involving mental health. Utilizing our existing model, when not responding to calls the SAFE Team is also able to establish relationships with those who are unhoused and build a level trust with those who have traditionally been resistance to services, to encourage them to seek help. The mental health related calls for service generally require two (2) police officers for a protracted period, and often, there is a peaceful resolution and/or treatment or placement options for the individual. While the majority of these police interactions have positive outcomes, it is recognized that there are individuals and entities throughout San Rafael and Marin County that are better trained, better suited, and better equipped to navigate the patchwork of mental health care and crisis response options available to individuals in need. An existing model already in place would be replicated as the ART model and would respond to appropriate mental and physical health related calls for service by PPSC's mobile crisis response team which has the tools, resources, and knowledge to address the unique needs of individual clients effectively. 3. Describe approach to and experience with working collaboratively with other agencies (e.g. non- profits, health care agencies, school districts, faith -based organizations, etc.), including coordination of work, division of labor and decision making process. PPSC and all our programs, including the SAFE Team, work collaboratively with public safety, municipalities, community-based non -profits, health care providers, elected officials and our entire community. If funded by the City of San Rafael, we will continue to use a model of providing services in the community that we have used for 48 years. PPSC is also able to provide a variety of programming through our PPSC SAFE Team Navigator to connect the clients they are working with to services in Marin County and San Rafael that are available. Because this would be a new program for San Rafael, training would include working directly with dispatch for incoming calls. As with the SAFE Team model, the ART Team would have weekly team meetings, and information shared in those meetings would be communicated to Police and Fire liaisons weekly through our program director or manager. PPSC would also partner with the city on outreach, education and engagement. Because this would be a pilot, communication would be key to the partnership, addressing working together, outcomes and data tracking. PPSC understands there may be additional federal and state funding opportunities for the City of San Rafael to help fund this program and would be part of the application process for that funding. 4. Describe how the agency is staffed (number of staff, volunteers, outreach workers) and how staff will be utilized to provide the services identified in your proposal. PETALUMA PEOPLE SERVICES CENTER PPSC is part of a larger collaborative that connects us to other Crisis Intervention Teams throughout the state of California. We are able to implement best practices used throughout the State by these teams. It is important to note that the SAFE Team currently in Petaluma, Rohnert Park and Cotati has become a Best Practice Model, leading the way in our program model, which allows the team to respond independently of law enforcement, at the direction of dispatch. The ART emergency response team works because the goal of the CIS staff is to de-escalate the situation and make voluntary transfers, if requested, to emergency rooms, clinics, physicians' offices, shelter and/or other community-based organizations that can provide the support as needed, as part of the person in crisis safety -plan. Our team also addresses those with acute emotional distress from drug use and/or drug withdrawal in ways that therapy is not designed for. Attachment A is the current job description for our CIS staff. The second employee on the Crisis Response Team is a licensed Emergency Medical Technician (EMT) or individuals licensed as nurses. Utilizing a team of two members allows the team to not only treat mental health crises, the EMT is also able to treat the often cooccurring physical health issues that can manifest when someone is in mental health crisis. The team is able to establish a rapport and provide support through a medical evaluation that can lead to better care for the individual, their families and others impacted by the crisis. Attachment B is the EMT current job description. The EMTs are also able to take many of the calls that San Rafael Fire Department would consider low need and/or repeat calls, freeing up the Fire Department to respond to more urgent calls. The SAFE Bilingual Navigator serves as the bridge between the immediate response for de-escalation to accessing community resources. The SAFE Team refers clients to the Navigator, who then assists in finding resources with local community partners to support the client in making long-term changes. Attachment C is the SAFE Navigator's current job description. The recommend staffing for the response team required for an ART to operate 12 hours a day/7 day per week/e65 day per year includes: .25 FTE Program Director .5 FTE Program Manager .25 Licensed Clinical Support for the Team Members 1 FTE Program Navigator 5 FTE Crisis Intervention Worker 5 FTE EMT/Nurse 5. Describe plan for recruitment with timelines for hiring staff not yet selected. PPSC currently manages and operates Crisis Intervention Teams in Petaluma (24 hours a day), Rohnert Park and Cotati (18 hours a day, moving to 24 hours a day in February). The model proposed would use our existing PPSC Program Director and Manager. Upon approval of the contract PPSC, would begin the hiring process; with the goal of having a team in place by mid-January 2023. The training of the team requires two weeks of classroom training and four weeks of in -field training that would be done in our Sonoma County locations initially. One of the needed requirements, that PPSC would be happy to discuss, is that the teams should have office space available to use during shift change and when not responding to calls. PPSC would propose a model we currently have with our municipalities in Sonoma County. Because the vans are owned by the city, we would propose that the city of San Rafael provide an office for the team to use that is in a location near public safety, mostly because the ART van should be parked, when off duty, at a secure location owned by the City of San Rafael. 6. Describe the mobile crisis response vehicle set-up that the ART will require, equipped with the necessary supplies to operate the program. PPSC's SAFE Team is currently using a Ford Transit van, however when the program was launched in July of 2021 with the City of Petaluma, we did utilize an older ambulance that was customized for our use PETALUMA PEOPLE SERVICES CENTER until funding was available to purchase a customized van. The van should provide a safe space to sit with, talk to, and provide care for clients. It must be able to transport individuals who voluntary want to seek treatment at hospitals, health centers and other community partners who may be able to provide additional assistance to the individual. The van should have safety features that include a reinforced plexiglass barrier between the patient compartment and the crew. There should be storage that is available to keep medical supplies, water AED, blankets and other items used by the team responding to crisis. 7. Provide references and contact information. The Navigator works with the SAFE Team to follow-up on referrals for ongoing services, including internal (PPSC) services and services provided by other local agencies. This position requires a compassionate and caring individual who is also capable of firmly maintaining professional boundaries. The Navigator will work in person 3 days a week in Rohnert Park and 2 days a week in Petaluma. Excellent teamwork and proactive group participation are a necessity. --- Standard Benefits — see CIS position description 2 EXHIBIT B INSURANCE REQUIREMENTS During the term of this Agreement, and for any time period set forth below, CONSULTANT shall procure and maintain in full force and effect, at no cost to CITY insurance policies with respect to employees and vehicles assigned to the performance of Services under this Agreement with coverage amounts, required endorsements, certificates of insurance, and coverage verifications as defined in this Exhibit B. A. Scope of Coverage. During the term of this Agreement, CONSULTANT shall maintain, at no expense to CITY, the following insurance policies: 1. Commercial general liability. A commercial general liability insurance policy in the minimum amount of one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for death, bodily injury, personal injury, or property damage. 2. Automobile liability. An automobile liability (owned, non -owned, and hired vehicles) insurance policy in the minimum amount of one million dollars ($1,000,000) per occurrence. 3. Professional liability. If any licensed professional performs any of the services required to be performed under this Agreement, a professional liability insurance policy in the minimum amount of one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, to cover any claims arising out of the CONSULTANT's performance of services under this Agreement. Where CONSULTANT is a professional not required to have a professional license, CITY reserves the right to require CONSULTANT to provide professional liability insurance pursuant to this section. 4. Workers' compensation. If it employs any person, CONSULTANT shall maintain workers' compensation insurance, as required by the State of California, with statutory limits, and employer's liability insurance with limits of no less than one million dollars ($1,000,000) per accident for bodily injury or disease. CONSULTANT's workers' compensation insurance shall be specifically endorsed to waive any right of subrogation against CITY. B. Other Insurance Requirements. The insurance coverage required of the CONSULTANT in subparagraph A of this section above shall also meet the following requirements: 1. Except for professional liability insurance or workers' compensation insurance, the insurance policies shall be specifically endorsed to include the CITY, its officers, agents, employees, and volunteers, as additional insureds (for both ongoing and completed operations) under the policies. 2. The additional insured coverage under CONSULTANT's insurance policies shall be "primary and noncontributory" with respect to any insurance or coverage maintained by CITY and shall not call upon CITY's insurance or self-insurance coverage for any contribution. The "primary and noncontributory" coverage in CONSULTANT'S policies shall be at least as broad as Rev. 08.22 B-1 ISO form CG20 0104 13. 3. Except for professional liability insurance or workers' compensation insurance, the insurance policies shall include, in their text or by endorsement, coverage for contractual liability and personal injury. 4. By execution of this Agreement, CONSULTANT hereby grants to CITY a waiver of any right to subrogation which any insurer of CONSULTANT may acquire against CITY by virtue of the payment of any loss under such insurance. CONSULTANT agrees to obtain any endorsement that may be necessary to effect this waiver of subrogation, but this provision applies regardless of whether or not CITY has received a waiver of subrogation endorsement from the insurer. 5. If the insurance is written on a Claims Made Form, then, following termination of this Agreement, said insurance coverage shall survive for a period of not less than five years. 6. The insurance policies shall provide for a retroactive date of placement coinciding with the Effective Date of this Agreement. 7. The limits of insurance required in this Agreement may be satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and noncontributory basis for the benefit of CITY (if agreed to in a written contract or agreement) before CITY'S own insurance or self-insurance shall be called upon to protect it as a named insured. 8. It shall be a requirement under this Agreement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be available to CITY or any other additional insured party. Furthermore, the requirements for coverage and limits shall be: (1) the minimum coverage and limits specified in this Agreement; or (2) the broader coverage and maximum limits of coverage of any insurance policy or proceeds available to the named insured; whichever is greater. No representation is made that the minimum insurance requirements of this Agreement are sufficient to cover the obligations of the CONSULTANT under this Agreement. 9. CONSULTANT agrees to ensure that subcontractors, and any other party involved with the Services, who is brought onto or involved in the performance of the Services by CONSULTANT, provide the same minimum insurance coverage required of CONSULTANT, except as with respect to limits. CONSULTANT agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this Agreement. CONSUTLANT agrees that upon request by CITY, all agreements with, and insurance compliance documents provided by, such subcontractors and others engaged in the performance of Services will be submitted to CITY for review. 10. CONSULTANT agrees to be responsible for ensuring that no contract used by any party involved in any way with the Services reserves the right to charge CITY or CONSULTANT for the cost of additional insurance coverage required by this Agreement. Any 08.22 B-2 such provisions are to be deleted with reference to CITY. It is not the intent of CITY to reimburse any third party for the cost of complying with these requirements. There shall be no recourse against CITY for payment of premiums or other amounts with respect thereto. C. Deductibles and SIR'S. Any deductibles or self-insured retentions in CONSULTANT's insurance policies must be declared to and approved by the CITY and shall not reduce the limits of liability. Policies containing any self-insured retention (SIR) provision shall provide or be endorsed to provide that the SIR may be satisfied by either the named insured or CITY or other additional insured parry. At CITY's option, the deductibles or self-insured retentions with respect to CITY shall be reduced or eliminated to CITY's satisfaction, or CONSULTANT shall procure a bond guaranteeing payment of losses and related investigations, claims administration, attorney's fees and defense expenses. D. Proof of Insurance. CONSULTANT shall provide to the PROJECT MANAGER all of the following: (1) Certificates of Insurance evidencing the insurance coverage required in this Agreement; (2) a copy of the policy declaration page and/or endorsement page listing all policy endorsements for the commercial general liability policy, and (3) excerpts of policy language or specific endorsements evidencing the other insurance requirements set forth in this Agreement. CITY reserves the right to obtain a full certified copy of any insurance policy and endorsements from CONSULTANT. Failure to exercise this right shall not constitute a waiver of the right to exercise it later.
