HomeMy WebLinkAboutCM Legislative Analysis Services AmendmentFIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES This First Amendment to Agreement for Professional Services is made and entered into this 1 st day of January, 2015, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and CARLA HANSEN (hereinafter "CONTRACTOR"). RECITALS WHEREAS, CITY, on behalf of all the members of the Marin County Council of Mayors and Councilmembers ("MCCMC"), and CONTRACTOR have entered into an Agreement for Professional Services dated January 1, 2014 (the "Agreement"), pursuant to which CONTRACTOR agreed to provide legislative analysis services to and for MCCMC; and WHEREAS, the term of the Agreement will expire on December 31, 2014, but may be extended pursuant to section 5 of the Agreement; and WHEREAS, CITY and CONTRACTOR wish to extend the term of the Agreement for another one (1) year period on the same terms. AGREEMENT NOW, THEREFORE, the parties hereby agree as follows: 1. EXTENSION OF AGREEMENT. The Agreement is hereby extended by one (1) year commencing on January 1, 2015 and ending on December 31, 2015. The Duties of Contractor, Duties of City, Compensation, and all other terms of the Agreement shall remain unchanged during the extended term of the Agreement. 2. INSURANCE AND INDEMNIFICATION. The rights, obligations, and requirements of Sections 10 and 11 of the Agreement, concerning insurance and indemnification respectively, are hereby reaffirmed and shall continue to apply during the extended term of the Agreement. Please attach this "Completion Checklist and Routing Slip" to the front of your contract as you circulate it for review and signatures. Please use this form for all professional services agreements/contracts (not just those requiring City Council approval). This process should occur in the order presented below.
