HomeMy WebLinkAboutCA Legal Services Tax Reporting Errors AmendmentAMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL LEGAL SERVICES This Amendment No. 1 to Agreement for Professional Legal Services is made and entered into thisf5- day of 5GP it6'm41-9 , 20 i , by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and CLARK E. GUINAN (hereinafter "CONTRACTOR"). WHEREAS, CITY and CONTRACTOR entered into that certain Agreement for Professional Legal Services dated August 7, 2015 in connection with the Finance and Human Resources departments' project to correct past years' tax reporting errors concerning employee benefits (the "Agreement"); and WHEREAS, the parties wish to extend the scope of CONTRACTOR' s services to include preparation for and attendance at employee meetings related to the project; NOW, THEREFORE, CITY and CONTRACTOR hereby amend the Agreement as follows: :� 1 1 � Section 2 of the Agreement, entitled "DUTIES OF CONTRACTOR", is hereby amended to include additional services by CONTRACTOR to prepare for and attend two informational meetings for employees at City I lall. Section 4 of the Agreement, entitled "COMPENSATION" is hereby amended to increase the total contract amount for all services of CONTRACTOR pursuant to the Agreement, as amended herein, to $5,500.00. Except as specifically amended herein, the terms and conditions of the Agreement, as executed on August 7, 2015, shall remain in full force and effect. Please attach this "Completion Checklist and Routing Slip" to the front of your contract as you circulate it for review and signatures. Please use this form for all professional services agreements/contracts (not just those requiring City Council approval). This process should occur in the order presented below.
