A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SAN RAFAEL AUTHORIZING EXECUTION OF THE
AMENDED AGREEMENT FOR CONSULTANT SERVICES
WITH PECKHAM & MCKENNEY FOR THE HUMAN
RESOURCES DIRECTOR EXECUTIVE RECRUITMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The CITY MANAGER and CITY CLERK are authorized to execute, on behalf of the City of
San Rafael, an amendment to the agreement with Peckham & McKenney for an executive
recruitment for Human Resources Director, a copy of which is hereby attached and by this
reference made a part hereof.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that the foregoing
resolution was duly and regularly introduced and adopted at a regular meeting of the City Council
of said City held on Monday, the 19th day of March, 2007, by the following vote, to wit:

AMENDMENT TO
AGREEMENT BETWEEN THE CITY OF SAN RAFAEL
AND PECKHAM AND MCKENNEY
FOR HUMAN RESOURCES DIRECTOR EXECUTIVE RECRUITMENT
This Amendment to Agreement is made and entered into this 19th day of March, 2007 by
and between the CITY OF SAN RAFAEL (hereinafter "CITY'), and Peckham and McKenny,
(hereinafter "CONTRACTOR").
RECITALS
WHEREAS, the CITY and the CONTRACTOR entered into an Agreement dated September 28th,
2006, by which CONTRACTOR agreed to provide CITY with professional recruitment services;
and,
WHEREAS, the CITY has determined that additional recruitment services are now required
because of the recent change from a Human Resources Manager to a Human Resources Director
as a key part of the Human Resources Reorganization approved by the City Council on February
5th 2007; and
WHEREAS, the CONTRACTOR has expertise and experience in the recruitment field and is
willing to provide the additional services to bring the recruitment to completeion;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. The title is amended to read "Executive Recruitment Services for the Director of Human
Resources.
2. Paragraph 4 of the Agreement, "COMPENSATION", is amended to read as follows:
"For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR an additional amount NOT to exceed $5,000 plus certain reimbursable
expenses NOT to exceed $4,000."
3. Paragraph 5 of the Agreement, "TERM OF AGREEMENT", is amended to read as follows:
"The term of this Agreement shall commence upon the date of execution of this agreement
and shall end on August 30, 2007."
4. All other covenants, terms and conditions of the original Agreement shall remain in full
force and effect for the term of the Amended Agreement.
