RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL AUTHORIZING THE PUBLIC WORKS DIRECTOR TO
EXECUTE AN AMENDMENT TO THE MARCH 1, 2004
PROFESSIONAL SERVICES AGREEMENT WITH AMPHION, INC. TO
EXPAND THE SCOPE OF WORK FOR THE MEDWAY/CANAL
ENHANCEMENT PROJECT (#10705) BY AN AMOUNT NOT TO
EXCEED $70,559, FOR A TOTAL PROJECT AMOUNT OF $190,559.
WHEREAS, the City Council adopted Resolution number 2004-05 on
March 1, 2004 authorizing the Director of Public Works to amend a Professional Services
Agreement with Amphion, Inc. to design and prepare construction drawings for the
Medway/Canal Enhancement Project; and
WHEREAS, staff believes that additional design and construction support
services are essential to avoid delay and unanticipated construction costs; accordingly, the
scope of services of the original agreement must be expanded; and
WHEREAS, at the request of staff, Amphion provided additional services
totaling $35,417 for the preparation of final bid documents and related tasks; and
WHEREAS, staff requested and received a proposal from Amphion, Inc.
for additional construction phase support services in an amount not to exceed $35,142
(Exhibit `B"); and
WHEREAS, staff has reviewed Amphion's proposal and found it to be
complete and within industry standards.
NOW, THEREFORE, BE IT RESOLVED that City Council of the City
of San Rafael hereby approves and authorizes the Director of Public Works to execute an
amendment to the Professional Services Agreement between Amphion, Inc. and the City,
expanding the scope and cost of the original Professional Services Agreement by $70,559,
for a total amount not to exceed $190,559.

AMENDMENT TO PROt PrSSIONAL SERVICES AGREEMENT w><TH ANIPHION, INC. FOR
CONSTRUCTION SUPPORT SERVICES FOR THE MEDWAY/CANAL ENHANCEINIENT
PROJECT (#10705) FOR A TOTAL A1IIOUNT NOT TO EXCEED $70,559.
WHEREAS, AMPHION, INC. ("CONTRACTOR"), an Urban Design, Planning and Landscape Architecture
consulting firm, entered into a Professional Services Agreement on March 1, 2004 with the City of San Rafael ("CITY") to
design and prepare plans and specifications for the Medway. Canal Enhancement Project; and
WHEREAS, CITY has determined that the need exists to expand the scope of CONTRACTOR's work under the
original agreement, in order finalize project plans and to provide construction support and possible redesign services during
project construction; and
WHEREAS, CONTRACTOR is willing and able to perform the additional work required by the CITY for a
maximum of $70,559 beyond the original cost of $120,000; and
WHEREAS, CONTRACTOR and CITY agree to revise the existing agreement to increase the scope of work and
perform additional duties;
NOW THEREFORE, CONTRACTOR and CITY agree to amend their original Agreement for Professional
Services, dated March 1, 2004, as follows:
Section 5 (COMPENSATION) of the original agreement is amended to read as follows:
"In consideration of the performance by CONTRACTOR of all the services set forth in this Agreement
and the amendment thereto, CITY agrees to compensate CONTRACTOR in a total amount not to
exceed $190,559."
Section 3 (DUTIES OF CONTRACTOR) of the original agreement is amended to add the following
sentence to the end of the section:
"CONTRACTOR also agrees to perform the additional services specified in the document dated October
31, 2007, entitled Exhibit `B" attached hereto and incorporated herein."
All other terms and conditions of the original Agreement not otherwise modified by this Amendment
shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Amendment to the Professional Services Agreement
with Amphion, Inc. as of the 19`" day of November, 2007.
