RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO EXECUTE AN AGREEMENT
FOR PROFESSIONAL SERVICES WITH LAMPHIER-GREGORY FOR
PREPARATION OF AN ENVIRONMENTAL IMPACT REPORT FOR
THE RECREATIONAL FACILITY AT THE SAN RAFAEL AIRPORT
PROJECT
(Term of Agreement: From October 16, 2006 to October 16, 2007, for an amount not to
exceed $124,288)
WHEREAS, the City of San Rafael requires the services of a qualified environmental
consultant to prepare an Environmental Impact Report consistent with the requirements of the
California Environmental Quality Act (CEQA) for the proposed 85,700 sq. ft. indoor recreational
facility with two outdoor fields proposed for the San Rafael Airport property located at 397-400
Smith Ranch Road; and
WHEREAS, Lamphier-Gregory has prepared a proposal for services, including a draft
scope of work, dated August 15, 2006, to complete all required environmental documents and
analysis for the project; and
WHEREAS, this draft Scope of Work was reviewed by the San Rafael Planning
Commission on September 26, 2006 at which time the Commission held a duly -noticed public
hearing on the adequacy of the Scope or Work, accepting all oral and written public testimony
and the written report of the Community Development Department staff, and
WHEREAS, the at the conclusion of the meeting, the Commission found the draft Scope
of Work to be adequate as presented with the inclusion of some additional items identified by the
Commission. The Commisson unanimously voted (with Commissioner's Kirchmann and Paul
recused) to recommend to the City Council approval of the Scope of Work with their
recommendations; and
WHEREAS, Lamphier-Gregory submitted a revised Scope of Work on October 3, 2006,
which now includes the additional tasks as requested by the Planning Commission; and
WHEREAS, the revised proposal for services includes a not -to -exceed budget of
$124,288, which includes completion of all necessary tasks through document certification; and
WHEREAS, the developer has agreed to pay all consultant costs associated with the
preparation of the EIR;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of San Rafael
does hereby authorize the City Manager to execute, on behalf of the City of San Rafael, an
Agreement for Professional Services with Lamphier-Gregory in the form attached herewith.

PROFESSIONAL SERVICES AGREEMENT WITH LAMPHIVR-GREGORY FOR
PREPARATION OF AN ENVIRONMENTAL IMPACT REPORT FOR THE
RECREATIONAL FACILITY AT THE SAN RAFAEL AIRPORT PROJECT
This Agreement is made and entered into this 16! day of October, 2006, by and between the
CITY OF SAN RAFAEL (hereinafter "CITY"), and Lamphier-Gregory (hereinafter
"CONTRACTOR").
WHEREAS, CONTRACTOR has submitted its proposal for the performance of services
which is attached hereto and incorporated by reference herein; and
WHEREAS, CITY desires to retain CONTRACTOR to perform professional services
necessary to render advice and assistance to the CITY, the CITY's Planning Commission, City
Council and staff in the preparation of an Environmental Impact Report (EIR); and
WHEREAS, CONTRACTOR represents that it is qualified to perform such services and
is willing to perform such professional services as hereinafter defined.
NOW, THEREFORE, it is agreed by and between CITY and CONTRACTOR as
follows:

A. CITY. The City Manager shall be the representative of the CITY for all purposes
under this Agreement. Senior Planner, Raffi Boloyan, is hereby designated the
PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall
supervise all aspects of the progress and execution of this Agreement.
B. CONTRACTOR. CONTRACTOR shall assign a single PROJECT DIRECTOR to
have overall responsibility for the progress and execution of this Agreement for
CONTRACTOR. Jason Chafin, Associate Planner, is hereby designated as the
PROJECT DIRECTOR for CONTRACTOR. Should circumstances or conditions
subsequent to the execution of this Agreement require a substitute PROJECT
DIRECTOR for any reason; the CONTRACTOR shall notify the CITY within ten
(10) business days of the substitution.

A. CONTRACTOR shall perform the duties and/or provide services as provided in
Recreational Facility at San Rafael Airport EIR — Scope of Work and Budget, attached
hereto and incorporated herein as Exhibit A.

B. Commencement. CONTRACTOR agrees to commence work immediately after the
date of the signing of this contract.
C. Completion. Tasks described in Recreational Facility at San Rafael Airport EIR -
Scope of Work and Budget shall be completed as set forth in the schedule outline in
Recreational Facility at San Rafael Airport EIR — Scope of Work and Budget, attached
and incorporated by reference herein as Exhibit A.

For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR an amount not to exceed $124,288 based upon the budget shown in
Recreational Facility at San Rafael Airport EIR — Scope of Work and Budget, to be
compensated on a time and material basis. Payment will be made upon by receipt by
PROJECT MANAGER of itemed invoices submitted by CONTRACTOR. CITY will pay
CONTRACTOR within 30 -days of receipt of invoice.

The term of this Agreement shall be for one (1) year commencing on October 16, 2006 and
ending on October 16, 2007. Upon mutual agreement of the parties and subject to the
approval of the City Manager the term of this Agreement shall be extended for an additional
period.

A. Discretionary. Either party may terminate this Agreement without cause upon thirty
(30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days
written notice mailed or personally delivered to the other party, and the notified party's
failure to cure or correct the cause of the termination, to the reasonable satisfaction of
the party giving such notice, within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall incur
additional obligations under any provision of this Agreement without the prior written
consent of the other.

D. Return of Documents. Upon termination, any and all CITY documents or materials
provided to CONTRACTOR and any and all of CONTRACTOR's documents and
materials prepared for or relating to the performance of its duties under this Agreement,
shall be delivered to CITY as soon as possible, but not later than thirty (30) days after
termination.
The written documents and materials prepared by the CONTRACTOR in connection with
the performance of its duties under this Agreement, shall be the sole property of CITY.
CITY may use said property for any purpose, including projects not contemplated by this
Agreement. CONTRACTOR shall be relieved of any and all kinds of liability associated
with CITY's use of such property, other than as intended.
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by CONTRACTOR in
connection with its performance of its duties under this Agreement. CONTRACTOR shall
fully cooperate with CITY or its agent in any such audit or inspection.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations hereunder, without the prior written
consent of the other party, and any attempt to so assign this Agreement or any rights, duties
or obligations arising hereunder shall be void and of no effect.
A. During the term of this Agreement, CONTRACTOR shall maintain, at no expense to
CITY, the following insurance policies:
1. A comprehensive general liability insurance policy in the minimum amount of
one million ($1,000,000) dollars per occurrence for death, bodily injury,
personal injury, or property damage;
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million ($1,000,000) dollars per
occurrence;
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the
minimum amount of one million ($1,000,000) dollars to cover any claims
arising out of the CONTRACTOR's performance of services under this

Agreement.
B. The insurance coverage required of the CONTRACTOR by section 10. A., shall also
meet the following requirements:
1. The insurance shall be primary with respect to any insurance or coverage
maintained by CITY and shall not call upon CITY's insurance or coverage for
any contribution;
2. Except for professional liability insurance, the insurance policies shall be
endorsed for contractual liability and personal injury;
3. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, employees, and
volunteers, as additionally named insureds under the policies.
4. CONTRACTOR shall provide to City's Risk Manager, (a) Certificates of
Insurance evidencing the insurance coverage required herein, and (b) specific
endorsements naming CITY, its officers, agents, employees, and volunteers, as
additional named insureds under the policies.
5. The insurance policies shall provide that the insurance carrier shall not cancel,
terminate or otherwise modify the terms and conditions of said insurance
policies except upon thirty (30) days written notice to City's Risk Manager.
6. If the insurance is written on a Claims Made Form, then, following termination
of this Agreement, said insurance coverage shall survive for a period of not less
than five years;
7. The insurance policies shall provide for a retroactive date of placement
coinciding with the effective date of this Agreement;
8. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
C. If it employs any person, CONTRACTOR shall maintain worker's compensation and
employer's liability insurance, as required by the State Labor Code and other applicable
laws and regulations, and as necessary to protect both CONTRACTOR and CITY
against all liability for injuries to CONTRACTOR's officers and employees.
D. Any deductibles or self-insured retentions in CONTRACTOR's insurance policies
must be declared to and approved by the City's Risk Manager and the City Attorney. At
CITY's option, the deductibles or self-insured retentions with respect to CITY shall be
reduced or eliminated to CITY's satisfaction, or CONTRACTOR shall procure a bond
guaranteeing payment of losses and related investigations, claims administration,
attorney's fees and defense expenses.

11. INDF-MNTFTC'. ATION.
CONTRACTOR shall indemnify, release, defend and hold harmless CITY, its officers,
agents, employees, and volunteers, against any claim, demand, suit, judgment, loss, liability
or expense of any kind, including attorney's fees and administrative costs, arising out of or
resulting in any way, in whole or in part, from any acts or omissions, intentional or
negligent, of CONTRACTOR or CONTRACTOR'S officers, agents and employees in
the performance of their duties and obligations under this Agreement.
12. NOND ';C'.RTMTNA=.
CONTRACTOR shall not discriminate, in any way, against any person on the basis of age,
sex, race, color, religion, ancestry, national origin or disability in connection with or related
to the performance of its duties and obligations under this Agreement.
13. C OMPLTANC:F. WTTN ALL TAWS.
CONTRACTOR shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under
this Agreement. CONTRACTOR shall perform all services under this Agreement in
accordance with these laws, ordinances, codes and regulations. CONTRACTOR shall
release, defend, indemnify and hold harmless CITY, its officers, agents and employees
from any and all damages, liabilities, penalties, fines and all other consequences from any
noncompliance or violation of any laws, ordinances, codes or regulations.

CITY and CONTRACTOR do not intend, by any provision of this Agreement, to create in
any third party, any benefit or right owed by one party, under the terms and conditions of
this Agreement, to the other party.
15. NOTICES.
All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by
personal delivery, or deposited with the United States Postal Service, postage prepaid,
addressed to the parties intended to be notified. Notice shall be deemed given as of the date
of personal delivery, or if mailed, upon the date of deposit with the United States Postal
Service. Notice shall be given as follows:

For the purposes, and for the duration, of this Agreement, CONTRACTOR, its officers,
agents and employees shall act in the capacity of an Independent Contractor, and not as
employees of the CITY. CONTRACTOR and CITY expressly intend and agree that the
status of CONTRACTOR, its officers, agents and employees be that of an Independent
Contractor and not that of an employee of CITY.

A. The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with
respect to the subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject matter
of this Agreement, shall be valid or binding, except by way of a written amendment to
this Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified except by a
written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the terms
and conditions of the attached exhibits or the documents expressly incorporated by
reference, the terms and conditions of this Agreement shall control.
CONTRACTOR agrees that CITY may deduct from any payment due to
CONTRACTOR under this Agreement, any monies which CONTRACTOR owes CITY
under any ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses,
assessments, unpaid checks or other amounts.
The waiver by either party of any breach or violation of any term, covenant or condition of
this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver
of any other term, covenant, condition, ordinance, law or regulation, or of any subsequent
breach or violation of the same or other term, covenant, condition, ordinance, law or

regulation. The subsequent acceptance by either party of any fee, performance, or other
consideration which may become due or owing under this Agreement, shall not be deemed
to be a waiver of any preceding breach or violation by the other party of any term, condition,
covenant of this Agreement or any applicable law, ordinance or regulation.

The prevailing party in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the performance of this Agreement, may recover its reasonable
costs (including claims administration) and attorney's fees expended in connection with
such action.

CONTRACTOR shall obtain and maintain during the duration of this Agreement, a CITY
business license as required by the San Rafael Municipal Code. CONTRACTOR shall pay
any and all state and federal taxes and any other applicable taxes. CONTRACTOR's
taxpayer identification number is 94-338-3314, and CONTRACTOR certifies under
penalty of perjury that said taxpayer identification number is correct.

In response to your request, I am transmitting to you a revised version of our
August 15, 2006 proposed Scope of Work and estimated budget related to
the preparation of an Environmental Impact Report for San Rafael Airport
Recreational Facility, following direction provided by the Planning
Commission on September 26, 2006.

ANALYSIS
As we understand it, the Project as currently proposed is largely as described in the previously
circulated Initial Study/Mitigated Negative Declaration Qanuary 26, 2006). Development as
proposed would result in the construction of a new recreational facility on a 16.6 -acre portion of the
airport site. The two major components of the facility would be a building providing 85,700 square
feet of indoor recreational space (for indoor soccer, baseball training and gymnastics, with support
facilities), two outdoor sports fields, a paved parking lot, an unpaved overflow panting area, the
extension of a private roadway, construction of a new bridge deck: over an e�sting bridge, site
landscaping, site and building lighting, and other associated site improvements. We also understand
that the Applicant has now indicated that the origimal hours of operation may be modified, that
outdoor lighting may be provided, and that the type and placement of outdoor fields may change,
although details related to these changes have not yet been made available.
To the extent feasible, the EIR will incorporate information previously provided in the City's Initial
Study/lyfitigated Negative Declaration for this project. Joan Lamphier, President of Lamphier-
Gregory, will act as Project Director, and Jason Chafin, Associate Planner at Lamphier-Gregory, will
serve as Project Manager for the EIR. Specialized assistance in addressing key areas of concern to
local residents will include an evaluation of biological resources (provided by Monk & Associates,
Inc), an evaluation of possible aviation safety hazards related to the compatibility of the proposed
facility and the adjacent airport (provided by Mead & Hunt), and a peer review of the earlier noise
study (provided by Geier & Geier, Inc.). An updated lighting analysis (to be provided by project
applicant) will also be incorporated in the EIR discussion of project -related visual and aesthetic
effects.

I. SCOPE OF WORK
Task 1: Start -Up
This task will include a review of submitted site plans, City General Plan designations and zoning,
the City's earlier IS/IVIND and a review of existing site conditions. At the start-up meeting with City
staff, the will:
• Determine how each work task can best be accomplished;
• Review the proposed titueline for each task and establish an initial schedule for completion;
• Discuss relevant docurnents and data available from the City of San Rafael and review the
project objectives (those of the City and those of the project applicant); and
• Conduct a site visit to update and review available information pertaining to the site.
At the conclusion of the start-up meeting, City staff will have finalized the description of the
proposed project as it is to be evaluated in the Draft EIR, will have defined the project objectives
(those of the City and those of the project applicant), and will have identified the basic features of
each of the alternatives to be evaluated in the Draft EIR. Once the project description has been
finalized, Lamphier-Gregory will draft a Notice of Preparation of an EIR for City Staff review and
distribution.
Task 2: Review of Project Background Materials/Agency Consultation
L amphier-Gregory will review existing files on the property and all previous environmental analyses.
Where indicated, appropriate resource agencies and service/utility providers will be contacted for
input regarding potential project -related impacts and possible development constraints.
Task 3: Preparation of Administrative Draft EIR
An Administrative Draft EIR will be prepared for review by City Staff The document will include
an Introduction, an Executive Summary, a Description of the Project, and a list of all participants
and references, as well as a listing of the report authors. Ten (10) printed copies of the
Administrative Draft EIR will be transmitted to the City. Preparation of a Draft Environmental
Impact Reporttwill require the presentation of following components:
• Introduction — briefly summarizing the project description, outlining the purpose,
organization and scope of the document.
• Executive Summary — providing a brief summary of the purpose of the EIR and the
description of the project, identifying the Lead Agency and the project applicant, and

summarizing the significant environmental impacts identified, the mitigation measures that
would reduce these impacts (where feasible), and the outcome of the alternatives analysis.
• Project Description — which provides a brief description of the existing conditions at the
project site and in the vicinity, the proposed modifications that would result from
development of the project as proposed, and the discredon:u-y approvals requited to enable
the project to proceed.
• Environmental Topic .Areas — Latnphict-Grego y will address characteristics of the
environment that may be significantly affected by the project. Within the specific analytical
study areas defined at the outset of each topic, each chapter describes:
• The environmental setting or conditions which may affect or be affected by the project;
• The potential environmental effects and level of significance likely to result from the
project as proposed; and
• The mitigation measures that can be implemented to eliminate or substantially reduce
the identified significant environmental effects, and the level of significance following
implementation.
The EIR will address each of the environmental topic areas addressed in the City's earlier
IS/MND, using the material presented in the IS/MND to the maximum extent feasible:

Based on our initial review of the IS/1VIND, we believe that the following environmental
topic areas will need to be addressed in the Draft EIR in greater depth:

• Aesthetics (p:u-ticularly possible changes in light and glare patterns resulting from the
proposed outdoor field lighting). Lamphier-Gregory will review the updated lighting
analysis (to be provided by the project applicant), and incorporate that evaluation within
the text of the ADEIR Aesthetics section. Any additional changes in the characteristics
or placement of the proposed structure that may have been made since publication of
the Initial Study will be addressed in the tett of the ADEIR Aesthetics section, but no
new visual simulations are proposed as part of this scope/budget.
• Biological Resources. Monk & Associates, Inc. N& -A) will prepare the Biological
Resources section of the DRAFT' EIR, and will complete the following tasks:
1: Background Research. M&A will review CDFG's Natural Diversity Data Base
(RareFiud 3 application) for records of special status plant and animal species known
from the San Rafael Airport and surrounding areas. Similarly, the California Native Plant
Society's (CNPS) 2006 electronic update of the ILnwilog, of Raft, and EndanSend T"arenlar-
Plewls of California (Fifth Edition) would be checked for information concerning the
potential occurrence of special -status plant species in the area. M& -A will also review all
pertinent biological resources studies prepared for other project sites in the immediate
area.
2: Conduct Site Visits. M&A will conduct a reconnaissance -level site visit to determine
if the proposed project would impact potential wetlands, and/or special -status species
including the salt marsh harvest mouse (Reilb,ndoalongs rnnioenitir) and California clapper
rail (Ra/its /ogiroslris obsolelur). Both animal species are state and federal listed as
endangered. M&A will also conduct two follow-up visits (once in February and once
again in late March) to determine the extent of site hydrology that could be supporting
wetlands as necessary to accurately assess impacts to areas that would likely be regulated
as waters of the U.S. and/or State.
3: Peer Review. M&A will provide the City of San Rafael with a peer review of the
documents prepared by Wetlands Research Associates and Zander & Associates. As
applicable, data provided from other biologists (including Audubon Society and/or
Avocet Research Associates if such data or reports are available) and reports will be
incorporated into the ADEIR Biological Resources section.
4A: ADEIR Section - Plants, Animals and Wate>'s of the United States. A
generalized characterization of the plant and animal habitats at the project site and
immediate surrounding areas will be prepared.
4B: ADEIR Section - Evalitation of Potential Special -Status Species and Sensitive
Habitats. From MBA's literature review and site surveys, the potential presence of
special -status plant and animal species and/or their habitats within the project site and
immediately adjacent areas will be evaluated, and discussed from a CEQA perspective. It

is M&A's experience that this level of effort is necessary to ensure that all special -status
species issues are addressed at a level that is the most defensible should the EIR be
challenged. This level of effort is crucial for preventing future project delays.
4C: Conduct Fociised Clapper Rail Surveys. MkA will use USFWS' Draft Survey
Protocol for the California clapper rail (Rallar longhvxl zr olVoklils).This protocol states that
surveys must be conducted between mid January and the end of March. M&A will
conduct a total of 7 to 9 different surveys in order to determine if California clapper rail
are using the project site. Tide level and weather can affect M&A's ability to conduct the
surveys. Time is allotted in this budget for checldng tide levels and weather conditions in
advance of each survey and for writing/organizing survey data. Upon completion of the
survey, the M&A survey data will be presented in the ADEIR. If a stand-alone report
is desired, it would be completed under a separate cost item not proposed herein.
4D: ADEIR Section — Impacts and Mitigations Analysis. All foreseeable potential
direct and indirect impacts to biological resources that could occur on the project site
from development activities will be identified and discussed. Once M&A has identified
the project's potential impacts to biological resources, appropriate mitigation measures
will be prescribed to offset the project's impacts to a level considered less than
significant. M&A is proposing two M&A Associate Biologists prepare the impacts and
mitigations analysis (a botanist and wildlife biologist), -with time also budgeted for Mt.
Monk, M&A's Principal Biologist, to review and edit this analysis.
The M&A report will attempt to address those responses previously submitted in
response to the circulated Initial Study pertinent to wetlands, California clapper rail, and
salt much harvest mice. Letters that M&A will appropriately prepare responses for
include letters from the Marin Audubon Society and the Marin Conservation League.
S: Prepare Graphics. M&A will prepare suitable graphics for inclusion in the M&A
report (for example, a map of significant trees and a vegetation/wildlife habitat map).
6: Revisions to the ADMINISTRATIVE DRAFT EIR Biological Resources
Section. M&A will complete one round of report revision based upon the
ADMINISTRATIVE DRAFT EIR. NOTE: It is not possible to accurately
anticipate the extent of Staff com?nent o11 the ADMINISTRATIVE DRAFT EIR.
For this reason, the cost estimate for preparing the response to comments is an
estimate only, based on an estimated 8 honrs of Principal Biologist time and 32
hours of Associate Biologists time. The time Necessary to respond to comments
beyond the hours included in this budget will be completed on a time -and -
materials basis.

7: Responses to Comments on the DRAFT EIR. M&A will prepare responses for
public comments received by the City of San Rafael on the Biological Resources section
of the circulated DRAFT EIR, for incorporation by Lamphier-Gregory into the FINAL
EIR. NOTE: As this effort will depend completely on the volume of comments
received, M&A would charge on a time -and- materials basis through completion of
this task. For the purposes of this scope/budget, M&A is setting an interim budget
that should be adequate to complete this task. If M&A sees the need to revise this
budget based upon a larger than anticipated expenditure of time and effort to
respond to comments, M&A reserves the right to revise this budget upwards at the
time the task can be scoped accurately.
8: Coordination/Administration. M&A is allotting time to coordinate with the City of
San Rafael and/or its contractors, Lamphier-Gregory, and other biologists or
organizations. M&A anticipates that four meetings will be necessary, including one or
two Planning Commission meetings and one or t%vo City Council meetings. In addition,
project management tasks include report preparation oversight. Administrative tasks
include contracting, billing, and budget tracking.
IVI&A Expenses would include the cost of database search fees, communications/report
preparation reproduction costs, and mileage/tolls.
The following tasks are beyond the M&A scope of work:
• Focused surveys for special -status animals (other than as proposed for California
clapper rail).
• Preparation of any environmental permits that may be necessary for proposed
impacts to drainages, wetlands, trees, special -status plant or animal species, or for
any other purpose.
• Any additional services requested by die City of San Rafael, such as unscheduled
meeting attendance (four meetings are included within the M&A scope/budget),
additional rounds of document review and modification outside of those
meetings, rounds of review, and revision proposed herein, or as necessary to
address any issues not specifically addressed above, shall be considered outside
the scope of services presented herein. Any services completed outside the scope
of services presented herein shall only be completed upon a specific written work.

• The amount of effort required to respond to comments on the circulated
DRAFT EIR cannot be anticipated with accuracy at this time. M&A has worked
on EIRs in past years and had great outpouring of comments from
environmental groups and the public at large. Response to comments following
circulation of the DRAFT EIR (or any other circulated CEQA document) is only
estimated in this proposal. The budget would have to be revised if charges
exceed the interim budget proposed herein.
M&A CONDITIONS
• M&A shall have the Light to prepare response to all biology -related comments
received in response to any circulated CEQA document. This caveat is necessary as
it is M&A's comment experience that planning consultant firms often attempt to
respond to all comments from the public at large and the resource agencies. It is our
repeated experience that when planning consultant firms prepare biology responses,
the responses are not appropriate, can be needlessly inflammatory, or simply do not
adequately address the issue due to the absence of knowledge in the discipline of
biology. This caveat does not exclude Latmphier-Gregory from editing/participating
in the response to biology comments, but allows M&:A to prepare the initial
responses.
• Scaled map(s) of the project site (100 or 200 scale is preferable) shall be provided to
M&A at no cost to M&A. If MB -A is to prepare any kind of site feature map, M&A
will need an electronic project site file (CAD 14 file or a DXT file) or a current
(scaled) aerial photograph that is re ostered in the State Plane. In lieu of such
exhibits, M&A can use a year 1993 aerial photograph that MBIA has in its files which
is registered in the State Plane.
• WkA will need written authorization to enter the project site.
• All work performed by M&A will be on a tune -and -materials basis in accordance to
the costs proposed in flus scope/budget document. Tasks that are not completed or
only partially completed will only be billed in accordance with actual work completed
and/or material expenditures as required for the portion of work completed. No
unauthorized work would be completed without forma request and approval from
the City of San Rafael.
• The M&A portion of this proposed scope/budget is valid for 30 days.

1. Evaluate the safety implications of the proposed recreational facilities at San Rafael
Airport. Both safety to those on the ground and occupants of aircraft will be
analyzed. The analysis will be based upon the following:
a. An understanding of current aircraft operations at San Rafael Airport based
upon official published sources, material contained in project environmental
documentation, a site visit, and interviews of airport staff.
b. Accident data and recommended safety policies contained in the California
Airport Laird Use Planning Handbook.
c. Federal Aviation Administration regulations and guidelines, particularly
Advisory Circular 15/5300-13 (Change 8) �lirparl Design, and Title 14 Code
of Federal Regulations Part 77 ObjeclsAffecling NauigableAigace.
d. Current aviation industiy practice in the development of airport compatibility
Policies for airport land use commissions.
2. Prepare an administrative draft of a letter report summarizing the analysis described
above and conclusions regarding safety. The report will be formatted for inclusion in
the ADEIR. As appropriate, graphics will be included to clarify the analysis and
conclusions.
3. Following staff review of the administrative draft, prepare a final report
incorporating any clarifications requested by City staff.
4. Attend one public meeting to present the results of the analysis.
5. Other tasks as requested, to be provided on a time -and -expense basis.
The City will need to provide !Mead & IIunt with all available information on the
proposed project and an electronic copy of the proposed project layout, preferably in an
AutoCAD file format.
Hydrology and Water Quality (particularly issues related to the effectiveness of the
proposed floodproofing and risks to those using the proposed recreational facilities in
the event of levee failure). City staff will review all materials provided by the project
applicant related to flood risk, flood proofing and protection of water quality, and will
provide any necessary input to Lamphier-Gregory regarding these materials prior to
inclusion within the Hydrology and Water Quality section of the ADEIR.

• Noise. The project applicant retained Illingworth & Rodlin, Inc. (I&R) to complete an
environmental noise assessment for the proposed project. I&R's analysis included noise
monitoring and an evaluation of noise compatibility of the proposed use with existing
noise levels at the site, impacts associated with project -related traffic noise increases, and
construction noise and vibration impacts. In addition, the analysis estimates project -
related noise increases on local roadways and identifies potentially significant
construction noise impacts. Geier & Geier Consultants, Inc. (GGC), tivill complete the
following tasks in developing the Noise section of the DRAFT EIR:
1. Peer review the adequacy of the I&R environmental noise assessment If deemed
adequate, I&R's regulatory background, noise measurement data, estimated project -
related traffic noise increases, noise compatibility evaluation of proposed uses, and
design recommendations will be incorporated into the noise section of the EIR.
2. GGC will supplement the I&R assessment as necessary to provide a thorough and
comprehensive EIR Noise section. The EIR Noise section will present the
following:
• Identify and locate all sensitive receptors in the project vicinity.
• Present significance criteria, which are typically based on local noise
ordinance standards, land use compatibility noise guidelines (for proposed
uses), noticeability criteria (for project-xelated traffic noise increases), and
speech interference criteria (for project construction noise impacts).
• Provide more detailed construction noise analysis by supplementing I&R's
analysis with a table indicating minimum distances between construction
noise sources and sensitive receptors. Estimated short-term noise levels at
specific receptors will be compared to noise ordinance limits or speech
interference criteria (if the ordinance does not provide noise limits for
construction), particularly if pile driving is included in the project.
• I&R already evaluated the noise compatibility of the proposed project with
existing noise levels. If future traffic voluines are available for nearby streets,
the future noise compatibility of project uses should also be evaluated.
Similar to the I&R analysis, the significance of future noise levels on the
project sill be evaluated by comparing future levels with city land use noise
compatibility guidelines for proposed uses.
• Depending on the availability of existing hourly traffic volumes for the
evening hours (along the access route), GGC could supplement I&R's
analysis of traffic noise with the project's effect on evening noise levels (Leq)
to help residents understand the effect on their evening noise environment

that could result from activity -related traffic peaks.
• Supplement I&R's recommendations as necessary, particularly for pile -
driving (if it is included in the project).
In order to complete the noise analysis, GGC will require existing and future daily
and hourly traffic volumes for the project's access route, if available. Also, any hourly
volumes for the evening hours (when soccer games would be held) would be useful,
as well as the proportion of trucks represented in the volumes.
GGC assumes that clarification can be provided by I&R or the applicant regarding:
• Do noise measurements referenced in the report (taken at other soccer
fields) include noise fiom spectators? If so, what was the distance to the
spectators, and were the observed number of spectators similar to what is
expected at the proposed field?
• Does the project proposal include spectator stands? If so, where?
• In the evenings, what are the hours that soccer games will be allowed to play
on the proposed field? Weekdays and weekends?
• What hours of the day would project -related traffic noise be generated? What
is the project's estimated peak hourly traffic volume, and when would peak
traffic be likely to occur?
• What would be the typical peak traffic volume for the evening hours (e.g.,
when a game is done and players/families are leaving while another game is
starting and players/families are awing)?
• In order to estimate worst-case project -.related peak hour traffic noise
increases during the evening along the access route, GGC would need
existing hourly volumes on these access routes (and percent trucks).
• Clarification on whether pile driving willbe required for the project.
• Traffic and Circulation. Using traffic analyses /updated studies to be provided by the
project applicant and reviewed and analyzed by the City Traffic Engineer, Lamphier-
Gregoiy will prepare a Traffic and Circulation section for the Administrative Draft EM

• Overview of Project Impacts — addresses significant unavoidable impacts that cannot be
mitigated to a level of less than significant, impacts determined not to be significant, significant
irreversible environmental changes, growth -inducing impacts and cumulative impacts
• Alternatives to the Project — compares the environmental effects associated with the Project
within the context of those that would be associated with a reasonable range of alternatives. For
the purposes of the Draft EIR, one alternative will be the CEQA-mandated "No Project"
alternative, -,vl-icli will be based on the level and character of development that would be
permitted at the site under the current General Plan and other land use regulations. Additional
alternatives to be evaluated could include:
• No building or structure at the site, just outdoor fields;
• A smaller building alternative (a smaller building with just one soccer field and no
other recreational uses);
• An alternative site or sites (other locations off-site);
• An alternative access to the site; and
• An alternative that would incorporate features that would mitigate significant
environmental effects associated with the proposed Project.
The evaluation of altetiatives will identify the "environmentally superior" alternative, and will
indicate the extent to which the alternatives evaluated meet the Project objectives.
• References — identifying the authors of the document and supporting studies, the agencies and
organizations that were contacted during prepmation, and the bibliography of reports or other
published materials used in preparing the document.
• Appendices — which include the City's Notice of Preparation and responses to the Notice of
Preparation, and any supplemental information necessary to support the analysis presented in
the body of the document.
Task 5: Preparation of Draft EIR
Incorporating preliminary comments from the City staff, the public review Draft EIR will be
prepared. Larnphier-Gregory will deliver forty (40) printed copies and a CD to the City. Additional
copies of the Draft EIR can be supplied on an at -cost basis.

Task 6: Response to Comments (FINAL EIR) and Mitigation Monitoring Program
Lampluer-Gregory will respond to all comments received during the public review period on the
DEIR. These responses, and any changes required in the Draft EIR, will be incorporated in the
Administrative Final EIR, with ten (10) copies of that document to be submitted to City staff for
review. After incorporating any necessary modifications identified by City staff, Lamphier-Gregory
will deliver forty (40) copies and a CD of the final EIR to the City, along with an electronic version
of the Mitigation Monitoring Program.
Task 7: Meetings
The Lamphier-Gregory Project Manager willattend a start-up meeting, four meetings -with City staff,
one (1) public hearing with the Planning Commission, and one (1) City Council meeting. If
additional meetings are necessary, the Project Manager would be available to attend on a time -and -
materials basis (estimated at 6 hours @ 5115 = $690).
II. SCHEDULE
We are ready to begin work on the EIR at once. We will deliver a the Administrative Draft EIR
(except for the portion of the document related to the California clapper rail surveys, to be
completed by Lite March 2007) within ten weeks following the close of the 30 -day review period for
the Notice of Preparation or Authorization to Proceed, -whichever is later. City staff would review
the incomplete Administrative Draft EIR and forwud any necessary revisions to Lamphier-Gregory.
Upon receipt of those portions of the Biological Resources section of the ADEIR that reflect the
results of the completed California clapper rail surveys (survey results and related discussion in the
ADEIR are expected to be ready in early April 2007), City staff would review that section and
forward revisions to M8;A/Lamphier-Gregory. Over the following -week, we will make the required
modifications and prepare the public review version of the Draft EIR. For a Draft EIR, the public
review period would be 45 days.
At the conclusion of the public review period, we will evaluate all comments received on the Draft
EIR, prepare responses to those comments, make any modifications to the document which may be
indicated and prepare the Administrative Final EIR. This task would be completed on a time -and -
materials basis, and it is anticipated that the prepuation of the responses and the Administrative
version of the Final EIR -would take approatnately four weeks.
Over a one-week period, City staff woutld review the Administrative Final EIR and forward any
necessary revisions to Lamphier-Gregory. During the following -veer:, we will make any necessary
modifications and prepare the Final EIR and IVlitigation Monitoring Program.

III. BUDGET
Work on the EIR would be performed on a dine -and -materials basis, with the following cost
estimate for each task: identified in the Scope of Work above.
Although it is difficult to anticipate all potential issues that may ultimately need to be addressed in
the EIR, the total estimated budget for the Scope of Work outlined above, through certification of
the Final EIR, is $124,288.00. It is not possible to predict the level of public response to the Draft
EIR, or the level of effort which will be required in responding to City staff comments on
ADMINISTRATIVE DRAFT documents. This estimated budget is based on assigning 48 hours of
Project Mgnager time for each of these tasks.
Although the estimated budget includes the cost of printing the documents, it is assumed that the
City of San Rafael will be fully responsible for all noticing of hearings and document distribution,
and that City staff will prepare and distribute all notices associated with this project. It is also
assumed that City staff will be responsible for the preparation of all staff reports.
IV. STAFFING
The work: will be completed by the Project Manager, Jason Chahn (Associate Planner), and reviewed
by the Project Director, Joan Larnpluer, President of L-,unphier-Gregory. The Project Manager will
be responsible for coordination with the City and the project applicant, and attendance at all
meetings and public hearings. Other Lamphier-Gregory staff members may assist in the preparation
of die environmental documentation.
