A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO AMEND THE EXISTING CONTRACT WITH
LIEBERT, CASSIDY AND WHITMORE, LLP THROUGH MARCH 31, 2007 IN AN
AMOUNT NOT TO EXCEED $50,000
FINDINGS AND PURPOSE:
The City of San Rafael, Marin County, California, hereinafter referred to as City, does hereby
declare, find and determine that:
1. WHEREAS, on March 6, 2006 the City directed the Interim City Manager Ken Nordhoff to
hire a legal and labor negotiations consultant; and
2. WHEREAS, Liebert, Cassidy and Whitmore, LLP was hired as a legal and labor negotiations
consultant; and
3. WHEREAS, Liebert, Cassidy and Whitmore, LLP has provided high quality professional and
technical advice to the City; and
4. WHEREAS, there is an ongoing requirement for technical assistance through March 31,
2007;
NOW, THEREFORE the City takes the following ACTION:
RESOLVED, that the City authorizes the City Manager to execute an amendment to the existing
Agreement for Consulting Services with Liebert, Cassidy and Whitmore, LLP, dated March 6,
2006, extending the term of the Agreement through March 31, 2007. The total compensation fee
for this amendment shall not exceed $50,000, with the form of amendment to be approved by the
City Attorney.
I, JEANNE M. LEONCINI, City Clerk of the City of San Rafael, hereby certify that the
foregoing resolution was duly and regularly introduced and adopted at a regular meeting of said
Agency held on the 18th day of December, 2006, by the following vote, to wit:

AMENDMENT TO AGREEMENT
WITH LIEBERT, CASSIDY AND WHITMORE, LLP
This Amendment is made and entered into this 18'h day of December 2006, by and between the
CITY OF SAN RAFAEL (hereinafter "CITY"), and LIEBERT, CASSIDY AND WHITMORE, LLP
(hereinafter "CONTRACTOR").
RECITALS
WHEREAS, on March 6, 2006, CITY and CONTRACTOR entered into an Agreement by which
CONTRACTOR provides legal and labor negotiation services; and,
WHEREAS, CITY and CONTRACTOR desire to continue their Agreement for an additional
$50,000;
AMENDMENT TO AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
Section 4 of the Agreement, "Compensation", shall be amended to read as follows:
"For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR an amount NOT to exceed $130,000. Payment will be made monthly
upon PROJECT MANAGER's receipt of itemized invoices submitted by
CONTRACTOR."
2. Section 5 of the Agreement, "Term of Agreement", shall be amended to read as follows:
"The term of this Agreement shall commence upon the date of execution of this agreement
and shall end on March 31 s`, 2007."
3. With the exception of the modifications stated herein, the provisions, terms and conditions of the
original Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month and
year first above written.
