HomeMy WebLinkAboutCC Resolution 11769 (BID Director; Joanne Webster)RESOLUTION NO. 11769 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING ECONOMIC DEVELOPMENT DIRECTOR TO AMEND THE EXISTING PROFESSIONAL SERVICES AGREEMENT WITH JOANNE WEBSTER, SAN RAFAEL BID DIRECTOR, THROUGH JUNE 30, 2006 FINDINGS AND PURPOSE: The City of San Rafael, Marin County, California, hereinafter referred to as City, does hereby declare, find and determine that: 1. WHEREAS, on January 1, 2005 the City entered into a Professional Services Agreement with Joanne Webster to provide management services for the Downtown San Rafael Business Improvement District (hereinafter referred to as BID); and 2. WHEREAS, there is an ongoing requirement for management services for the BID through June 30, 2006. 3. WHEREAS, Joanne Webster has agreed to remain in the position of BID Director; NOW, THEREFORE the City Council takes the following ACTION: RESOLVED, that the City Council authorizes the Economic Development Director to execute an amendment to the existing Professional Services Agreement with Joanne Webster, dated January 1, 2005, extending the term of the Agreement through June 30, 2006. The form of amendment is to be approved by the City Attorney. I, JEANNE M. LEONCINI, City Clerk of the City of San Rafael, hereby certify that the foregoing resolution was duly and regularly introduced and adopted at a regular meeting of said Agency held on the 6th day of June 2005, by the following vote, to wit: AYES: COUNCIL MEMBERS: Cohen, Heller, Miller, Phillips & Mayor Boro NOES: COUNCIL MEMBERS: None ABSENT: COUNCIL MEMBERS: None .. LEONCIlTI City Clerk AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT WITH JOANNE WEBSTER TO PROVIDE MANAGEMENT SERVICES FOR THE DOWNTOWN BUSINESS IMPROVEMENT DISTRICT This Amendment is made and entered into this 1 st day of July 2005, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and JOANNE WEBSTER (hereinafter "CONTRACTOR"). WHEREAS, on January 1, 2005, CITY and CONTRACTOR entered into an Agreement by which CONTRACTOR provides management services for the Downtown Business Improvement District (hereinafter "BID"); and, year; WHEREAS, CITY and CONTRACTOR desire to continue their Agreement for an additional NOW, THEREFORE, the parties hereby agree as follows: 1. Section 5 of the Agreement, "Term of Agreement", shall be amended to read as follows: The term of this Agreement shall commence on July 1, 2005 and end on June 30, 2006. Upon mutual agreement of the parties, and subject to the approval of CITY, the term of this Agreement may be extended. Contract renewals will be concurrent with the fiscal year running from July 1 - June 30. 2. With the exception of the modifications stated herein, the provisions, terms and conditions of the original Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month and year first above written.
