A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN
RAFAEL ACCEPTING THE SCOPE OF SERVICES AND AUTHORIZING
THE PUBLIC WORKS DIRECTOR TO ENTER INTO AN AGREEMENT
WITH KIMLEY-HORN AND ASSOCIATES, INC. FOR PROFESSIONAL
ENGINEERING SERVICES IN AN AMOUNT NOT TO EXCEED $72,000
TO DESIGN AND STUDY THE EFFECTIVENESS OF TRAFFIC
CALMING, AND SAFE ROUTES TO SCHOOLS FOR BAHIA VISTA AND
VALLECITO ELEMENTARY SCHOOLS.
WHEREAS, on February 17, 2004 the City Council Resolution number
11504 authorized staff to apply for Safe Routes to Schools grant; and
WHEREAS, funding for the project was secured by the Federal programs
from Safe Routes to Schools Program (Cycle 5), for the amount of $327,800 including
10% City share; and
WHEREAS, in order to retain the funds and meet deadlines, the grant was
transferred to State Safe Routes to Schools Program and funds were secured for the
amount of $327,800; and
WHEREAS, construction of the project requires outside professional
engineering services for the design and the before and after study of the of the project; and
WHEREAS, staff received a proposal from Kimley-Horn and Associates
Inc. for professional traffic and civil engineering services for the project, in an amount not
to exceed $72,000;
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of
San Rafael that the Scope of Services for Kimley-Horn and Associates, Inc. is accepted
and the Director of Public Works is hereby authorized to execute an Agreement, subject to
the approval of the City Attorney.
BE IT FURTHER RESOLVED that the City Council does hereby
authorize the Public Works Director to take all necessary actions and make changes as
may be necessary to accomplish the purpose of this resolution.

AGREEMENT
FOR PROFESSIONAL ENGINEERINGS SERVICES
TO DESIGN AND STUDY THE EFFECTIVENESS OF TRAFFIC
CALMING, AND SAFE ROUTES TO SCHOOLS FOR BAHIA VISTA AND
VALLECITO ELEMENTARY SCHOOLS
This Agreement is made and entered into this 7`h day of November 2005, by and between
the CITY OF SAN RAFAEL (hereinafter "CITY"), and KIMLEY-HORN AND ASSOCIATES, INC.
(hereinafter "CONTRACTOR).
RECITALS
WHEREAS, the CITY has determined that traffic and civil engineering consulting
services are required to design and prepare plans and specifications for the SAFE ROUTES TO
SCHOOLS GRANT (CYCLE 5) FOR BAHIA VISTA AND VALLECITO ELEMENTARY
SCHOOLS (hereinafter "PROJECT"); and
WHEREAS, the CONTRACTOR has offered to render certain specialized professional
services in connection with this Project;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. DEFINITIONS.
2. PROJECT COORDINATION
A. CITY. The City Manager shall be the representative of the CITY for all
purposes under this Agreement. The City Engineer is hereby designated the PROJECT MANAGER for
the CITY, and said PROJECT MANAGER shall supervise all aspects of the progress and execution of
this Agreement.
B. CONTRACTOR. CONTRACTOR shall assign a single PROJECT
DIRECTOR to have overall responsibility for the progress and execution of this Agreement for
CONTRACTOR. Anush Nejad is hereby designated as the PROJECT DIRECTOR for CONTRACTOR.
Should circumstances or conditions subsequent to the execution of this Agreement require a substitute
PROJECT DIRECTOR for any reason, the CONTRACTOR shall notify the CITY within ten (10)
business days of the substitution.
3. DUTIES OF CONTRACTOR
CONTRACTOR shall perform the duties and/or provide services as follows; the
CONTRACTOR agrees to provide professional services as a Traffic and Civil Engineering Consultant to
prepare plans associated with the design improvements for Safe Routes to Schools Grant (Cycle 5), as
outlined in the revised Proposal from CONTRACTOR dated October 3, 2005, marked Exhibit "A",
attached hereto, and incorporated herein by this reference.
4. DUTIES OF THE CITY
CITY shall perform the duties as described in Exhibit "A" attached hereto and
incorporated herein.
5. COMPENSATION
For the full performance of the services described herein by CONTRACTOR,
CITY shall pay CONTRACTOR on a time and materials basis for services rendered in accordance with
the rates shown on the current fee schedule as described in Exhibit "A" attached and incorporated herein.
The total payment made for any individual work task will not exceed the amounts shown on the Proposal
Budget, set out in Exhibit "A".
Payment will be made monthly upon receipt by PROJECT MANAGER of
itemized invoices submitted by CONTRACTOR.

6. TERM OF AGREEMENT
The term of this Agreement shall be from the date of execution until the Project
7. TERMINATION
A. Discretionary. Either party may terminate this Agreement without cause
upon thirty (30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen
(15) days written notice mailed or personally delivered to the other party, and the notified party's failure
to cure or correct the cause of the termination notice, to the reasonable satisfaction of the party giving
such notice, within fifteen (15) days of the receipt of said notice.
C. Effect of Termination. Upon receipt of notice of termination, neither
party shall incur additional obligations under any provision of this Agreement without the prior written
consent of the other.

D. Return of Documents. Upon termination, any and all CITY documents
or materials provided to CONTRACTOR and any and all of CONTRACTOR's documents and materials
prepared for or relating to the performance of its duties under this Agreement, shall be delivered to CITY
as soon as possible, but not later than thirty (30) days after termination.
8. OWNERSHIP OF DOCUMENTS
The written documents and materials prepared by the CONTRACTOR in
connection with the performance of its duties under this Agreement, shall be the sole property of CITY.
CITY may use said property for any purpose, including projects not contemplated by this Agreement.
9. INSPECTION AND AUDIT
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its
agent, for inspection and audit, all documents and materials maintained by CONTRACTOR in
connection with its performance of its duties under this Agreement. CONTRACTOR shall fully
cooperate with CITY or its agent in any such audit or inspection.
10. ASSIGNABILITY
The parties agree that they shall not assign or transfer any interest in this
Agreement nor the performance of any of their respective obligations hereunder, without the prior written
consent of the other party, and any attempt to so assign this Agreement or any rights, duties or
obligations arising hereunder shall be void and of no effect.
11. INSURANCE
A. During the term of this Agreement, CONTRACTOR, shall maintain, at no
expense to CITY, the following insurance policies:
1. A comprehensive general liability insurance policy in the minimum
amount of one million ($1,000,000) dollars per occurrence for death, bodily injury, personal injury, or
property damage;
2. An automobile liability (owned, non -owned, and hired vehicles)
insurance policy in the minimum amount of one million ($1,000,000) dollars per occurrence;
3. If any licensed professional performs any of the services required to
be performed under this Agreement, a professional liability insurance policy in the minimum amount of
one million ($1,000,000) dollars to cover any claims arising out of the CONTRACTOR's performance of
services under this Agreement.
B. The insurance coverage required of the CONTRACTOR by Section 11.
A., shall also meet the following requirements:

1. The insurance shall be primary with respect to any insurance or
coverage maintained by CITY and shall not call upon CITY's insurance or coverage for any contribution;
2. Except for professional liability insurance, the insurance policies
shall be endorsed for contractural liability and personal injury;
3. Except for professional liability insurance, the insurance policies
shall be specifically endorsed to include the CITY, its officers, agents, and employees as additionally
named insureds under the policies;
4. CONTRACTOR shall provide to PROJECT MANAGER, (a)
Certificates of Insurance evidencing the insurance coverage required herein, and (b) specific
endorsements naming CITY, its officers, agents and employees, as additional insureds under the policies;
5. The insurance policies shall provide that the insurance carrier
shall not cancel, terminate or otherwise modify the terms and conditions of said insurance policies except
upon thirty (30) days written notice to CITY's PROJECT MANAGER;
6. If the insurance is written on a Claims Made Form, then,
following termination of this Agreement, said insurance coverage shall survive for a period of not less
than five years;
7. The insurance policies shall provide for a retroactive date of
placement coinciding with the effective date of this Agreement;
8. The insurance shall be approved as to form and sufficiency by
PROJECT MANAGER and the City Attorney.
C. If it employs any person, CONTRACTOR shall maintain worker's
compensation and employer's liability insurance, as required by the State Labor Code and other
applicable laws and regulations, and as necessary to protect both CONTRACTOR and CITY against all
liability for injuries to CONTRACTOR's officers and employees.
D. Any deductibles or self-insured retentions in CONTRACTOR's
insurance policies must be declared to and approved by the PROJECT MANAGER and the City
Attorney. At CITY's option, the deductibles or self-insured retentions with respect to CITY shall be
reduced or eliminated to CITY's satisfaction, or CONTRACTOR shall procure a bond guaranteeing
payment of losses and related investigations, claims administration, attorney's fees and defense expenses.
12. INDEMNIFICATION
CONTRACTOR shall indemnify, release, defend and hold harmless CITY, its
officers, and employees, against any claim, demand, suit, judgment, loss, liability or expense of any kind,
including attorney's fees, arising out of or resulting in any way, in whole or in part, from any acts or

omissions, intentional or negligent, of CONTRACTOR or CONTRACTOR's officers, agents and
employees in the performance of their duties and obligations under this Agreement.
13. NONDISCRIMINATION
CONTRACTOR shall not discriminate, in any way, against any person on the
basis of age, sex, race, color, religion, ancestry, national origin or disability in connection with or related
to the performance of its duties and obligations under this Agreement.
14. COMPLIANCE WITH ALL LAWS
CONTRACTOR shall observe and comply with all applicable federal, state and
local laws, ordinances, codes and regulations, in the performance of its duties and obligations under this
Agreement. CONTRACTOR shall perform all services under this Agreement in accordance with these
laws, ordinances, codes and regulations. CONTRACTOR shall release, defend, indemnify and hold
harmless CITY, its officers, agents and employees from any and all damages, liabilities, penalties, fines
and all other consequences from any noncompliance or violation of any laws, ordinance, codes or
regulations.
15. NO THIRD PARTY BENEFICIARIES
CITY and CONTRACTOR do not intend, by any provision of this Agreement, to
create in any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.
16. NOTICES
All notices and other communications required or permitted to be given under
this Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the parties
intended to be notified. Notice shall be deemed given as of the date of personal delivery, or if mailed,
upon the date of deposit with the United States Postal Service. Notice shall be given as follows:

17. INDEPENDENT CONTRACTOR
For the purposes, and for the duration, of this Agreement, CONTRACTOR, its
officers, agents and employees shall act in the capacity of an Independent Contractor, and not as
employees of the CITY. CONTRACTOR and CITY expressly intend and agree that the status of
CONTRACTOR, its officers, agents and employees be that of an Independent Contractor and not that of
an employee of CITY.
18. ENTIRE AGREEMENT -- AMENDMENTS
A. The terms and conditions of this Agreement, all exhibits attached, and
all documents expressly incorporated by reference, represent the entire Agreement of the parties with
respect to the subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements,
oral or written, regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the
subject matter of this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or
modified except by a written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this
Agreement, and the terms and conditions of the attached exhibits or the documents expressly
incorporated by reference, the terms and conditions of this Agreement shall control.
19. SET-OFF AGAINST DEBTS
CONTRACTOR agrees that CITY may deduct from any payment due to
CONTRACTOR under this Agreement, any monies which CONTRACTOR owes CITY under any
ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments, unpaid
checks or other amounts.
20. WAIVERS
The waiver by either party of any breach or violation of any tern, covenant or
condition of this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of
any other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or
violation of the same or other term, covenant, condition, ordinance, law or regulation. The subsequent
acceptance by either party of any fee, performance, or other consideration which may become due or
owing under this Agreement, shall not be deemed to be a waiver of any preceding breach or violation by

The prevailing party in any action brought to enforce the terms and conditions of
this Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.
22. CITY BUSINESS LICENSE/OTHER TAXES
CONTRACTOR shall obtain and maintain during the duration of this
Agreement, a CITY business license as required by the San Rafael Municipal Code. CONTRACTOR
shall pay any and all state and federal taxes and any other applicable taxes. CONTRACTOR's taxpayer
identification number is 56-0885615, and CONTRACTOR certifies under penalty of perjury that said
taxpayer identification number is correct.
23. APPLICABLE LAW
The laws of the State of California shall govern this Agreement.

Upon receipt of the Request for Proposal for Professional Engineering Services for Safe
Routes to School at Bahia Vista and Vallecito Schools Kimley-Horn and Associates, Inc.
(Kimley-Horn) is pleased to submit this proposal to the City of San Rafael. As one of the
nation's premier traffic engineering and transportation planning firms, we have extensive
experience providing traffic engineering and roadway design services to California
municipalities and public agencies.
For this project, Parisi Associates will support our team with the initial evaluation of
traffic safety enhancement issues, meeting with the schools and City to develop the
recommendations. Kimtey-Horn will be responsible for the design and construction support
services and Mountain Pacific Surveys wilt provide Topographic Surveying. Parisi Associates
will also follow-up and prepare the After Study, document the project benefits, and
prepare the final report.

San Mateo, California. The firm is a member in good standing with Operating Engineers
Local 3 and Bay Counties Association, as well as Consulting Engineers and Land Surveyors of

Jim West has over 14 years experience in vehicle/ pedestrian planning, transit projects,
urban traffic studies, traffic calming projects, transportation system plans, corridor
studies, traffic signal operations, and Intelligent Transportation Systems. He has specific
experience in traffic forecasting and traffic analysis using computer models including
TRANPLAN, EMME/2, HCS, SYNCHRO, TRANSYT-7F, TRAFFIX, PASSER II, and PASSER III.
Some of Mr. West's clients include Costco, McDonald's, Centex Homes, and numerous
public agencies. He has managed or worked on these recent school safety projects in the
cities of Cupertino, Los Altos, Menlo Park, and Belmont and traffic calming projects in
Albany, Lafayette, Fremont, Emeryville, and Marin County.
Lincoln Elementary, Kennedy Middle, and Monta Vista High safe Routes to School,
Cupertino, CA — Project Manager. Kimley-Horn worked with the City of Cupertino to
prepare roadway and traffic improvements for Lincoln Elementary, Kennedy Middle, and
Monta Vista High under a Safe Routes to School grant.
Linfield Oaks Traffic Management Plan, Menlo Park, CA — Project Manager. For nearly
two years the City of Menlo Park had been discussing speeding and cut -through traffic
issues in the Linfield Oaks neighborhood, but did not have the staff resources to develop a
plan and reach a consensus on solutions. The area was particularly complicated because
City offices are located in the neighborhood and other nearby land uses produce large
amounts of non-resident traffic.
Loyola Elementary Safe Routes to School, Los Altos, CA — Project Manager. Kimley-Horn
provided civil and traffic engineering services to the City of Los Altos for the Loyola
Elementary School Safe Routes to School project. Kimley-Horn performed the initial traffic
engineering study, including analyzing the feasibility of revising the intersection geometry
of Berry Ave. and Foothill Blvd. to a roundabout configuration.

recommendations for four critical commercial district traffic signals for the City of

Responsible for internal review of electrical plan and specifications. Kimley-Horn was
selected for field work and assisting in plan development for the design of a smart corridor
system in Alameda County. The smart corridor design involved implementing CCN

Columbus Parkway Traffic Signal and Street Lighting Design, Vallejo, CA — Project
Engineer. Kimley-Horn prepared plans, technical specifications and estimates for the
installation of signing, striping, and street lighting on 1/2 -mile of Columbus Parkway and
for the installation of a new traffic signal at the intersection of Columbus Parkway and St.
John's Mine Road in the City of Vallejo.
Lincoln/Mission Street Traffic Signal Design, San Rafael, CA - Project Manager. Kirnley-
Horn was selected for signal design modifications for three traffic signals in the City of San

Emeryville Weekend Timing Project, Emeryville, CA - Project Manager. Kimley-Horn

Mr. Weakley is the Manager -in -Charge of all survey work undertaken by Mountain Pacific
Surveys. This work is managed on a day-to-day basis by Mr. Weakley or Project Managers

layout of subdivision improvement and public roadways, photogrammetric control,

North Village Mapping Project, Vacaville, California — This Solano County project
entailed the preparation of 36 scribed Mylar manuscripts covering an area of approximately
900 acres. Over 40 aerial targets were established, as well as the property line
determination for the 24 separate ownerships within the mapping area. Mapping was
compiled at 40 scale with one foot contours. Supplemental design topography continues in
concert with individual parcel development.
Downtown Fairfield Mapping Project, Fairfield, CA — The firm provided aerial control
and aerial mapping in digital and hardcopy format for a 24 block area of downtown
Fairfield for a portion of the City's pilot GIS project. Mapping included all streets and
utilities with 1' contours and spot elevations at a 50' grid.
Moffitt Field Control Surveys (NASA), Mountain View, CA — This project involved the
establishment of over 100 horizontal and vertical photo control points as well as the
establishment of 22 permanent control monuments throughout the NASA site.
Approximately 25 miles of traversing was performed to facilitate the mapping of the 2,000 -
acre area.
San Ramon Blvd., City of Danville, CA — Topographic mapping and boundary resolution for
a 6 block portion of San Ramon Valley Blvd. This project required the location of existing
infrastructure improvements and utilities along with the resolution of the existing right of
way to facilitate the proposed design. A Record of Survey will be filed to reflect the new
roadway alignment upon completion of the project.

Safe Route to Schools
Kimley-Horn provided civil and traffic engineering services to the City of Berkeley for the
design of intersection improvements at several locations along Telegraph Avenue in
compliance with the City of Berkeley Safe Routes to School grant. The improvements
included adding curb extensions at the returns, constructing channelization islands,
drainage improvements, and signing and marking improvements.
Safe Routes to School Funding
Kimley-Horn was selected by the City of Los Altos to address the need for increased
pedestrian and bicycle safety near Loyola Elementary School, located along Berry
Avenue, which lacked sidewalks and bicycle facilities. As a result, students had to
use the traffic lanes to walk or bike to school. During peak school hours, the street was
congested as parents and students arrived or left the vicinity. As part of a Safe Routes to
School grant, Kimley-Horn prepared a study to identify typical traffic calming measures,
their effectiveness and general applications, as well as recommended measures that should
be applied to address the traffic concerns surrounding the school site. Originally, the grant
intended that a roundabout be installed near the school; however, during preliminary
analysis we determined that movements of large vehicles would be restricted because of
the constrained right-of-way and that residential driveways were too close to the
circulating roadway of the roundabout. During the project, we worked closely with City
staff and school administrators to reach consensus on the best solution. Measures included
raised crosswalks and speed tables, school signage, a new class I bikeway, and pedestrian
access way improvements to reduce school -related traffic congestion.

Safe Routes to School
imley-Horn worked with the City to prepare a safe routes to school and traffic
calming plan surrounding the Oak Knoll School in Menlo Park. The neighborhood
lacked sidewalks and bicycle lanes, while experiencing high traffic speeds and
volumes. Our staff worked with the school and residents to preserve the rural feel of the
neighborhood while creating safe locations for pedestrians to walk and cyclists to ride. The
City has implemented the first phase of the project that included new crossings, signs,
striping, sidewalk, parking restrictions, and other features to improve safety for
pedestrians and bicyclists. We also worked closely with the PTA and neighborhood leaders
to reach consensus on additional improvements to be completed in a second phase.

Kimley-Horn provided civil, traffic, and electrical services for the City of Belmont.
This project included an evaluation of existing pavement conditions, pavement
design, establishing limits for areas of street reconstruction, surveying and mapping,
designing raised landscaped median islands, curb ramps, in addition to a signal
modification and street light modifications through the project length. Kimley-Horn
prepared PSEtE documents for the project. In addition, Kimley-Horn coordinated the
project with utility companies, including various relocation of facilities within the project
Since the program's inception four years ago, David Parisi has been the program
engineer for Marin's Safe Routes to School program. He works with SR2S committees
to identify physical barriers to walking and bicycling to and from school, and
coordinates with the town, city, and county public works officials in determining
appropriate improvement measures. David helps SR2S committees prioritize improvements
ranging from school area signing and pavement markings to traffic calming projects to
major capital improvement measures such as reconfigured intersections and new
pathways. He has assisted over 30 schools in Marin and prepared successful grant
applications for over $2 million in SR2S funding.

Enhancement Program. He led a joint city and consultant team in evaluating
existing access issues at the elementary and middle schools in a 17 -district city.
David developed a toolbox of educational, encouragement, enforcement, and engineering
improvement measures. Improvement plans were developed for each school, consisting of
short-term and long-range measures to be implemented by school and city agencies.
his was an on-call service contract to provide topographic surveys, mapping and
drafting services along with construction staking for LLNL projects. Tasks ranged
from small areas of topographic mapping to the mapping of the entire Site 300
Complex. Often, Mountain Pacific Surveys was required to perform high accuracy
alignment surveys under very restrictive time constraints.
ITexas Street Redevelopment - Fairfield, CA
his project involved design and construction surveys for the reconstruction of 8
blocks of commercial area in downtown Fairfield. Improvements included new
intersection signalization, curbs, gutters, sidewalks, roadway sections, relocation of
utilities, storm drainage, landscaping, and lighting. Upon completion of
construction, a Record of Survey was prepared and recorded to reflect the new street
monumentation.
IHighway 80/N. Texas Street Interchange - Fairfield, CA
etermination of existing state right-of-way and preparation of legal descriptions and
right of way map for realignment of freeway ramps. This project also included the
preparation of topographic surveys to facilitate design efforts as well as the
management and performance of all construction staking.
Open -Ended Survey Contract - Santa Cruz and Monterey Counties, CA
opographic surveys performed at the direction of the U.S. Army Corps of Engineers
in areas damaged by the Loma Prieta earthquake. This work consisted of profile,
cross-sectional and hydrographic data collection with an emphasis on timely
delivery. Mountain Pacific Surveys was presented a certificate of accomplishment by
the C.O.E. recognizing the firm's effort on this project. The areas of work were the San
Lorenzo and Pajaro Rivers along with the Santa Cruz Harbor.
City of San Rafael has received approximately $300,000 in funding to design and
implement Safe Routes to School infrastructure improvements for the Bahia Vista
School and Vallecito School in the City of San Rafael. The initial project was
estimated at $328,000 with a 10% commitment from the City of San Rafael.
Bahia Vista Elementary School is located on Bahia Way, south of Kerner Drive, in the
eastern part of San Rafael. Vallecito Elementary School is located on Nova Albion, south of
Freitas Boulevard, in the northern part of San Rafael. The City plans to implement
measures to improve pedestrian safety at and near these two schools. This project is a part
of the State Safe Routes to School program for the 2004-2005 Safe Routes to School cycle.

TASK 4 - PROJECT DESIGN REPORT
