RESOLUTION OF THE SAN RAFAEL REDEVELOPMENT AGENCY
APPROVING THE CONVEYANCE OF A PARCEL OF REAL
PROPERTY TO THE CITY OF SAN RAFAEL FOR PUBLIC
IMPROVEMENT ACTIVITIES RELATED TO OWNERSHIP AND
MANAGEMENT OF A PARKING FACILITY, AND MAKING FINDINGS
PURSUANT TO STATE LAW IN CONNECTION THEREWITH
(PARKING GARAGE AT THIRD AND C)
WHEREAS, the City Council (the "City Council) of the City of San Rafael (the "City ")
adopted the City of San Rafael City Redevelopment Plan (as amended, the "Redevelopment
Plan") on November 20, 1972, by Ordinance No. 1079 affecting the Central San Rafael
Redevelopment Project Area (the "Project Area"); and
WHEREAS, the San Rafael Redevelopment Agency (the "Agency") is vested with
responsibility pursuant to the Community Redevelopment Law (Part 1 of Division 24 of the
Health and Safety Code of the State of California) (the "Law") to implement the Redevelopment
Plan in the Project Area; and
WHEREAS, pursuant to Section 33220 of the Law, the City is authorized to furnish and
install public infrastructure to benefit the Project Area; and
WHEREAS, pursuant to Section 33445 of the Law, the Agency is authorized, with the
consent of the City Council, to pay part or all of the cost of acquisition of land for and
construction of buildings and facilities which are publicly owned and are of benefit to the Project
Area; and
WHEREAS, pursuant to Section 33220 of the Law, the City financed and constructed
within the Project Area a community parking facility located on the northeast corner of the
intersection of Third Street and C Street (the "Parking Facility"). The Parking Facility is located
on real property further described in the legal description attached as Exhibit A (the "Site"); and
WHEREAS, the Site on which the Parking Structure was constructed was acquired by the
Agency and is currently owned by the Agency; and
WHEREAS, the Parking Facility benefits the Project Area by alleviating physical
blighting conditions on the Site, remedying a lack of parking facilities in the Project Area,
facilitating greater utilization of underutilized land in the vicinity of the Parking Facility, and
serving City residents who will come to the area and use the Parking Facility, as further
described in the staff report accompanying this Resolution and incorporated in this Resolution by
this reference (the "Staff Report"); and

WHEREAS, development of the Parking Structure on the Site is consistent with the
Agency's five-year Implementation Plan; and
WHEREAS, the City has already financed the construction of the Parking Structure and
does not have additional funds that would permit it to also pay for the Site on which the Parking
Structure is located.
NOW, THEREFORE, BE IT RESOLVED as follows:
Section 1. The Agency finds that the above recitals are accurate and, together with
the Staff Report, have served as an evidentiary basis for the findings and actions set forth in this
Resolution.
Section 2. In compliance with Section 33445 of the Law, the Agency hereby finds
that (a) the ownership of the Site by the City is of benefit to the Project Area and the immediate
neighborhood in which the Site and Parking Facility is located, and (b) the appropriation of funds
and the making the conveyance of the Site to the City will assist in the elimination of one or
more blighting conditions inside the Project Area, and is consistent with the Agency's
Implementation Plan adopted pursuant to Section 33490 of the Law. These findings are based on
facts and analysis in the Staff Report incorporated in this Resolution.
Section 3. In compliance with Section 33445 of the Law, the Agency finds that there
are no other reasonable means of financing available to the community for the acquisition cost of
the Site. This finding is based on facts and analysis in the Staff Report incorporated in this
Resolution.
Section 4. The Agency hereby approves the conveyance of the Site to the City for
consideration of One Dollar ($1), and authorizes the Executive Director or his designee to
execute on behalf of the Agency a grant deed conveying the Site to the City.
Section 5. This Resolution shall take immediate effect from and after its passage and
approval.

SUBJECT: Resolution of the San Rafael Redevelopment Agency approving the conveyance of a
parcel of real property to the City of San Rafael for public improvement activities related to
ownership and management of a parking facility, and making findings pursuant to State law in
connection therewith.
RECOMMENDATION: Staff recommends that the Agency adopt the attached resolution
approving the property transfer of the Third and C Street garage and authorizing the Executive
Director to execute a grant deed conveying the site to the City.
BACKGROUND: Since the need for more parking Downtown was identified in 1999, the City
and the Agency have been cooperating in the construction of a new garage at Third and C Streets.
The garage was completed and opened to the public on May 14, 2005. Currently, the garage site
is owned by the Agency as the initial site acquisitions began in the late 1970's and were
completed in 2002. The structure however is owned by the City and was financed though the
issuance of revenue bonds by the San Rafael Joint Powers Financing Authority. The proposal
under consideration is to consolidate the ownership of the lot and structure by transferring the
property from the Agency to the City rather than a direct sale. Under the provision of California
Community Development Law, the Agency may pay all or part of the value of the land for a
publicly owned facility if specific findings are made. To make the transfer, the Agency must
approve the transfer and the City approve the receipt of the property under a separate action at
tonight's City Council meeting.
ANALYSIS: Consolidation of the site and facility ownership under the City is a benefit to the
Project Area and the immediate neighborhood as the City operates and manages all the public
parking Downtown, including the lots, structures and on -street spaces. The City's Parking
Services Division manages parking as a unified whole and addresses parking needs for the entire
commercial portion of Downtown. The parking rates, hours of operation, maintenance and
