RESOLUTION OF THE SAN RAFAEL CITY COUNCIL AUTHORIZING THE CITY
MANAGER TO EXECUTE AN AMENDMENT TO AN AGREEMENT FOR
PROFESSIONAL PLANNING SERVICES WITH LISA NEWMAI,;NEEDED TO ASSIST IN
THE PROCESSING OF PLANNING APPLICATIONS
(Term of Amendment to Agreement: extending agreement to August 18, 2005 for a total budget amount not
exceeding $75,000)
WHEREAS, the City of San Rafael has determined that professional services are needed
to assist the Community Development Department in the processing of planning applications; and
WHEREAS, on February 18, 2003, the City Council adopted Resolution No. 11254,
which authorized the execution of an Agreement between the City and Lisa Newman, Newman
Planning Associates for professional planning services. The Agreement sets forth a budget cap of
$50,000.00 and is valid to February 18, 2005. To date, Lisa Newman has billed approximately
$45,000.00 for professional planning services; and
WHEREAS, it has been determined that the continued services of Lisa Newman are
necessary for follow-up planning tasks associated with the development and completion of the
Chapel Cove Residential Development. Further, it has been determined that professional
planning services are necessary to process the Environmental and Design Review Permits for the
Academy Heights Residential Development; and
WHEREAS, in order for Lisa Newman to provide continued professional services, the
terms of the Agreement must to be amended to adjust the budget cap (an additional $25,000.00)
and extend the term (extend six months to August 18, 2005); and
WHEREAS, the services provided by Lisa Newman under this Amendment to the
Agreement for Professional Services are funded through cost recovery, where project proponents
agree to pay all incurred costs associated with the City review and processing of their
applications.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of San
Rafael does hereby authorize the City Manager to execute, on behalf of the City of San Rafael, an
Amendment to the Agreement for Professional Services with Lisa Newman (Attachment 1).

AMENDMENT TO AGREEMENT FOR
PROFESSIONAL PLANNING SERVICES
This Amendment to an Agreement for Professional Planning Services is made and entered
into this 7t' day of September 2004, by and between the CITY OF SAN RAFAEL (hereinafter
"CITY"), and LISA NEVWMAN (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, given the current workload of staff, the pace of land planning and
development activity, and staff shortages, the CITY has determined that professional services are
needed to: 1) provide assistance with follow-up tasks associated with implementation of the
Chapel Cove Residential Development project; and 2) assist with processing planning
applications and ordinance preparation for City -sponsored projects; and
WHEREAS, on February 18, 2003, the City Council adopted Resolution No. 11254,
which authorized the execution of an Agreement between the CITY and CONTRACTOR for
professional planning services on these projects. The Agreement was subsequently executed on
February 19, 2003 and is valid to February 18, 2005; and
WHEREAS, Section 4 (Compensation) of the Agreement sets forth a billing cap of
$50,000.00. As of July 1, 2004, the CONTRACTOR has billed approximately $45,000.00 for
professional planning services. As the CONTRACTOR will continue services on the Chapel
Cove Residential Development and has been requested by the CITY to provide services on
additional planning applications (Academy Heights Residential Development), it has been
determined that the billing amount limit set forth by the Agreement will need to be amended. An
additional budget amount of $25,000.00 is recommended to cover these additional services.
AMENDMENT TO AGREEMENT
NOW, THEREFORE, the parties hereby agree to amend the following sections of the
Agreement for Professional Planning Services (February 19, 2003):
4. COMPENSATION.
For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR an hourly rate of $95.00 per hour. The billing amounts authorized under this
Agreement shall not exceed $75,000.00 ($50,000.00 authorized under the initial, February 19, 2003
Agreement, plus an additional $25,000 authorized under this amendment).
5. TERM OF AGREEMENT.
The term of the Agreement shall be shall be extended by six months, ending on August 18,
2005. Upon mutual agreement of the parties, and subject to the approval of the City Manager and
the PROJECT MANAGER the term of this Agreement may be extended.

All of the other provisions, terms and obligations of the Agreement for Professional
Planning Services, executed on February 19, 2003 shall remain valid and shall be in force with the
execution of this amendment.
