A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SAN RAFAEL ACCEPTING A GRANT FROM THE MARIN
COMMUNITY FOUNDATION IN AMOUNT OF $759000 FOR
THE SAFE ROUTES TO SCHOOLS PROGRAM AND
AUTHORIZING THE DIRECTOR OF PUBLIC WORKS TO
EXECUTE AN AMENDMENT TO AGREEMENT WITH
NELSON\NYGAARD CONSULTING ASSOCIATES FOR
MANAGEMENT OF THE PROGRAM (FROM JULY 19 2003
AND TERMINATING ON DECEMBER 31, 2003).
WHEREAS, the Marin Community Foundation has approved a grant to the City
of San Rafael in the amount of $75,000 to continue the Safe Routes to School program until
December 31, 2003; and
WHEREAS, the firm of Nelson\Nygaard Consulting Associates has been
performing the task of managing the Safe Routes to Schools Program and has demonstrated a
clear ability to address these school children safety issues;
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of San
Rafael that the City Council hereby accepts the grant of $75,000.00 from the Marin Community
Foundation and authorizes the Director of Public Works to sign an amendment to the agreement
with Nelson\Nygaard Consulting Associates, in the form attached hereto as "Exhibit A", to
continue management of the Safe Routes to School Program as outlined in the grant application
to the Marin Community Foundation.
I, JEANNE M. LEONCINI, Clerk of the City of San Rafael, hereby certify that
the foregoing resolution was duly and regularly introduced and adopted at a regular meeting of
the Council of said City on the 4th day of August, 2003, by the following vote, to wit:

AMENDMENT TO
AGREEMENT BETWEEN THE CITY OF SAN RAFAEL
AND NELSON\NYGAARD CONSULTING ASSOCIATES
FOR CONTINUED MANAGEMENT OF THE SAFE
ROUTES TO SCHOOL PROGRAM
This Amendment to Agreement is made and entered into this 4`h day of August, 2003 by
and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and NELSON\NYGAARD
CONSULTING ASSOCIATES, (hereinafter "CONTRACTOR").
WHEREAS, the CITY has determined that CONTRACTOR's services continue
to be required to manage the Safe Routes to School Program; and,
WHEREAS, the CONTRACTOR has expertise and experience in this area, has
managed the program for two years and is willing to continue managing said program; and,
WHEREAS, the CITY has been awarded an additional $75,000.00 grant from the
Marin Community Foundation to continue the Safe Routes to School Program; and,
WHEREAS, accordingly the CITY and the CONTRACTOR want to extend their
agreement dated June 4, 2002;
NOW, THEREFORE, the parties hereby agree as follows:
I , Paragraph 6 of the Agreement, "Term", is amended to read as follows:
"The term of this Agreement shall be extended and shall now terminate on December 31,
2003."
2. Paragraph 5 of the Agreement, "Compensation", is amended to add the following sentence:
"For the additional work performed by CONTRACTOR for the period from July 1, 2003 to
December 31, 2003, CITY shall pay CONTRACTOR an additional $75,000.00."
3. All other covenants, terms and conditions of the original Agreement remain in full force and
effect for the term of the Amended Agreement.
