RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
APPROVING AN AMENDMENT TO AN AGREEMENT WITH JEFFERY
BAIRD (A SOLE PROPRIETOR) FOR PLANNING CONSULTING SERVICES
ENDING DECEMBER 31, 2002, IN AN AMOUNT NOT TO EXCEED
$96,900.00, FOR THE SAN RAFAEL GENERAL PLAN 2020. (P98-4)
WHEREAS, on December 21, 1998, City of San Rafael ("CITY" herein) entered into an
Agreement with Jeffery Baird ("CONTRACTOR' herein) for the provision of planning consulting
services in connection with the preparation of the City's General Plan 2020; and,
WHEREAS, said Agreement provided for payment to CONTRACTOR of $85.00 per
hour for 1,140 hours, and for an expiration date of December 31, 2001; and,
WHEREAS, CITY has determined that CONTRACTOR's services continue to be
required and CITY and CONTRACTOR now desire to extend the term and the rate of
compensation provisions of the original Agreement; and,
WHEREAS, CONTRACTOR has the expertise and experience in the planning and
housing consultant fields to perform the required professional services and is willing and able to
continue to provide said services;
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of San
Rafael hereby:
1) approves the Amendment to the Agreement with Jeffery Baird, a sole proprietor, for
consulting services in connection with the General Plan 2020, a copy of which is
attached hereto and incorporated herein;
2) total expenditures authorized under the Agreement as amended are not to exceed
$96,900.00;
3) authorizes the City Manager to execute this Amendment.
I, Jeanne M. Leoncini, Clerk of the City of San Rafael, hereby certify that the foregoing
Resolution was duly and regularly introduced and adopted at a regular meeting of the San Rafael
City Council held on the 22nd day of January, 2002, by the following vote to wit:

AMENDMENT TO
AGREEMENT BETWEEN THE CITY OF SAN RAFAEL
AND JEFFERY BAIRD (A SOLE PROPRIETOR)
FOR PLANNING AND HOUSING CONSULTING SERVICES
This Amendment to Agreement is made and entered into this 22dday of January, 2002 by
and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and Jeffery Baird, a sole
proprietor (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, on December 21, 1998, City of San Rafael ("CITY" herein) entered into an
Agreement with Jeffery Baird ("CONTRACTOR" herein) for the provision of planning and
housing consulting services in connection with the preparation of the City's General Plan 2020;
and,
WHEREAS, said Agreement provided for payment to CONTRACTOR of $85.00 per
hour for 1,140 hours, and for an expiration date of December 31, 2001; and,
WHEREAS, CITY has determined that CONTRACTOR's services continue to be
required in connection with the preparation of the City's General Plan and CITY and
CONTRACTOR now desire to extend the term and the rate of compensation provisions of the
original Agreement; and,
WHEREAS, CONTRACTOR has the expertise and experience in the planning and
housing consultant fields to perform the required professional services and is willing and able to
continue to provide said services;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. Paragraph 4 of the Agreement is amended to read as follows:
"For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR $85.00 per hour from December 21, 1998 through December 31,
2001, and $100.00 per hour from January 1, 2002 through December 31, 2002. Total
expenditure over the entire term shall not exceed $96,900.00. Payment will be made
monthly upon receipt by PROJECT MANAGER of itemized invoices submitted by
CONTRACTOR."

2. Paragraph 6 of the Agreement is amended to read as follows:
"The term of this Agreement shall be for four years, commencing on December 21, 1998
and ending on December 31, 2002."
3. All other covenants, terms and conditions of the original Agreement shall remain in full force
and effect for the term of the Amended Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month
and year first above written.
