RESOLUTION OF THE SAN RAFAEL CITY COUNCIL ACCEPTING A REVISED
PROPOSAL FOR SERVICES AND AUTHORIZING THE CITY MANAGER TO
EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH RBF CONSULTING
FOR FIELD RECONNAISSANCE AND INITIATION OF BACKGROUND
INVESTIGATION IN ANTICIPATION OF POSSIBLE PREPARATION OF AN
ENVIRONMENTAL IMPACT REPORT FOR THE PROPOSED ST. VINCENT'S
VILLAGE PROJECT AND POTENTIAL DEVELOPMENT OF THE SILVEIRA
RANCH PROPERTY
WHEREAS, based upon numerous discussions over the past year, the City of San
Rafael ("CITY" herein) expects to shortly receive from the Catholic Youth Organization
(CYO)/Shapell Industries, Inc. ("CYO/Shapell" herein), applications for land development
entitlements for the proposed St.Vincent's Village project sometime in the spring of 2002; and
WHEREAS, in anticipation of receipt of CYO/Shapell's applications, and with its full
knowledge and consent, CITY has initiated a process to select an environmental consulting
firm to review background materials and conduct certain field reconnaissance in anticipation of
preparation of a project EIR following receipt of applications for the proposed development,
due to the voluminous material necessary to be reviewed; and
WHEREAS, on January 22, 2002, the City Council considered RBF Consulting's
Scope of Work and heard opposition from members of the public to CITY initiating the EIR
process without the submittal of project applications; and
WHEREAS, the City Council requested staff to work with RBF Consulting to segment
a portion of their Scope of Work to address preliminary tasks that might be time sensitive
including field reconnaissance and review of background reports in order to facilitate timely
progression of an EIR once the project applications are received; and
WHEREAS, RBF Consulting has submitted a revised Scope of Work dated February 4,
2002, which addresses the City Council's request; and
WHEREAS, though it has not yet submitted development applications to CITY,
CYO/Shapell has agreed to pay the entire cost of the revised Scope of Work dated February 4,
2002, and all attendant CITY -imposed administrative charges in connection therein and to
execute a written agreement memorializing the same; and
WHEREAS, the written agreement of CYO/Shapell to pay for the entire cost of the
revised Scope of Work dated February 4, 2002, as outlined above, shall be an express condition
precedent to the execution of a Professional Services Agreement between CITY and RBF
Consulting; and
WHEREAS, RBF Consulting's revised Scope of Work and estimated fees have been
reviewed and recommended for approval by City staff.

NOW THEREFORE BE IT RESOLVED that the City Council of the City of San
Rafael does hereby:
1. Conditionally approve the Professional Services Agreement with RBF Consulting
for environmental review and related services, as described in the "Revised Scope
of Work" dated February 4, 2002, attached to the Agreement, in an amount not to
exceed $74,000.
2. Authorize the City Manager to execute the Agreement with RBF Consulting when,
and only when, the following conditions have been satisfied:
a) The receipt, review and approval, as to form and content, by the City
Attorney of a written agreement between the CITY and CYO/Shapell,
obligating CYO/Shapell to pay for the entire cost of the Revised Scope of
Work dated February 4, 2002, and all attendant CITY -imposed
administrative charges in connection therein, and further obligating
CYO/Shapell to defend, indemnify and hold CITY harmless from any and
all responsibility for the payment of said costs, regardless of whether
CYO/Shapell ever submits applications for a development project at St.
Vincent's/Silveira.
b) The execution by CYO/Shapell of the written agreement described in 2a),
above and its delivery to the City Manager.

PROFESSIONAL SERVICES AGREEMENT
WITH RBF CONSULTING FOR
FIELD RECONNAISSANCE AND INITIATION OF
A BACKGROUND INVESTIGATION REPORT
FOR ST. VINCENT'S/SILVEIRIA RANCH PROJECT
This Agreement is made and entered into this 5th day of February, 2002, by and between the CITY
OF SAN RAFAEL (hereinafter "CITY"), and RBF Consulting (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, with the expectation that, within several months, CYO/Shapell Industries' will submit
an application for the St. Vincent's/Silveira Ranch Project (PROJECT), the CITYinitiated a process to select
an environmental consultant to review background materials and collect certain field reconnaissance in
anticipation of the possible preparation of a project environmental impact report (EIR); and
WHEREAS, CONTRACTOR has proposed a limited scope of work for field reconnaissance and
initiation of background investigation of the PROJECT site; a copy of which proposal is attached as Exhibit
A and incorporated by reference hereto; and
WHEREAS, CITY desires to retain CONTRACTOR to perform field reconnaissance and to
initiate background investigation in anticipation of the possible preparation of an EIR regarding PROJECT;
and,
WHEREAS, CONTRACTOR represents that it is qualified to perform such services and is willing
to perform such professional services as hereinafter defined.
AGREEMENT
NOW, THEREFORE, it is agreed by and between the CITY and CONTRACTOR as follows:
PROJECT COORDINATION.
A. CITY. The City Manager shall be the representative of the CITY for all purposes under
this Agreement. The Principal Planner (Current Planning) is hereby designated the
PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall supervise all
aspects of the progress and execution of this Agreement.
B. CONTRACTOR. CONTRACTOR shall assign a single PROJECT DIRECTOR to have
overall responsibility for the progress and execution of this Agreement for
CONTRACTOR. Laura Worthington -Forbes, Vice President, is hereby designated as the
PROJECT DIRECTOR for CONTRACTOR. Should circumstances or conditions
subsequent to the execution of this Agreement require a substitute PROJECT DIRECTOR
for any reason, the CONTRACTOR shall notify the CITY within ten (10) business days of
the substitution.
DUTIES OF CONTRACTOR.
A. CONTRACTOR shall perform the duties and/or provide services as described in Exhibit A,
attached hereto and incorporated herein.

B. COMMENCEMENT. CONTRACTOR agrees to commence work immediately after the
date of signing this contract.
C. COMPLETION. Tasks described in Exhibit A shall be completed as set forth in the
schedule outlined in Exhibit A, attached and incorporated by reference herein.
DUTIES OF CITY.
CITY shall perform the duties and/or provide services as outlined in Exhibit A, attached and
incorporated herein.
4. COMPENSATION.
For the full performance of the services described herein by CONTRACTOR, CITY shall pay
CONTRACTOR an amount not to exceed $74,000 based upon the budget shown in Exhibit A, to be
compensated on a time and material basis. Payment will be made upon receipt by PROJECT
MANAGER of itemized invoices submitted by CONTRACTOR.
TERM OF AGREEMENT.
The term of this Agreement shall be for one (1) year commencing on February 5, 2002, and ending
on February 5, 2003. Upon mutual agreement of the parties, and subject to the approval of the City
Manager the term of this Agreement shall be extended for an additional period.
G. TERMINATION.
A. Discretionary. Either party may terminate this Agreement without cause upon thirty (30)
days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days written
notice mailed or personally delivered to the other party, and the notified party's failure to
cure or correct the cause of the termination, to the reasonable satisfaction of the party giving
such notice, within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall incur
additional obligations under any provision of this Agreement without the prior written
consent of the other.
D. Return of Documents. Upon termination, any and all CITY documents or materials
provided to CONTRACTOR and any and all of CONTRACTOR's documents and
materials prepared for or relating to the performance of its duties under this Agreement, shall
be delivered to CITY as soon as possible, but not later than thirty (30) days after
termination.
7. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the CONTRACTOR in connection with the
performance of its duties under this Agreement, shall be the sole property ofCITY. CITY may use
said property for any purpose, including projects not contemplated by this Agreement.
INSPECTION AND AUDIT.
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its agent, for inspection
and audit, all documents and materials maintained by CONTRACTOR in connection with its
performance of its duties under this Agreement. CONTRACTOR shall fully cooperate with CITY
or its agent in any such audit or inspection.
9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations hereunder, without the prior written consent of the
other party, and any attempt to so assign this Agreement or any rights, duties or obligations arising
hereunder shall be void and of no effect.
10. INSURANCE.
A. During the term of this Agreement, CONTRACTOR shall maintain, at no expense to
CITY, the following insurance policies:
A comprehensive general liability insurance policy in the minimum amount of one
million dollars ($1,000,000) per occurrence for death, bodily injury, personal injury,
or property damage.
2. An automobile liability (owned, non -owned, and hired vehicles) insurance policy in
the minimum amount of one million dollars ($1,000,000) per occurrence.
If any licensed professional performs any of the services required to be performed
under this Agreement, a professional liability insurance policy in the minimum
amount of one million dollars ($1,000,000) to cover any claims arising out of the
CONTRACTOR's performance of services under this Agreement.
B. The insurance coverage required of the CONTRACTOR by section 10. A., shall also meet
the following requirements:
The insurance shall be primary with respect to any insurance or coverage
maintained by CITY and shall not call upon CITY's insurance or coverage for any
contribution.
2. Except for professional liability insurance, the insurance policies shall be endorsed
for contractual liability and personal injury.
3. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, employees, and
volunteers, as additionally named insureds under the policies.
4. CONTRACTOR shall provide to City's Risk Manager: (a) Certificates of
Insurance evidencing the insurance coverage required herein; and (b) specific
endorsements naming CITY, its officers, agents, employees, and volunteers, as
additional named insureds under the policies.
The insurance policies shall provide that the insurance carrier shall not cancel,
terminate or otherwise modify the terms and conditions of said insurance policies
except upon thirty (30) days written notice to City's Risk Manager.
If the insurance is written on a Claims Made Form, then, following termination of
this Agreement, said insurance coverage shall survive for a period of not less than
five years.
7. The insurance policies shall provide for a retroactive date of placement coinciding
with the effective date of this Agreement.
8. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
C. If it employs any person, CONTRACTOR shall maintain worker's compensation and
employer's liability insurance, as required by the State Labor Code and other applicable laws
and regulations, and as necessary to protect both CONTRACTOR and CITY against all
liability for injuries to CONTRACTOR's officers and employees.
D. Any deductibles or self-insured retentions in CONTRACTOR's insurance policies must be
declared to and approved by the City's Risk Manager and the City Attorney. At CITY's
option, the deductibles or self-insured retentions with respect to CITY shall be reduced or
eliminated to CITY's satisfaction, or CONTRACTOR shall procure a bond guaranteeing
payment of losses and related investigations, claims administration, attorney's fees and
defense expenses.
11, INDEMNIFICATION.
CONTRACTOR shall indemnify, release, defend and hold harmless CITY, its officers, agents,
employees, and volunteers, against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including attorney's fees and administrative costs, arising out of or resulting in any way, in
whole or in part, from any acts or omissions, intentional or negligent, of CONTRACTOR or
CONTRACTOR'S officers, agents and employees in the performance of their duties and
obligations under this Agreement.
12. NONDISCRIMINATION.
CONTRACTOR shall not discriminate, in any way, against any person on the basis of age, sex,
race, color, religion, ancestry, national origin or disability in connection with or related to the
performance of its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS.
CONTRACTOR shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under this
Agreement. CONTRACTOR shall perform all services under this Agreement in accordance with
these laws, ordinances, codes and regulations. CONTRACTOR shall release, defend, indemnify
and hold harmless CITY, its officers, agents and employees from any and all damages, liabilities,
penalties, fines and all other consequences from any noncompliance or violation of any laws,
ordinances, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES.
CITY and CONTRACTOR do not intend, by any provision of this Agreement, to create in any
third party, any benefit or right owed by one party, under the terms and conditions of this Agreement,
to the other party.
15. NOTICES.
All notices and other communications required or permitted to be given under this Agreement,
including any notice of change of address, shall be in writing and given by personal delivery, or
deposited with the United States Postal Service, postage prepaid, addressed to the parties intended to
be notified. Notice shall be deemed given as of the date of personal delivery, or if mailed, upon the
date of deposit with the United States Postal Service. Notice shall be given as follows:

15, INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, CONTRACTOR, its officers, agents and
employees shall act in the capacity of an Independent Contractor, and not as employees of the CITY.
CONTRACTOR and CITY expressly intend and agree that the status of CONTRACTOR, its
officers, agents and employees be that of an Independent Contractor and not that of an employee of
CITY.
17, ENTIRE AGREEMENT -- AMENDMENTS.
A. The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with
respect to the subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject matter of
this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified except by a
written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the terms and
conditions of the attached exhibits or the documents expressly incorporated by reference, the
terms and conditions of this Agreement shall control.
18. SET-OFF AGAINST DEBTS.
CONTRACTOR agrees that CITY may deduct from any payment due to CONTRACTOR under
this Agreement, any monies which CONTRACTOR owes CITY under any ordinance, agreement,
contract or resolution for any unpaid taxes, fees, licenses, assessments, unpaid checks or other
amounts.
19. WAIVERS.
The waiver by either party of any breach or violation of any term, covenant or condition of this
Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any other
term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or violation of
the same or other term, covenant, condition, ordinance, law or regulation. The subsequent
acceptance by either party of any fee, performance, or other consideration which may become due or
owing under this Agreement, shall not be deemed to be a waiver of any preceding breach or violation
by the other party of any term, condition, covenant of this Agreement or any applicable law,
ordinance or regulation.
20. COSTS AND ATTORNEY'S FEES.
The prevailing party in any action brought to enforce the terms and conditions of this Agreement, or
arising out of the performance of this Agreement, may recover its reasonable costs (including claims
administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE / OTHER TAXES.
CONTRACTOR shall obtain and maintain during the duration of this Agreement, a CITY business
license as required by the San Rafael Municipal Code. CONTRACTOR shall pay any and all state
and federal taxes and any other applicable taxes. CONTRACTOR's taxpayer identification number
is 952247293, and CONTRACTOR certifies under penalty of perjury that said taxpayer
identification number is correct.
22. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.

SUBMITTAL/ EIR SCOPE OF WORK TASKS
Dear Mr. Zitney:
Pursuant to your request and the actions taken by the San Rafael City Council on January
22, 2002, we have prepared this revised scope of work for your review and consideration.
We understand and acknowledge the rationale for delaying the initiation of the EIR
(Scope of Work) until a formal project application is submitted to City Staff for review.
Although full initiation of the EIR and associated tasks may be delayed, there is an
opportunity to conduct limited preliminary analysis of the project area in order to
facilitate timely progression of the ETR once the project applicant submits a formal
application. Our schedule, which anticipated a signed contract in January 2002, reflects
the timeline outlined in the Request for Qualifications (RFQ) dated July 30, 2001 and
further discussions with both you and Ms. Kristie Richardson regarding the preparation
of an aggressive project schedule.
To ensure that an aggressive schedule is maintained to the fullest extent possible, while
adjusting to a change in our outlined assumptions, we recommend initiating a number of
minor, but time sensitive tasks (concurrent with the direction expressed by City Council)
which could be completed during the "wet season" and/or prior to a formal project
application submittal (see specific tasks identified in "Scope of Work", Attachment A).
The fees identified below are commensurate with the fees identified in the Scope of Work
submitted on January 8, 2002.

SCOPE OF WORK '
RBF will prepare an Adminisftative Draft and Final EIR that is complete in all respects, meets
all current State CEQA Guideline requirements, is well written and readable by the general
m
public with proper gramaF and punctuation, and includes the use of clear tables and graphics
to summarize and illustrate all pertinent and relevant information.
The Draft EK Final EIR and associated work products will be prepared in accordanpe with the
criteria, standards and provisions of the California Environmental Quality Act of 1970, Section
21000 et. sec. of the State CEQA Guidelines (California Administrative Code Seetion 15000),
and the regulations, requirements and procedures of the City of San Rafael sand any other
responsible Public Agencies with jurisdiction by law.
The draft Scope of Work has been prepared and revised pursuant to the information provided
in the RFQ, based on a site visit conducted on August 13, 2001 by the RBF Project Manager,
based on the list of reference materials provided by Mr. Greg Zitney during a preliminary
meeting with City Staff on October 11, 2001, and based on comments received from City Staff
on November 9, 2001.
PROJECT Assumrnom
The following provides a general list of assumptions utilized in the preparation of this Scope of
Work. Additional task -specific assumptions are included and identified under each sub -
task.
❖ The RBF team assumes that Shappell's subconsultant's have substantially completed the
required technical analysis (for the purposes of CEQA compliance) for the St. Vincent's
site. Our initial completeness review will identify any additional information/analysis that
will be required to fully assess all impacts related to the St. Vincent's component of this
project.
The RBF team assumes that the Project Applicant and/or City Staff will provide RBF a
complete set of plans, technical reports, and other relevant information prior to the
commencement of the Administrative Draft EIR. The technical reports that the RBF team
expects to review include the following:

❖ It is assumed that prior �b ;submittal of the Draft EIR Outline, that RBF will have the
opportunity to review and comment on a "preferred format" as provided to RBF by City
Staff.
❖ We assume that City Planning Staff will assist in the coordination between the different
City departments that will be involved in the environmental analysis. This relationship will
be crucial to timely completion of this environmental analysis.
1.0 SCOPE OF WORK
1.1 RESEARCH AND INVESTIGATION
RBF will obtain and review available data for the project area, as well as policy
documentation from the City of San Rafael, Marin County, Marin County LAFCO, the
Bay Conservation and Development Commission (BCDC), California Department of
Fish and Game (CDFG), Association of Bay Area Governments (ABAG), U.S. Army
Corps of Engineers (ACOE), Federal Emergency Management Agency (FEMA) and all
other agencies which may be affected by the proposed project. This information, along
with maps and aerial photos, will become part of the foundation of the EIR and will be
reviewed and incorporated into the analysis, as deemed appropriate.
RBF will meet with City Staff and the Project Applicant (as appropriate) for purposes
of reviewing the refined Scope of Work for the environmental document, providing
RBF with complete copies of all pertinent City documents and mann_ ina, as well as
materials and technical studies developed by the Project Applicant to date. The RBF
team will review the project schedule and milestones, as well as identify the role that
each team member will play during the effort.
Following a review of all project materials and technical studies, RBF will provide the
City with a technical memorandum summarizing and identifying any additional
materials or information needed, as well as any additional peer review that may be
appropriate for the EIR. This Scope of Work has been developed based on our
review of materials received to date, and anticipates that once additional
materials/technical studies are submitted by the Project Applicant, that some
minor and/or final adjustments may yet be necessary and/or appropriate.
1.2 PROJECT DESCRIPTION
RBF will work with City Staff and the Project Applicant (only as deemed appropriate
by City Staff) to formulate a draft Project Description for purposes of carrying forward
the project through environmental analysis. The Project Description section of the EIR
will detail the project location, background and history of the project, intended uses,
discretionary actions, characteristics, goals and objectives, phasing, agreements, and

permits and approval's, which are required for the proposed project based on available
information.

This description will include intended uses of the EIR (as required by § 15124 (d) of the
State CEQA Guidelines) including a list of responsible and other agencies expected to
use the EIR in decision making and a list of approvals for which the EIR will be used.
RBF will clearly identify and describe the annexation boundaries to fulfill the Marin
County LAFCO application requirement.
This description will be necessarily detailed for the St. Vincent's property and
substantively based on the applicant's project application submittal. For the Silveira
property, the project description will be based on the conceptual plan- developed by
RBF planning staff as identified in Task 1.5 and based on the integration and context of
both the St. Vincent's development application and the "straw maps" previously
prepared for the two properties.
This section will include a summary of the local and regional environmental setting for
the proposed project. Exhibits depicting the regional and site vicinity will be included
in this section. The three land use scenarios/altematives outlined by the Advisory Task
Force will be briefly discussed in this section (but analyzed in detail in the Alternatives
Section of the EIR, see Section 3.7 of this Scope of Work). This Project Description
will be used in the preparation of the NOP and Draft EIR-

1.3 AGENCY CONSULTATION AND SCOPING
1.3.1 NOTICE OF PREPARATION (NOP)IIMTIAL STUDY
RBF will prepare a Notice of Preparation (NOP) to be reviewed by City Staff
prior to distribution to the State Clearinghouse and responsible agencies.
Distribution of the NOP shall be conducted by the City. As indicated in
Section 15083 of the State CEQA Guidelines, many public agencies have found
that early consultation resolves many potential conflicts that could arise in more
serious forms later in the review process. Although the NOP and Public
Scoping session meeting will provide that opportunity, RBF will conduct
additional discussions with local, state and federal agencies (e.g. LAFCO),
which will assist in the early stages of the analysis and issue delineation.
RBF will prepare an Initial Study for the proposed project with direct
consultation with City Staff. The Initial Study will contain a description of the
proposed project, the project location, and a description of the environmental
setting of the proposed project area. The main body of the document will
consist of the City approved environmental checklist and an accompanying
environmental analysis. Each checklist item will be discussed. Each response
of "no impact" or "less than significant impact' will be explained in order to
document the adequacy of the environmental assessment. The Initial Study will
be based on preliminary plans, project description, existing background

documents, site visits, and other relevant information (as outlined under the
project assumptions and throughout Taskl.I and 1.2).

The proposed 'project will be analyzed for its potential to create significant
environmental impacts in the areas specified on the City's approved
environmental checklist. The Initial Study will also include mandatory findings
of significance regarding impacts upon transportation, housing and population,
cumulative impacts, and direct and indirect impacts upon human beings and
other mandatory findings of significance.

1. 3.2 SCOPING
RBF will conduct up to two public scoping meetings in collaboration with City
of San Rafael Planning Staff. One meeting will be for the general public, and
one will be for local, state, federal and/or other responsible agencies. RBF will
work with City Staff and the Project Applicant to formulate project objectives
for the public scoping meetings. Both public scoping meetings will be set up as
a brief project overview presentation, so that the community and agencies can
gain an understanding of the project and make comments based upon accurate
knowledge of the project. The Scoping Meetings will emphasize the review
process and will be presented so that the participants can gain a greater
understanding of the project, as well as the intent and requirements of CEQA.
RBF will provide handouts and up to two presentation -size graphics to
supplement the discussion. Following the presentation, the meetings will be
devoted to public participation, questions and comments. Written comment
forms will be provided for this purpose, and these comments, along with verbal
comments, will become a part of the administrative record. This scoping can be
an effective way to bring together and resolve the concerns of affected federal,
state and local agencies as well as key project stakeholders and the local
community.

1.4 FIELD RECONNAISSANCE
As part of the early scoping of the proposed project, RBF's technical staff (and
subconsultants) will conduct a field survey of the project site, reviewing existing land
use and environmental conditions and conducting a detailed photographic recording of

on-site and surrounding uses. RBF staff will review the background data and will
conduct a walking. and `windshield" survey of the planning area to gather data on
existing conditions. ark would be our preference to conduct this field reconnaissance
jointly with City Staff and, as appropriate, with the Project Applicant to take advantage
(to the extent feasible) of {he City's and/or applicant's knowledge of specific site
conditions, concerns and issues. It is understood by RBF that City Staff have not yet
(formally) received authorization from the Silveira family to gain access to their
property for the purpose of initiating this task and tasks outlined in the following Scope
of Work
1.5 CONCEPTUAL DESIGN ASSUMPTIONS
For this Task, it is assumed that RBF will receive:
❖ All available previous studies, background data, and "straw" maps
❖ All relevant policy documents
❖ Study area maps (both electronic and hardcopy)
❖ Recent aerial photos
❖ Consolidated comments from City Staff on design phase submission
Note: all hardcopies of maps shall be provided at scale of 1" = 200'. We assume that

1.5.2 PEER :'REVIEW OF PROJECT APPLICATION FOR THE ST. VINCENT'S
PRQPERTY AND PREPARATION OF A CORRESPONDING PLAN FOR THE
SILYEIRA PROPERTY
RBF will review thd Project Application for the St. Vincent's Property and will
provide summary comments (pros/cons) and recommendations related to
planning and design issues. RBF will review the Project Application for the St.
Vincent's Property for consistency with the St. Vincent's/Silveira Advisory
Task Force Recommendations (if necessary). RBF will also prepare one
corresponding draft conceptual development plan for the Silveira Property for
City review and written comments/edits. The draft plan for the Silveira
Property will be prepared to directly relate and correspond to`*the submitted
development plan prepared/submitted by the Project Applicant.
In response to written comments/edits provided by the City, RBF will revise
the draft conceptual development plan for the Silveira Property. City Staff will
then be provided with a second opportunity to review the revised plan for the
Silveira Property and provide final written comments/edits.
For the purposes of this Scope of Work, City Staff's second set of review
comments/edits of the conceptual development plan for the Silveira Property
shall guide RBF to incorporate minor changes or revisions that are intended to
"tweak" or strengthen the previous written direction provided and concept plan
prepared for use in the EIR analysis. It is not intended to allow for the creation
of a new concept plan, a total redesign, or even substantial revisions to the
previously submitted conceptual development plan. Given the second set of
minor City Staff written comments/edits, RBF will prepare a final,
presentation -level Conceptual Development Plan. The steps of this subtask are
summarized below:
❖ Review and prepare summary comments (Pros/Cons) and recommendations
for the Project Application regarding planning and design issues, and if
necessary, for consistency with the St. Vincent's/Silveira Advisory Task
Force Recommendations.

Recommendations. City Staff will provide RBF with written comments/edits
regarding the Draft Concept Development Plans and Draft Memorandum. RBF
will then address and incorporate the comments/edits and prepare up to three
Final, Presentation -Level Conceptual Development Plans and one Final
Summary Project Memorandum for the Combined St. Vincent's and Silveira
Properties for use in the Alternatives Section of the Environmental Impact
Report (EIR). The steps of this subtask are summarized below:

2.0 DRAFT EIR OUTLINE
RBF will prepare and submit for City Staff review, a comprehensive Draft EIR Outline of the

assumptions listed above (page 1), RBF assumes that prior to submittal of the Draft EIR
Outline, RBF will have the opportunity to review and comment on a "preferred format" as
provided to RBF by City Staff. Based on our review of the "preferred format", we will provide
any suggestions and/or modifications.
Once these suggestions or modifications (as submitted by RBF) are reviewed by City Staff,
RBF and City Staff will agree on the appropriate "preferred format" to utilize in the preparation
of the Draft EIR Outline. RBF will then submit a finalized "Draft EIR Outline" for City Staff
review and comment.
DELIVERABLES:
❖ Five (5) copies of a Memorandum outlining suggested revisions and/or modifications to the
City -provided "preferred format"

3.0 ADMIIVISTRATIVE DRAFT' EIR
3.1 DOCUMENT "COMPLETENESS" REVIEW
The RBF Team will provide peer review assistance to City Staff for all technical studies
submitted by the Project Applicant in support of the project application. This peer
review will focus on the "completeness" of the technical studies for later use and
support in the required CEQA analysis.
Where technical deficiencies or omissions are identified, a memorandum will be
prepared outlining the technical deficiency or omission. Technical recommendations
will be suggested to either correct the deficiency and/or to ensure compliance with the
requirements and thresholds established by the State CEQA Guidelines.

It is not our intent #o "re-create the wheel", but rather to focus on the area of legal
vulnerability,. CEQA deficiencies, defined thresholds, clarity in presentation,
substantiated conclusions and legal defensibility.
3.2 INTRODUCTION AND ft"OSE
The EIR Introduction will cite the provisions of CEQA and the City of San Rafael's
CEQA Implementation Procedures to which the proposed project is subject. This
section will identify the purpose of the study and statutory authority as well as
document scoping procedures, summarize the EIR format, and list the responsible and
trustee agencies and documentation incorporated by reference.
3.3 EXECUTIVE SUMMARY
RBF will provide an Executive Summary for the EK including: a Project Summary;
an overview of project impacts; mitigation measures and levels of significance after
mitigation; summary of project alternatives and areas of controversy; and issues to be
resolved. The Environmental Summary will be presented in a columnar format, and
included in the Administrative Draft EIR.
3.4 CONSISTENCY WITH ADOPTED PLANS AND POLICIES
RBF will review the proposed project for consistency with all applicable federal, state,
regional and local policies. As part of this task, RBF will comprehensively review the
proposed project for consistency with policies outlined in the San Rafael General Plan,
Marin County General Plan, North San Rafael Policy Plan, San Rafael Zoning
Ordinance and the St. Vincent's/Silveira Advisory Task Force Recommendations.
RBF will also assess the proposed project's consistency with and policies outlined by
Marin County LAFCO, Association of Bay Area Governments (ABAG), the Bay
Conservation and Development Commission (BCDC), California Department of Fish
and Game (CDFG) and U.S. Army Corps of Engineers (ACOE).
3.5 IMPACT ANALYSIS
RBF will evaluate the necessary information with respect to the existing conditions, the
potential adverse effects of Project implementation (both individual and cumulative),
and measures to mitigate such effects. Environmental issues raised during the scoping
process (Notice of Preparation responses, Public Scoping Meetings, and any other
relevant and valid informative sources) will also be evaluated. The analyses will be
based upon all available data, results from additional research, an assessment of
existing technical data and a comprehensive review and understanding of the Advisory
Task Force Recommendations. These analyses will be performed by qualified
Environmental Analysts, CEQA experts and Certified Planners at RBF.
The Environmental Analysis section of the EIR will thoroughly discuss the existing
conditions for each environmental issue area, identify short-term and long-term
environmental impacts associated with the proposed project and their levels of
St. Vincent's and Silveira Properties Page 9

significance. For the 'St. Vincent's property, the level of environmental analysis will be
detailed to both a construction level and program level of analysis, while impacts
associated with the: Silveira property will be approximately detailed to a program level
of analysis.
Feasible mitigation measures will be recommended to reduce the significance of
impacts and identify areas of unavoidable significant adverse impacts even after
mitigation. The environmental documentation will assist in identifying constraints,
modifications, technical alternatives and/or improvements which may be incorporated
into the site planning, land planning and/or architectural design process. This section
will include analysis for the following environmental issue areas:
3.5.1 GEOLOGY, SOILSANDSEISMICITY
SUMMARY
Harding ESE will perform a study of the geology, soils and seismicity of the
St. Vincent's and Silveira sites. The analysis will include a completeness (peer)
review of work conducted by the Project Applicant's consultants. A site
geologic hazards assessment including reconnaissance will be prepared.
Harding ESE's geologist and geotechnical engineer will present
recommendations for grading and reduction of environmental impacts. These
recommendations will be included in the Draft EIR for the proposed project,
the three alternatives outlined in the St. Vincent's/Silveira Advisory Task Force
Recommendations, and the mitigated project alternative.
GEOLOGY, Sons & SEISMICITY ASSUMPTIONS
As part of this Scope of Work, Harding ESE has made the following specific
assumptions for the task(s) listed below:
❖ A "slope stability analysis" is currently being performed by Engeo on
vertical cuts for house foundation construction (presumably on the St.
Vincent's site).
❖ A comprehensive geotechnical analysis report has been prepared by Engeo
Inc.'s San Ramon office, and includes all property east of the old NWP
railroad tracks. Harding ESE assumes that the City of San Rafael, or the
Project Applicant, will provide a copy of this report prior to initiation of
project impact analysis.
❖ Only one kickoff meeting is required for this task. Two additional
meetings that may be required between Harding ESE staff and City Staff
have been assumed.
❖ For the purpose of this technical analysis, the response to comments on the
Draft EIR is estimated to require 10 hours. Should there be considerably
more comments and response time than anticipated, additional budget will
be requested.

TASK A — COMPLETENESS REVIEW
Harding ESE will perform a completeness (peer) review of the slope stability
analysis and ,ether work east of the NWP railroad tracks being performed by
Engeo, Inc.. Harding ESE will also review the geotechnical analysis report by
Engeo. Oar review will only focus on critical omissions and/or technical
elements that would render the analysis incomplete or insufficient for the
purposes of CEQA. This work will be performed in part by a California state
licensed geotechnical engineer.
TASK B — STUDY DOCUMENTATION ,
Harding ESE will compile and document all relevant documents. Relevant
documents include published geologic references (reports and maps) that pertain
to site geology, seismicity, groundwater, geotechnical and geologic hazards.
Other relevant information that could be utilized in the geotechnical analysis
include air photos and other available site specific geotechnical reports (not
already referenced in Task A above). The documentation will be provided in
the reference section of the EIR.
TASK C — GEOLOGIC HAZARD ASSESSMENT
A certified engineering geologist will review documents described above. This
will include conducting a geologic field reconnaissance of the Silveira and St.
Vincent's properties. The reconnaissance of the St. Vincent's site will depend
on the adequacy of previous work by Engeo. An adequate assessment would
include, for example, the mapping of landslides (slope stability) and areas
susceptible to liquefaction or severe ground shaking (east of NWP Railroad
tracks) and other geologic hazards. For the Silveira site, the same level of
reconnaissance will be conducted in sufficient detail to cover the three
alternative buildouts. The reconnaissance will provide a means of mapping and
confirming soil, rock and surficial features for analysis under Task E below.
TASK D — MITIGATION AND RECOMMENDATIONS FOR GRADING
Harding ESE will evaluate the amount of fill proposed in relation to the goal of
minimizing fill. The slope stability analysis by Engeo for vertical cuts near
building foundations might be applicable to other areas. The grading will
depend upon the site topography and on the three buildout alternatives. Harding
ESE will assess and present recommendations on proposed grading (cut and fill,
phasing). This will include evaluation of the effects of the grading on the site in
terms of site seismicity, stability, settlement and impacts to groundwater.
Harding ESE will also evaluate any/all mitigation measures recommended in
previous report(s) and/analysis. If it is determined that these mitigation
measures are inadequate, Harding ESE will recommend additional mitigation
measures as deemed appropriate by City Staff. Harding ESE will present
recommendations (mitigation measures) for construction and grading that will
reduce potential impacts, if any, on the proposed project. These measures will
be addressed in our report (Task E) in the form of a mitigated alternative in
conjunction with the three alternatives already outlined by the St.
Vincent's/Silveira Advisory Task Force Recommendations.

TASK E — EIR REPORT PREPARATION
Relevant sections pertaining to the Geology, Soils and Seismicity will be
included in, thg Draft Environmental Impact Report (EIR) using the information
developed in `Tasks C and D. The sections will include descriptions of the site,
the intended developments and mitigation and recommendations for site
grading, as well as impacts and required mitigation measures for the three
alternative developments.
TASK F — MEETINGS
Harding ESE's principal engineer will attend one (1) 4 hour kick-off meeting
that will include a site visit, and two (2) additional project team meetings as
needed. '
OTHER TASKS
It is Harding ESE's understanding that a fourth development alternative will be
identified as a result of compiling all the mitigation measures identified for the
proposed project. This "mitigated alternative" would consist of a project with
the application of mitigation measures.

3.5.2 HYDROLOGYAND DRAINAGE
SUMMARY
The Scope of Work has been developed to address the surface hydrology
impacts associated with the proposed project site development, the three
development land use alternatives identified in the St. Vincent's Advisory Task
Force Recommendations, and one "mitigated" project alternative. RBF will
assess all hydrologic impacts that relate to: (1) runoff quantity
(volume/ilowrate); (2) drainage infrastructure requirements and flood
protection; (3) surface water quality; and (4) natural creek floodplain hydraulic
impacts. In addition, RBF will carefully assess the compatibility of the
proposed project with the hydrology and drainage goals and recommendations
of the St. Vincent's/Silveira Advisory Task Force.
HYDROLOGY ASSUMPTIONS
As part of this Scope of Work, RBF has made the following specific
assumptions for the task(s) listed below:
❖ All drainage and hydrology criteria will follow either City or County
standards.

❖ Minimutd technical submittal requirements to establish completeness
reviews -will be established initially by RBF and City Staff.
❖ The applicairt will provide the technical drainage/hydrology studies for the
(1) existing or pre -development conditions, and (2) their proposed project.
RBF will prepare the preliminary engineering analysis and study for a
maximum of three other development alternatives as highlighted in the St.
Vincent's/Silveira Advisory Task Force Recommendations. The
"engineering study" for the three other development alternatives is not a
peer review, and is a new / separate engineering study, not provided by the
applicant.
❖ RBF will prepare both an initial "completeness review" and then a "peer
review" after the submittal package has been deemed complete.
❖ The "Peer Review" will include a detailed and thorough review of all the
technical analysis for drainage, water quality, and floodplain studies. All
calculations and hydrology/hydraulic models will be checked. This will
include the regeneration of results through separate and independent
procedures.
❖ The Scope of Work has been budgeted for a maximum of three "oversight
and guidance" meetings related to hydrology/drainage.
❖ Local hydrology analysis for the development area will utilize the
"rational" method procedure.
❖ For the purpose of this technical analysis, the response to comments on the
Draft EIR is estimated to require 10 hours. Should there be considerably
more comments and response time than anticipated, additional budget will
be requested.
Task A — DRAINAGE CRITERIA EVALUATION AND DESIGN CONSTRAINTS
EVALUATION
RBF will review and assist in establishing the existing surface drainage design
criteria that will influence the development. The criteria will focus on the
ability to maintain the proposed facilities for flood protection, stormwater
quality, drainage conveyance, and installation of new drainage facilities. If
standard criteria are not available from the City or County, recommendations
will be based upon other similar municipal guidelines. RBF will review the
development constraints including the physical site conditions. These site
conditions will influence the selection of the required drainage or flood
protection facilities. RBF will review all applicable City, County, State Fish
and Game, and the Regional Water Quality Control Board requirements to
assess the adequacy of existing drainage and flood conditions which influence
the surface drainage requirements. The criteria established by the above
mentioned agencies will be utilized in our technical peer review.

RBF will per&rin an initial cursory or "completeness review" of the technical
submittal package d9sociated with the drainage, floodplain, and runoff water
quality. This review will ensure that the minimum documentation and analysis
has been completed to initiate the detailed technical peer review. If the
submittal is determined to be insufficient for the purposes of CEQA and/or City
submittal requirements, RBF will identify the missing items (or' additional
analysis) required to complete the submittal. ,

RBF will perform a technical engineering "peer review" of the "baseline"
hydrologic conditions from the analysis provided by the Project Applicant for
the project site, which includes (1) existing onsite watershed hydrology
analysis, (2) existing floodplain mapping, and (3) existing surface runoff water
quality analysis. The technical peer review will evaluate the procedures and the
engineering analysis results associated with the Project Applicant's analysis.
RBF will identify potential errors or flaws in this "existing conditions" analysis
and provide suggestions or recommendations to improve the accuracy of the
results.
TASK D — TECHNICAL PEER REVIEW — DEVELOPED PROJECT WATERSHED
CONDITION HYDROLOGY AND M — � ,ru,D FLOODPLAIN ANALYSIS
RBF will conduct a technical engineering "peer review" to evaluate the analysis
of the watershed hydrology, the floodplain water surface profile hydraulics, and
the modified creek flood protection program. RBF will examine the results of
the hydraulics for the proposed channelization and/or flood protection
measures. Potential issues associated with the floodplain hydraulics analysis
include erosion/sedimentation, creek stability, adequacy or correctness of the
hydraulic/hydrology analysis, reasonableness of the results, and identified
impacts. The assessment of the proposed project's hydrology will include an
evaluation of drainage diversions, drainage patterns, runoff characteristics and
mitigation features.
TASK E — TECHNICAL PEER REVIEW — LOCAL DRAINAGE SYSTEM AND
WATER QUALITY FEATURES
RBF will perform a technical engineering "peer review" of (1) local drainage
facilities, and (2) runoff water features/program for the proposed development
plan provided by the Project Applicant. The peer review will assess whether
applicable criteria (including City criteria) have been applied in the analysis of
the proposed facilities. The technical peer review will assess the Project
Applicant's engineering design associated with these facilities including: (1)
hydraulic sizing; (2) design standards; (3) operation; (4) maintenance; and (5)
compatibility with development. RBF will assess the appropriateness of the

The water' quality program will be peer reviewed based upon the anticipated
goals of th6 Regioddl Water Quality Control Board. The effectiveness of the
proposed BMPs will be reviewed for design standards, sizing, location,
maintenance, regulatory issues and long-term operation.
TASK F - TECHNICAL OVERSIGHT AND GUIDANCE MEETINGS
RBF will participate in "peer review" meetings (as deemed appropriate by City
Stam with the Project Applicant's hydrology consultant (CSW/Stuber-Stroh).
RBF's participation in these meetings may include: (1) initidlly'assisting to
develop the appropriate stormwater design criteria; (2) providing guidance on
minimum submittal requirements; (3) providing direction on minimum technical
analysis; (4) participating in a discussion on identified design flaws or
deficiencies identified during the peer review process; and (5) assisting in
providing directions to correct the proposed project stormwater and flood
protection program. These meetings will provide a forum to communicate peer
review recommendations on the engineering design requirements. (A
maximum of three meetings has been budgeted.)
TASK G - DEVELOPMENT WATERSHED BOUNDARY DELINEATION -
ADDmoNAL ALTERNATIVES
RBF will prepare a separate engineering analysis/study for the watershed and
drainage patterns of the three development land use alternatives identified in the
St. Vincent's/Silveira Advisory Task Force Recommendations, not including
the analysis provided by the Project Applicant_ RBF will determine the local
watershed sub -boundaries for the tributary drainage area within the
development plan in order to evaluate (1) the storm drain watershed area and
(2) facility requirements including alignment, inlets, and outlets. RBF will
measure the drainage areas and the watershed parameters associated with the
subareas for the different analysis. RBF will identify critical concentration
points to develop a "link -node" rational hydrology model.
TASK H - PROPOSED DEVELOPMENT HYDROLOGY - ADDITIONAL
ALTERNATIVES
RBF will prepare the preliminary surface hydrology analysis/study for the three
land use alternatives identified in the St. Vincent's/Silveira Advisory Task
Force Recommendations, excluding the project submittal, based upon local
jurisdictional hydrology criteria and methodology to quantify the design runoff
rates. A single rational hydrology analysis for each of the three (3) land use
alternatives identified in the St. Vincent's/Silveira Advisory Task Force
Recommendations will be prepared. RBF will utilize either the City or County
adopted hydrology procedures and criteria to develop peak discharges for the
design rainfall event to satisfy the jurisdictional design requirements. Time of
concentrations will be calculated for the larger drainage subareas in the
hydrology model. Drainage subareas and patterns will be identified based

RBF's deve('oped condition surface hydrology analysis will quantify the runoff

procedures will be performed to evaluate changes in runoff volume and assist in
evaluating sizes for stormwater quality features.
TASK I - PROPOSED DRAINAGE FACQ.ITtES ALTERNATIVE PLAN
FORMULATION AND EVALUATION
RBF will prepare an evaluation of the preliminary underground storm drain
system requirements to provide the necessary level of flood protection and
hydraulic conveyance for the three additional land use alternatives, excluding
the plan provided by the Project Applicant. Preliminary horizontal 'alignments
of facilities will be identified and estimates of the size requirements for
hydraulic conveyance (assuming uniform depth) will be provided. Unique
structures will be identified and conceptual locations of proposed stormwater
quality features will be provided.
TASK J - MODIFIED FLOODPLAIN ANALYSIS AND FLOOD PROTECTION
MEASURES- ADDITIONAL ALTERNATIVES
RBF will prepare an additional engineering analysis of the modified floodplain
hydraulics for three additional flood protection alternatives associated with the
three alternatives identified in the St. Vincent's/Silveira Advisory Task Force
Recommendations, independent of the study provided by the Project Applicant.
Alternative regional flood protection measures will be developed for analysis,
which would be compatible with the Project development and constraints. The
analysis will extend upstream and downstream of the Project boundary limits in
order to adequately assess Project impacts. The "existing condition" floodplain
model or hydraulic analysis prepared by the Project Applicant will be utilized
as the "baseline" or pre -project condition to assess and compare the hydraulic
impacts within the creek.
The floodplain evaluation of the developed condition or modified floodplain
analysis includes the potential modifications to the floodplain, such as levees,
channelization, or encroachment of fill within the floodplain. The hydraulic
analysis will establish the water surface profiles and hydraulic parameters,
which identify the characteristics of the floodplain. The floodplain will be
evaluated utilizing the one-dimensional water surface profile program
developed by the Army Corps of Engineers HEC -RAS. The hydrologic data
used in the floodplain model to generate the 100 -year flowrates will be based
upon information regarding the regional hydrology that is provided by the
Project Applicant. The hydraulic analysis will include both (1) floodplain, and
(2) floodway evaluation and delineation. No additional regional hydrology
analysis will be performed as part of this task.

TASK K —; 9aURFACE WATER QUALITY ASSESSMENT AND MANAGEMENT
PROGRAM
RBF will prepare an additional preliminary engineering study to assess the
existing site generated urban runoff water quality, independent of the applicant
study. The -assessment will be developed utilizing transfer methods assuming a
standard buildup/washoff model. An evaluation will also be performed to
determine post -development pollutant loadings of the urban runoff for the three
land use alternatives identified in the St. Vincent's/Silveira Advisory Task
Force Recommendations. Pre-, and post -development conditions will ' be
compared to assess project impacts of non -point source pollutants. A
preliminary list of Best Management Practices (BMPs) will be identified to
provide preliminary guidance in the development of a conceptual program for
development. Minimum standards for water quality treatment will be discussed
based upon current industry and regulatory requirements that are normally
applied to a project of this nature. RBF will provide a discussion of the
appropriate structural control features and will include a qualitative discussion
on the effectiveness of these features.
TASK L — EVALUATION OF DRAINAGE IMPACTS AND MITIGATION
MEASURES
RBF will develop a technical assessment that provides preliminary estimates to
quantify the potential hydrologic impacts, as well as the potential effectiveness
of mitigation measures based upon the hydrologic and hydraulic engineering
analyses. This assessment will be based upon the "peer review" of the technical
studies submitted by the Project Applicant and the additional technical studies
prepared by RBF. RBF will develop recommendations regarding the
relationship of the proposed project to the existing surface drainage
infrastructure system as well the requirements for permanent drainage facilities.
The evaluation will include a discussion of the surface drainage system
requirements for the proposed project site to ensure that the minimum
municipal design criteria, erosion, water quality, and flood protection
requirements are met. RBF will provide a preliminary estimate of the hydraulic
impacts to the existing drainage facilities and adjacent property owners. This
estimate would take into consideration the modifications to hydrology through
changes in volume or flowrate and the ability to maintain the permanent
drainage systems.
The environmental impacts associated with drainage systems, including
facilities within the natural floodplain and the anticipated operation of those
facilities will be analyzed. RBF will analyze additional drainage impacts
related to the proposed on-site drainage facilities, urban stormwater quality
concerns, sedimentation/erosion concerns, interim drainage improvements, and
drainage facility maintenance. Mitigation measures for drainage impacts will
be identified and comprehensively explained.

WATER QUALITY ASSUMPTIONS
As part of this Scope of Work, RBF has made the following specific
assumptions for the task(s) listed below:
❖ RBF assumes that the Project Applicant will provide the amount of earth
movement involved in the implementation of the proposed project.
❖ RBF assumes that the City of San Rafael will provide all applicable water
basin documents and/or existing water basin reports.
❖ For the purpose of this technical analysis, the response to comments on the
Draft EIR is estimated to require 10 hours. Should there be considerably
more comments and response time than anticipated, additional budget will
be requested.
TASK A — WATER QUALITY ASSESSMENT
This Draft HER section will discuss existing site conditions, including site
features that influence water quality on-site and downstream. Applicable basin
water quality planning documents will be discussed as they relate to the
proposed project. The potential for the proposed project to substantially
degrade water quality, interfere with groundwater recharge, contaminate a
public water supply, or expose people to water -related hazards will also be
identified. This discussion will include anticipated urban runoff, as well as
potential adverse water quality impacts from other land uses. RBF will
describe design features, including open space areas and integration of
stormwater BWs, that will minimize or off -set potential water quality impacts.
As the proposed project site is larger than 5 acres, a National Pollutant
Discharge Elimination Permit (NPDES) will be required. The EIR will identify
recommended mitigation measures, including both construction -related erosion
control measures and operational measures to reduce the introduction of urban
pollutants.

AIR QUALITY ASSUMPTIONS
As part of this Scope of Work, RBF has made the following specific
assumptions for the task(s) listed below:
❖ RBF assumes that the traffic data (to be provided by the Project Applicant
for the proposed St. Vincent's site) includes daily trips and sufficient peak
hour data to conduct CO screening per BAAQMD requirements (change in
delay and LOS at impacted intersections). Under this analysis, CO
modeling is excluded (if screening thresholds are exceeded, CO modeling
could be conducted under separate scope/fee).
❖ RBF assumes that odor data/complaint history from APCD or others will be
provided by the City of San Rafael.
❖ For the purpose of this technical analysis, the response to comments on -the
Draft EIR is estimated to required 10 hours. Should there be considerably
more comments and response time than anticipated, additional budget will
be requested.
TASK A — INITIAL COMPLETENESS REVIEW
RBF will review the project application to outline any deficiencies in the
information required to conduct the air quality analysis.
TASK B — PROJECT IMPACT ASSESSMENT
RBF will discuss potential impacts of the proposed project upon climate and air
quality, addressing temporary construction emissions and long-term emissions
from operations associated with daily vehicle travel and energy consumption.
Short-term air quality impacts will be discussed focusing on dust generation,
construction vehicle emissions, and possible odors. If sufficient construction
details are available, RBF will quantify daily and quarterly construction
emissions using APCD methodology and URBEMIS7G. Project -related
operational emissions for the three alternatives outlined in the St.
Vincent's/Silveira Advisory Task Force Recommendations and a mitigated
alternative will be calculated using URBEMIS7G, including stationary (off-site,
associated with energy consumption) and mobile emissions (from project
traffic). Based upon data available from the Project Applicant or City Staff,
RBF will discuss potential on-site stationary source emissions of proposed non -

residential usds, including applicable APCD regulations. This section will also
include an air quality conformity analysis based on local and regional growth
forecasts. Appropriate mitigation measures will be provided, including a

a conceptual Traffic Management Plan), and recommended mitigation for
operational air quality impacts (including TDM measures for mobile emissions
and BACT measures for stationary sources). RBF will not model CO
emissions.

SUMMARY
The following scope of services is provided as a preliminary indication of the
work that will be necessary to complete the Circulation Section for this Draft
EIR. Because the project application has not yet been submitted, there is
insufficient information to commit to a scope at this time, so the scope may
need to be modified and the fee adjusted when there is more information. W -
Trans has attempted (in good faith and with substantial input from the City
Engineer) to cover all of the issues known as of 12/3/01. In addition, W -Trans
will carefully assess the compatibility of the proposed project with the
transportation and circulation goals and recommendations of the St.
Vincent's/Silveira Advisory Task Force.
TRANSPORTATION AND CIRCULATION ASSUMPTIONS
As part of this Scope of Work, W -Trans has made the following specific
assumptions for the task(s) listed below:
❖ W -Trans will not run either the City of San Rafael or County of Marin
traffic model(s). The City will run their model analysis at no cost to the
project, while the County will provide model run results at a cost of
approximately $1,500 per scenario.
❖ The City will provide their SYNCHRO model for use by W -Trans.
❖ The traffic analysis will be completed based on critical traffic issues that
include intersection Level of Service (LOS), roadway and freeway capacity
and Level of Service, turn lane and traffic signal warrants, and other
operational issues. Additionally, consideration will be given to alternative
modes of transportation such as pedestrian, bicycle and transit, and to land
use alternatives that will support increased use of such modes.

TASK A — SCOPING MEETINGS
The project manager will attend a scoping meeting with the project team in

TASK B — PEER REVIEW
The traffic report generated by the applicant's consultant (Dowling Associates)
as well as those prepared for other projects in the vicinity of the proposed
project will be obtained and reviewed. To the extent possible, analysis and
information in such reports will be used (with permission from their authors) in
lieu of performing new analyses. Upon completion of this review, the traffic
scope and fee may need to be adjusted.
TASK C — EXISTING TRAFFIC COUNTS/DATA COLLECTION
Traffic counts will be obtained from the traffic study submitted by the Project
Applicant, traffic information provided by City Staff, and other planning
studies. It is assumed that City Staff has adequate count data for those
intersections within their jurisdiction that have not been analyzed by the Project
Applicant's consultants. It is also assumed that a maximum of eight additional
counts may need to be obtained. The list of additional (new) intersections to be
counted will be provided to City Staff for review and approval prior to
commencement of this task. A field review will be performed to observe
existing operating conditions.
TASK D — EXISTING LEVELS OF SERVICE
SYNCHRO files will be obtained from the City Engineer and expanded to
include any study intersections that are not currently part of the system. The
model will be revised to allow analysis of the traffic operation along the
mainline of U.S. 101. If this model is not adequate, a separate analysis model
will be developed for reviewing freeway operation. Subsequent to review of
the model(s) by City Staff, the existing Levels of Service will be re -calculated
for the study intersections and arterial segments. These existing operating
conditions for the study area will be described based on an evaluation and
review of field conditions, existing traffic volumes, Levels of Service, and

of Servke r=suiAmary tables, figures showing peak hour traffic volumes, and text

TASK E — CUMULATIVE CONDITIONS
One future scenario without the Project will be evaluated using traffic volumes
generated by City Staff. This information will be presented in a format similar
to what is indicated for Existing Conditions.
TASK F — CIRCULATION SYSTEM REVIEW r
Alternative schemes for providing access to and through the site developed by
RBF will be reviewed. W -Trans will provide input relative to potential impacts
that may result from the implementation of the proposed alternatives (such as
diverting traffic from U.S. 101).
TASK G — TRIP GENERATION AND DISTRIBUTION
Trips associated with the proposed project will be determined using standard
trip generation rates. These trips will be distributed to the surrounding area
using traffic models provided by City and County Staff. The trip generation

Conditions with the addition of traffic generated by the Project as proposed will
be evaluated and presented the Existing Conditions section of the environmental
analysis.

Future conditions with the added project traffic generated by the Project as
proposed will be evaluated.
TASK J — ACCESS
The proposed access points will be evaluated to determine the adequacy of the
project application in terms of operating conditions, safety considerations
(including emergency vehicle access), and the potential for attracting traffic
from the freeway. Consideration will be given to the circulation of traffic on
the Silveira site during the development of the conceptual plans. W -Trans will
identify modifications to site circulation and/or access points. Traffic calming
measures intended to reduce the potential for diversion will also be identified.
TASK K — ALTERNATIVE MODE ANALYSIS
The project site plans will be reviewed in detail to ensure that the circulation
system adequately accommodates and encourages pedestrian and bicycle
activity. Transit opportunities will also be evaluated and coordinated with local
providers to ensure that adequate service will be available.

The mitigated alternative will be evaluated to the same degree as the proposed
project and all three alternatives identified in the St. Vincent's/Silveira
Advisory Task Force Recommendations.

Consulting in support of the St. Vincent's/Silveira Development EIR. H. T.
Harvey & Associates will peer review all existing biotic resources reports,
conduct reconnaissance -level surveys to become familiar with the site,
supplement the existing reports if necessary, conduct an impact assessment for
the three development alternatives and prepare a biotic resources report for
inclusion in the Draft EIR. In addition, H. T. Harvey & Associates will
carefully assess the compatibility of the proposed project witlr' th6 biological
goals and recommendations of the St. Vincent's/Silveira Advisory Task Force.
BIOTIC RESOURCE ASSUMPTIONS
As part of this Scope of Work, H. T. Harvey & Associates has made the
following specific assumptions for the task(s) listed below:
❖ All tasks will include a peer review of existing biotic resources reports. No
detailed surveys will be necessary. Surveys will only be conducted at a
level necessary to familiarize ourselves with the site.
❖ No new mapping will occur on the site. No habitat maps or maps of
potentially regulated habitats will be produced. This Scope of Work only
includes the peer review of existing mapping conducted by other
consultants.
❖ No habitat restoration plans will be provided. This Scope of Work only
provides a peer review of existing habitat restoration plans.
❖ This Scope of Work assumes that all of the biotic resources reports,
geotechnical analysis reports and hydrological analysis reports will be
provided to H. T. Harvey & Associates at project initiation. No new
materials will be provided for peer review after the project has started.

Existing sources of information about the study area and vicinity will be

TASK B — INITIAL COMPLETENESS REVIEW
H. T. Harvey & Associates will conduct a cursory review of all biotic resource
reports for the St. Vincent's/Silveira properties. The focus of this review is to
provide a list of critical omissions to City Staff, the Project Applicant and RBF
staff. This review will determine if the biotic resources information gathered to
date by the Project Applicant is insufficient or incomplete for the purposes of
CEQA review. H. T. Harvey & Associates will provide RBF with a
letter/report outlining any omissions or incomplete information as a product of
this task.
TASK C — HABITAT AND WILDLIFE SURVEYS
If necessary, H. T. Harvey & Associates' biologists will conduct
reconnaissance -level field surveys of the project site and its immediate vicinity.
These surveys will be conducted to gain a familiarity with the project site. Due
to the presence of the habitats on site and in the immediate vicinity of the study
area, the expertise of plant ecologist/wetland specialist and wildlife biologists
are required to analyze the environmental impacts of the proposed project. H.
T. Harvey & Associates will provide an assessment of potential direct and
indirect project impacts to special -status species. This task assumes that base
materials (aerial photographs, topographic maps, project design documents,
etc.) and all biotic resource reports for the area within the local vicinity of the
proposed project will be provided.
Task C.1 Verification of Biotic Habitats. The existing biotic habitat
descriptions of the project site will be reviewed and verified. This
information is necessary both for the purpose of describing the
botanical and habitat resources of the project site, but also for the
purpose of characterizing wildlife habitat values (see below). Included
in this task will be the identification of biotic habitats suitable for the
occurrence of plant species of special status (state and/or federally
threatened or endangered, federal candidate species, and California
Native Plant Society List 1B species).
Task C.2 Assessment of Wildlife Use of Biotic Habitats. The
information generated to describe the habitats, and historic data, will be
used to characterize wildlife habitat values. Reconnaissance -level
surveys will also document current habitat characteristics of the
vicinity. Habitats appropriate for state and federally listed threatened

and;endangered terrestrial vertebrate species, and other such species of
special status will be identified.

Task C3 Peer Review of Existinz Survey of Re-audated Habitats. H. T.
Harvey & Associates will peer review the "Preliminary Wetlands
Assessment" of the Silviera Ranch prepared by Harding Lawson
Associates, dated October 2, 1991. This peer review will include a
reconnaissance level survey of the Silveria property for areas that may
meet the technical criteria of waters of the United States under Section
404 of the Clean Water Act (1972). The survey will include areas of
the site that are subject to the regulatory jurisdiction of the California
Department of Fish and Game (e.g. creeks, riparian habitats). No new
mapping or verification of regulated habitats is proposed on the St.
Vincent's Property.
TASK D — EVALUATE RESTORATION/ENHANCEMENT PLAN FOR MILLER
CREEK
H. T. Harvey & Associates' habitat restoration ecologists will review the
proposed restoration plan for Miller Creek. It is anticipated that the proposed
goals for restoration will include an enhanced and restored riparian corridor and
connectivity between the diverse habitat within and around the project site. We
will evaluate any proposed realignment, planting plans, setback and public use
recommendations that are part of the restoration goals. H. T. Harvey &
Associates will make recommendations for changes to the habitat restoration
plan, where appropriate.
TASK E — CONDUCT IMPACT ANALYSIS
Based upon the information gathered in the previous tasks and a peer review of
all of the existing biotic resources reports, an impact analysis will be conducted
for four alternatives including the mitigated project alternative. The impact
analysis will treat all alternatives equally. Detailed mitigation measures will be
prepared for all potentially significant impacts. The analysis of the project and
each alternative will be reviewed for consistency with the recommendations of
the St. Vincent's/Silveira Advisory Task Force.
TASK F — PREPARATION OF THE BIOLOGICAL RESOURCES SECTION OF THE
EIR
H. T. Harvey & Associates will prepare the biological resources section of the
EIR. This report will include an existing conditions section and a description
of habitats including regulated habitats. Potential biotic constraints on site will
be clearly identified and discussed. Mitigation of all potentially significant
environmental effects on biotic resources within the project site shall be
described. H. T. Harvey & Associates will provide recommendations for
species-specific surveys, if warranted. This Scope of Work includes the
preparation of revised biotic habitat maps and maps of regulated habitats. The

resources investigation and peer review to determine if any significant historical
or prehistoric archaeological or architectural resources may be present. The
work will be conducted in compliance with state laws requiring the evaluation
of effects to important cultural resource locations. PAR will provide sufficient
information to ascertain the extent and nature of any special provisions needed
for the protection of cultural resources for each development alternative
analyzed.
PAR's efforts will include a peer review of existing documentation, inventory,
evaluation and analysis of the Silveira Ranch, updating existing archaeological
records and recording new sites that may not have been visible during the 1992
work; updating the 1992 work to current standards of CEQA and Section 106
compliance, and providing impacts and mitigations for the cultural resources
aspects of the Draft EIR. The analysis of the proposed project and each
alternative will be reviewed for consistency with the recommendations of the
St. Vincent's/Silveira Advisory Task Force.
CULTURAL & HISTORIC RESOURCE ASSUMPTIONS
As part of this Scope of Work, PAR has made the following specific
assumptions for the task(s) listed below:
❖ PAR will peer review the recent work conducted by the Project Applicant
for St. Vincent's School evaluation; PAR assumes that this work is

records - to current state standards. This update may include supplemental
informatiop regarding impacts to sites since the original recordation or re -

the 1992 search is now considered out of date by the Office of Historic
Preservation.
❖ PAR will contact all local historical societies, Native American
organizations and groups, and local agencies, as required by 36 CFR 800

❖ New CEQA regulations passed in the late 1990s changed the definition of
"historic" from 100 years of age to 50 years of age. Therefore, some sites
not considered historic in 1992 may now meet CEQA criteria. PAR will
record up to two new archaeological sites that may not have been visible or
considered historic during the 1992 survey and will conduct windshield and
pedestrian surveys of the project to spot-check for potential areas with high
archaeological sensitivity. As such, a total of seven sites will be visited
(see second bullet point above).
❖ PAR's team leader will attend four meetings. PAR's historian/architectural
historian will attend three meetings.
❖ PAR will analyze the proposed project and each alternative for consistency
with the recommendations of the St. Vincent's/Silveira Ranch Advisory
Task Force. PAR will prepare EIR sections based on a format and outline
approved by the City of San Rafael.
❖ For the purpose of this technical analysis, the response to comments on the
Draft EIR is estimated to require 10 hours. Should there be considerably

conduct a new record search at the California Historical Resources Information
System, Northwest Information Center (NWIC), Sonoma State University,
Rohnert Park ,mind other repositories. If LSA has recently completed a record
search for the I'rbject Applicant, this search will not be repeated by PAR
Research will also be conducted, if necessary, at the Marin County Archives,
the Novato Historical Society • Museum, the Marin County Assessors and/or
recorders office and the California State Library to gather information about
potential archeological sites and to gather documentation about tfie Silveira
Ranch property. PAR will contact appropriate local, state and federal offices as
required by Section 106 and CEQA. PAR will also consult other parties likely
to have knowledge of or concerns with historic properties in 'the' area (e.g.,
local historical societies). The Native American Heritage Commission and
local Native American community will be notified about the project and known
resource locations.
TASK C — ARCHAEOLOGICAL FIELD WORK
PAR will examine a maximum of 1,240 acres using a mixed survey strategy
designed to locate all cultural resources. The surveyors will conduct a
windshield survey and pedestrian surveys to identify resources that may not
have been of an age to be considered a site in 1992. The surveyors will
examine all unpaved areas for any sign of prehistoric or historic remains and, at
random intervals if necessary, will scrape the ground surface using small hand
tools to allow a closer inspection of the ground surface.
PAR will record a maximum of two newly identified archaeological resources
(excluding isolated resources) located within the project area that are over 50
years .of age on State of California forms. More specifically, the DPR 523
Primary Form and other appropriate forms will be used and the requirements of
the Instructions For Recording Historical Resources (California Office of
Historic Preservation 1995) will be met. Recording will consist of identifying
the extent and types of features and artifacts on the surface, drawing a sketch
map with azimuths and distances, establishing a temporary datum, and clearly
delineating archaeological site boundaries. Small sites will be mapped with a
Brunton pocket transit and fiberglass measuring tape. Large sites will be
mapped using a Ushikata transit and stadia rod. Scaled and detailed drawings
or photographs of historic and prehistoric features will be completed.
According to the report provided by City of San Rafael, ARS identified five
archaeological sites in 1992. It is standard practice to revisit these sites to
assess their current condition, changes in their integrity since the 1992
recordation, and past or on-going activities that may have impacted the site. If
any changes have occurred since the 1992 recording, PAR will update the
archaeological site records for these resources, as required by CEQA and
Section 106. Site record updates may include preparing a new site sketch map
and full recording, as noted above, or may be limited to listing additional
artifacts, adding to locational information, or noting recent disturbances.

Special Conditions. Under Section 7050.5 of the Health and Safety Code, and
Section 5097.99 of the Public Resources Code, relating to Native Americans
(SB447), it i' a felony punishable by imprisonment in a state prison for any
person to )mowingly or willfully obtain or possess any Native American
artifacts or -human remains taken from a Native American grave or cairn after
January 1, 1988, except as otherwise provided by law. Therefore, PAR is
required by this law, and other state and federal mandates to treat human
remains appropriately.
TASK D — SILVEIRA RANCH ANALYSIS
PAR understands that the Project Applicant has completed an architectural
evaluation of the St. Vincent's Property. It is assumed that this evaluation will
meet the requirements of the California Register of Historical Resources. PAR
plans to use this information in preparing the architectural analysis for the Draft
EIR.
PAR assumes that an architectural evaluation of the Silveira Ranch property has
not been conducted. Consequently an architectural historian from PAR will
visit the project area and evaluate the Silveira property (upon City authorization
of access to the site only). PAR will assess the eligibility of the Silveira
property according to the criteria established for the California Register of
Historical Resources. The evaluation will include a discussion of the history of
the Silveira property and the role that it played in the development of the
ranching industry in the Marin County region.
The ranch buildings will be documented on the appropriate State of California
DPR 523 forms and photographed. PAR's approach to documenting the ranch
will consist of preparing one historical property record for the entire complex.
This record will consist of one State of California DPR 523 Primary Record
and one DPR 523 Building, Structure, and Object Record.
TASK E — REPORT PREPARATION
PAR will prepare a report that consists of a description of the project, record
search methods and results (including previous survey and excavation work
performed on the property), environmental, prehistoric, ethnographic, and
historic settings, survey methods and results, proposed impacts, and
recommendations to mitigate potential effects to cultural resources and any
identified Native American sites. Detailed map(s) that depict all areas surveyed
and all located cultural resources will be included with the report. Both survey
coverage and cultural resources will be plotted on the appropriate USGS
quadrangles.
The report will include an architectural evaluation of the Silveira Ranch and a
summary of the architectural evaluation of the St. Vincent's property, PAR's
findings, and recommendations to mitigate effects to architectural resources
from each alternative. The significance of each architectural property will be
discussed in light of the framework and criterion of CEQA and the California
St. Vincent's and Silveira Properties Page 31

alternatives will be addressed separately with regard to the recommendations.

PAR will examine each alternative in relation with the identified cultural
resources. This analysis will include a matrix of potential impacts on each
resource by alternatives, mitigation, and cumulative impacts.
TASK G — MEETING ATTENDANCE
PAR will attend a maximum of three project meetings with RBF and the City of
San Rafael. PAR is assuming that the meetings will take place in San Rafael,
California and that the meetings will take a maximum of two hours plus driving
time. PAR will present updated information about the status of our report and
discuss any issues that arise as a result or research or field studies during this
project at the meetings.
TASK H — PREPARE EIR SECTION
Once the fieldwork and report updates are complete, PAR will prepare the
Cultural Resources section of the Draft EIR. This section will follow an outline
approved by the City of San Rafael and will minimally include a setting section,
impact analysis and mitigation measures, as deem appropriate. PAR anticipates
responding to comments on the Administrative Draft EIR as part of this task.

RBF will evaluate potential short-term noise impacts of the proposed project,
focusing on construction noise (including truck hauling from site grading).
Construction -related noise impacts will include a discussion of nearby sensitive
receptors.
TASK D — EVALUATING OPERATIONAL NOISE IMPACTS
RBF will evaluate potential long-term changes in noise levels in the project area
due to traffic changes along area roadways and changes in ambient noise levels
associated with increased human activity. For operational mobile noise sources,
the distance to the 65 CNEL (Community Noise Equivalent Level) will be
projected, based on traffic figures obtained from the traffic study, vehicle mix
assumptions provided by the project traffic engineer, and the FHWA Highway
Noise Prediction Model (RD -77-108), which is the widely accepted method of
evaluating roadway noise impacts.
TASK E — ASSESSMENT OF ALTERNATIVES
The noise analysis will evaluate the proposed project, the three project
alternatives outlined in the St. Vincent's/Silveira Advisory Task Force
Recommendations, and a mitigated project alternative (no quantitative
soundwall analysis will be preformed this EIR). Particular attention will be
given to potential impacts on the proposed project from U.S. 101 and railroad
noise, including preliminary evaluation of noise barrier requirements (detailed
noise barrier modeling is not proposed, although this could be provided under a
separate scope and fee). Noise impacts generated from the proposed project
will be assessed based on total increases in the ambient noise level and potential
exceedance of City standards. RBF will provide tables to identify potential
noise impacts, and identify mitigation measures necessary to achieve the City
noise standards.

3.5.12 AESTHETICMSUAL
SUMMARY!
RBF will characterize the existing aesthetic environment and visual resources,
including a• discussion of views within the site and views from surrounding
areas to the site, particularly from the adjacent uses. In addition, RBF will
carefully assess the compatibility of the proposed project with the visual and
aesthetic goals and recommendations of the St. Vincent's/Silveir4 Advisory
Task Force.
AESTMTICS/VISUAL ASSUMPTIONS
As part of this Scope of Work, RBF has made the following specific
assumptions for the task(s) listed below:
❖ RBF assumes that the City of San Rafael will approve view
locations/methodology prior to commencing renderings. The level of
accuracy of the graphic exhibits will be commensurate with level of detail
provided by the Project Applicant. At a minimum, RBF will need a
topographic map to use as a base. Where data is available in digital format
(a digital grading plan), a solid model will be rendered to a relatively high
degree of accuracy. Where digital data is not available, RBF will either
create approximated digital representations based upon available
information, or will "paint" the color photo with artistic interpretations of
the project plans with input from the City and Project Applicant, to a
"moderate" level of detail (more detailed than simple solid models showing
bulklmass, but not intended to simulate design details that do not affect
overall visual impact, as described below). Ideally, the visual analysis team
will be provided a project grading plan showing cuttfill slopes and building
pads, building schematics/concepts (shape and height, preferably
elevations), and architectural concepts (landscape treatments and color
schemes). In the absence of these items, RBF will work with City Staff in
developing reasonable approximations for CEQA purposes. It should be
noted that, in the absence of a digital grading plan with pads/roads shown
and building schematics, the rendering will be more qualitative in nature.
❖ Due to the additional cost that RBF would incur to digitize the site
topographical map, this scope of work assumes that the project applicant
will provide the site topography in a digital format, and that suitable design
plans (preferred in digital format) are also provided. The scope also
assumes a moderate level of detail in renderings, reflecting limits of
grading, roads, building pads, and "typical structures", based on available
information. For each rendering, RBF will provide an "11x17" color
exhibit and pdf file. RBF can digitize the topographical map, if so desired,
at an additional cost. The cost associated with digitizing the topographical
map is based on the scale of the map and the number of topo lines. Thus,
without reviewing the map, a rough estimate of the associated costs to
digitize cannot be determined at this time.

photocomposition software to superimpose rendered images of the proposed
project into photographs of existing views. This will allow RBF to provide a
comparison of existing and proposed conditions. RBF will provide renderings
of six view locations for the proposed project, the three alternatives outlined in
the St. Vincent's/Silveira Advisory Task Force Recommendations, and a
mitigated alternative.
TASK D — ASSESSING LIGHT AND GLARE IMPACTS
RBF will also address potentially significant impacts generated by the
introduction of light and glare associated with the development of the proposed
project. This analysis will include a light and glare impact discussion on
neighboring sensitive uses from street lights, vehicle headlights, building lights,
night time building illumination and security lighting, etc. RBF will review and
incorporate existing City policies and guidelines regarding light and glare for
inclusion within the EIR. RBF will recommend mitigation measures to reduce
potential aesthetic and light and glare impacts to the maximum extent possible.

setting and the design of the proposed project.

the proposed project. RBF will review the adequacy of the proposed site plan

proposed project with the land use goals and recommendations of the St.
Vincent's/Silveira Advisory Task Force.

and General Plan Update EIR process will be closely monitored to ensure
that the analysis between the two processes are internally consistent.

Marin County General Plan, the San Rafael Zoning Ordinance, the North San
Rafael Policy Plan, applicable LAFCO policies, pertinent Bay Conservation
and Development Commission policies, relevant Association of Bay Area
Governments policies and all other appropriate public policy and environmental
data documents. Particular attention and focus will be afforded to the on-going
efforts by the City to prepare a comprehensive update to the City's General
Plan. RBF will assess the land use compatibility of the land use options
identified in the Advisory Task Force Recommendations.
TASK C — LAND USE COMPATIBILITY
The analysis contained in this section of the report will address the issues
associated with the construction of new residential, educational, office and

3.5.15 ECONOMIC/FISCAL ANALYSIS

Vincent's/Sitveira Advisory Task Force related to fiscal/economics as well as
additional background research. BAE will then prepare a fiscal impact analysis
for the proAosdsi project and each of the different alternatives to be defined for
the purpose o'f the EIR. The fiscal impact analyses will focus on the direct
project impacts to the City of San Rafael's General Fund, because the General
Fund represents the bulk of the City's discretionary revenues and also finances
the expenditures for basic municipal services, which the City will need to
extend to new development at the project site.
In addition to the General Fund, the analysis will include projections of impacts
to the City's Paramedic Fund, Stormwater Fund, and Street Maintenance Fund.
The analysis for the latter will include a projection of the likely revenue impacts
in the event that the City of San Rafael is able to collect a franchise fee tied to
the gross revenues generated by the new development, for waste removal
services.
The basic Scope of Work calls for preparation of the fiscal impact analysis to
model project impacts at final buildout of the proposed project and of each of
three alternatives plus a "mitigated project alternative." As an optional task;
BAE can prepare the fiscal impact analysis so that it models fiscal impacts to
the City at periodic intervals during the project buildout period as well as at
final buildout.
BAE will define a development program for the proposed project and each of
the alternatives in sufficient detail to allow projection of associated public
revenues and service costs. BAE will then review the City of San Rafael's
budget document to develop an understanding of the City's existing cost and
revenue structure. BAE will also interview the City Finance Director regarding
the City's own budget projections and assumptions regarding costs and
revenues associated with new development, and collect information from other
sources such as the County Auditor -Controller's office, and the State Board of
Equalization. BAE will also need to conduct research into local market
conditions to develop assumptions regarding valuation for various project
components and sales tax revenue potential, among others. This information
will serve as background for BAE to develop the revenue side of the fiscal
impact projection model.
To develop the expenditure side of the fiscal impact model, BAE will utilize a
combination of the case -study approach and average service cost multipliers.
First, BAE will contact representatives of each of the affected City departments
to familiarize them with the general development concept for the project site
and to explain the different development alternatives. BAE will interview the
representatives regarding their existing service delivery mechanisms, and the
general types of service impacts that they would anticipate with each of the
different alternatives. Then, in consultation with City officials, BAE will
develop methodologies to quantify estimates of the increased General Fund
service costs, for each affected department, for each alternative. Where

possible, SAE will identify marginal costs (i.e., actual increases in
departmental line -item costs specifically associated with the service demands of
a given allerrkative). Where such detailed marginal cost information is not
available, BAS' will develop average cost multipliers that can be used to
estimate the increase from existing expenditure levels that would be necessary
to extend services to service population increases estimated for the proposed
project and each EIR alternative.
BAE will combine the cost and revenue information into an electronic
spreadsheet model that will document the development program, cost and
revenue modeling assumptions and calculations, and net fiscal balance for the
proposed project and each alternative.
Depending on the City's needs, the spreadsheet model can be configured to
estimate net fiscal impacts at project buildout, or at intermediate periods during
the buildout as well as full buildout. The latter entails a more complex
modeling exercise, because the model must be designed to account for such
factors as development absorption rates, service cost and revenue inflation,
property value appreciation, and timing for service expansions.
FISCAL ANLYSIS ASSUMPTIONS
As part of this Scope of Work, BAE has made the following specific
assumptions for the task(s) listed below:
❖ This Scope of Work and accompanying budget assumes that the
Economic/Fiscal Analysis will be used in conjunction with, but separate
from, the Draft EIR. This work scope and budget does not include
meetings or additional work that would be required as part of the Draft
EIR/Final EIR process, including Planning Commission and or City
Council meeting attendance.

the fiscal impact modeling exercise, including researching the likely valuation
for different types of property that would be developed under the different

alternatives 4iid estimating local per -capita retail expenditures that could be
expected from new project area residents and workers.
This task will !include a review of the project and each alternative for
consistency with the recommendations of the St. Vincent's/Silveira Advisory

TASK C - REVIEW CITY BUDGET AND ANALYZE GENERAL FUND STRUCTURE
BAE will obtain a copy of the San Rafael City Budget and analyze the structure
of the City General Fund. BAE will preliminarily identify those departmental
expenditures and general fund revenue sources that are likely to be affected by
development at the project site. BAE will also begin developing average cost
and revenue multipliers and overhead factors for various budget components
that are not likely to be estimated on a "case study" or marginal cost basis.
TASK D - DEFINE DEVELOPMENT PROGRAMS FOR PROPOSED PROJECT AND
ALTERNATIVES
Based on project descriptions and follow-up consultations with RBF's project
manager, BAE will define development programs for the proposed project and
each alternative, to use in projecting future public service costs and revenues
associated with each development scenario. Information required from RBF or
other team members as the proposed project and alternatives are
defined/developed will include: the number of housing units by type (e.g.,
rental apartments, single-family attached for sale, single-family detached for
sale); the types and quantities (square feet) of non-residential development; and
quantities of open space, developed park land, other public facilities, and
roadways to be publicly -maintained. Based on the definition of the proposed
project and the EIR alternatives, this will include identifying the component of
each that would entail affordable housing units. This task will also include
coordination with RBF staff to ensure that the fiscal impact analysis uses
assumptions regarding population and employment generation that are
consistent with those assumptions used elsewhere in the EIR.
TASK E - CONDUCT INTERVIEWS WITH REPRESENTATIVES OF AFFECTED
CrrY DEPARTMENTS
BAE staff will first interview the City Finance Director or other designated
staff person to review the preliminary list of affected City departments and
revenue sources to verify the list and make any changes that are deemed
appropriate. BAE will discuss with the Finance Director the various methods
available to project increases in revenues anticipated from new development
and identify those methods that would be most compatible with the City's own
established methods for forecasting revenues from ongoing development. BAE
will also enquire as to whether the City has developed any of its own
methodologies to project increases in Departmental costs, to determine whether
there are methodologies that should be adapted to this study.

After interviewing the Finance Director, BAE staff will conduct interviews with
representatives of other affected City service departments, to ascertain their
views as to Wow the increased development at the project site would affect
demand for;Cft i services and how these increased service demands might affect
ongoing City operations and maintenance costs. BAB will provide City
representatives with summary descriptions of the proposed project and each of
the alternatives and will then 'interview the representatives regarding whether
the anticipated service demands would be satisfied by existing excess service
capacities, whether they would lead to incremental service cost increases that
could be quantified through some form of average cost projecting technique, or
whether there are specific itemizable marginal cost increases,, that could be
identified and differentiated between the different scenarios. These interviews
will guide BAE in developing the fiscal impact model.
TASK F — DEVELOP FISCAL IMPACT MODEL
Based on information collected in prior tasks, BAB will develop an electronic
spreadsheet model to project the fiscal impacts of the proposed project and each
of the EIR alternatives. The model will consist of a series of electronically
linked spreadsheet pages that will document the development program, the cost
and revenue projection methodologies and assumptions, and the anticipated net
fiscal balance for each scenario.
TASK G - COMPARE ECONOMIC IMPACTS OF DAIRY RANCHING vs.
PROPOSED PROJECT AND ALTERNATIVES
BAE will prepare an evaluation of the economic impacts of the proposed
project and each of the EIR alternatives in comparison to Dairy Ranching at the
project site. This analysis will compare estimated employment, estimated
annual economic activity, and estimated revenues to the City of San Rafael.
TASK H - PREPARE DRAFT FISCAL IMPACT ANALYSIS REPORT
BAE will prepare an Administrative Draft Fiscal Impact Report that will
document the background data and research, assumptions, and findings from
the prior seven tasks. This report will include a printout of the fiscal impact
model worksheets, for the proposed project and each alternative. BAE will
submit the Administrative Draft Report for review and comment. Upon receipt
of comments on the Administrative Draft, BAE will revise the report as deemed
appropriate and submit a Draft Report for public distribution in coordination
with circulation of the DEIR

TASK K - RESPONSES TO COMMENTS
The City may require BAE's assistance in responding to fiscal -related
comments received on the Draft Fiscal Impact Analysis Report itself. BAE
staff will be available to assist responding to comments related to the fiscal
impact analysis. BAE will respond to comments either by preparing revisions
to the Draft Fiscal Impact Analysis Report, or in a manner as, determined
appropriate by City Staff.
TASK L - PREPARE FISCAL IMPACT ANALYSIS KEYED TO BUILDOUT
SCHEDULE
BAE will prepare the fiscal impact model and associated analysis with the
development program and the associated costs and revenues phased in over the
anticipated project absorption schedule. This type of analysis can be useful to
test the potential for the proposed project or alternatives to generate substantial
new public service costs in advance of the expected timing for the project to
generate offsetting new General Fund revenues. For example, this could occur
if new parks, housing, or other service intensive land uses develop more
rapidly than new commercial uses, which may generate offsetting revenues.
Preparation of this type of analysis requires that BAE develop assumptions
regarding the potential absorption rate of different land uses, as well as
assumptions regarding the phasing of public facilities, such as parks, relative to
the other development. Costs for this task include research to establish likely
market absorption rates for the development in the proposed project and each
alternative as well as research and discussion with City Staff to determine the
likely phasing of public facilities.
DELIVERABLES:
❖ BAE's initial work product will be a brief memo evaluating the consistency
of the proposed project and the alternatives for consistency with
economic/fiscal-related recommendations of the St. Vincent's/Silveira
Advisory Task Force.
❖ The final work product will be a fiscal impact analysis report that contains
printouts of the fiscal impact model and its results for the proposed project
and each of the alternatives, accompanied by narrative text that documents
the methodologies, assumptions, data sources, and findings from the
modeling effort. The report will contain analysis of the projected fiscal
viability of the proposed project and the different alternatives and will
highlight key issues and sensitivities as well as a discussion of how the
proposed project and the alternatives compare to each other in terms of the
City of San Rafael's fiscal interests. This report will also contain a section
detailing the analysis of the economic impacts of dairy ranching versus the
proposed project and alternatives.

will carefully assess the compatibility of the proposed project with the

POPULATION AND HOUSING ASSUMPTIONS
As part of this Scope of Work, RBF has made the following specific
assumptions for the tasks listed below: ,
❖ RBF assumes that the City of San Rafael has and will provide accurate up-
to-date housing and population statistics. We assume that population and
housing information collected for the General Plan Update will be provided
to RBF prior to commencement of this task.
❖ RBF will supplement City -provided data by utilizing current statistical
information available from ABAG and the State Department of Finance.
RBF assumes that no additional statistical information will be required for
this analysis.
❖ For the purpose of this technical analysis, the response to comments on the
Draft EIR is estimated to require 10 hours. Should there be considerably
more comments and response time than anticipated, additional budget will
be requested.

As the Project Applicant plans to provide a range of housing options, RBF will

recommended by the St. Vincent's/Silveira Task Force and the mitigated
project alternative will also be analyzed as they relate to direct and indirect
inducement of population growth.

RBF will assess any other issues that may be discovered during the scoping
process and/or in review of comments received in response to the Notice of
Preparation. If major issues are discovered, RBF will meet with the City to
revise the scope and fees as deemed necessary.
3.5.19 EFFECTS FOUND NOT TO BE SIGNIFICANT
RBF will describe effects found not to be significant, in accordance with
§15128 of the State CEQA Guidelines, by listing them with brief explanations
of why they are not significant and by referral to the evidence supporting the
finding in the Notice of Preaaration/Initial Study (see Section 1.3.1 of this
Scope of Work). Mandatory findings of significance in Public Resources Code
§21083 and Appendix I of the State CEQA Guidelines (Environmental
Checklist Form, Section XV) shall be addressed.
3.6 GROWTH INDUCEMENT
RBF will discuss potential growth -inducing impacts pursuant to CEQA Guidelines
Section 15126.2(d). The analysis in this section will be based on data from the City of
San Rafael, Marin County, the Marin County Local Area Formation Commission
(LAFCO), California Department of Finance, Association of Bay Area Governments
(ABAG) and U.S. Census data. Potential sources of growth inducement and their

impacts will be qualitatively analyzed, including any impacts that may be associated
with new employment, removal of obstacles to growth, or other influences.
3.7 CUMULATIyE`1(1 WACTS
The Cumulative Impacts section of the EIR will provide an explanation of what
constitutes a cumulative impact, as defined by the State CEQA Guidelines 15130, and
will explain the methodologies of cumulative impact assessment used for each issue
area.
This analysis will take into consideration the current Superior Court Case, findings (No.
000500300) regarding the 1998 Amendments to the State CEQAc Guidelines,
specifically the invalidation of Sections 15130 (ax4) and 15064 (ix4).
The cumulative analysis will be based on an understanding of projected regional
growth, or specific known projects, which would be additive to the specific impact of
the project. One of the key cumulative development projects in the region is the
Hamilton Field Redevelopment Project. RBF prepared the Base Reuse Plan and EIR
for this project and has a detailed understanding of the impacts expected with plan
implementation.
The analysis will use specific cumulative development estimates that represent the
future growth effects on the specific cumulative impacts under consideration. For
example, the cumulative context for utility services may be the City's service area
while the context for air quality impacts will be a larger area (the air basin). RBF will
coordinate with City Staff to determine the most appropriate way to define the
cumulative context for each environmental issue. The analysis will provide both
quantitative and qualitative levels of analysis, as appropriate. Where no contribution to
a cumulative impact is identified, a discussion will be included describing this
conclusion.
3.8 ALTERNATIVES TO THE PROPOSED ACTION
RBF will work closely with City Staff to develop a reasonable range of alternatives for
analysis. The St. Vincent's/Silveira Advisory Task Force identified three land use
development alternatives for the proposed project, each with a target average density of
ten units per acre and an appropriate amount of non-residential development between
125,000 and 310,000 square feet. The three alternatives include the development of: 1)
500 residential units, 2) 800 to 1,500 residential units, and 3) 1,800 residential units.
The distribution of development for these alternatives would be proportional between
the two properties with approximately 60 percent of the nonresidential and 40 percent
of the residential development on the Silveira Ranch and approximately 40 percent of
the nonresidential and 60 percent of the residential development on St. Vincent's
property.
For purposes of this Scope of Work, up to five (5) alternatives will be discussed
consisting of a No Project alternative, assuming no development on either site, the three

(3) development alWmatives identified by the St. Vincent's/Silveira Advisory Task
Force and one (1) diitigated project alternative. Each alternative will be evaluated with
respect to each key 'id)pact category reviewed for the proposed project. Additionally,
each alternative will lie!revjewed for consistency with the recommendations of the St.
Vincent's/Silveira Advisory Task Force. The technical approach to the alternatives is
discussed within each respective technical discipline outlined in tasks 3.5.1 through
3.5.17.
The alternatives analysis will be presented with sufficient detail to clearly distinguish
between the impacts anticipated with the proposed project and the specific alternatives
being evaluated. During the course of environmental analysis, minor vpriations to the
proposed project that could have the effect of reducing or eliminating environmental
concerns may become apparent; these variations will be evaluated and documented.
Further, a "mitigated' project alternative will be identified and assessed based on the
complete compilation of all recommended mitigation measures. Each alternative will
be illustrated in graphic form as outlined in Section 1.5, Conceptual Design, of this
Scope of Work. The advantages and disadvantages of each alternative and the reasons
for rejecting or selecting the alternatives will be stated. The environmentally superior
alternative will be identified in accordance with the State CEQA Guidelines. A
summary table of the alternatives and their associated impacts will be provided in the
EIR summary.
3.9 ADDITIONAL SECTIONS
RBF will provide additional sections in the EIR to meet CEQA and City requirements
including the following:

required). The Draft Responses to Comments will be prepared for review by City
Staff. Following review of the Draft Responses to Comments, RBF will finalize this
section for inclusion in the Administrative Final EIR. RBF has assumed that
approximately 120 hours of technical staff time will be required to address .and respond
to comments received on the Draft EIR. Should the number of comment letters and/or
number of comments require a commitment of technical staff time in excess of 120
hours, a budget augmentation and/or use of contingency funds would be gecessary to

5.2 FINAL EIR
The Final EIR will consist of the revised Draft EIR text, as necessary, and a separate

will format the Final EIR with shaded text for any new or modified text, and "strike
out" any text which has been deleted from the Final EIR. RBF will also prepare the
Notice of Determination (NOD) after project approval/denial. Distribution of the NOD
shall be conducted by the City.
All mapping, exhibits, summary tables, and draft documents will become the property
of the City upon completion of the Final EIR, and the consultant will provide the
document(s) on disc compatible with word processing systems.

5.3 MITIGATION MONITORING AND REPORTING PROGRAM (MMRP)
To comply with Public Resources Code Section 21081.6, as mandated by Assembly Bill
(AB) 3180 (Cortese 1988), RBF will prepare a mitigation monitoring program (MMP)
for adoption at the time of the CEQA findings.
A key element of this process is to propose actions that can eliminate or reduce
potentially significant effects. Mitigation measures will be identified for each
potentially significant/significant impact. Mitigation measures will be as specific as
possible and tied to performance standards, design guidelines, implementation actions,

defensibility. RBF,' will work with City Staff to identify appropriate monitoring
steps/procedures and in order to provide a basis for monitoring such measures during
and upon project implAintentation. The Mitigation Monitoring and Reporting Checklist
will serve as the fopndaltion of the Mitigation Monitoring and Reporting Program for
the proposed project. The Checklist indicates the mitigation measure number as
outlined in the EK the Monitoring Milestone (at what agency/department responsible
for verifying implementation of the measure), Method of Verification (documentation,
field checks, etc.), and a Verification section for the initials of the verifying individual,
date of verification, and pertinent remarks.
A Draft Mitigation Monitoring and Reporting program will be prepared prior to
certification of the FEK with a final copy submitted that includes any changes made
during the certification process.

5.4 FINDINGS AND STATEMENT OF OVERRIDING CONSIDERATIONS
RBF will prepare the Statement of Overriding Considerations, if necessary, and
Statement of Facts and Findings (Findings of Facts) for each significant effect identified
in the EK pursuant to Section 15091 of the State CEQA Guidelines (Section 21081 of
CEQA), and the Statement of Overriding Considerations, pursuant to Section 15093 of
the State CEQA Guidelines for City use in the project review process. RBF will submit
the Draft Findings for City Staff and Legal council review and will respond to one set
of each City and legal comments.
RBF will work with the City's legal team to prepare resolutions to support certification
of the Final EIR, the Findings of Facts and the adoption of Overriding Considerations
(if necessary), and the adoption of the Mitigation Monitoring and Reporting Program.

6.0 PROJECT MANAGEMENT
6.1 PUBLIC HEARINGS
RBF will be present at up to three (3) public hearings, to develop an understanding of
the public's comments and concerns both with regards to environmental issues and the
various elements and components of the City approval processes, to be available to
answer questions on environmental issues and the planning process, and to make
presentations on the EIR, as necessary.
RBF will attend a maximum of three (3) public hearings by the Project Manager in
addition to the public scoping meeting and community meetings identified in Task
1.3.2. For the purposes of this Scope of Work, we have assumed attendance at up to

three (3) public hoings on the Draft and Final EIR by the Project Manager and
Principal Plaziner.: These meetings would be held before either the City Planning

RBF will conduct presentations, as required, regarding the environmental and planning
processes and be available to answer questions that may arise at public hearings or

The RBF Project Manager will receive public input to augment the City's, commitment

understands specifically how their concerns will be incorporated into the CEQA and
planning processes.
6.2 PROJECT MANAGEMENT AND GENERAL COORDINATION
RBF's management of the EIR preparation will involve close communication between
City Staff and RBF project team members. RBF will ensure that the project is running
on time and within budget, as well as being technically correct and legally defensible.
RBF will communicate as necessary with project team members and City Staff for
compliance with the schedule, Scope of Work, and budget. RBF will coordinate the
work of team members and provide management liaison between the team and the City
Staff for communication of issues, project status and reports, transmittal of comments,
input evaluation, financial management (e.g., invoices), and other project management
coordination matters. Sample invoice formats are attached as Appendix C for City
Staff review and consideration.
RBF will attend project coordination meetings with the City Staff as deemed necessary.
The proposed Scope of Work includes attendance at up to ten (10) project meetings.
Anticipated meetings include: four project status meeting; review of the Administrative
Draft EIR; Review of the Draft EK- Review of comment letters received on the Draft
EIR (Strategy Session) and two meetings related to the processing of the various
applications. Other meetings may be attended on a time -and -materials in accordance
with our standard billing rates.
7.0 Web Hosting and GIS Services
ASSUMPTIONS
RBF assumes that the City of San Rafael will provide clear direction of web page
design prior to the development of the web page. Additional features and/or web page
related tasks will be billed on a time and materials basis.

RBF will participate in a phone conference to determine the goals of the web site and
determine what types of information will be available, the format it will come in, and
who will be providing it.

RBF will create a project home page "look and feel". RBF will select a color scheme,
graphic scheme and page layout which coordinates with existing client web presences
(where appropriate), and create a project home page on the project web server at RBF.
This page will be available for client review over the internet. The home page will be
posted for a period of time necessary for client review and not to exceed 60 days.
TASK D — MAINTENANCE FEE
City Staff may choose to maintain the project home page at this location for an
extended period. A monthly fee of $150/month for the basic web page, $250/month for
an extended web page that includes additional pages and/or interactive database
services, or $500/month for maintenance of a LiveMap GIS web application will be
charged to maintain this project web site beyond the 60 days. This server fee is to
maintain the hardware and software required for web services, as well as the fast
redundant connection to the Internet, redundant power backup, and 24-hour server
support services. This server fee does not include additional project data posting or web
programming services which will be provided separately as required on a time and
materials basis.
TASK E — INFORMATION POSTING
RBF will prepare post word-processing, schedule, map, image, or other documents to
the project web page in PDF format. For the purpose of this budget a maximum of 12
files will be posted to the project web page with individual icons or text links. Files for
posting will be provided to the RBF web services team in PDF format for posting.
Modifications to the files provided for posting will be performed as extra services on a
time and materials basis.
