A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO EXTEND A PROFESSIONAL
SERVICES AGREEMENT WITH AMPHION ENVIRONMENTAL, INC. FOR
PLANNING AND DESIGN SERVICES RELATED TO THE MEDWAY/CANAL
INTERSECTION IMPROVEMENT PROJECT, THROUGH
JUNE 30, 2002.
WHEREAS, the City of San Rafael received a $10,000 grant from the
Metropolitan Transportation Commission's Transportation for Livable Communities
program for planning and design services related to the Medway/Canal corridor, and
matched that amount with $10,000 in Gas Tax funds; and
WHEREAS, the Medway/Canal Advisory Committee, comprised of Canal
residents, chose the urban design and planning firm Amphion Environmental, Inc., to
conduct a comprehensive community planning effort to create a design for the corridor
consistent with the diverse cultural and transportation needs of the community; and
WHEREAS, the City entered into a one year Professional Services Agreement
with Amphion Environmental, Inc. for such services, which expired October 1, 2001; and
WHEREAS, additional time is needed to complete the community input and
design process;
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of
San Rafael hereby authorizes the City Manager to extend the Professional Services
Agreement with Amphion Environmental, Inc. for planning and urban design services
related to the Medway/Canal Community Planning and Design Project, at no additional
cost, through June 30, 2002.

the foregoing resolution was duly and regularly introduced and adopted at a regular
meeting of the City Council of said City held on Tuesday, the 19th day of February, 2002,
by the following vote, to wit:

AMENDMENT TO
AGREEMENT BETWEEN THE CITY OF SAN RAFAEL
AND AMPHION ENVIRONMENTAL, INC.
FOR PLANNING, URBAN DESIGN AND LANDSCAPE ARCHITECTURAL SERVICES
This Amendment to Agreement is made and entered into this 19`h day of February, 2002 by
and between the CITY OF SAN RAFAEL (hereinafter "CITY'), and Amphion Environmental, Inc.
(hereinafter "CONTRACTOR").
RECITALS
WHEREAS, the CITY has determined that consulting services continue to be
required to complete the community input and conceptual design phase of the Medway/Canal
Intersection Improvement Project; and
WHEREAS, the CONTRACTOR has expertise and experience in the planning,
urban design and landscape architecture and has offered to continue to render such services in
connection with this Project; and
WHEREAS, pusuant to paragraph 6 of the original Agreement, the parties can,
subject to the approval of the City Manager, extend the Agreement for an additional nine (9)
months, or until June 30, 2002;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
Paragraph 6 of the Agreement is amended to read as follows:
"The term of this Agreement shall be for twenty-one (2 1) months, commencing on October
2, 2000 and ending on June 30, 2002."
2. All other covenants, terms and conditions of the original Agreement remain in full force and
effect for the term of the Amended Agreement.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month
and year first above written.
