Ordinance No. 1707 entitled:

an ordinance of said City at a REGULAR meeting of the City Council of said City held

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY
OF SAN RAFAEL ESTABLISHING AUTHORITY LIMITS
AND PROCEDURES FOR PROFESSIONAL SERVICES
AGREEMENTS
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL DOES ORDAIN AS FOLLOWS:
DIVISION 1:
Chapter 2.60 is hereby added to the San Rafael Municipal Code to read as follows:
CHAPTER 2.60
Professional Services Agreements
Section 2.60.010. Purpose.
The purpose of this Chapter is to establish authority limits and procedures for professional
services agreements. This Chapter shall not apply to public works contracts (Chapter 11.50), or to
contracts for the purchase of services (§2.55..020E), supplies, materials or equipment (§2.55.020F).
Section 2.60.020. Definition.
"Professional Services" means services of consultants or individuals or organizations
possessing a high degree of technical skill, such as, but not limited to, the services of attorneys,
physicians, architects, engineers, and surveyors (see §2.55.020B).
Section 2.60.030. Encumbrance of Funds.
Except in cases of emergency, no purchase order, contract or agreement for professional
services shall be approved unless there exists an unencumbered, budgeted appropriation in the fund
account against which the said contract, purchase order or agreement is to be charged.
Section 2.60.040. Authoritv Limits for Professional Services Agreements.
Subject to the conditions of §2.60.030, the City Manager shall have the authority to approve
professional services agreements in an amount not to exceed twenty thousand ($20,000) dollars.
The City Council shall approve all professional services agreements in excess of twenty thousand
($20,000) dollars.
Section 2.60.050. Contract Requirements.
The Risk Manager or the City Attorney shall establish appropriate requirements for
insurance and indemnification of the City by the Contractor. Prior to approval by the City Manager
or City Council, all professional services agreements of which the City is to be a party, shall be
submitted to the Risk Manager together with a Certificate of Insurance, Endorsement, and any other
required documentation. Each Agreement shall be attested to by the City Clerk.

Section 2.60.060. Contract Form.
All professional services agreements shall be in a form approved and reviewed by the City
Attorney prior to submission to the City Manager or City Council for final approval.
Section 2.60.070. Competitive Bidding Not Reauired.
Competitive bidding is not required prior to the City entering a professional services
agreement.
DIVISION 2:
If any section, subsection, sentence, clause or phrase of this Ordinance is for any reason
held to be invalid, such decision shall not affect the validity of the remaining portions of this
Ordinance. The Council hereby declares that it would have adopted the Ordinance and each
section, subsection, sentence, clause or phrase thereof, irrespective of the fact that any one or more
sections, subsections, sentences, clauses or phrases be declared invalid.
DIVISION 3:
This Ordinance shall be published once in full before its final passage in a newspaper of
general circulation, published, and circulated in the City of San Rafael, and shall be in full force and
effect thirty (30) days after its final passage.
