against all liability for injuries to CONTRACTOR's officers and employees. CONTRACTOR'S
worker's compensation insurance shall be specifically endorsed to waive any right of subrogation
against CITY.
B. Other Insurance Requirements. The insurance coverage required of the
CONTRACTOR in subparagraph A of this section above shall also meet the following
requirements:
1. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, employees, and volunteers, as
additionally named insureds under the policies.
2. The additional insured coverage under CONTRACTOR'S insurance

the right to exercise it later. The insurance shall be approved as to form and sufficiency by
PROJECT MANAGER and the City Attorney.
11. INDEMNIFICATION.
A. Except as otherwise provided in Paragraph B., CONTRACTOR shall, to the
fullest extent permitted by law, indemnify, release, defend with counsel approved by CITY, and
hold harmless CITY, its officers, agents, employees and volunteers (collectively, the "City

any kind, including but not limited to attorney's fees, expert fees and all other costs and fees of
litigation, (collectively "CLAIMS"), arising out of CONTRACTOR'S performance of its
obligations or conduct of its operations under this Agreement. The CONTRACTOR's
obligations apply regardless of whether or not a liability is caused or contributed to by the active
or passive negligence of the City Indemnitees. However, to the extent that liability is caused by
the active negligence or willful misconduct of the City Indemnitees, the CONTRACTOR's
indemnification obligation shall be reduced in proportion to the City Indemnitees' share of
liability for the active negligence or willful misconduct. In addition, the acceptance or approval
of the CONTRACTOR's work or work product by the CITY or any of its directors, officers or
employees shall not relieve or reduce the CONTRACTOR's indemnification obligations. In the
event the City Indemnitees are made a party to any action, lawsuit, or other adversarial
proceeding arising from CONTRACTOR'S performance of or operations under this
Agreement, CONTRACTOR shall provide a defense to the City Indemnitees or at CITY'S
option reimburse the City Indemnitees their costs of defense, including reasonable attorneys'
fees, incurred in defense of such claims.

design professional services to be performed by a design professional as that term is defined
under Civil Code Section 2782.8, CONTRACTOR shall, to the fullest extent permitted by law,
indemnify, release, defend and hold harmless the City Indemnitees from and against any
CLAIMS that arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct of CONTRACTOR in the performance of its duties and obligations under this
Agreement or its failure to comply with any of its obligations contained in this Agreement,
except such CLAIM which is caused by the sole negligence or willful misconduct of CITY.
C. The defense and indemnification obligations of this Agreement are undertaken in
addition to, and shall not in any way be limited by, the insurance obligations contained in this
Agreement, and shall survive the termination or completion of this Agreement for the frill period
of time allowed by law.
12. NONDISCRIMINATION.

Agreement. CONTRACTOR shall perform all services under this Agreement in accordance with

and hold harmless CITY, its officers, agents and employees from any and all damages, liabilities,
penalties, fines and all other consequences from any noncompliance or violation of any laws,

any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.

Re: RFI for Commissioning Services for Essential Public Safety Facilities
Dear Ms. Woodbury:
With Enovity as your Commissioning Authority, the City of San Rafael will secure a
leader in the commissioning field for Phase 1 of your Essential Public Safety Facilities
Strategic Plan. Enovity has recently completed or is currently commissioning over 260
new construction and major renovation projects throughout the Western United
States, including the County of Marin Emergency Operations Facility, three new fire
stations for the City cf San Francisco, and a new fire house that will serve the San
Francisco International Airport. In total, these projects represent nearly 25 million
square feet and $11 billion in construction; therefore, we are well-positioned to ensure
that the City's project requirements will be met.
Commissioning is core to our business and we have the expertise and resources
necessary to commit our team to your project. We understand the level of effort
needed to commission the new San Rafael Public Safety Center, Fire Station 52, and
Fire Station 57. We will ensure that the project's commissioning plan aligns with the
City's short- and long-term goals.
With our commissioning professionals in San Francisco and Sacramento, we will be
able to execute work efficiently and cost-effectively. From design review to the final
commissioning report and into warranty phase commissioning, Enovity will work
diligently to communicate, collaborate, and integrate with the City to successfully
execute the scope of work.
I am available to answer any questions you may have about this submittal, and have
provided my full contact information below. I am authorized to commit Enovity to the
terms of this proposal and acknowledge receipt of Addendum No. 1. I look forward to
an opportunity to discuss your project goals in person.
Respectfully,

COMMISSIONING PHILOSOPHY AND CAPABILITIES
Using our founding principles of energy, innovation, and integrity, Enovity has
become a leader in new construction commissioning by filling in the gaps
inherent in today's risk -averse design and construction industry. Construction
projects are risky ventures, and owners, designers, and builders alike have
sought to transfer as much of this risk as possible to other parties, often losing
sight of the overall project objectives. As a result, more and more buildings fail
to meet the owner's required levels of performance, efficiency, and long-term
cost of ownership.
Enovity therefore provides commissioning as a critical layer of professional risk
management, undertaken through a process that considers the building
owner's interests for project success first and foremost. Simply put, our goal is
to help the project team deliver a building that meets the owner's needs.
Our team offers distinct advantages over other commissioning providers:
• Depth and Breadth of Technical Knowledge: Our integrated team
approach leverages in-house experts in mechanical, electrical,
controls, fire/life safety, security/access controls, IT/AV, and other
special building systems to bring a complete and comprehensive
commissioning solution to every project.
• Building Automation Expertise: Enovity controls engineers and
technicians provide focused input to the design team on optimum
sequences of operation and can verify implementation by reviewing
programmed sequences.
• Focus on Operability and Maintainability: Our commissioning
approach is influenced by lessons and best practices learned from a

decade of providing ongoing operation and maintenance (O&M)
services in high-performance facilities.
• Project Management and Professional Approach: Enovity's
commissioning project managers are highly experienced in design,
construction, and operations and are experts in commissioning
process management. Project managers can draw from a robust team
of dedicated commissioning professionals within the Enovity
commissioning group.
Firm and Staff Credentials: Enovity is a certified member of the
AABC Commissioning Group and a long-time member of the Building
Commissioning Association. Several members of our team hold
commissioning certifications from ASHRAE, the Association of Energy
Engineers, and the AABC Commissioning Group. Principal Greg
Cunningham has been a member of the Advisory Council to the

2. PROPOSED APPROACH
UNDERSTANDING OF THE PROJECT
In November 2013 voters passed Measure E which extended the local 0.5%
sales tax added 0.25°/x. In February 2014, the City Council directed that
+- revenues for the added quarter percent be set aside to address San Rafael's
aging essential facilities. This portion of Measure E revenues raises
µ f;: approximately $3.8 million per fiscal year.
On July 20, 2015 the City Council approved a strategic plan for essential public
safety facilities in San Rafael. The plan recommends seven projects including
a new public safety center across from City Hall that will house both the police
and fire departments. Phase 1 includes the new Public Safety Center and
replacement of Fire Stations 52 and 57.
The commissioning authority (CxA) will be called upon to provide
commissioning services in accordance with all applicable Title 24 2013 Part 6
Non -Residential Energy Standards and Part 11 California Green Building
Mandatory Commissioning Requirements, EA Prerequisite 1: LEED
Fundamental, and EA Credit 3: Enhanced Commissioning of Building Energy
Systems for LEED — Building Design and Construction Reference guide for
New Construction Version 3/Version 2009.
It is our understanding that the City intends to pursue LEED certification for
this project. The intended goal is to achieve a Gold rating under the USGBC
LEED v3/2009. The City's intent is to engage the CxA early in the design
process to allow the design to respond to the commissioning plan for the
project and to meet all LEED prerequisites and additional commissioning
certification requirements.

Commissioning Services for Essential Public Safety Facilities
City of San Rafael
• Perform thorough systems design reviews that focus on ensuring
necessary details and clarity in sequence of operations that meet the
City's Intent.
• Assign dedicated commissioning resources to each discipline in the
scope of work. As no individual can be an expert in all systems, we
employ a "team of experts" approach, led by an experienced Project
Manager, so that each system receives the attention it requires from
design, through construction, and into operation.
• Specify that the Contractor name a Commissioning Coordinator
(CxC). Thorough communication between the Commissioning
Authority and Commissioning Coordinator will address important
issues, will head off scheduling conflicts, and will limit
miscommunication and delays.
• Work with the contractor early in construction to integrate the
commissioning schedule into the Contractor's Master Schedule.
• Publish the Master Commissioning Issues List on a regular basis and
ensure that responsibilities for corrections and actionable items are
understood by all parties.

specific project requirements and timeframe. Barring unforeseen
circumstances beyond our control, all key staff will be available for the duration
of the contract.
Enovity has the luxury of being able to draw from a pool of up to 16 additional
commissioning project managers and engineers across the company to help
meet short-term needs anywhere Enovity operates. We will provide local
resources for timely service, and will manage and execute the commissioning
tasks in a cost-effective manner through the duration of your program.
COMMISSIONING EFFECTS ON SCHEDULE & BUDGET
Commissioning is a critical path item that requires the commissioning
authority. general contractor, construction trades, and others to be "on the
same page" during phases such as equipment startup and functional
performance testing. Breakdowns in this coordination can often lead to project
delays and cost overruns.
A seamless integration of commissioning activities and milestones into the
master construction schedule will mitigate this risk and ultimately lead to a
more successful working relationship between project team members.
Therefore, a critical first task of the Commissioning Project Manager following
contract execution is to baseline the construction schedule and commissioning
schedule. and to work with the contractor to carefully align and integrate all
key commissioning activities into the master construction schedule. When
schedule alignment is achieved and all parties are working with one schedule
towards the same goal, the chances of success have increased exponentially.
COORDI'NAT1O1N WITH CONSTRUCTION MANAGERS
CONTRACTORS, SUBCONTRACTORS ANO TRADES
The commissioning process calls for the construction trades to execute testing
in the field. The CxA does not have any contractual power over the
construction trades and therefore cannot directly schedule, manage, and
coordinate their activities. This creates the possibility of additional risk that
Enovity is not consistently notified of upcoming tests and therefore tests are
not completed in a timely fashion, are delayed, need to be repeated, or are
completed without being witnessed.
We mitigate this risk by requiring that the contractor name a Commissioning
Coordinator (CxC) who is responsible for managing, scheduling, and
coordinating all commissioning activities that require involvement of the trades.
The CxC communicates directly with the Enovity Commissioning Project
Manager. We also mitigate this risk by having our Commissioning Project
Manager attend regular construction progress meetings and facilitate
commissioning coordination meetings in order to stay apprised of upcoming
construction activities and commissioning milestones.
CALGREEN CONIAMISSIOIVING REOUIRENIEINTS
Since the California Green Building Code (Title 24 Part 11, aka "CALGreen")
took effect in January 2011, we have met its specific requirements on
approximately 75 commissioning projects. The 2013 update to the Title 24
standards added many of those requirements to the Energy Code (Part 6). Our
Commissioning Scope Matrix (provided as Appendix B) outlines the specific

requirements associated with each part of the Code, as well as rating systems
such as LEED.
A specific local example of our CALGreen commissioning experience is the
County of Solano's new Stanton Correctional Facility, which was completed in
February 2015 and earned LEED Gold certification. Enovity provided LEED
and total building systems commissioning for this $89 -million project that
consisted of a new 365 -bed detention facility, a support building, a new central
plant, and renovation of an existing administration building. Systems
commissioned included HVAC and controls, lighting, electrical, security,
fire/life safety, and telecommunications systems. The commissioning scope
was expanded to include landscape irrigation systems per CALGreen
requirements.
)METRICS AND DELIVERABLES
During the commissioning process, Enovity will provide various deliverables
that will allow the City to assess the progress of the commissioning activities.
These include, but are not limited to, the following:
• Review reports for the design documents, submittals, and other
reports and documents that are reviewed by Enovity as part of the
commissioning process
• Meeting minutes from the commissioning meetings chaired by Enovity
• Commissioning Issues Lists summarizing the deficiencies noted
during the process
• Field reports documenting the results of the site visits performed by
Enovity to witness the progress of installation, startup, and pre -
functional testing
• Documented test results of the functional testing for the commissioned
equipment
• Systems Manual
• Final Commissioning Report
• Warranty Phase Report
OTHER PERTINENT SERVICES
In addition to the commissioning services included in the scope of this
proposal, Enovity can provide multiple services focused on the high-
performance of buildings, throughout the building life cycle. These include:
Existing Building Commissioning
Enovity's approach to existing building commissioning (retrocommissioning
and monitoring -based commissioning) focuses on developing a thorough
understanding of each facility's mechanical, electrical, and automated controls
systems from the bottom up. Utilizing in-house mechanical and controls
engineers, we help building owners and operators find solutions that improve
occupant comfort, relieve pressure from facility maintenance staff, and deliver
financial results at the bottom line.

Comprehensive Energy Efficiency Capabilities
Enovity's integrated service delivery offers property owners and managers a
complete solution for energy project development, implementation, and
closeout. Enovity has the full scope of capabilities to help clients identify,
evaluate, develop, implement, and verify energy projects that meet aggressive
conservation goals and utility rebate program requirements.
Smart Building Systems
Enovity offers a three -pronged approach to make your buildings smarter. First,
restore critical control functions and address any space comfort issues.
Second, make technology work for building operators by integrating different
controls systems into a common user interface. Finally, deploy apps that
analyze building data so that you can cut through the noise and act on the
insights that matter. With our practical engineering approach and hands-on
knowledge of controls platforms, you get candid assessments for greater
clarity, and the convenience of a managed implementation for any technology
choice
Operations and Maintenance
Our approach to Operations and Maintenance (O&M) is unique in the
marketplace in that we integrate high-level technical and professional services
with our O&M offering. This fully integrated technical services approach
differentiates Enovity from the familiar corporate O&M service providers. By
performing detailed equipment and system assessments, measurements,
monitoring, testing, and diagnostic activities, we ensure system functionality.
The focus is to understand and evaluate the actual operation of building
systems and, through our knowledge and expertise of building systems and
energy analysis, identify and implement strategies to improve and optimize
system functionality.
