TOPIC: ENGINEERING SERVICES TO PROVIDE TEMPORARY STAFF ASSISTANCE
SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING THE
CITY MANAGER TO EXECUTE A PROFESSIONAL SERVICE AGREEMENT WITH PARK
ENGINEERING FOR TEMPORARY STAFF ASSISTANCE, IN AN AMOUNT NOT TO EXCEED
$104,307.68.
RECOMMENDATION:
Adopt the resolution authorizing the City Manager to execute a Professional Services Agreement for
temporary engineering staff assistance in the Public Works Department.
BACKGROUND:
Public Works has been working diligently to design and construct the projects listed in the 2016/2017
Capital Improvement Program (CIP). With the number of projects currently under way and the time
sensitivities associated with grant -funded projects, staff has concluded that additional professional
engineering services are required to design, manage and inspect several of the approved projects.
The 2016/17 Capital Improvement Program lists the following City Owned Property projects:

Parkside Childcare Interior Painting
Terra Linda Pool Deck Replacement/Sealing
City Hall Accessibility Improvements
Albert Park Improvements
Schoen Park Playground Improvements
Merrydale Pathway Connector
In the past Park Engineering has augmented Engineering Division staff resources by providing services
specific to the City Owned Property projects listed in the CIP. Park Engineering has greater familiarity

with building alteration projects than the city civil engineering staff that work on the more common
public works projects involving street repair, pump stations, traffic signalization, etc. This specialized
knowledge is essential as the projects progress from design to construction. Park's familiarity with the
City's design and construction requirements assists greatly in making the project management process
more efficient and cost effective.
ANALYSIS:
On October 28, 2016, the Department of Public Works issued a construction management Request for
Proposals (RFP) for the above-mentioned projects. On November 15, 2016, the Department of Public
Works received two proposals from interested firms. The proposals were reviewed by staff based on
the consultant's experience with similar projects, familiarity with the identified projects and City
procedures as well as cost. Based on this review, the proposal from Park Engineering offers the best
value. Park's proposal was significantly less expensive than the other proposer and Park has a proven
successful track record on City projects. The recommended action includes awarding a time -and -
materials contract to Park Engineering for an amount not to exceed $104,307.68.
FISCAL IMPACT:
The focus of this contract is to utilize Park Engineering for the management of larger projects and
design for smaller projects. The cost of the recommended services will not exceed $104,307.68
OPTIONS:
The following actions are available to the City Council:
1. Adopt the attached resolution as presented.
2. Adopt the resolution with modifications.
3. Direct staff to return with more information.
4. Take no action. Staff does not recommend this option, as the described services are needed to
complete the proposed projects.

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
AUTHORIZING THE CITY MANAGER TO ENTER INTO A PROFESSIONAL
SERVICES AGREEMENT WITH PARK ENGINEERING FOR TEMPORARY STAFF
ASSISTANCE, IN AN AMOUNT NOT TO EXCEED $104,307.68
WHEREAS, the City of San Rafael's Capital Improvement Program (CIP) calls for the
development of several City Owned Property projects; and
WHEREAS, Public Works staff are currently occupied with other CIP projects and cannot
address these projects for several months; and
WHEREAS, project management services are required to oversee a number of the City's capital
projects; and
WHEREAS, the Department of Public Works requested proposals from multiple firms and on
November 15, 2016 received two proposals from qualified firms: and
WHEREAS, the City reviewed proposals from two firms capable of providing the required
project management services, and concluded that Park Engineering offers the best value for the City; and
WHEREAS, there are sufficient resources in the identified projects for this expenditure..
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of San Rafael does
hereby authorize the City Manager to execute a Professional Services Agreement with Park Engineering
for staff assistance in a form to be approved by the City Attorney, in an amount not to exceed
$104,307.68.

AGREEMENT FOR PROFESSIONAL SERVICES
FOR TEMPORARY STAFF ASSISTANCE WITH PARK ENGINEERING IN AN AMOUNT
NOT TO EXCEED $104,307.68
This Agreement is made and entered into this 6 " day of Zee-EmALER, 2016, by
and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and PARK ENGINEERING, a
corporation authorized to do business in California (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, the services of an engineering management and design firm are needed for
projects associated with San Rafael's Capital Improvement Program (CIP); and
WHEREAS, CONTRACTOR has provided such services for previous CIP projects; and
WHEREAS, CONTRACTOR's services are needed to facilitate the City's City Owned
Property projects within the CIP.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION.
A. CITY'S Project Manager. The Director of Public Works is hereby designated the
PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects
of the progress and execution of this Agreement.
B. CONTRACTOR'S Project Director. CONTRACTOR shall assign a single
PROJECT DIRECTOR to have overall responsibility for the progress and execution of this
Agreement for CONTRACTOR. Jamine Park is hereby designated as the PROJECT DIRECTOR
for CONTRACTOR. Should circumstances or conditions subsequent to the execution of this
Agreement require a substitute PROJECT DIRECTOR, for any reason, the CONTRACTOR shall
notify the CITY within ten (10) business days of the substitution.
2. DUTIES OF CONTRACTOR.
CONTRACTOR shall perform the duties and/or provide services as described in Exhibits
A, attached to this Agreement and incorporated herein.
3. DUTIES OF CITY.
CITY shall pay the compensation as provided in Paragraph 4, and perform the duties as
described in Exhibits A.
4. COMPENSATION.
For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR the compendsation detailed in Exhibit B, attached hereto and incorporated
herein by reference, in a total contract amount not to exceed $104,307.68, including expenses.
Payment will be made monthly upon receipt by PROJECT MANAGER of itemized
invoices submitted by CONTRACTOR.
5. TERM OF AGREEMENT.
The term of this Agreement shall be for one (1) year commencing on December 6, 2016 and
ending on December 5, 2017. Upon mutual agreement of the parties, and subject to the approval of
the City Manager the term of this Agreement may be extended for an additional period of up to two
(2) year(s).
6. TERMINATION.
A. Discretionary. Either party may terminate this Agreement without cause upon
thirty (30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days
written notice mailed or personally delivered to the other party, and the notified party's failure to
cure or correct the cause of the termination, to the reasonable satisfaction of the party giving such
notice, within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall
incur additional obligations under any provision of this Agreement without the prior written consent
of the other.
D. Return of Documents. Upon termination, any and all CITY documents or
materials provided to CONTRACTOR and any and all of CONTRACTOR's documents and
materials prepared for or relating to the performance of its duties under this Agreement, shall be
delivered to CITY as soon as possible, but not later than thirty (30) days after termination.
7. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the CONTRACTOR in connection with
the performance of its duties under this Agreement, shall be the sole property of CITY. CITY may
use said property for any purpose, including projects not contemplated by this Agreement.
8. INSPECTION AND AUDIT.
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by CONTRACTOR in connection
with its performance of its duties under this Agreement. CONTRACTOR shall fully cooperate
with CITY or its agent in any such audit or inspection.
9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations hereunder, without the prior written consent of
the other party, and any attempt to so assign this Agreement or any rights, duties or obligations
arising hereunder shall be void and of no effect.
10. INSURANCE.
A. Scope of Coverage. During the term of this Agreement, CONTRACTOR shall
maintain, at no expense to CITY, the following insurance policies:
1. A commercial general liability insurance policy in the minimum amount of
one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for
death, bodily injury, personal injury, or property damage.
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million dollars ($1,000,000) dollars per occurrence.
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the minimum amount
of two million dollars ($2,000,000) per occurrence/four million dollars ($4,000,000) aggregate, to
cover any claims arising out of the CONTRACTOR's performance of services under this
Agreement. Where CONTRACTOR is a professional not required to have a professional license,
CITY reserves the right to require CONTRACTOR to provide professional liability insurance
pursuant to this section.
4. If it employs any person, CONTRACTOR shall maintain worker's
compensation and employer's liability insurance, as required by the State Labor Code and other
applicable laws and regulations, and as necessary to protect both CONTRACTOR and CITY
against all liability for injuries to CONTRACTOR's officers and employees. CONTRACTOR'S
worker's compensation insurance shall be specifically endorsed to waive any right of subrogation
against CITY.
B. Other Insurance Requirements. The insurance coverage required of the
CONTRACTOR in subparagraph A of this section above shall also meet the following
requirements:
1. Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, employees, and volunteers, as
additionally named insureds (for both ongoing and completed operations) under the policies.
2. The additional insured coverage under CONTRACTOR'S insurance
policies shall be primary with respect to any insurance or coverage maintained by CITY and shall
not call upon CITY's insurance or self-insurance coverage for any contribution. The "primary and
noncontributory" coverage in CONTRACTOR'S policies shall be at least as broad as ISO form
CG20 0104 13.
3. Except for professional liability insurance, the insurance policies shall
include, in their text or by endorsement, coverage for contractual liability and personal injury.
4. The insurance policies shall be specifically endorsed to provide that the
insurance carrier shall not cancel, terminate or otherwise modify the terms and conditions of said
insurance policies except upon ten (10) days written notice to the PROJECT MANAGER.
5. If the insurance is written on a Claims Made Form, then, following
termination of this Agreement, said insurance coverage shall survive for a period of not less than
five years.
6. The insurance policies shall provide for a retroactive date of placement
coinciding with the effective date of this Agreement.
7. The limits of insurance required in this Agreement may be satisfied by a
combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall
contain or be endorsed to contain a provision that such coverage shall also apply on a primary and
noncontributory basis for the benefit of CITY (if agreed to in a written contract or agreement)
before CITY'S own insurance or self-insurance shall be called upon to protect it as a named
insured.
8. It shall be a requirement under this Agreement that any available insurance
proceeds broader than or in excess of the specified minimum insurance coverage requirements
and/or limits shall be available to CITY or any other additional insured party. Furthermore, the
requirements for coverage and limits shall be: (1) the minimum coverage and limits specified in this
Agreement; or (2) the broader coverage and maximum limits of coverage of any insurance policy or
proceeds available to the named insured; whichever is greater.
C. Deductibles and SIR'S. Any deductibles or self-insured retentions in
CONTRACTOR's insurance policies must be declared to and approved by the PROJECT
MANAGER and City Attorney, and shall not reduce the limits of liability. Policies containing any
self-insured retention (SIR) provision shall provide or be endorsed to provide that the SIR may be
satisfied by either the named insured or CITY or other additional insured party. At CITY's option,
the deductibles or self-insured retentions with respect to CITY shall be reduced or eliminated to
CITY's satisfaction, or CONTRACTOR shall procure a bond guaranteeing payment of losses and
related investigations, claims administration, attorney's fees and defense expenses.
D. Proof of Insurance. CONTRACTOR shall provide to the PROJECT
MANAGER or CITY'S City Attorney all of the following: (1) Certificates of Insurance
evidencing the insurance coverage required in this Agreement; (2) a copy of the policy
declaration page and/or endorsement page listing all policy endorsements for the commercial
general liability policy, and (3) excerpts of poliev language or specific endorsements
evidencing the other insurance requirements set forth in this ALreement. CITY reserves the
right to obtain a full certified copy of any insurance policy and endorsements from
CONTRACTOR. Failure to exercise this right shall not constitute a waiver of the right to
exercise it later. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
11. INDEMNIFICATION.
A. Except as otherwise provided in Paragraph B., CONTRACTOR shall, to the
fullest extent permitted by law, indemnify, release, defend with counsel approved by CITY, and
hold harmless CITY, its officers, agents, employees and volunteers (collectively, the "City
Indemnitees"), from and against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including but not limited to attorney's fees, expert fees and all other costs and fees of
litigation, (collectively "CLAIMS"), arising out of CONTRACTOR'S performance of its
obligations or conduct of its operations under this Agreement. The CONTRACTOR's
obligations apply regardless of whether or not a liability is caused or contributed to by the active
or passive negligence of the City Indemnitees. However, to the extent that liability is caused by
the active negligence or willful misconduct of the City Indemnitees, the CONTRACTOR's
indemnification obligation shall be reduced in proportion to the City Indemnitees' share of
liability for the active negligence or willful misconduct. In addition, the acceptance or approval
of the CONTRACTOR's work or work product by the CITY or any of its directors, officers or
employees shall not relieve or reduce the CONTRACTOR's indemnification obligations. In the
event the City Indemnitees are made a party to any action, lawsuit, or other adversarial
proceeding arising from CONTRACTOR'S performance of or operations under this
Agreement, CONTRACTOR shall provide a defense to the City Indemnitees or at CITY'S
option reimburse the City Indemnitees their costs of defense, including reasonable attorneys'
fees, incurred in defense of such claims.
B. Where the services to be provided by CONTRACTOR under this Agreement are
design professional services to be performed by a design professional as that term is defined
under Civil Code Section 2782.8, CONTRACTOR shall, to the fullest extent permitted by law,
indemnify, release, defend and hold harmless the City Indemnitees from and against any
CLAIMS that arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct of CONTRACTOR in the performance of its duties and obligations under this
Agreement or its failure to comply with any of its obligations contained in this Agreement,
except such CLAIM which is caused by the sole negligence or willful misconduct of CITY.
C. The defense and indemnification obligations of this Agreement are undertaken in
addition to, and shall not in any way be limited by, the insurance obligations contained in this
Agreement, and shall survive the termination or completion of this Agreement for the full period
of time allowed by law.

12. NONDISCRIMINATION.
CONTRACTOR shall not discriminate, in any way, against any person on the basis of age,
sex, race, color, religion, ancestry, national origin or disability in connection with or related to the
perfonnance of its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS.
CONTRACTOR shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under this
Agreement. CONTRACTOR shall perform all services under this Agreement in accordance with
these laws, ordinances, codes and regulations. CONTRACTOR shall release, defend, indemnify
and hold harmless CITY, its officers, agents and employees from any and all damages, liabilities,
penalties, fines and all other consequences from any noncompliance or violation of any laws,
ordinances, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES.
CITY and CONTRACTOR do not intend, by any provision of this Agreement, to create in
any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.
15. NOTICES.
All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the
parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or
if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given as

16. INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, CONTRACTOR, its officers,
agents and employees shall act in the capacity of an Independent Contractor, and not as employees
of the CITY. CONTRACTOR and CITY expressly intend and agree that the status of
CONTRACTOR, its officers, agents and employees be that of an Independent Contractor and not
that of an employee of CITY.
17. ENTIRE AGREEMENT -- AMENDMENTS.
A. The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with respect to the
subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject
matter of this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified except
by a written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the
terms and conditions of the attached exhibits or the documents expressly incorporated by reference,
the terms and conditions of this Agreement shall control.
18. SET-OFF AGAINST DEBTS.
CONTRACTOR agrees that CITY may deduct from any payment due to
CONTRACTOR under this Agreement, any monies which CONTRACTOR owes CITY under
any ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments,
unpaid checks or other amounts.
19. WAIVERS.
The waiver by either party of any breach or violation of any term, covenant or condition of
this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any
other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or
violation of the same or other term, covenant, condition, ordinance, law or regulation. The
subsequent acceptance by either party of any fee, perfonnance, or other consideration which may
become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding
breach or violation by the other party of any term, condition, covenant of this Agreement or any
applicable law, ordinance or regulation.
20. COSTS AND ATTORNEY'S FEES.
The prevailing party in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the perfonnance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE / OTHER TAXES.
CONTRACTOR shall obtain and maintain during the duration of this Agreement, a CITY
business license as required by the San Rafael Municipal Code CONTRACTOR shall pay any and
all state and federal taxes and any other applicable taxes. CITY shall not be required to pay for any
work performed under this Agreement, until CONTRACTOR has provided CITY with a
completed Internal Revenue Service Form W-9 (Request for Taxpayer Identification Number and
Certification).
22. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.

Engineering Services for Various Projects
Dear Mr. McGowan:
Park Engineering, Inc. is well qualified and highly motivated to provide Engineering Services
to the City of San Rafael for various projects outlined in the Request for Proposal. Park
Engineering has performed project management and construction management for
numerous public works agencies including the City of San Rafael, Contra Costa County, and
City of Pleasant Hill for local, special grant and federal funded projects and has the personnel
with the experience and expertise to successfully complete projects for the City of San
Rafael.
As Principal in Charge, I will be the main contact with the City for technical and
contractual issues, and will be responsible for providing the City with the appropriate
Park Engineering Team resources for completing City projects. Having managed

Providing quality service to the community is the
goal for public works departments and there are
many challenges that come with this
responsibility. We understand that the City
Engineer has to answer to elected officials,
oversight and permitting agencies, and third
party funding sources. We also understand the
public relations pressures on visible public
improvements projects and that public
perception can make the difference to the
success of a project. At Park Engineering, our
project managers take ownership in the projects
and act in the City's best interest to manage
projects to successful completion.
We understand this contract will provide project
management services to the City for facilities,
parks and building repair projects. The project
manager will be expected to follow City
procedures and be an extension of City staff as
the project manager responsible for planning,
designing, bidding and constructing the projects.
This will include directing the work of other
consultants, construction managers, architects,
general contractors, and other City staff or
departments. The project manager will also act
as the liaison and technical expert to City staff on
the various projects listed in the RFP.
Projects will include park and city -owned
building improvement projects. Building projects
will include new construction, renovations,
remodels, and tenant improvements. Site and
infrastructure projects will include park,
playground and landscaping improvements.
Building and facility projects may be funded by a
combination of funding sources. Park
Engineering's project managers are
knowledgeable of and have experience
managing the allocation of funds and reporting
in accordance with local grant program and
funding guidelines.
Our project managers have the knowledge and
expertise needed to complete the projects for
the City. Some of the key characteristics of a
successful project manager are being able to

Replacement Project included the installation of
new hardwood flooring material on top of the
existing flooring, approximately 5,000 square feet
of new flooring. The work involved sanding and
preparing the existing auditorium floor and
installing the new material. All flooring
installation work was done in one week while the
auditorium was closed to minimize impact to the

2nd Street and Lindaro Street Bridges — Deck
Methacrylate Project
Value: $30,000; Duration: 10 Working Days
The City's bridges are reviewed by Caltrans in
accordance with Title 23 of the Code of Federal
Regulation (Federal Highway Act) and the
National Bridge Inspection Standards (NBIS).
Caltrans Structure Maintenance and
Investigations performed a routine inspection on
the 2nd Street Bridge at Irwin Creek in July of 2011
and on the Lindaro Street Bridge at Mahon Creek
in August 2009. Based on these reviews, this
Deck Rehabilitation Project was initiated to treat
and seal the deck cracks with methacrylate. The
work involved stripe removal, preparing the
existing bridge deck, applying methacrylate, and
final striping. All work was done at night because
of traffic restriction for lane closures within the
City; final striping was delayed one week to allow
methacrylate material to cure. Park Engineering
provided project management for the project,
which included developing project plans and
specifications. Park Engineering advertised and
selected the low bid contractor for the work,
Peterson -Chase Engineering, then managed the
construction of the project by providing resident
engineering and construction inspection
services. Park Engineering prepared the staff
report for award to City Council, tracked the
construction progress and prepared the staff
report to City Council for acceptance of the
project at completion that included general
project information and a summary of moneys
spent.
Fire Station 1 Driveway Replacement Project
Value: $50,000; Duration: 15 Working Days
This project was initiated to meet ADA
requirements at this Fire Station. Improvements
to the existing driveway, sidewalk, apron, curb
and gutter were necessary and consisted of
removing existing driveway and replacing with a
new driveway, sidewalk, apron and
gutter. Where the new sidewalk conformed to
the existing sidewalk at each end of the work, the
existing sidewalk conditions may or may not meet
ADA requirements, due to the slope of the
existing roadway and sidewalk. Per the City's
policy if the required ADA slope cannot be
achieved, the maximum conform distance of 15 -
feet from the new construction was included in

by constructing the full width of the driveway at
one time, instead of in two stages as designed;
this change was initiated by the Fire Department

Maggiora & Ghilotti, then managed the
construction of the project by providing resident
engineering and construction inspection
services. Park Engineering prepared the staff
report for award to City Council, tracked the
construction progress and prepared the staff

Fire Station Apparatus Bay Heater Replacement
Value: $20,000; Duration: 10 Working Days
This project was initiated by Fire Department
personnel to replace the non -operational heater
units located within three fire station's apparatus
bay; the area has been developed for joint use of
equipment storage and the station's recreational
area for the firemen. Only three of the seven
stations within the City required the work. Work
consisted of removing the existing, some even
non -operational, heaters and re -installing with
more efficient units; heater units were now also
tied to one thermostat to control the two heater.
All work was performed in two weeks and
minimized impact to the Fire Department staff.
Park Engineering advertised and selected the low
bid contractor for the work, One Hour Heating &
AC, then managed the construction of the project
by providing resident engineering and
construction inspection services. Park
Engineering prepared the staff report for award
to City Council, tracked the construction progress
and prepared the staff report to City Council for
acceptance of the project at completion that
included general project information and a
summary of moneys spent.
Fire Station Speaker Replacement
Value: $25,000; Duration: 20 Working Days
This project was initiated by Fire Department
personnel to replace the non -operational and/or
inaudible speaker units located throughout the
station for all seven in the City. As each station is
different, the replacement/ upgrade will require
different levels of work at each of the stations.
Currently, only one station is set for the
improvement, but the six others will soon be
performed, likely three stations for two more bids.
Work consists of removing the existing, some even
non -operational, speaker and amplifier system and
re -installing with more effective and audible units.
As this work will impact an Emergency Response
service, the work will be closely coordinated with
Marin County's Communication Division, who is
responsible for managing & maintaining the
emergency notifications for the County. All work
will be staged and provide temporary speakers to
ensure Emergency Responses are maintained;
close coordination with Marin County
Communication personnel will be necessary to
complete the work without interruption. Park
Engineering advertised and selected the low bid
contractor for the work, Ho-Zapps Electric, then
managed the construction of the project by
providing resident engineering and construction
inspection services; additional contracts will be
developed for the remaining stations. Park
Engineering prepared the staff report for award to
City Council, currently monitoring the construction

Fire Station Drill Tower Repair Project
Value: $40,000; Duration: 25 Working Days
This project was initiated by Fire Department
personnel to repair the exterior damage to the
City Drill Tower facility where multiple fire
departments within Marin County train on various
scenarios. Work consists of repairing exterior
stucco and painting the structure, but will also re -
secure the existing fire escape and pipe stand
attached to the tower. All work will be sequenced
to meet the training schedule of the fire
department. Park Engineering worked with North
Bay Inspection Services to determine the level
and methods of repair. The project is currently
advertised and the low bid contractor will be
selected for the work, provided all City
contractual requirements are met. Park
Engineering prepared the staff report for award
to City Council, will monitor the construction
progress and will prepare the staff report to City
Council for acceptance of the project at
completion that will include general project
information and a summary of moneys spent.
Canal Street Storm Water Pump Station Repair
Project
Value: $120,000; Duration: 25 Working Days
This project replaced an existing pump support
beam that was significantly deteriorated and
installed new portions of outfall pipes. Prior to
construction, a change was initiated to replace
the entire run of outfall pipe and existing flap
gates because of the failing condition; this change
more than doubled the original cost of the
contract. Close coordination was required with
the City's Streets & Maintenance Division for
removal of the existing pumps to perform the
improvement work; Maintenance took advantage
of the removal and sent the three pumps for
servicing, one was beyond repair and still has not
been reinstalled. Park Engineering worked with
CSW Stuber-Stroeh for final project delivery and
advertisement, the low bid contractor, Michael
Paul Company, was selected for the work, which
is currently ongoing and pending the return of the
third pump from maintenance. Park Engineering
assisted in the preparation of the staff report for
award to City Council, currently is monitoring the
construction progress by providing resident
engineering and construction inspection services
and will prepare the staff report to City Council
for acceptance of the project at completion that

H Street Roadway Improvement Project
Value: $2,000,000; Duration: 75 Working Days
This project was initiated by the Public Works
Department to replace the failing, existing storm
drain pipes that run down the middle of H Street;
failed pavement section have occurred in recent
months. Work consists of relocating and
upgrading the existing sanitary sewer main,
installation of twin 36 -inch storm drain pipes,
improving a number of existing curb ramps to
ADA requirements and replacing the entire
roadway paving through the work zone. The work
began last fall, but encountered a conflict with
existing PG&E services that delayed the progress
of the work and led to a winter suspension for the
project. Park Engineering worked with CSW
Stuber-Stroeh for final project delivery and
advertisement, the low bid contractor, Ghilotti
Construction, was selected for the work, which is
currently ongoing and pending the return of dry
weather to resume the work. Park Engineering
assisted in the preparation of the staff report for
award to City Council, currently is providing
resident engineering and construction inspection
services and will prepare the staff report to City
Council for acceptance of the project at
completion that will include general project

B Street Community Center Siding Replacement
Value: $65,000; Duration: 30 Working Days
This project involves the removal of the existing
wood shake, decorative shingle around the
perimeter and on all sides of the auditorium rise
for the Community Center. The existing material is
at the end of its functional life with different levels

work performed. Park Engineering worked with
North Bay Inspection Services to determine the
level and methods of replacement / repair, the

a change has been initiated to modify the type of
material to be installed. Once the decision is made
with the Director, the bid due date will be finalized
and the low bid contractor will be selected for the
work, provided all City contractual requirements

report to City Council for acceptance of the project

1309 51h Ave Demo & Parking Lot Construction
Value: $240,000; Duration: 40 Working Days
This project involves the demolition of an existing
residence that was purchased by the City, located
near a number other City -owned building. After
demolition, the area will be graded to create a
new parking lot for use by City vehicles. Work
consists of demolishing the existing home,
detached garage, foundation, vegetation and
utilities; adding new drainage, base material, hot
mix asphalt, pavement delineation, concrete
flatwork and chain link fencing. The City also
plans to use the property for various emergency
response drills prior to the complete demolition.
The project is currently being designed by Park
Engineering with input from City staff,
construction is anticipated to begin by May of
2015. The project will be advertised and the low
bid contractor will be selected for the work,
provided all City contractual requirements are
met. Park Engineering will assist in the
preparation of the staff report for award to City
Council, will provide resident engineering and
construction inspection services to monitor the
construction progress and will prepare the staff
report to City Council for acceptance of the

Terra Linda Pool House Renovation Project
Value: $700,000; Duration: 100 Working Days
This project was initiated by the City's Community
Services Division to renovate the existing Pool
House facility, which is nearing the end of its
functional use and in need of significant
improvements. Work consists of a complete
remodel of the men's and women's locker rooms,
upgrading to current building codes and standard;
replace the existing roof; construct a new meeting
/ class room at the north end of the existing
building. All work will occur during the winter
when the pool is closed for the season to
eliminate impact to the public. Park Engineering
worked with Kappe + Du Architects for final
project delivery and advertisement. The low bid
contractor, Murray Building, was selected for the
work, which will begin in October of 2015 and

This project was initiated by City's Parking
Services Division to evaluate the condition of the
four existing parking structures owned by the
City, used for public parking. Work consisted of
developing a Request for Proposals from Design
firms to perform the evaluation of the parking
structures to meet current ASCE Title 31
requirements, Seismic Evaluation of Existing
Buildings. Park Engineering assisted review of
proposals, developed interview questions and
participated in the interview selection process.
The most qualified firm was determined,
Martin/Martin, and the study was performed,
with Park Engineering acting as the project
manager of the Design firm, while coordinating
with Public Works and Parking Services personnel.
The study completed and a final presentation was
made of the findings. Park Engineering is
currently working with Public Works to determine
the next step for funding of the design, and
eventual construction, work to correct the
deficiencies discovered by the study; the Study
work is now complete. Park Engineering assisted

Application of micro -surface treatment to 21
miles of roadway on ten roads at seven separate

compliance, cosmetic repairs to decorative crosswalks, installation of decorative lighting and a new
traffic signal.
• Countywide Microsurfacing Project — Contra Costa County, CA
Steve was the Resident Engineer for the County on this $2 million project. The project scope
included: applying micro -surface treatment to 21 miles of roadway on ten roads at seven separate
locations. Work will include surface preparation, stripe removal, and placement of thermoplastic
striping. Three roads are to be restriped and signed for Class II bike lanes. This project will help
prolong the usable life of each road.
• Marin High Occupancy Vehicle (HOV) Widening, Segments 3 & 4—Caltrans, District 4, San Rafael, CA
The Marin High Occupancy Vehicle (HOV) Widening provided highway widening through central San
Rafael to "close the gap" in the HOV lane from the Golden Gate Bridge to the end of Marin County. The
Project scope included: widening US -101; constructing multiple retaining and sound walls; and
constructing multi -use pathways and relocated existing SMART rail facilities. The projects' construction
costs were $52 and 56 million. As District Representative and Resident Engineer, Steve was responsible
for managing the overall construction project.
• Fort Ross Road Slide Repair— County of Sonoma, Cazadero, CA
Resident Engineer for a $600,000 project that included: repairing a landslide, adding drainage and
reconstructing the roadway back to its original condition located along a section of Fort Ross Road;
stabilizing the slope on the south side of the roadway; installing a drained embankment of
engineered fill; installing back -wall drainage elements; disposing of slide material to a haul site
assigned by the County; and removing and repairing slide impacted areas of the existing roadway
section.
• Redwood Landfill Access Overcrossing - Waste Management, Inc., Novato, CA
Resident Engineer for this privately -funded access overcrossing project totaling $6 million that
increased the safety of accessing the Redwood Landfill and Recycling Facility. The project scope
included constructing a new overcrossing structure, US 101 highway widening improvements, Local
access improvements and relocation of a large waterline.
• Santa Clara Valley Transportation Authority (VTA), San Jose, CA
Mission Blvd/Warren Ave/Freight Rail Relocation Program Project
Steve was the Resident Engineer on these improvement projects, totaling $52.5 million, that
prepared the corridor for BART's Silicon Valley/ Berryessa Extension, which will extend BART 16 -miles
from the BART Warm Springs Station in Fremont and proceeds on the former Union Pacific Railroad
(UPRR) right-of-way through Milpitas to San Jose.
• East Hillsdale Bridge Seismic Retrofit - City of San Mateo, San Mateo, CA
Mr. Patterson was the Resident Engineer for this federally -funded $4.3 million project. The project
was part of the State of California Hazardous Bridge Repair & Replacement Program. The work
installed 48 -inch cast -in -steel -shell outboard piles and post -tensioned bent cap strengthening and
required extensive traffic handling and coordination to create work area necessary to perform the
retrofit work.

Resident Engineer and Structures Representative providing construction inspection and contract
administration for the construction of maintenance repairs for six bridges throughout the City that

Diamond Blvd Over Walnut Creek — Left, Diamond Blvd Over Walnut Creek — Right, Cowell Road Over

• City of Antioch - Wilbur Avenue Bridge Overcrossing
Structure Representative for this $11 million project that widened the existing Wilbur Avenue Bridge
and adjacent roadway between Minaker Drive to approximately 1000 feet east of the existing Wilber
Avenue Overcrossing. The project spans over two live rail lines operated by Burlington Northern
Santa Fe Railroad (BNSF) which are also utilized by Amtrak for passenger rail service. The project was
a federally funded Highway Bridge Replacement and Rehabilitation (HERR) project that was
constructed to Caltrans Standards. For the widening, new MSE Wall was constructed and the bridge
supported by steel girders and pipe columns, with H -Piles for the bell type footings.
• San Francisco County Transportation Authority —Yerba Buena island 1-80 Interchange Improvements
This project $49.3 million project constructed the new on and off ramps from the new Single -
Anchored Suspended portion of the Bay Bridge to Yerba Buena Island. The work involved close
coordination with Caltrans personnel and other projects. Work utilized complicated falsework with
historical buildings and environmental concerns. Inderjit was Structure Materials Representative and
responsible for performing source inspection for various items of work as required by Contract
Special Provisions. His duties included Assisted Resident Engineer and Structure Representative tasks

• Contra Costa County Transportation Authority - Sand Creek IC/ Four -Lane Widening Project
This project included four new bridges (cast in place box girder as well as precast girders of varying
skew and widths) along with 2.5 miles of new roadway alignment. Inderjit assisted in preparing the
Source Inspection Quality Management Plan (SIQMP), which was reviewed and approved by Caltrans.
Working as Structure Materials Representative on this project to assist Resident Engineer and
Structure Representative for the source inspections on various items on this Contract (especially
Concrete Piles, Precast Girders, Steel Pipe Piles, Sign Structures, Welded Hoops and Galvanizing to
state a few of the items).
• High Street Separation and OH (Replace), Oakland, CA
Structure Representative for $55 million project that included replacement of High Street Viaduct on 1-
880 and constructed new on-ramp bridge to NB 1-880, demolished existing bridges, constructed Type 1
retaining walls, sign structures and pump house with storage tank. Inderjit was responsible for
administering High Street Bridge, which is supported on 8ft. diameter CIDH piles with columns as
extension of these piles, and bridge supported on these columns with bent caps. Inderjit reviewed and
approved submittals for Pile Placement Plan, falsework erection and removal plans, demolition plan,
shoring plan, column guying plan, concrete mix designs. Inderjit attended weekly progress meeting with
the contractor; worked closely with designer to ensure RFI's were answered in timely manner; prepared
change orders for all the structure related work; and assisted Resident Engineer with traffic controls.
• Route 238 Widening from 1-580 to 1-880 in San Leandro and Castro Valley, CA
Structure Representative for this $98 million project that widened Route 238 and constructed
auxiliary lanes with wide shoulders on each side. Construction included 13 retaining walls (MSE, Type
1 on Spread Footings as well as on footings with driven piles) to incorporate the widening of the
freeway. Six of the existing bridges were widened, and two were completely replaced. This project
also had new sound walls constructed along the widening, Sign Structures, RC Box Structure and
ramp metering. One of the bridges widening (Kent Ave. OH) was over the UPRR Railroad as well as
BART Tracks, another bridge replacement (Clark Ave. OH) was completely over UPRR Tracks, two
other bridge widening and replacement (Mission Blvd. IC and Castro Valley Blvd. OC) structures were
adjacent to BART Tracks.
• MacArthur Bridge Widening, Oakland, CA
Structure Representative for $5 million project that consisted of widening MacArthur Freeway -Route
580 in Oakland/ Emeryville and realign the existing on ramp to 580/ 80. The bridge was constructed
on precast girders and the foundations were spread footing supported on driven concrete piles
except for five Bents where the columns were extension of 5' diameter CIDH Piles. One of the
footing was in close proximity of high pressure gas main so the footing was revised to keep 15 feet
away from the gas main, as requested by PG&E.
Caltrans, Various Projects, Bay Area, CA
Structures Representative on several projects in District 4. He was responsible for demolition of
existing bridges and construction of new bridges. Inderjit reviewed falsework for all the bridge along
with shoring systems, and column guying. He inspected falsework erection and removals, sound

Livermore Village, Livermore, CA — Project Manager. Livermore Village is a multi -story, mixed-use
redevelopment project in the heart of Downtown Livermore. The total site area is 5.5 acres and is
identified as a "Catalyst Site" under the Downtown Specific Plan. The proposed project is comprised
of approximately 281 residential dwelling units in courtyard- and townhome-style buildings,
approximately 6,015 square feet of commercial space, 4,010 square feet of artist
facilities/community space, and 48,182 square feet of public open space in the form of a central
public green, courtyards, and multiple pedestrian plazas and paseos.
Santa Rosa Transit Mall Revitalization and Wayfinding and Connectivity Project, Santa Rosa, CA —
Project Manager. The Santa Rosa Transit Mall is a regional hub for 14 transit operators (5 regional)
serving the greater Bay Area and Northern California. Its ridership currently boasts over 6,000
passengers per day, and spans across generations and destinations — from seniors accessing nearby
housing and medical facilities to youths traveling to local high schools and colleges. The Transit Mall
is also a gateway to nearby recreational and cultural amenities, including famed Courthouse Square

AGREEMENT FOR PROFESSIONAL SERVICES
FOR TEMPORARY STAFF ASSISTANCE WITH PARK ENGINEERING IN AN AMOUNT
NOT TO EXCEED $104,307.68
This Agreement is made and entered into this day of . 2016, by
and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and PARK ENGINEERING, a
corporation authorized to do business in California (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, the services of an engineering management and design firm are needed for
projects associated with San Rafael's Capital Improvement Program (CIP); and
WHEREAS, CONTRACTOR has provided such services for previous CIP projects; and
WHEREAS, CONTRACTOR's services are needed to facilitate the City's City Owned
Property projects within the CIP.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION.
A. CITY'S Project Manager. The Director of Public Works is hereby designated the
PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects
of the progress and execution of this Agreement.
B. CONTRACTOR'S Project Director. CONTRACTOR shall assign a single
PROJECT DIRECTOR to have overall responsibility for the progress and execution of this
Agreement for CONTRACTOR. Jamine Park is hereby designated as the PROJECT DIRECTOR
for CONTRACTOR. Should circumstances or conditions subsequent to the execution of this
Agreement require a substitute PROJECT DIRECTOR, for any reason, the CONTRACTOR shall
notify the CITY within ten (10) business days of the substitution.
2. DUTIES OF CONTRACTOR.
CONTRACTOR shall perform the duties and/or provide services as described in Exhibits
A, attached to this Agreement and incorporated herein.
3. DUTIES OF CITY.
CITY shall pay the compensation as provided in Paragraph 4, and perform the duties as
described in Exhibits A.
4. COMPENSATION.
For the full performance of the services described herein by CONTRACTOR, CITY shall
pay CONTRACTOR the compendsation detailed in Exhibit B, attached hereto and incorporated
herein by reference, in a total contract amount not to exceed $104,307.68, including expenses.
Payment will be made monthly upon receipt by PROJECT MANAGER of itemized
invoices submitted by CONTRACTOR.
5. TERM OF AGREEMENT.
The term of this Agreement shall be for one (1) year commencing on December 6, 2016 and
ending on December 5, 2017. Upon mutual agreement of the parties, and subject to the approval of
the City Manager the term of this Agreement may be extended for an additional period of up to two
(2) year(s).

A. Discretionary. Either party may terminate this Agreement without cause upon
thirty (30) days written notice mailed or personally delivered to the other parry.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days
written notice mailed or personally delivered to the other party, and the notified party's failure to
cure or correct the cause of the termination, to the reasonable satisfaction of the party giving such
notice, within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall
incur additional obligations under any provision of this Agreement without the prior written consent
of the other.
D. Return of Documents. Upon termination, any and all CITY documents or
materials provided to CONTRACTOR and any and all of CONTRACTOR's documents and
materials prepared for or relating to the performance of its duties under this Agreement, shall be
delivered to CITY as soon as possible, but not later than thirty (30) days after termination.
7. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the CONTRACTOR in connection with
the performance of its duties under this Agreement, shall be the sole property of CITY. CITY may
use said property for any purpose, including projects not contemplated by this Agreement.
8. INSPECTION AND AUDIT.
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by CONTRACTOR in connection
with its performance of its duties under this Agreement. CONTRACTOR shall fully cooperate
with CITY or its agent in any such audit or inspection.
9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations hereunder, without the prior written consent of
the other party, and any attempt to so assign this Agreement or any rights, duties or obligations
arising hereunder shall be void and of no effect.
10. INSURANCE.
A. Scope of Coverage. During the term of this Agreement, CONTRACTOR shall
maintain, at no expense to CITY, the following insurance policies:
I. A commercial general liability insurance policy in the minimum amount of
one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for
death, bodily injury, personal injury, or property damage.
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million dollars ($1,000,000) dollars per occurrence.
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the minimum amount
of two million dollars ($2,000,000) per occurrence/four million dollars ($4,000,000) aggregate, to
cover any claims arising out of the CONTRACTOR's performance of services under this
Agreement. Where CONTRACTOR is a professional not required to have a professional license,
CITY reserves the right to require CONTRACTOR to provide professional liability insurance
pursuant to this section.
4. If it employs any person, CONTRACTOR shall maintain worker's
compensation and employer's liability insurance, as required by the State Labor Code and other
applicable laws and regulations, and as necessary to protect both CONTRACTOR and CITY
against all liability for injuries to CONTRACTOR's officers and employees. CONTRACTOR'S
worker's compensation insurance shall be specifically endorsed to waive any right of subrogation
against CITY.
B. Other Insurance Requirements. The insurance coverage required of the
CONTRACTOR in subparagraph A of this section above shall also meet the following
requirements:
Except for professional liability insurance, the insurance policies shall be
specifically endorsed to include the CITY, its officers, agents, employees, and volunteers, as
additionally named insureds (for both ongoing and completed operations) under the policies.
2. The additional insured coverage under CONTRACTOR'S insurance
policies shall be primary with respect to any insurance or coverage maintained by CITY and shall
not call upon CITY's insurance or self-insurance coverage for any contribution. The "primary and
noncontributory" coverage in CONTRACTOR'S policies shall be at least as broad as ISO form
CG20 0104 13.
3. Except for professional liability insurance, the insurance policies shall
include, in their text or by endorsement, coverage for contractual liability and personal injury.
4. The insurance policies shall be specifically endorsed to provide that the
insurance carrier shall not cancel, terminate or otherwise modify the terms and conditions of said
insurance policies except upon ten (10) days written notice to the PROJECT MANAGER.
5. If the insurance is written on a Claims Made Form, then, following
termination of this Agreement, said insurance coverage shall survive for a period of not less than
five years.
6. The insurance policies shall provide for a retroactive date of placement
coinciding with the effective date of this Agreement.
7. The limits of insurance required in this Agreement may be satisfied by a
combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall
contain or be endorsed to contain a provision that such coverage shall also apply on a primary and
noncontributory basis for the benefit of CITY (if agreed to in a written contract or agreement)
before CITY'S own insurance or self-insurance shall be called upon to protect it as a named
insured.
8. It shall be a requirement under this Agreement that any available insurance
proceeds broader than or in excess of the specified minimum insurance coverage requirements
and/or limits shall be available to CITY or any other additional insured party. Furthermore, the
requirements for coverage and limits shall be: (1) the minimum coverage and limits specified in this
Agreement; or (2) the broader coverage and maximum limits of coverage of any insurance policy or
proceeds available to the named insured; whichever is greater.
C. Deductibles and SIR's. Any deductibles or self-insured retentions in
CONTRACTOR's insurance policies must be declared to and approved by the PROJECT
MANAGER and City Attorney, and shall not reduce the limits of liability. Policies containing any
self-insured retention (SIR) provision shall provide or be endorsed to provide that the SIR may be
satisfied by either the named insured or CITY or other additional insured party. At CITY's option,
the deductibles or self-insured retentions with respect to CITY shall be reduced or eliminated to
CITY's satisfaction, or CONTRACTOR shall procure a bond guaranteeing payment of losses and
related investigations, claims administration, attorney's fees and defense expenses.
D. Proof of Insurance. CONTRACTOR shall provide to the PROJECT
MANAGER or CITY'S City Attorney all of the following: (1) Certificates of Insurance
evidencing the insurance coverage required in this Agreement; (2) a copy of the policy
declaration page and/or endorsement page listing all policy endorsements for the commercial
general liability policy, and (3) excerpts of policy language or specific endorsements
evidencing the other insurance requirements set forth in this Agreement. CITY reserves the
right to obtain a full certified copy of any insurance policy and endorsements from
CONTRACTOR. Failure to exercise this right shall not constitute a waiver of the right to
exercise it later. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
11. INDEMNIFICATION.
A. Except as otherwise provided in Paragraph B., CONTRACTOR shall, to the
fullest extent permitted by law, indemnify, release, defend with counsel approved by CITY, and
hold harmless CITY, its officers, agents, employees and volunteers (collectively, the "City
Indemnitees"), from and against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including but not limited to attorney's fees, expert fees and all other costs and fees of
litigation, (collectively "CLAIMS"), arising out of CONTRACTOR'S performance of its
obligations or conduct of its operations under this Agreement. The CONTRACTOR's
obligations apply regardless of whether or not a liability is caused or contributed to by the active
or passive negligence of the City Indemnitees. However, to the extent that liability is caused by
the active negligence or willful misconduct of the City Indemnitees, the CONTRACTOR's
indemnification obligation shall be reduced in proportion to the City Indemnitees' share of
liability for the active negligence or willful misconduct. In addition, the acceptance or approval
of the CONTRACTOR's work or work product by the CITY or any of its directors, officers or
employees shall not relieve or reduce the CONTRACTOR's indemnification obligations. In the
event the City Indemnitees are made a party to any action, lawsuit, or other adversarial
proceeding arising from CONTRACTOR'S performance of or operations under this
Agreement, CONTRACTOR shall provide a defense to the City Indemnitees or at CITY'S
option reimburse the City Indemnitees their costs of defense, including reasonable attorneys'
fees, incurred in defense of such claims.
B. Where the services to be provided by CONTRACTOR under this Agreement are
design professional services to be performed by a design professional as that term is defined
under Civil Code Section 2782.8, CONTRACTOR shall, to the fullest extent permitted by law,
indemnify, release, defend and hold harmless the City Indemnitees from and against any
CLAIMS that arise out of, pertain to, or relate to the negligence, recklessness, or willful
misconduct of CONTRACTOR in the performance of its duties and obligations under this
Agreement or its failure to comply with any of its obligations contained in this Agreement,
except such CLAIM which is caused by the sole negligence or willful misconduct of CITY.
C. The defense and indemnification obligations of this Agreement are undertaken in
addition to, and shall not in any way be limited by, the insurance obligations contained in this
Agreement, and shall survive the termination or completion of this Agreement for the full period
of time allowed by law.
12. NONDISCRIMINATION.
CONTRACTOR shall not discriminate, in any way, against any person on the basis of age,
sex, race, color, religion, ancestry, national origin or disability in connection with or related to the
performance of its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS.
CONTRACTOR shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under this
Agreement. CONTRACTOR shall perform all services under this Agreement in accordance with
these laws, ordinances, codes and regulations. CONTRACTOR shall release, defend, indemnify
and hold harmless CITY, its officers, agents and employees from any and all damages, liabilities,
penalties, fines and all other consequences from any noncompliance or violation of any laws,
ordinances, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES.
CITY and CONTRACTOR do not intend, by any provision of this Agreement, to create in
any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.
15. NOTICES.
All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the
parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or
if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given as

16. INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, CONTRACTOR, its officers,
agents and employees shall act in the capacity of an Independent Contractor, and not as employees
of the CITY. CONTRACTOR and CITY expressly intend and agree that the status of
CONTRACTOR, its officers, agents and employees be that of an Independent Contractor and not
that of an employee of CITY.
17. ENTIRE AGREEMENT -- AMENDMENTS.
A. The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with respect to the
subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject
matter of this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified except
by a written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the
terms and conditions of the attached exhibits or the documents expressly incorporated by reference,
the terms and conditions of this Agreement shall control.
18. SET-OFF AGAINST DEBTS.
CONTRACTOR agrees that CITY may deduct from any payment due to
CONTRACTOR under this Agreement, any monies which CONTRACTOR owes CITY under
any ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments,
unpaid checks or other amounts.
19. WAIVERS.
The waiver by either party of any breach or violation of any term, covenant or condition of
this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any
other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or
violation of the same or other term, covenant, condition, ordinance, law or regulation. The
subsequent acceptance by either party of any fee, performance, or other consideration which may
become due or owing under this Agreement, shall not be deemed to be a waiver of any preceding
breach or violation by the other party of any term, condition, covenant of this Agreement or any
applicable law, ordinance or regulation.
20. COSTS AND ATTORNEY'S FEES.
The prevailing parry in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE / OTHER TAXES.
CONTRACTOR shall obtain and maintain during the duration of this Agreement, a CITY
business license as required by the San Rafael Municipal Code CONTRACTOR shall pay any and
all state and federal taxes and any other applicable taxes. CITY shall not be required to pay for any
work performed under this Agreement, until CONTRACTOR has provided CITY with a
completed Internal Revenue Service Form W-9 (Request for Taxpayer Identification Number and
Certification).
22. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.
