RESOLUTION OF THE SAN RAFAEL CITY COUNCIL
APPROVING A CONTRACT AMENDMENT WITH
NICHOLS • BERMAN INC TO PREPARE AN
ENVIRONMENTAL IMPACT REPORT FOR THE
DOMINICAN COLLEGE MASTER PLAN.
WHEREAS, the California Environmental Quality Act requires environmental
review of the proposed Dominican College Master Plan; and
WHEREAS, the City and the consultant, Nichols • Berman Inc. entered into an
agreement on September 16, 1996 for the preparation of an
Environmental Impact Report (EIR) for the proposed project; and
WHEREAS, the consultant has begun preparing the visual analysis and in
consultation with Planning Department Staff has determined that
additional photomontages are necessary for complete review; and
WHEREAS, Section 15 of the contract allows an amendment to incorporate such
changes; and
WHEREAS, the consultant has prepared a summary of cost breakdowns in the
amount of $8.940.00 to cover the additional costs associated with the
additional photomontages; and
WHEREAS, the proposal has been reviewed and recommended for approval by
City Staff.
NOW, THEREFORE, BE IT RESOLVED, that the San Rafael City Council
accepts the proposal from Nichols • Berman Inc. for the preparation of
the revised scope of work.
BE IT FURTHER RESOLVED, that the City Manager is authorized to execute,
on behalf of the City of San Rafael, a Professional Services Agreement
Amendment, marked as Attachment "A", with Nichols • Berman for
said project.

FIRST AMENDMENT
PROFESSIONAL SERVICES AGREEMENT
This agreement is made and entered into this 2nd day of December, 1996,
between the City of San Rafael, a Municipal Corporation (hereinafter referred to
as "CITY") and Nichols • Berman Environmental Planning (hereinafter referred
to as "CONSULTANT").
A. RECITALS:
(i) WHEREAS, CITY and CONSULTANT entered into a Professional
Services Agreement dated September 16, 1996, for preparation of
an Environmental Impact Report (EIR) for the Dominican College
Master Plan ("Project"); and
(ii) WHEREAS, CITY desires to amend said Professional Services
Agreement to include additional services.
NOW, THEREFORE, it is agreed by and between CITY and CONSULTANT as
follows:
B. AGREEMENT
1. CONSULTANT shall perform additional services as necessary to
include preparation and analysis of visual simulations in "Prepare
Visual Simulations" section of the EIR as outlined in Exhibit "A" of
Attachment "A" hereto.
2. In consideration of CONSULTANT'S agreement to perform said
additional services, CITY agrees to pay CONSULTANT and
"Additional Payment" of $8,940.00, payable as follows:
(a) Sixty percent (60%) of "Additional Payment", $5,364.00
within fifteen (15) days of delivery of an administrative draft
EIR to CITY by CONSULTANT
(b) Forty percent (40%) of "Additional Payment", $3,576.00 within
fifteen (15) days of Planning Department approval of the Draft EIR.

As we have discussed it is recommended that our agreement with the City of San Rafael to prepare the
Dominican College Development Plan EIR be amended to expand the number of photomontages that are to
be prepared as a part of the visual analysis.
It is recommended that the discussion of the preparation of the photomontages on page 14 of our scope of
work be revised as follows:
Prepare visual simulations Prepare photomontages of the proposed project from sensitive
viewpoint locations, in order to compare the visibility and aesthetic character of the site under present
conditions ("before development") with simulations showing the approximate appearance of the
project ("after development"). Our budget provides for preparing a total
of 29 photomontages (nine "before development" and 20 "after development"). The photomontages, as

The cost to include this additional work in our scope -of -work is $8,940.00. This cost is broken down as
follows:
• Cost to produce additional photomontages:
$5,710.00 (one additional detailed simulation. five additional solid models, eight additional
simulations with transparent overlay [three detailed simulations and five solid models]) and three
additional detailed simulations with proposed landscaping after five years growth)
• Cost for visual analysis of additional photomontages:
$1,080.00 (24 hours of Nichols • Berman planner time [$45.00 per hour])
• Cost for printing of additional color photographs in 168 documents:
$2,150.00
Therefore, the total cost of the agreement is increased from $106,127.00 to $115,067.00.
