A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL ACCEPTING
THE PROPOSAL AND AUTHORIZING THE AGREEMENT FROM ROBERT BEIN,
WILLIAM FROST AND ASSOCIATES, INC. FOR PHASE I ENVIRONMENTAL
CONSULTING SERVICES (PRE -APPLICATION ENVIRONMENTAL REVIEW) FOR THE
MAHON CREEK CONCEPTUAL RESTORATION PLAN AND FAIR, ISAAC OFFICE
CAMPUS PROJECTS.
The City Council of the City of San Rafael finds and determines that:
WHEREAS, the California Environmental Quality Act will require environmental review of the
planned Mahon Creek Conceptual Restoration Plan and Fair Isaac Office Campus Projects, which are
anticipated to be initiated/filed in January 1997; and
WHEREAS, the Planning Department Staff of the City of San Rafael distributed Requests for
Qualifications for selection of an environmental consultant for these projects. A short list of three
environmental firms were selected for interviews; and
WHEREAS, following an interview process of a short-list of consultants, the firm of Robert
Bein, William Frost and Associates (RBF) was selected. RBF was requested to submit a two -phased
proposal for services. The Phase I proposal presents consultant services through the pre -application and
initial study process for these projects. Phase I services are proposed on a time and materials basis with a
maximum budget amount of $82,821.00 with additional services, not to exceed $14,560.00, to be
compensated on a time and material basis. Phase 11 services, which will cover the preparation of an
environmental impact report for these projects, will be addressed under a separate proposal and
agreement; and
WHEREAS, the proposal for Phase I services has been reviewed and recommended for approval
by City Staff.
NOW, THEREFORE, IT IS HEREBY RESOLVED that the City Manager is authorized to
execute, on behalf of the City of San Rafael, a Professional Services Agreement with Robert Bein,
William Frost and Associates (RBF) for said project, in the form attached as Attachment "A".

PROFESSIONAL SERVICES AGREEMENT
WITH ROBERT BEIN, WILLIAM FROST AND ASSOCIATES FOR PHASE I
ENVIRONMENTAL CONSULTING SERVICES (PRE -APPLICATION
ENVIRONMENTAL REVIEW) FOR THE MAHON CREEK CONCEPTUAL
RESTORATION PLAN AND THE FAIR, ISAAC OFFICE COMPLEX
This Agreement is made and entered into this sixteenth day of December 1996, by and
between the CITY OF SAN RAFAEL (hereinafter "CITY"), and Robert Bein, William Frost and
Associates (RBF) (hereinafter "CONTRACTOR").
RECITALS
WHEREAS, CITY issued a Request for Qualifications (RFQ) as part of the process of
selecting and hiring of an environmental consultant for the planned Mahon Creek Conceptual
Restoration Plan and the Fair, Isaac Office campus projects, a full, true and correct copy of which is
attached as EXHIBIT "A" and by reference made a part hereof; and,
WHEREAS, CONTRACTOR has submitted its Phase I proposal for the environmental
consulting services, which is attached as EXHIBIT `B" and incorporated by reference hereto; and
WHEREAS, CITY desires to retain CONTRACTOR to perform professional services
necessary to render advice and assistance to the CITY, CITY's Planning Commission, City Council
and staff in the pre -application and initial study phases of the project ; and
WHEREAS, CONTRACTOR represents that it is qualified to perform such services and is
willing to perform such professional services as hereinafter defined.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. DEFINITIONS.
The following definitions shall apply to the terms, except where the context of this Agreement
otherwise requires:
a) Project. The project consists of several contiguous, related projects and properties
in a 22 acre study area located in Downtown San Rafael. The study area is bounded
by Second Street to the north, B Street to the west, Andersen Drive and Mahon
Creek to the south and Highway 101 to the east. The related projects are described
as follows:
(1) Conceptual Restoration Plan for a Portion of Mahon Creek, a City -sponsored
creek enhancement commencing at B Street and terminating at Highway 101.

(2) Fair. Isaac Office Campus Develop_ ment, the privately -sponsored development
of 400,000-450,000 square foot office campus and associated uses and
improvements.
(3) Associated Lindaro Street Utilitv Underaroundins District, activation of a utility
undergrounding project which would coincide with the construction schedule of
the Fair, Isaac office campus.
These projects are currently in the preliminary design/pre-application phases.
b) Services. Such professional services as are necessary to be performed by
CONTRACTOR in order to assist in the preparation of a project description, project
objectives, Notice of Preparation and draft initial study, during the pre -application
and initial environmental assessment phases of the projects.
C) Commencement of Services. CONTRACTOR agrees to commence work upon
execution of this agreement.
d) Completion of Services. The date of completion of all phases of the Phase I work,
including any and all procedures, maps, surveys, and attendance by
CONTRACTOR at public hearings regarding the project as set forth in the Schedule
outlined in EXHIBIT "C", attached and incorporated by reference herein.
2. PROJECT COORDINATION.
A. CITY. The City Manager shall be the representative of the CITY for all
purposes under this Agreement. The Planning Director is hereby designated the PROJECT
MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects of the
progress and execution of this Agreement.
B. CONTRACTOR. CONTRACTOR shall assign a single PROJECT
DIRECTOR to have overall responsibility for the progress and execution of this Agreement for
CONTRACTOR. Laura Worthington -Forbes is hereby designated as the PROJECT DIRECTOR
for CONTRACTOR. Should circumstances or conditions subsequent to the execution of this
Agreement require a substitute PROJECT DIRECTOR for any reason, the CONTRACTOR shall
notify the CITY within ten (10) business days of the substitution.
3. DUTIES OF CONTRACTOR.
CONTRACTOR shall perform the duties and/or provide services as outlined in
EXHIBIT `B", Phase I Proposal for Services, attached and incorporated herein.
4. DUTIES OF CITY.
CITY shall perform the duties as outlined in EXHIBIT `B", Phase I Proposal for
Services, attached and incorporated herein.
5. COMPENSATION.
CITY shall pay CONTRACTOR on a time and material basis with a not -to -exceed
budget of $82.821.00, with additional services not to exceed $14.560.00, to be compensated on a

time and material basis.
Payment will be made monthly upon receipt by PROJECT MANAGER of itemized
invoices submitted by CONTRACTOR.
6. TERM OF AGREEMENT.
The term of this Agreement shall be for six (6) months commencing on December
16, 1996 and ending on ending on June 16, 1997. Upon mutual agreement of the parties, and
subject to the approval of the City Manager, the term of this Agreement shall be extended for an
additional period of three (3) months.
7. TERMINATION.
A. Discretionary. Either party may terminate this Agreement without cause
upon thirty (30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen
(15) days written notice mailed or personally delivered to the other parry, and the notified party's
failure to cure or correct the cause of the termination, to the reasonable satisfaction of the party
giving such notice, within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party
shall incur additional obligations under any provision of this Agreement without the prior written
consent of the other.
D. Return of Documents. Upon termination, any and all CITY documents or
materials provided to CONTRACTOR and any and all of CONTRACTOR's documents and
materials prepared for or relating to the performance of its duties under this Agreement, shall be
delivered to CITY as soon as possible, but not later than thirty
(30) days after termination.
8. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the CONTRACTOR in
connection with the performance of its duties under this Agreement, shall be the sole property of
CITY. CITY may use said property for any purpose, including projects not contemplated by this
Agreement.
9. INSPECTION AND AUDIT.
Upon reasonable notice, CONTRACTOR shall make available to CITY, or its
agent, for inspection and audit, all documents and materials maintained by CONTRACTOR in
connection with its performance of its duties under this Agreement. CONTRACTOR shall fully
cooperate with CITY or its agent in any such audit or inspection.
10. ASSIGNABIITY.
The parties agree that they shall not assign or transfer any interest in this Agreement

nor the performance of any of their respective obligations hereunder, without the prior written
consent of the other party, and any attempt to so assign this Agreement or any rights, duties or
obligations arising hereunder shall be void and of no effect.
11. INSURANCE.
A. During the term of this Agreement, CONTRACTOR shall maintain, at no
expense to CITY, the following insurance policies:
1. A comprehensive general liability insurance policy in the minimum
amount of one million ($1,000,000) dollars per occurrence for death, bodily injury, personal injury,
or property damage;
2. An automobile liability (owned, non -owned, and hired vehicles)
insurance policy in the minimum amount of one million ($1,000,000) dollars per occurrence;
3. If any licensed professional performs any of the services required to
be performed under this Agreement, a professional liability insurance policy in the minimum
amount of one million $1,000,000) dollars to cover any claims arising out of the
CONTRACTOR's performance of services under this Agreement.
B. The insurance coverage required of the CONTRACTOR by section 11. A.,
shall also meet the following requirements:
1. The insurance shall be primary with respect to any insurance or
coverage maintained by CITY and shall not call upon CITY's insurance or coverage for any
contribution;
2. Except for professional liability insurance, the insurance policies
shall be endorsed for contractual liability and personal injury;
3. Except for professional liability insurance, the insurance policies
shall be specifically endorsed to include the CITY, its officers, agents, employees, and volunteers,
as additionally named insured under the policies.
4. CONTRACTOR

5. The insurance policies shall provide that the insurance carrier shall
not cancel, terminate or otherwise modify the terms and conditions of said insurance policies except
upon thirty (30) days written notice to CITY's PROJECT MANAGER;
6. If the insurance is written on a Claims Made Form, then, following
termination of this Agreement, said insurance coverage shall survive for a period of not less than
five years;
7. The insurance policies shall provide for a retroactive date of

placement coinciding with the effective date of this Agreement;
8. The insurance shall be approved as to form and sufficiency by
PROJECT MANAGER and the City Attorney.
C. If it employs any person, CONTRACTOR shall maintain worker's
compensation and employer's liability insurance, as required by the State Labor Code and other
applicable laws and regulations, and as necessary to protect both CONTRACTOR and CITY
against all liability for injuries to CONTRACTOR's officers and employees.
D. Any deductibles or self-insured retentions in CONTRACTOR's insurance
policies must be declared to and approved by the PROJECT MANAGER and the City Attorney. At
CITY's option, the deductibles or self-insured retentions with respect to CITY shall be reduced or
eliminated to CITY's satisfaction, or CONTRACTOR shall procure a bond guaranteeing payment
of losses and related investigations, claims administration, attorney's fees and defense expenses.
12. INDEMNIFICATION.
CONTRACTOR shall indemnify, release, defend and hold harmless CITY, its
officers, agents, employees, and volunteers, against any claim, demand, suit, judgment, loss,
liability or expense of any kind, including attorney's fees and administrative costs, arising out of or
resulting in any way, in whole or in part, from any acts or omissions, intentional or negligent, of
CONTRACTOR or CONTRACTOR'S officers, agents and employees in the performance of
their duties and obligations under this Agreement."
13. NONDISCRUv NATION.
CONTRACTOR shall not discriminate, in any way, against any person on the basis
of age, sex, race, color, religion, ancestry, national origin or disability in connection with or related
to the performance of its duties and obligations under this Agreement.
14. COMPLIANCE WITH ALL LAWS.
CONTRACTOR shall observe and comply with all applicable federal, state and
local laws, ordinances, codes and regulations, in the performance of its duties and obligations under
this Agreement. CONTRACTOR shall perform all services under this Agreement in accordance
with these laws, ordinances, codes and regulations. CONTRACTOR shall release, defend,
indemnify and hold harmless CITY, its officers, agents and employees from any and all damages,
liabilities, penalties, fines and all other consequences from any noncompliance or violation of any
laws, ordinances, codes or regulations.
15. NO THIRD PARTY BENEFICIARIES.
CITY and CONTRACTOR do not intend, by any provision of this Agreement, to
create in any third party, any benefit or right owed by one party, under the terms and conditions of
this Agreement, to the other party.
16. NOTICES.

All notices and other communications required or permitted to be given under this
Agreement, including any notice of change of address, shall be in writing and given by personal
delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the
parties intended to be notified. Notice shall be deemed given as of the date of personal delivery, or
if mailed, upon the date of deposit with the United States Postal Service. Notice shall be given as

17. INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, CONTRACTOR, its
officers, agents and employees shall act in the capacity of an Independent Contractor, and not as
employees of the CITY. CONTRACTOR and CITY expressly intend and agree that the status of
CONTRACTOR, its officers, agents and employees be that of an Independent Contractor and not
that of an employee of CITY.
18. ENTIRE AGREEMENT -- AMENDMENTS.
A. The terms and conditions of this Agreement, all exhibits attached, and all
documents expressly incorporated by reference, represent the entire Agreement of the parties with
respect to the subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or
written, regarding the subject matter between the CONTRACTOR and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the
subject matter of this Agreement, shall be valid or binding, except by way of a written amendment
to this Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified
except by a written amendment to this Agreement signed by the CONTRACTOR and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement,
and the terms and conditions of the attached exhibits or the documents expressly incorporated by
reference, the terms and conditions of this Agreement shall control.
19. SET-OFF AGAINST DEBTS.

CONTRACTOR agrees that CITY may deduct from any payment due to
CONTRACTOR under this Agreement, any moneys which CONTRACTOR owes CITY under
any ordinance, agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments,
unpaid checks or other amounts.
20. WAIVERS.
The waiver by either parry of any breach or violation of any term, covenant or
condition of this Agreement, or of any ordinance law or regulation, shall not be deemed to be a
waiver of any other term, covenant, condition, ordinance, law or regulation, or of any subsequent
breach or violation of the same or other term, covenant, condition, ordinance, law or regulation.
The subsequent acceptance by either party of any fee, performance, or other consideration which
may become due or owing under this Agreement, shall not be deemed to be a waiver of any
preceding breach or violation by the other party of any term, condition, covenant of this Agreement
or any applicable law, ordinance or regulation.
21. COSTS AND ATTORNEY'S FEES.
The prevailing parry in any action brought to enforce the terms and conditions of
this Agreement, or arising out of the performance of this Agreement, may recover its reasonable
costs (including claims administration) and attorney's fees expended in connection with such action.
22. CITY BUSINESS LICENSE / OTHER TAXES.
CONTRACTOR shall obtain and maintain during the duration of this Agreement,
a CITY business license as required by the San Rafael Municipal Code. CONTRACTOR shall
pay any and all state and federal taxes and any other applicable taxes. CONTRACTOR's taxpayer
identification number is 95-224-7293, and CONTRACTOR certifies under penalty of perjury that
said taxpayer identification number is correct.
23. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month
and year first above written.

REOUEST FOR OUALIFICATIONS
For
SELECTION OF AN ENVIRONMENTAL CONSULTANT
TO PREPARE AN ENVIRONMENTAL IMPACT REPORT
October 9, 1996
I. INTRODUCTION
T he City of San Rafael is seeking a qualified consultant to prepare an environmental impact
report (EIR) for -c—;ci tl, contiguous and related projects located in the City's
downtown/redevelopment area. A description of the study area and the related projects is
presented in EXHIBIT `A' of this Request for Qualifications (RFQ). At this time, these
projects are in the preliminary design/pre-application stages of review. Development
aYplicat:ons are expc:,tcd to be filed/initiated with the City in January 1997.
In order to expedite the environmental review process, the City of San Rafael has decided to
hire an environmental consultant prior to the January 1997 development application filing.
Consequently, the City of San Rafael is requesting that a selected group of environmental
consultants submit a "Statement of Qualifications". As discussed in Section VII of this RFQ,
following review of the qualifications, a short list of consultants will be interviewed and a
con§ultant will be selected. A Request for Proposal (RFP) process will not be implemented.
II. PROJECT BACKGROUND
A description of the study area and the related projects within the study area is provided in
EXHIBIT'A' of this RFQ. EXHIBIT `A' is formatted as follows:

A. EIR Scoping Process
In addition to preparing the EIR, the environmental consultant that is selected by the
City of San Rafael will be requested to participate in the following pre -application
tasks:

Providing assistance to the City staff and to the project sponsor/developer in
formulating a final project description and project objectives for application
filing. The description and the objectives are to be used in the preparation of
all environmental documents (City application filings, Notice of Preparation
and the EIR).
2. Providing assistance to City staff in the preparation of an Initial Environmental
Assessment and Notice of Preparation (NOP).

B. Potential Scope of Issues
Numerous reports, studies, plans and resource documents for the area of study are
available and are on file with the City of San Rafael. Specifically, an EIR was
prepared for a previous redevelopment project (Downtown San Rafael Retail Center)
on the former PG & E site. Review of these available resources will be critical to the
environmental consultant in the preparation of a proposal for services.
Based on the preliminary description of the related projects, the general knowledge
of the study area and the studies and resource documents that are presently available,
it is anticipated that the scope of issues to be addressed in the EIR is as follows:

* Document all studies prepared to date addressing area geology, soils
and seismicity. Prepare supplemental studies and/or investigations, as
deemed necessary.
* Assess and present recommendations on proposed grading (cut and
fill, phasing).
* Present recommendations for construction and grading.
2. Hydroloav and Drainaee
* Assess impacts from additional runoff associated with f new
development.
* Document conceptual plans and recommendations for
stormwater/flood control improvements.
* Identify construction measures to meet flood control requirements.
3. Water Oualitv (likely to be combined with assessment of Hazards)
* Document all studies prepared to date addressing groundwater quality

and on-site treatment program. Identify remediation and mitigation
monitoring measures that have been, are or will be implemented to
treat groundwater. Document groundwater migration patterns based
on studies prepared to date.
Assess quality of surface water runoff from new development and
poLertial impacts to Mahon Creek and downstream waterways.
4. Air Oualitv (likely to be combined with the assessmefit of Hazards)
* Assessment of air quality impacts associated with grading and
construction.
Document and incorporate all studies, approved mitigation measures
and mitigation monitoring and reporting programs that have been or
are required to be implemented to control airborne dust (PNAs)
during grading and construction.
5. Transportation and Circulation
* Develop and/or incorporate trip generation/distribution analysis to
include AM and PM peak traffic counts and impact assessment.
* Review of adequacy of on-site and off-site parking.
* Review of both vehicular and pedestrian circulation and access from
local streets and arterials.
* Assess proposal for widening of Second Street. Determine
improvement impacts to roadway network along Second Street.
Determine project's fair share contribution to street widening and
other planned intersections improvements in the area.
6. Biotic Resources
* Document and incorporate all studies prepared to date addressing
biotic resources, impacts and mitigation.
* Document and summarize buffer recommendations for lands along
edge of Mahon Creek.
* Assess conceptual restoration plan for Mahon Creek to determine if
plant and animal life is properly protected and enhanced. Present
additional recommendations, if necessary.
7. Hazards (likely to be combined with assessment of Air and Water Quality)
* Document and incorporate all studies, reports and plans prepared to
date which assess on-site and immediate off-site hazards. Provide
peer review of work prepared to date, if necessary.
* Document and present all mitigation and monitoring measures that are

presently implemented or required for construction on the property.
Present additional recommendations, if necessary.
Review construction phasing and logistics plan to ensure that activities
and schedule coincide with specific `phasing' recommendations for
site grading.

* Assess temporary noise impacts associated with project grading and

9. Utilities and Services
* Identify all utilities that serve/would serve the study area. Determine
if all utilities are available.
* Summarize plans, status and schedule for the Second Street Utility
Undergrounding District. Present recommendations on construction
phasing to ensure that it coincides with construction of project and
widening of Second Street.
* Document and/or incorporate plans identifying location of all utilities
on or -around the study area.
10. Safety
* Identify potential safety impacts and present mitigation. Safety issues
are likely to include design of pedestrian paths/corridors and outdoor
spaces, lighting and access to the adjacent Albert Park.
* Assess the safety of a pedestrian link between the Fair, Isaac Office
Campus and Downtown San Rafael, specifically safe pedestrian access
to the Downtown Transportation Center.
11. Aesthetics/Visual Impacts
* Assess visual impacts associated with anticipated multi -story
structure(s) construction at the south edge of Downtown San Rafael.
* Prepared computer generated visual simulations of proosed
structure(s) to demonstrate impacts from a series of vantage points.

* Assess project(s) for consistency with the adopted recreation plans
and policies, specifically the Albert Park Master Plan.
* Assess design and location of proposed recreational facilities included
in the project(s).

13. Land Use and Plan Consistency,
* Assess project(s) for consistency with San Rafael General Plan 2000
and associated planning documents.
* Assess project(s) for consistency with the Downtown San Rafael
Desian Policies and Guidelines and Our Vision of Downtown San
Rafael and Our Implementation Strateev. San Rafael Community Plan
and Albert Park Master Plan.
* Assess project(s) City for consistency with the Citv_ of San Rafael
Municipal Code (Title 14, Zoning).
* Prepare project alternatives, as required by the California
Environmental Quality Act.
IV. EXPECTED PROCESS AND TIME LINE FOR EIR PREPARATION
As noted in Section I (Introduction) of this RFQ, the City of San Rafael will be expediting the
environmental review process for these related projects. The following time line of tasks and
milestone dates has been prepared to ensure expeditious processing:

VIII. PROPOSAL FOR SERVICES
Although a competitive bid process is not being implemented, the consultant that is selected
will be expected to prepare a detailed proposal for services. This proposal for services will
be based on the following:
A. Consultant participation in the pre -application process, described above;
B. A review of all available resources, maps, plans studies and reports expectedtobe
incorporated into or referenced for preparation of the EIR. A list of those resources,
maps, plans and studies expected to be completed or prepared during the pre -
application process by the Fair, Isaac project design will be provided to the EIR
consultant;
C. The descriptions of the study area and project(s) that are available at the time the

Description of Study Area and Projects
October 2, 1996
Area of Study
The area of study encompasses approximately 21-22 acres of developed and undeveloped land
iocated south of Downtown San Rafael, California. This area is bordered by Second Street to the
north, Highway 101 to the east, Anderson Drive (under construction) and Albert Park Lane to the
south and `B' Street to the west (see Attachment 91, Vicinity Map).
This study area involves over one dozen parcels of land that are owned by several parties.
Information on each parcel within the study area, including assessor's parcel number, existing land
use and zoning is presented in the table below. The table, as well as this text, references each parcel
by a letter (e.g., "N'). Each letter identifies the geographic location of the property on the attached
Study Area Map (see Attachment #2).

Although the study area covers numerous individual parcels, it is actually divided into four land area
components. "The first component of the study area is the former P G & E property (reference parcels
A and B). The second component is the City of San Rafael Corporation Yard (reference parcels C
and F). The third and fourth components encompass the portion of Mahon Creek extending from
B Street to Highway 101/Irwin Street (reference parcels D, E, G, H, I and J through M). The
following is a description of the land area components, as well as a description of other related
properties that are either within or contiguous to the study area.
Former PG & E Service Center
The former PG & E property is bordered by Second Street to the north, Lincoln Avenue to the east
and Anderson Drive to the south. The parcels are separated by Lindaro Street. The former PG &
E property is presently undeveloped (except for on-site groundwater treatment system and several
public utilities). Up until the mid -1980's, this land served as a major PG & E service facility (Service
Center). With the assistance of the San Rafael Redevelopment Agency, the PG & E Service Center
was relocated to a site on Anderson Drive in San Rafael. Following relocation, site improvements
(one-story office building, a warehouse, the District garage, parking areas, trailer office space, storage
and construction repair and fueling facilities) were removed. At present, the property is basically
vacant, with the exception of some limited improvements (e.g., utilities such as the San Rafael
Sanitary District pumps station).

The former PG & E service center use/operation resulted in both soil and groundwater contamination
on this property. In the mid -late 1980s, a detailed Remedial Action Program was established for
remediation of contaminants. The program requires that PG & E be responsible for this remediation
as part of site vacation and redevelopment. PG & E has installed a) an on-site groundwater
treatment system, b) a subsurface slurry wall to contain and treat contaminated groundwater, c)
extraction wells/trenches and d) on-site monitoring wells. The Remedial Action Program permits the
on-site containment and treatment of groundwater, while leaving the soil in place. The program also
requires quarterly and annual monitoring by PG & E, which is reported to the California Regional
Water Quality Control Board. A detailed Risk assessment and a Health & Safety Plan have been
prepared. These documents present specific procedures for soil movement during construction and
grading.
Citv of San Rafael Comoration Yard
The second component of the study area is the City of San Rafael Corporation Yard (reference
parcels C and F). The Corporation Yard is accessed from Lincoln Avenue, is developed with a
number of buildings'(storage, mechanics bays, offices) and is primarily paved. The City is currently
negotiating a relocation of the Corporation Yard to another site in the East San Rafael area. It is
anticipated that a new site for the Corporation Yard will be selected and secured by 1997.
The Corporation Yard site includes a contiguous parcel that is developed -with a gasoline and service
station facility (Shell station). The Shell service station fronts on and receives access from Second
Street and Lincoln Avenue. At present, the service station is on a short-term lease for use of the site.
Recent subsurface testing of the service station area has disclosed that there has been some
underground tank leakage. A remediation program is being implemented and conditions are being
monitored.
Mahon Creek
The third and fourth land components of the study area encompass a series of parcels along a portion
of Mahon Creek, extending from B Street to Highway 101/Irwin Street. The third component is that
portion of the Mahon Creek which extends from B Street to Lindaro Street (south side of Albert Park
Lane, reference parcel I) and from Lindaro Street to Lincoln Avenue (reference parcels D, E, G and
H). This portion of the creek is characterized by an open channel (year-round flow) with steep lslope
banks (steeper than 1:1). The slope banks and edges of the creek along the south side of Albert Park
Lane are heavily vegetated with both wetland and upland plants. The creek banks and adjacent
upland between Lindaro Street and Lincoln Avenue contain limited vegetation. (As discussed below,
a wetland ntitigatiott plain has beefs designed acid approved for the Litidaro Street to Lincoln Avenue
portion of Mahon Creek. This plait will enhance attd improve vegetation comer in the wetland)

from Lincoln Avenue to Highway 101/Irwin (reference parcels F, G, J, K, L and M). This portion
of Mahon Creek is characterized by an open channel with steep slope banks and limited vegetation.
The open channel flows year-round and is subject to more tidal influence (brackish water from the
San Rafael Creek) than the portion of Mahon Creek that is west of Lincoln Avenue.
Related Pronerties within or contiguous to the Studv Area
There are several properties that are related to the four land use components of the study area. These
properiies include Albert Park, the PG & E Transformer site and the former Nor.'.hwestern Pacific
Railroa i right-of-way "Anderson Drive roadway extension). The location of these properties i.;
provided on the attached maps (Attachments #2 and #3). The relationship of these properties to the
study area is described as follows:
Albert Park
Albert Park is a public, City -owned park that provides a full range of recreational uses and
facilities. Facilities include a large recreation center, ballfields, tennis courts and picnic areas.
The portion of Mahon Creek extending from B Street to Lindaro Street is within the
boundaries of Albert Park. The Albert Park Master Plan recommends that this portion of the
Mahon Creek be improved and enhanced.

PG & E Transformer Site
This 1'.3 acre site is located immediately west of the study area. This site was once a part of
the former PG & E service center site (reference parcel A), but was parceled off when the
service center was relocated. This site contains numerous PG & E transformers, facilities and
equipment. PG & E intends to maintain the current use and improvements on this site.
Anderson Drive Roadway Extension
The City of San Rafael is currently constructing a new roadway (Anderson Drive) along the
boundary of the.study area. This roadway project utilities a portion of a former Northwestern
Pacific Railroad right-of-way and would commence at Francisco Boulevard West and
terminate at A Street. This roadway is to serve as a major arterial. The Anderson Drive
extension project would result in some wetland impacts. Consequently, a wetland mitigation
plan was prepared and approved to compensate for loss of wetlands. This wetland mitigation
plan would improve and enhance wetlands along the portion of Mahon Creek located between
Lindaro Street and Lincoln Avenue (reference parcels D, G & H and 0.9 acre portion of
parcel B).

The study area is served by a number of City streets. As mentioned above, Second Street, which is

Street (70 foot right-of-way) and Lincoln Avenue (60 foot right-of-way) are collector streets which
run through the center of the study area. Albert Park Lane, a one-way local street borders the
western portion of Mahon Creek. As discussed above, Anderson Drive (major arterial) is currently
under construction for extension from Francisco Boulevard West to "A" Street.
The study area is surrounded by a variety of land uses and neighborhoods. Downtown San Rafael
is located immediately north of Second Street. The Downtown area is predominantly developed with
general retail and service commercial land uses/structures with some scattered residential and light
industrial development. Lands to the west include the PG & E Transformer Substation site and
Albert Park (discussed above), a retail supermarket (Safeway), light industrial and commercial service
uses. Both single-family and multiple family residences are located further west and southwest of the
site. These residential areas border the Gerstle Park and Picnic Valley neighborhoods. The flatland
located south and southeast of the site are developed with both retail commercial and industrial land
uses/structures. The Wildlife Center (WildCare) is located south of the study area.
Description of Related Projects within Study Area
Several development and City -sponsored projects are proposed or are in -process for the study area.
These projects include the following:
• Development of a Conceptual Creek Restoration Plan for the portion of Mahon Creek
extending from B Street to Highway 101/Irwin Street..
• Redevelopment of the former PG & E and City of San Rafael Corporation sites (reference A,
B, C & F) with an office campus (Fair, Isaac).
• Extension of Anderson Drive to A Street with accompanying wetland mitigation along the
portion of Mahon Creek extending from Lindaro Street to Lincoln Avenue (reference parcels
D, H and portion of G). This project is under construction and is described above.
• Re -activation of the Second Street Utility Undergrounding District (second phase).
A discussion of these projects and related activities/projects is provided below. In addition, a map
presenting the areas of these related projects is attached (Attachment #3). 1
Conceptual Restoration Plan for a Portion of Mahon Creek
A related City -sponsored project to the proposed Fair, Isaac office campus is the development a
conceptual restoration plan for the portion of Mahon Creek extending from B Street to Highway 101
(reference parcels D through M). A conceptual creek restoration plan is being developed at this time
for the following reasons:

The City of San Rafael General Plan requires the enhancement of existing drainageways.
Natural Environment Element pol�cy NE -18 states "aplore efthancement of drainageways
to .serine as wildlife habitat as well as draiirage facilities. "
The City of San Rafael has completed conceptual plans for stormwater and flood control
improvements for the subject portion of Mahon Creek These conceptual drainage plans are
part of a second phase of improvements recommended in the Citv's Master Plan for Proposed
Drainaee Improvements Within the San Rafael Basin. This master plan proposes major
stormwater and flood control improvements r th; drainage basin in end around the San
Rafael and Mahon Creeks.
The Albert Park :Master Plan recommends improvements to the portion of Mahon Creek that
borders the public park (south of Albert Park Lane). These improvements would include the
recommendation to install a public pedestrian path.
The site pfanning for the contiguous Fair, Isaac office campus development will need to
address creek setbacks and wetland buffers, as recommended by the San Rafael General Plan
(Natural Environment Element NE -17). The conceptual plan will establish general design
guidelines which can be 1) incorporw ed into the design of the Fair, Isaac development and
2) applied to restoring the portions of Mahon Creek that are west and east of the office
development.
The conceptual creek restoration plan is not intended to present a detailed plan for creek restoration.
A more detailed plan will be prepared at a later date. The conceptual plan is intended to present both
graphic and written recommendations (guidelines) on how the creek can be restored by addressing
the following issues:
Protection and enhancement of wildlife habitat
Incorporation of needed stormwater and flood control improvements
Incorporation of recreation and public access improvements
Fair. Isaac Office Campus Development
Village Properties (developer), in conjunction with Fair, Isaac (build -to -suit tenant), are
proposing to redevelop the PG & E properties and the City of San Rafael Corporation Yard. The
property would be redeveloped with a new office campus. At present, site planning efforts are
underway but no specific plan has been presented. It is anticipated that the `central parcel'
(reference parcel B) would be utilized for office and common use facilities. The `western parcel'
(reference parcel A) and the City Corporation Yard (reference parcels C and F) would be planned

for both surface and structured parking. As discussed above, the Corporation Yard would be
relocated to another site in the East San Rafael area.
The campus is envisioned to contain a number of office buildings and parking structures. The
project is currently projected to provide approximately •400,000 square feet of office area and
50,000 square feet of "common use". The "common use" area is intended to provide employee
dining and food pmparation facilities, meeting/conference and training rooms, central shipping and
receiving and storage facilities.
Accompanying th;s redevelopment project would be the widening of Second Street. The
widening would extend along the southern portion of the right-of-way, commencing at the
western property boundary, continuing eastward to the Francisco Boulevard West intersection.
The widening is necessary to accommodate an additional travel lane, as well as an additional
right -turn lane onto Lincoln Avenue. The widening will involve a right-of-way dedication along
the entire length of the Second Street frontages of the former PG & E property (reference parcels
A and B) and the City Corporation Yard (reference parcel Q. A second `link' of widening for an
additional travel lane is planned between Francisco Boulevard West and the Highway 101
southbound on-ramp.

Re -activation of Second Street Utilitv Underiarounding District,
'The proposed development project has reactivated a related, City -sponsored project. Several
years ago, PG & E and the City of San Rafael established a Utility Undergrounding District for
City streets extending from E Street, eastward to Lincoln Avenue. PG & E proceeded with work
on the first portion of this undergrounding project (E Street to Brooks Street). The second
portion of the project (Brooks Street to Lincoln Avenue) was `shelved' due to other priority
projects. This second portion of the project would result in the undergrounding of the overhead
utility lines along Second Street, Lincoln Avenue and Lindaro Street (high voltage lines, 60KV or
greater, would remain above ground). This portion of the undergrounding district is being
reactivated in order that all planned utility undergrounding can occur concurrent with the
proposed office development and widening of Second Street. Staff from the City of San Rafael,
PG & E and other utilities have met to discuss the steps required to reestablish this portion of the
district and the anticipated schedule. It is the goal to merge the construction work and schedule
with the construction schedule for the proposed office campus development.
Schedule for Completion of Pre -Application Design Phase
The design plans for the Fair, Isaac office campus development and the conceptual creek
restoration plan for Mahon Creek are scheduled to be completed in January 1997. When the

plans are completed, appropriate development applications will be filed with the City of San
Rafael.

likely to be required for the Fair, Isaac office campus and the conceptual creek restoration

The proposed Scope of Work that follows has been prepared pursuant to the tasks identified for "Phase I",
as discussed during our project kick-off meeting on 11/18/96, and revised based on the input and comments
received during our meeting on 11/25/96.
Primary areas of revisions to the proposed Phase I Scope of Work are as follows: (1) Task 2: RBF will
take the lead in the preparation of the Project Description (costs have been marginally adjusted accordingly);
(2) deletion of Task 3A: Preparation of Notice of Preparation and replacement with Task 3A: Peer Review;
(3) we have reduced the amount of time allocated for Principal participation and attendance at meetings by
approximately 50%; and, (4) our subconsultant's have revised their scope of work and fees to delete their
participation in the Public Scoping Meeting, to reduce their participation in the preparation of the Project
Description, NOP and Initial Study Process, and to streamline project team meeting attendance to
accommodate meetings on an "on-call basis".
Our priority is focused on the need to meet the City's Preliminary Schedule/Critical Path for certification
of the EIR and ultimate approval of the proposed project before the City Council by April 1998. Each of
the tasks described below have been developed and programmed in accordance with the City's Preliminary
Schedule/Critical Path. Should the City's Preliminary Schedule be adjusted over time, our work product
schedule will be adjusted to accommodate any future modifications thereto. The participation of each of our
Subconsultant's in these tasks is reflected in Attachment 1, Fee Estimate under the heading of "Direct
Costs". These costs have been revised in accordance with the feedback received on 11/25/96 from City staff.
As discussed during our project kick-off meeting, the estimated costs for Phase I are anticipated to be
managed on a time and materials basis with an established Not -to -Exceed fee. As such, should it be
determined that estimated fees for a particular task are not needed or warranted, these fees will not be
expended. Costs will be monitored on a weekly basis by the Project Manager. Project cost status reports
will be submitted as part of our regularly scheduled project team meetings as a mechanism by which the City
can monitor the expenditure of project -related fees.

PHASE 1
Task 1: Proiect Initiation and Organization
Purpose: To obtain and review all relevant background information, technical studies and resources
necessary to assist with final preparation of the project description and preparation of the
Phase II Scope of Work (refer also to Task 2), to establish early communication among the
various project team members, to familiarize the RBF team with the issues and concerns
identified by the City and other outside consultants for analysis, to serve in an advisory role
for review of the preliminary site development plan, and to initiate the general environmental
impact analysis and planning services for the Fair, Isaac Office Development/Mahon Creek
Conceptual Restoration Plan Project.
Approach: 1. Attend initial orientation/project start-up meeting with City staff, the RBF project
manager and other appropriate RBF project team members to discuss elements to be
included in the project scope of work for Phase I and to collect all relevant
background information as identified in Item #5, below.
2. Identify/confirm future necessary approvals/permits or other entitlements associated
with implementation of specific elements of the project; including regulatory
agencies that may have jurisdiction over certain aspects of the project including, but
not limited to, the California Department of Fish and Game (CDFG), U.S. Fish and
Wildlife Service, U.S. Army Corps of Engineers (ACOS), State Lands Commission,
the Regional Water Quality Control Board (RWQCB), San Rafael Sanitary District,
the California Department of Toxic Substance Control (DTSC), PG&E, Caltrans,
BAAQMD and County of Marin.
3. Attend a second project initiation meeting to refine the Phase I project scope and
schedule based on agreements reached during contract negotiations and information
discussed subsequent to the initial project start-up meeting (as appropriate or as
necessary).
4. Receive, compile and review all existing reference and research material related to
the project vicinity, including base maps, aerial photographs, technical studies,
background reports and all relevant recent local and area -specific EIRs. This
information is to be provided by the City during the initial orientation meeting,
conducted under Task 1, Item #1. Assess the adequacy of these resources for
subsequent use and/or incorporation into the EIR. Provide recommendations as to
the need for scope and technical breadth of supplemental and/or required technical
studies.
5. Receive final notification from the City as to the scope of reports and plans
anticipated to be prepared by the applicant prior to final application filing. Identify
the completion date of any reports anticipated to be prepared independently by the
applicant.

6. Prepare draft Scope of Work for Phase II, EIR preparation.
7. Conduct an in-house meeting with RBF staff to initiate work efforts by all team
members.
Products: 1. Two (2) orientation/project start-up meetings with the City staff.
2. Refined project scope for Phase I and revised schedule, if needed.
3. Draft Scope of Work for Phase II, EIR Preparation.
Task 2: Pre-Annlication Filing Assistance/Review
Purpose: To provide assistance to the City staff, Fair, Isaac, Village Properties, SWA and BAR in the
development of a draft project description for application filing and for inclusion in the Draft
EIR.
Approach: 1. Review, advise and make recommendations, as appropriate, to ensure that the
project information developed by the project applicant and as generated in Tasks 1
and 2, is suitable for use in developing the project description for the EIR. The
information to be provided will include (at minimum) the project objectives,
preliminary site plan, land use data, narrative program description, a reasonable
range of project alternatives, and graphic renderings sufficient to depict the project
boundaries and land use locations. The intent of this task is to ensure that the
project incorporates as many design features as feasible to "self mitigate" the
project.
2. RBF will prepare an outline of the Draft Project Description for review by City
Staff, Fair, Isaac, Village Properties, SWA and BAR and other team members (as
appropriate). The intent is to develop a Project Description that is suitable for
application filing and for later use in preparation of the EIR.
Based on comments and input received on the outline of the draft Project
Description, RBF will prepare a comprehensive draft Project Description for use
with the applicant's project application as well as for the EIR. This task is intended
to be an iterative process with all key stakeholders providing input to RBF, as
required, to develop a legally defensible Project Description.
Products: 1. Outline Project Description and Project Objectives.
2. Final Project Description and Project Objectives to be completed and distributed to
City Departments and key stakeholders for review and comment.

Task 3: Notice of Preaaration/Initial Studv
3.A. Notice of Preparation - Peer Review
Pumose: RBF will serve in a peer review capacity for City -initiated preparation of the Notice of
Preparation (NOP).
Approach: Upon completion of the draft NOP, RBF will review the NOP to ensure compliance with
State legislation and guidelines, and consistency with the content of the Project Description
being developed for the EIR.
Products: Comments on the draft NOP.
3.B. Assist with the Preparation of Initial Study
Purpose: To assist the City staff with the preparation of an Initial Study evaluating the potential
environmental impacts of the proposed Fair, Isaac Office Development/Mahon Creek
Conceptual Restoration Plan and identifying issues that require evaluation in the EIR.
Approach: 1. Prepare an Initial Study, according to CEQA requirements, the State CEQA
Guidelines (§ 15063), and procedures of the City of San Rafael. The Initial Study
will comply with the content requirements established by the 1994 modifications to
the CEQA Guidelines affecting the use of Initial Studies, and of recent case law,
specifically Citizens Associates for Sensible Development of Bishop Area v. County
of Inyo (1985) and Sundstrom v. County of Mendocino (1988), wherein both a
checklist of impacts and reasoned explanations of the findings of the study are
needed.
2. Identify issues for which no significant impacts will occur (therefore needing no
additional consideration) and identify topics that will require further evaluation in
the EIR. This will focus and precisely define the scope for subsequent preparation
of the EIR, will provide a strategic action plan for completing the environmental
process as efficiently as possible, and will determine the most effective approach for
addressing the consultations and approvals of other agencies (as appropriate).
Prepare the project description section of the Initial Study, based on information
included in the project application, existing, supporting technical reports (as
provided by the City and the project applicant), and developed during Task 2, to
include the following:
a. Regional and local setting.
b. Project history.

d. Project characteristics, including any discretionary actions required by the
City of San Rafael, and important project features.
4. Submit the draft Initial Study for City staff review, respond to and incorporate City
comments, complete necessary revisions and prepare the Final Initial Study for
submittal prior to the Scoping Meeting to be held before the Planning Commission.
Products: 1. 5 copies of the Draft Initial Study
2. 15 copies of the Final Initial Study
3.C. Scoping Process/Public Participation
Pumose: To establish early input among the various project "stakeholders" and participate in a
scoping meeting and a series of follow-up community meetings (as may be desired by the
City) to seek input from the public (including public agencies, regulatory and/or responsible
agencies, business leaders, Fair, Isaac, and the general public) regarding issues that require
evaluation in the EIR.
RBF will prepare and present the environmental baseline information (including Initial Study
findings), review the objectives for the project and solicit community input to thoroughly
scope out the issues to be addressed in the EIR. Our intent is to provide a thorough scoping
process and to provide a forum for public input on the various issues to be evaluated in the
EIR and as part of the various approvals.
Anoroach: 1. Following completion of the applicants filing application and prior work to release
of the NOP for public distribution, the RBF project manager and City staff will
determine the appropriate structure for the public scoping meeting, based on the
options available under CEQA and as recommended in the guidelines provided by
the Department of Toxic Substance Control. At a minimum, this will include:
Intent and objectives of the public scoping meeting (what are the intended
results, input and/or products).
b Format for the conduct of the meeting.
Responsibilities (consultant and City staff).
b Procedures and materials for notification and advertisements.
2. RBF will coordinate with the City staff to ensure that appropriate public agencies
and interest groups and other key stakeholders are notified and attend the public
scoping meeting and community meetings. However, the City shall produce the
actual mailing list, publicize the meetings, and make arrangements for the meeting
locations.

3. Participate in one (1) public scoping meeting. The RBF team will make a
presentation of the environmental and planning processes. The presentation will
include, but not be limited to describing the objectives of the project and the
potential environmental consequences of implementation of the project. Public
comment relating to the scope of environmental issues to be addressed will be
solicited from the community. At the discretion of the City, following the outcome
of the Public Scoping Meeting, should it be determined that focused Community
Meetings are necessary, RBF will attend up to three (3) Community Meetings.
(Optional) It is proposed that the RBF project manager function as facilitator to
ensure that the community understands specifically how their concerns will be
incorporated into the environmental review process.
4. After completion of the scoping process and receipt of the Notice of Preparation
responses (week of March 10, 1997), RBF will meet with City staff to identify and
confirm issues for which no significant impacts will occur (to be described as effects
found not to be significant) and potentially significant impact topics identified in the
scoping process that may require further evaluation in the EIR. These issues may
differ or vary from those identified in the Initial Study, thus potentially affecting the
scope of work identified herein.
5. Review and refine, if needed, the Scope of Work for Phase H, schedule, and budget
for the environmental documentation based on the results of the scoping process,
subject to City staff approval.
Products: 1. A brief written memo will be prepared after completion of the pre -application phase
which outlines the approach/strategy for conducting the scoping meeting for the
project.
2. Attendance at one (1) public scoping meeting.
3. Attendance at up to three (3) community meetings (optional).
4. Revised (Final) Scope of Work for Phase H (EIR), schedule, and budget, if needed.
Task 4: Proiect Management, General Coordination, and Meetings
Pumose: To manage the Phase I preparation effort, to maintain close communication between City
staff and RBF team members and to advise the project applicant and outside consultants'
(as appropriate) during the pre -application filing process. This task is also intended to
ensure that the project is running on time and within budget, as well as ensuring that
products generated are technically correct and legally adequate.
Annroach: 1. Communicate as necessary with RBF project team members, City staff and other
appropriate key stakeholders for compliance with the schedule, scope of work, and
budget. Coordinate the work of team members and provide management liaison

consultation meetings with key regulatory/responsible agencies. and/or Fair, Isaac
Coordinating Committee Meetings. Attendance at meetings will be by the Project
Manager and periodically by the Principal -iii -Charge and/or the Principal Planner.

Dear Ms. Worthington -Forbes:
As requested in your 25 November 1996 Memorandum, attached is Erler &
Kalinowski, Inc.'s ("EKI") revised scope of work and budget for Phase I of the
Environmental Impact Report ("EIR") for the Fair, Isaac Campus Development/Mahon
Creek Restoration Plan Project, San Rafael, California. At your request, the tasks in
EKI's 21 November 1996 Scope of Work that related to assisting Robert Bein, William
Frost & Associates ("RBF") with the preparation of the project description, Notice of
Preparation, and Initial Study and the tasks related to attending meetings have been
deleted.
It is EKI's understanding that meetings will be charged on a time and materials basis in
addition to the tasks outlined in the attached revised Scope of Work. Note that, in
accordance with your 25 November 1996 Memorandum, EKI's attendance at the
meeting on Monday, 25 November 1996 and EKI's attendance at one team meeting are
still included in EKI's revised Scope of Work.
As we discussed in our telephone conversation on Tuesday, 26 November 1996, EKI
reviewed the files at the City of San Rafael Fire Department ("Fire Department") after
the meeting on Monday, 25 November 1996. Review of the files indicated that not all
the reports listed in the Mahon Creek Conceptual Plan & Fair, Isaac Campus
Development, Inventory of Reports, Studies and Plans for Incorporation, Review
and/or Reference in the EIR, dated 18 November 1996, were in the Fire Department
files. According to a second list, furnished to EKI by Forest Craig of the Fire
Department, some of these reports are available in the City of San Rafael
Redevelopment Agency files. Therefore, an additional task element has been included
in Task 1 of EKG's revised Scope of Work. This additional task element, number 3,
states in part: "...EKI will indicate on a list, furnished by the Fire Department, which

SCOPE OF WORK - PHASE I
Task 1: Project Initiation and Organizati '
Purpose: To obtain and review available documents that pertain to the
presence of chemicals of concern in soil and groundwater.
Approach: 1. Attend initial orientation/project start-up meeting with City
staff, the Robert Bein, William Frost & Associates ("RBF")
project manger, and other RBF team members to discuss
elements to be included in the project scope of work for
Phase I.
2. Review available documents at the City of San Rafael Fire
Department ("Fire Department") that pertain to the presence
of chemicals of concern in soil and groundwater at the former
PG&E site and City of San Rafael Corporation Yard and
portions of Mahon Creek ("Site"). Approximately 30 such
reports are listed in the Mahon Creek Conceptual Plan &
Fair, Isaac Campus Development, Inventory of Reports,
Studies and Plans for Incorporation, Review andlor
Reference in the EIR, dated 18 November 1996, that was
attached to RBF's 19 November 1996 Memorandum. The
reports that are determined to be useful for completing the
remaining tasks will be copied and put on file at EKI's office.
It is estimated that 15 reports will be copied.
3. Review available documents from the City of San Rafael
Redevelopment Agency that pertain to the presence of
chemicals of concern in soil and groundwater at the former

4. Prepare a memorandum summarizing the following:
information relating to chemicals of concern in soil and
groundwater that are pertinent to the redevelopment project,
issues that may be of concern, and issues that may require
additional study. It is assumed that this memorandum will
include one figure.
5. Attend an in-house meeting with RBF staff to initiate work
effort.
Products; 1. Two orientation/project start-up meetings, one with City staff
and the second with RBF project team.
2. Memorandum summarizing the documents that were
reviewed.
1. Orientation Meeting to be completed by 27 November 1996.
2. Draft of memorandum summarizing the documents reviewed

Project Management and Qeneral Coordination
To manage the Phase I preparation effort and to maintain
communication with RBF.

PHASE It - Preparation of the E i R.
2.1 Detailed review and summary of documents to identify significant geotechnical conditions
and geologic hazards. We will address the following: geologic setting, local site
conditions, fault rupture potential, seismicity; ground shaking, liquefaction potential,
ground failure (lurching and compaction settlement), long term settlement, expansive
soils, seiche and tsunami.
22 Detailed site reconnaissance inspection.
2.3 Undertake additional field exploration, testing or analysis as determined from the
adequacy of the existing documentation assessed in Task 1.3 in Phase I (undefined at
this time).
2.4 Analysis and evaluation of geotechnical conditions and geologic hazards to determine
relative risk.
25 Develop recommendations for mitigation of the identified hazards.
2.6 Prepare a Draft EIR section on Soils, Geology and Seismicity. Deliverables will include
the main text in RBF format, a bibliography and appropriate illustrative maps and
drawings. After editorial review and comment by.RBF, we will finalize the Draft section
and submit it in paper form, and as a WP5.1 file, with clean reproducible illustrations.

As requested in your fax of November 25, here is Fehr & Peers Associates' amended work
scope for Phase I of the project. This scope covers a review of relevant background materials
and preparation of Phase II scope of work. The bulk of our costs are related to a review of
background materials. I have assumed that our role in the other tasks will be minimal. I have
also assumed that we will not be conducting any new traffic analysis as part of Phase I.
Given the amount of data currently available for the site, we have assumed that we can
qualitatively identify the costs / benefits of various project components and proposed
mitigation

Fehr & Peers Associates can provide the services described above for a fee of $5,820, not
including attendance at project -related meetings. We will send invoices monthly on a time
and materials basis using rates defined in the attached cost estimate. We have not included in
the cost estimate any additional meetings beyond those already attended. Additional fee for
attending meetings will be handled on a time and materials basis. We have assumed a
minimal amount of new analysis within Task 2 (Prepare Scope of Work for Phase II), but
given the amount of background data available for the site, we have assumed that we do not
need to perform more extensive new traffic analysis.
