TOPIC: APPOINTMENT OF NEW BOARD MEMBERS TO THE DOWNTOWN SAN
RAFAEL BUSINESS IMPROVEMENT DISTRICT (BID)
SUBJECT: Resolution of the San Rafael City Council appointing Downtown San Rafael
Business Improvement District Advisory Board members to oversee the
operations of the district.
RECOMMENDATION: Adopt the Resolution.
BACKGROUND: Section 36500 of the California Streets and Highways Code allows for the
creation of a business improvement district within a municipality whereby businesses within the
district are assessed an annual fee in order to pay for improvements and activities that benefit the
overall business district. The intent of the state law is to provide a funding mechanism for
business districts to promote economic vitality and provide additional services beyond those
offered by local government.
Businesses within the San Rafael downtown initially set up a business district in 1979 — this
original district included approximately 125 businesses along Fourth Street between Lincoln and
E Street. In 2013, the City Council voted to disband the original downtown district and replace it
with a larger district of approximately 700 businesses along Fourth Street — the expanded district
includes the West End and some side streets, as well as non -ground floor tenants, and other
tenants not included in the original BID (see Attachment 1).
ANALYSIS: The intention of this agenda item tonight is to provide an update to City Council on
the current status of the Downtown San Rafael BID. The 2016 year was one of transitions for
the BID, both in staffing and at the board. Given these recent changes, the City took the
opportunity to review the BID operations as part of the annual BID renewal process. At the BID
public hearing on November 21, 2016, the City Council approved Resolution 14235 (see
Attachment 2) which appointed a new BID Advisory Board consisting of the following five
members — Jeff Brusati (T&B Sports), Jaime Ortiz (Bank of Marin), Matt Haulk (Ragghianti
Freitas LLP), David Haydon (Il Davide) and Melissa Prandi (Prandi Property Management).

The City Council requested the new Board work through various transition issues and return to
City Council to provide a progress update and discuss next steps.
The new BID Advisory Board has met several times a month since the BID renewal process to
work through the various transition -related issues and a lot has been accomplished in a fairly
short time. The BID Advisory Board first worked closely with the previous Advisory Board to
appoint the new Advisory Board as the BID non-profit corporation board — this was an important
action to maintain administrative continuity and it saved the organization significant time and
money. Next, the new Board reached out to its membership to recruit new members for
consideration by City Council. Finally, the new Board has been addressing various
administrative details including budget, finances, insurance, and office space. The new Board is
excited to have found a new home in the Chamber of Commerce offices and they are looking
forward to a close working relationship with the Chamber.
At the November 21, 2106 BID renewal meeting, City Council directed the new Advisory Board
to work through the transition issues and then return to City Council with a recommendation of
additional Advisory Board members for City Council consideration and appointment, as well as
a modified work plan and budget. After several discussions on these topics, the new Advisory
Board members decided that it was preferable to first seek approval of the additional board
members and then have the full board work on issues such as budget, staffing, and a 2017 work
plan. Upon approval of additional board members by City Council, the BID Board intends to
meet with the full board and shortly thereafter, schedule a board retreat to discuss and
recommend a new work plan, budget, and staffing.
The BID Board performed extensive outreach to recruit new members to the Board and they
ultimately received seven applications. After review of the applications, the BID Board
considered them all strong applicants and they recommend all seven applicants for City Council
consideration to serve on the BID Advisory Board. The board felt that it was important to have a
member from the West End to provide geographic diversity on the board so they reached out to
several potential West End merchants to serve as an eighth new board member, but they have yet
to identify someone. However, eight new board members would create a thirteen member BID
Board and the by-laws of the BID non-profit Corporation Board stipulate a maximum of twelve
board members. In addition, the Economic Development sub -committee (Mayor Phillips and
Councilmember Gamblin) suggested that an odd number on the board would be preferable for
voting purposes. Given these constraints, staff recommends that the two applicants from outside
the district (Shayla Moran with the Downtown Market and Logan McDonnell with the Streets
Team) not be appointed to the board at this time and instead, they will be encouraged to attend
meetings and provide input as non-voting members. Further, since the West End board member
has not yet been identified, staff recommends that City Council delegate selection and approval
of the new West End board member to the BID Board.
Accordingly, staff recommends that the City Council appoint the following five individuals from
the following businesses to the BID Advisory Board: Adam Dawson (Mike's Bikes), Bonnie
Ayers Namkung (copywriter and marketing consultant), Jed Greene (Five Corners Consulting
Group), LeAnne White (InCavo Wine Lounge), Maria Bernier (Woodlands Pets). In addition,
staff recommends City Council authorize the BID Board to select and appoint one additional
board member from the West End. Should the City Council appoint these five new Advisory
Board members along with the yet to be determined West End board member, they will join the
current five member BID Board to create a `full board' of eleven Advisory Board members.

APPOINTING DOWNTOWN SAN RAFAEL BUSINESS
IMPROVEMENT DISTRICT ADVISORY BOARD MEMBERS
TO OVERSEE THE OPERATIONS OF THE DISTRICT
WHEREAS, the California Streets and Highways Code Section 36500 et seq. authorizes cities
to establish parking and business improvement areas for the purpose of promoting economic
revitalization and physical maintenance of business districts in order to create jobs, attract new
businesses and prevent erosion of business districts; and
WHEREAS, the Downtown San Rafael Business Improvement District (BID) was established
in 2013 to replace the existing Parking and Business Improvements Area Business Improvement
District instituted in 1979 in the commercial area on and around the Fourth Street corridor in San
Rafael; and
WHEREAS, pursuant to San Rafael Municipal Code Chapter 10.09 and the California Streets
and Highways Code Section 36533, the Board of Directors of the Business Improvement District
recommends to the City Council a list of members to serve as the BID Advisory Board for the next
year; and
WHEREAS, at the Downtown San Rafael Business Improvement District annual renewal
meeting on November 21, 2016, the City Council appointed five initial Advisory Board members and
requested that the new Advisory Board recommend additional individuals for consideration by City
Council for appointment to the Advisory Board; and
WHEREAS, the Board of Directors of the Business Improvement District held a call for
applications for board members and it now recommends to the City Council six new Advisory Board
members who, along with the current five member board, will create an Advisory Board of eleven total
members.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of San Rafael
does hereby appoint the following five individuals from the following businesses to the BID Advisory
Board: Adam Dawson (Mike's Bikes), Bonnie Ayers Namkung (copywriter and marketing consultant),
Jed Greene (Five Corners Consulting Group), LeAnne White (InCavo Wine Lounge), and Maria
Bernier (Woodlands Pets);
BE IT FURTHER RESOLVED that the City Council hereby delegates to the BID Board of
Directors the authority to appoint an additional, eleventh, Board member from a West End business, to
be selected by the BID Board at a later date.

RESOLUTION OF THE SAN RAFAEL CITY COUNCIL
APPROVING, WITH MODIFICATIONS, THE DOWNTOWN
SAN RAFAEL BUSINESS IMPROVEMENT DISTRICT "ANNUAL
REPORT FOR 2017 CALENDAR YEAR BID ASSESSMENT," AND
LEVYING AN ASSESSMENT FOR CALENDAR YEAR 2017
WHEREAS, California Streets and Highways Code Sections 36500 et seq, authorize
cities to establish parking and business improvement districts for the purpose of promoting
economic revitalization and physical maintenance of business areas, in order to create jobs,
attract new business and prevent erosion of the new business district; and
WHEREAS, the Downtown San Rafael Business Improvement District ("BID") was
established in 2013 by Ordinance No. 1912, now codified in San Rafael Municipal Code
("SRMC") Chapter 10.09; and
WHEREAS, for calendar year 2016, the City Council appointed the Board of Directors
of the nonprofit BID corporation to serve as the Advisory Board for the BID; and
WHEREAS, pursuant to SRMC Chapter 10.09 the Advisory Board submitted to the City
an "Annual Report for 2017 Calendar Year BID Assessment" (hereafter, the "2017 Annual
Report"), which is on file with the City Clerk; on November 7, 2016, the City Council adopted
Resolution No. 14229 approving the 2017 Annual Report, indicating the Council's intention to
levy assessments, and setting a public hearing thereon for November 21, 2016; and
WHEREAS, pursuant to Streets and Highways Code Section 36535, following the
public hearing, the City Council may adopt a resolution confirming the report as originally filed
or as modified by the Council, and the adoption of the resolution shall constitute the levy of an
assessment for the year referred to in the report; and
WHEREAS, the City Council held the required public hearing on November 21, 2016 to
receive testimony and protests concerning the 2017 Annual Report and the proposed levy of
assessments for calendar year 2017 described therein; and
WHEREAS, a majority protest of the proposed assessments was not received; and
WHEREAS, the City Council finds that it will be in the best interests of the Downtown
San Rafael Business Improvement District for the Council to appoint a new Advisory Board to
administer the District's funds in 2017; and
WHEREAS, upon appointment of a new Advisory Board, should the 2017 Advisory
Board remain a separate body from the BID Corporation Board as of November 30, 2016, then
the current Advisory Board should wind up its affairs for calendar year 2016 and the remaining
balance of funds should be transferred to the new Advisory Board.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of San
Rafael that the Annual Report, as filed, is hereby modified as follows:
1. Exhibit B thereof is hereby deleted.
2. A new Advisory Board shall be appointed consisting of nine (9) individual BID
members or Volunteer BID members. The Council shall appoint five (5) initial
Advisory Board members who shall meet as the Advisory Board to do the following;
a. Nominate at least four (4) additional individuals to be considered by the City
Council for appointment to the remaining seats on the Advisory Board. The
Council would encourage that these additional four members be selected with
a focus on increasing the diversity of the full Advisory Board in terms of
gender, ethnicity, geographical location of businesses, or other appropriate
characteristics;
b. Develop a detailed budget and work plan for use of the 2017 BID assessments
and other available funds, which plan shall identify specific events,
promotion/marketing, district maintenance or beautification, and/or other
activities of direct benefit to the BID members. The basic budget, to be used
as a starting point, would be as follows:

At the earliest feasible date, but not later than March 30, 2017, the Advisory Board
shall present its recommendations to the City Council for review, and upon approval,
the approved work plan, budget, and list of Advisory Board members shall become a
new Exhibit B to the Annual Report and the Council shall confirm the Annual Report
as so modified.
The following individuals are hereby appointed as the initial Advisory Board
members:
a. Jeff Brusati — (T&B Sports) (retail);
b. Jaime Ortiz — (Bank of Marin) (bank);
c. Matt Haulk - (Ragghianti Freitas LLP) (office);
d. David Hayden — (11 Davide) (restaurant); and

the BID as a voluntary member).
BE IT FURTHER RESOLVED that City Council hereby approves and adopts the 2017
Annual Report, as so modified, and approves and confirms the levy of assessments as described
in the Annual Report, for the 2017 calendar year.
BE IT FURTHER RESOLVED that, following adoption of this Resolution, should the
2017 Advisory Board remain a separate body from the BID Corporation Board as of November
30, 2016, then the 2016 BID Advisory Board shall forthwith wind up the BID affairs for 2016
and then deposit the remaining balance of BID funds in its possession with the City of San
Rafael Finance Department to hold in trust for BID and transfer to the 2017 Advisory Board as
soon as feasible.

business) or applied proportionately to full -town activities involving the West End Village, or

budgeted to focus on these projects in the same percentage as the fees collected, relative to the
entire assessment amount.
Since there is no formal institutional agreement requiring the B. I. D. to support the West End
(and my business, with my own money) in compliance with the mission statement and the
intention of the B. I. D. charter, I have no guarantee that the B. I. D. will spend my own money in
support of my business.
