SAN RAFAEL Agenda Item No: 4.h THE CITY WITH A MISSION Meeting Date: April 17, 2017 SAN RAFAEL CITY COUNCIL AGENDA REPORT Department: Public Works Prepared by: Bill Guerin, Director of Public Works City Manager Approval: File No.:15.10.551 TOPIC: 51 GOLD HILL GRADE SUBDIVISION AND STORMWATER AGREEMENTS SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL APPROVING THE PARCEL MAP, THE SUBDIVISION IMPROVEMENT AGREEMENT AND THE STORMWATER MANAGEMENT FACILITIES AGREEMENT FOR 51 GOLD HILL GRADE, SAN RAFAEL, CALIFORNIA RECOMMENDATION: Adopt Resolution. BACKGROUND: On September 13, 2016, the City Planning Commission approved the Tentative Map for the minor subdivision of a parcel with two existing single family homes located at the end of Gold Hill Grade in the Dominican/Black Canyon Neighborhood. The property owner wished to subdivide the property into three parcels, one for each existing house and a vacant lot to be developed with a third single family home. This is a hillside site and an existing creek runs along the edge of the property. Existing access to the property is by shared driveway with a single creek crossing. The proposed shared driveway improvements include access to the new vacant lot for development of a single family home. The property is adjacent to a fire access road on the uphill side. The subdivider is proposing to drain the properties to a Bioretention facility located onsite, with an outlet connecting into the existing culvert in Gold Hill Grade. The property owner has now submitted a Parcel Map for approval. This is the last step in the process of subdividing the property into new lots. The proposed Subdivision Improvement Agreement allows the subdivider to record the Parcel Map prior to completion of improvements that are required by the Tentative Map approval but ensures that they will be completed. The Stormwater Maintenance Facilities Agreement clarifies the maintenance responsibility for the property owner to provide drainage across their property as well as the City's rights in case the property owner fails to maintain the drainage correctly. The stormwater facilities design accommodates the site access and site improvements in a simple and effective manner, and the agreement assures that the on-site stormwater facilities will be maintained in perpetuity by the owners of the property. ANALYSIS: The City Engineer, and the Acting City Surveyor, have reviewed the Parcel Map and found that it conforms to the approved Tentative Map and related conditions of approval, and the provisions of SRMC FOR CITY CLERK ONLY File No.: 5-1-372 x 4-4-6b Council Meeting: 04/17/2017 Disposition: Resolution 14309 SAN RAFAEL CITY COUNCIL AGENDA REPORT / Paue: 2 Title 15 (Subdivisions) and the State Subdivision Map Act. The accompanying Improvement Plans have been reviewed and determined to be in compliance with City of San Rafael standards. Utility service is currently provided at the two existing homes. The Parcel Map and subdivision improvement plans are available for review in the City Clerk's office. Two public easements are shown on the Parcel Map and offered for dedication to the City. One is a public utility easement combined with, sewer, drainage and mutual driveway access from Gold Hill Grade is shown on the Parcel Map. This combined easement is appurtenant to the Lots served and therefore is not one which the City would accept for ownership and maintenance. A public fire road and trail maintenance access easement is shown at the northeast corner of the property to provide improved access to the existing fire road and is appropriate for acceptance as a public easement. Accordingly, Staff recommends, and has prepared the attached resolution to do the following: 1. That the City Council approve and authorize the City Manager to sign the Subdivision Improvement Agreement and Stormwater Maintenance Facilities Agreement in a form acceptable to the City Attorney. 2. That the City Council approve the Parcel Map, with acceptance of the offer of dedication of the fire road and trail maintenance access easement shown on the Parcel Map and rejection of all other easements offered for dedication to the public. 3. That the City Clerk be directed to record the Parcel Map along with the signed Stormwater Maintenance Facilities Agreement, following receipt of the fully -executed Subdivision Improvement and Stormwater Maintenance Agreements, and all required bonds, fees, insurance. Following the execution of the attached agreements and recordation of the Parcel Map, the contractor anticipates starting the construction on the main drainage systems and utilities necessary to develop the site. The property owner anticipates that this work will begin during the fall and be completed prior to the rainy season. FISCAL IMPACT: Acceptance of the fire road and trail maintenance access easement is expected to have no significant fiscal impact to the City, as it allows for the continuation of the existing reduced turning angle for the fire road, and is anticipated to reduce potential grading activity for maintenance of the fire road. Approval of the Subdivision Improvement Agreement is expected to have no fiscal impact to the City as the agreement requires bonds be provided to cover costs if the subdivider does not fulfill their requirements under the Subdivision Improvement Agreement. The Stormwater Management Facilities Agreement is expected to have no fiscal impact on the City as it simply provides access and clarifies the owner's responsibility to maintain the proposed drainage improvements. OPTIONS: The Council has the following options to consider in this matter: 1. Adopt the resolution as presented, approving the parcel map, accepting the fire road and trail maintenance access easement, rejecting all other offers of dedication to the public, and approving the agreements; 2. Provide direction to staff for modification of the resolution; 3. Reject the resolution, which will prevent the property owner from recording the parcel map prior to installation of the subdivision improvements. Subdivision Improvement Plans TXITY COUNCIL AGENDA ITEMS\2017\04-17-2017\PW 51 Gold Hill Grade Easements\2016-04-17 Staff Report.Doc RESOLUTION NO. 14309 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL APPROVING THE PARCEL MAP, THE SUBDIVISION IMPROVEMENT AGREEMENT AND THE STORMWATER MANAGEMENT FACILITIES AGREEMENT FOR 51 GOLD HILL GRADE, SAN RAFAEL, CALIFORNIA WHEREAS, the Planning Commission of the City of San Rafael did on the 13t' of September 2016, adopt Resolution Numbers 16-19 and 16-20 approving a Lot Line Adjustment (LLA 16-001) and Tentative Parcel Map (TS 16-001) to allow modification to the parcel, and subdivide into three lots and development of one new single family home (APN: 015-091-03); and WHEREAS, the applicant has submitted a Parcel Map for said subdivision, entitled "51 Gold Hill Grade" and supporting documents; and WHEREAS, the Parcel Map offers for dedication a public Fire Road and Trail Maintenance Access Easement, and a Public Utility Easement; and WHEREAS, the City Engineer and Acting City Surveyor have examined the Parcel Map and supporting documents and have determined that they comply with the conditions of approval and requirements of the approved Tentative Parcel Map and the requirements of the California Subdivision Map Act; and the City Engineer is recommending that the City Council approve the Parcel Map, accept the Fire Road and Trail Maintenance Access Easement, and reject all other offers of dedication to the public shown thereon; and WHEREAS, the Community Development Department has examined the Parcel Map and supporting documents and has determined that they comply with the requirements of the approved Tentative Parcel Map; and WHEREAS, a Subdivision Improvement Agreement and Stormwater Management Facilities Agreement have been proposed to implement certain of the conditions of approval of the Tentative Parcel Map; and WHEREAS, the City Engineer has examined the Subdivision Improvement Agreement and Stormwater Management Facilities Agreement, and is recommending that these agreements be approved by the City Council. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of San Rafael approves the Parcel Map for the 51 Gold Hill Grade, approves accepting the offer of dedication to the public of the Fire Road and Trail Maintenance Access Easement and approves rejecting all other offers of dedication to the public. BE IT FURTHER RESOLVED that the City Council of the City of San Rafael approves accepting the Subdivision Improvement Agreement and Stormwater Management Facilities Agreement attached to the staff report submitted to the City Council, subject to final approval by the City Attorney as to form, and authorizes the City Manager to execute said Agreements. BE IT FURTHER RESOLVED that the City Council of the City of San Rafael hereby authorizes the City Clerk, upon receipt of the executed Subdivision Improvement Agreement and Stormwater Management Facilities Agreement, and all other required bonds, fees, insurance and other documents, to record the Parcel Map and Stormwater Management Facilities Agreement in the Official Records of the County of Marin. BEIRNE, City Clerk City of San Rafael • California Subdivision Improvement Agreement THIS AGREEMENT is made and entered into as of the 17th day of April, 2017, by and between the City of San Rafael (hereafter, the "City"), and Martin J. Covne (hereafter, the "Subdivider"). RECITALS: A. Subdivider is developing a subdivision called 51 Gold Hill Grade, San Rafael, California (hereafter, the "Subdivision"). B. Subdivider has presented to City for approval a parcel map entitled: Parcel Map 51 Gold Hill Grade (hereafter, the "Parcel Map"). C. The Parcel Map has been filed with the City Engineer and City Clerk of the City. D. Subdivider has requested approval of the Parcel Map prior to the construction and completion of improvements, including all streets, highways or public or private ways and public utility facilities which are a part of, or appurtenant to, the Subdivision as designated in the Parcel Map (hereafter, the "Subdivision Improvements"), all in accordance with, and as required by, the plans and specifications for said improvements, entitled "Improvement Plans 51 Gold Hill Grade", dated September 2016 (the "Improvement Plans), on file in the office of the City Engineer of the City. E. This agreement is executed pursuant to the provisions of the Subdivision Map Act of the State of California and Title 15 of the San Rafael Municipal Code. NOW, THEREFORE, the parties agree as follows: 1. Performance of Work Subdivider shall furnish all required materials for, and shall perform or cause to be performed, at Subdivider's own expense and in a good workmanlike manner, all of the work and improvements related to the Subdivision as shown on the Improvement Plans. All of the work and improvements and materials shall be performed and installed in strict accordance with the Improvement Plans; provided that in case there are not any standard specifications of City for any of said work, it is agreed that the same shall be done and performed in accordance with the standards and specifications of the State of California Department of Transportation. Subdivider shall also perform and supply such additional work and materials which, in the opinion of the City Engineer and on his order, are necessary to complete the improvements in accordance with the Improvement Plans, or with any changes to the Improvement Plans ordered by said Engineer as necessary or required to complete the work. All such work shall be subject to the conditions, requirements and recommendations as set forth by the San Rafael City Council Resolution No. 14309 adopted at the regular meeting of the City Council held on the 17th of April 2017, and shall be performed under the direction and to the satisfaction of the City Engineer of City. 2. Soils Engineering Contractor It is mutually agreed that the City shall determine the soils engineering firm to perform required soils testing and investigation, at the Subdivider's sole expense, during the construction of the Subdivision Improvements. Subdivision Agreement • 1 3. Work. Places and Grades to be fixed by Engineer All of said work is to be done at the places, of the materials, in the manner, and at the grades, all as shown upon the Improvement Plans and to the satisfaction of the City Engineer. 4. Work. Time for Performance City hereby fixes the time for the completion of the Subdivision Improvements to be within two (2) vears from the date when this agreement is approved by the City Council. At least fifteen (15) calendar days prior to commencement of work hereunder, Subdivider shall notify City Engineer in writing of the date fixed by Subdivider for commencement thereof, so that the City Engineer shall be able to provide services for inspection. 5. Time is of Essence - Extension Time is of the essence of this agreement; provided that in the event good cause is shown therefore, the City Council may extend the time for completion of the Subdivision Improvements hereunder pursuant to San Rafael Municipal Code Section 15.11.130. Any such extension may be granted without notice to the Subdivider's surety, and extensions so granted shall not relieve the surety's liability on the bond to secure the faithful performance of this agreement. The City Council shall be the sole and final judge as to whether or not good cause has been shown to entitle Subdivider to an extension. 6. Repairs and Replacements Subdivider shall replace, or have replaced, or repair, or have repaired, as the case may be, all pipes and monuments shown on the Parcel Map which have been destroyed or damaged, as the case may be, or shall pay to the owner(s) thereof, the entire cost of replacement or repairs, of any and all pipes and monuments damaged or destroyed by reason of any work done hereunder, whether such pipes and monuments be owned by the United States or any agency thereof, or the State of California, or any public agency or political subdivision thereof, or by the City or by any person whomsoever, or by any combination of such owners. Any such repair or replacement shall be to the satisfaction, and subject to the approval of the City Engineer. 7. Utility Deposits. Provision Subdivider shall make all deposits legally required by each public utility corporation involved in the provision of services for the Subdivision for the connection of any and all public utilities to be supplied by such public utility corporation within the Subdivision, and shall ensure that utilities are available to said Subdivision prior to final occupancy thereof. 8. Permits. Compliance with Law Subdivider shall, at Subdivider's expense, obtain all necessary permits and licenses for the construction of the Subdivision Improvements, and shall give all necessary notices and pay all fees and taxes required by law. 9. Superintendence by Subdivider Subdivider shall give personal superintendence to the work on the Subdivision Improvements, or have a competent foreman or superintendent, satisfactory to the City Engineer, on the work at all times during progress, with authority to act for Subdivider. 10. Inspection by City Subdivider shall at all times maintain proper facilities, and provide safe access for inspection by City to all parts of the work and to the shops wherein the work is in preparation. The Subdivider shall pay overtime incurred by City inspectors whenever the Subdivider elects to work on Saturday, Sundays, and holidays, and he shall also pay overtime incurred by any City inspector when Subdivider works any Subdivision Agreement • 2 overtime hours. The inspection of work shall not relieve the Subdivider of any of his obligations to complete the Subdivision Improvements as prescribed. Defective work shall be made good and unsuitable materials may be rejected, notwithstanding the fact that such defective work and unsuitable materials may have been previously overlooked and accepted by the City Engineer. 11. Improvement Security Prior to the filing of the Parcel Map by the City Engineer, the Subdivider shall present to and file with the City of San Rafael a surety company bond in the sum of One Hundred Sixty Three Thousand, Seven Hundred and Seventy Five Dollars ($163,775.00) issued by a company duly and regularly authorized to do a general surety business in the State of California conditioned upon the faithful performance of this agreement and by its terms made to inure to the benefit of the City of San Rafael. The surety on said bond and form thereof shall be satisfactory to the City Attorney. 12. Alternate Improvement Security Subdivider may deposit at the time for submission of the bonds mentioned in paragraph 11 above, in lieu of a surety bond, cash in the amount of said required bond with the City Finance Director of the City as a guarantee for the faithful performance of this agreement. The City Finance Director may disburse progress payments to the Subdivider on his order as the work progresses; provided first that the Subdivider shall submit a demand for a progress payment and the demand for payment and the amount is approved, in writing, by the City Engineer of the City. No progress payment allowable hereunder shall be made for more than ninety percent (90%) of the value of any installment of work and not before each installment of work shall have been completed to the satisfaction of the City Engineer. The final payment for the work to be performed under this agreement shall be made 35 days after formal acceptance of the subdivision by the City upon determination of the City Engineer that all improvements required by this agreement have been completed to his full and complete satisfaction. As the hereinabove -mentioned deposit is a guarantee for the faithful performance of this agreement, the City may, upon a breach, default, or violation of any of the provisions of this agreement resort to the hereinabove -mentioned deposit for the purposes of taking over the work and prosecuting the same to completion. Upon breach, default or other violation of this agreement requiring the City to take over the work, the City Finance Director shall release, to the City Engineer, upon written demand of the City Engineer, such amount or amounts of the deposit remaining as the City Engineer estimates is reasonably necessary to complete the work. In lieu of the surety bond or cash as required by Title 15 of the San Rafael Municipal Code, an instrument or instruments of credit in the amount of said required bond may be deposited with City upon condition the financial institution furnishing the credit pledges to the City it has the funds necessary, that they are on deposit as guarantee for payment of the public improvements required and that the said funds are held in trust for the purposes set forth in this agreement. 13. Labor and Material Bond (50% of Improvement Cost) Subdivider shall furnish security in the amount of Eighty One Thousand, Eight Hundred and Eighty Eight Dollars ($81,888.00) securing payment to the contractors, subcontractors, persons renting equipment or furnishing labor or materials for the Subdivision Improvements. The security may be cash, surety bond, or instrument of credit as permitted by the Subdivision Map Act of the State of California. Such security shall be retained by the City for a period of ninety (90) days following acceptance of the Subdivision Improvements by the City or for such other period as may be required or permitted pursuant to Government Code provisions governing the release of labor and material bonds for subdivision improvements. 14. Hold Harmless Agreement Subdivider hereby agrees to, and shall, hold City, its elective and appointive boards, commissions, officers, agents, and employees harmless from any liability for damage or claims for damage for personal injury, including death, as well as from claims for property damage which may arise from Subdivider or Subdivider's contractors, subcontractors, agents, or employees of the Subdivider's contractors, subcontractors, or by any one or more persons directly or indirectly employed by, or acting as agent for, Subdivider or any of Subdivider's contractors or subcontractors arising out of Subdivider's performance of its obligations or conduct of its operations under this Agreement. Subdivider agrees to, and shall, defend, indemnify and hold harmless the city and its elective and appointive boards, commissions, officers, agents and employees from any suits or actions at law or in equity for damages caused, or alleged to have been caused, by reason of any of the aforesaid operations. A. City does not, and shall not, waive any rights against Subdivider which it may have by reason of the aforesaid hold harmless agreement, because of the acceptance by City of any of the insurance policies described in paragraph 18 hereof. B. The aforesaid hold harmless agreement by Subdivider shall apply to all damages and claims for damages of every kind suffered, or alleged to have been suffered, by reason of any of the aforesaid operations, regardless of whether or not City has prepared, supplied or approved of plans, specifications, or either, for the Subdivision, and regardless of whether or not any insurance policies shall have been determined to be applicable to any of such damages or claims for damages. C. Subdivider agrees that the use of any and all streets and public improvements hereinabove required to be constructed shall be, at all times prior to the final acceptance of the subdivision by the City, at the sole and exclusive risk of the Subdivider. The City may, at its sole option, issue permission to occupy all or a portion of the Subdivision Improvements prior to final acceptance of said Subdivision Improvements. The issuance of any permission to occupy the Subdivision Improvements located within the Subdivision shall not be construed in any manner to be an acceptance and approval of any or all of the streets and improvements in Subdivision, or that stage of development of said streets and improvements represented by their conditions at the time of issuance of said occupancy permit or permits, or any stage of their development reached between the period commencing with the issuance of any occupancy permit, and the final acceptance of the Subdivision. 17. Protection of Public Safety Subdivider is obligated to protect the public safety during all phases of the work, and shall erect and maintain all necessary barricades, signs and warning devices necessary to ensure public protection. In the event that City discovers a condition on the site which in its determination constitutes an immediate danger to public safety, and Subdivider cannot respond at once, City may erect any barriers, signs and warning devices it deems necessary. In such event, Subdivider shall pay for the labor of City's crews as specified on the latest fully -burdened rate schedule at the time the work is performed, per worker; plus the cost of any materials used and a reasonable fee for use of any barricades found necessary. In no event shall Subdivider pay less than one hour minimum per worker assigned if City takes action pursuant to this paragraph. 18. Insurance Subdivision Agreement • 4 A. Scope of Coverage. During the term of this Agreement, Subdivider shall maintain, at no expense to City, the following insurance policies: 1. A commercial general liability insurance policy in the minimum amount of one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for death, bodily injury, personal injury, or property damage. 2. An automobile liability (owned, non -owned, and hired vehicles) insurance policy in the minimum amount of one million dollars ($1,000,000) dollars per occurrence. 3. Worker's compensation as required by the State of California, with statutiory limits, and employer's liability insurance with limits of no less than one million dollaras ($1,000.000) per accident for bodily injury or disease. Subdivider's worker's compensation insurance shall be specifically endorsed to waive any right of subrogation against City. B. Other Insurance Requirements. The insurance coverage required of the Subdivider in subparagraph A above shall also meet the following requirements: 1. The commercial general liability insurance policies shall be specifically endorsed to include the City, its officers, agents, employees, and volunteers, as additionally named insureds under the policy. 2. The additional insured coverage under the commercial general liability insurance policies shall be primary with respect to any insurance or coverage maintained by City and shall not call upon City's insurance or self-insurance coverage for any contribution. The "primary and noncontributory" coverage in the Subdivider's policy shall be at least as broad as ISO form CG20 0104 13. 3. The insurance policies shall be specifically endorsed to provide that the insurance carrier shall not cancel, terminate or otherwise modify the terms and conditions of said insurance policies except upon ten (10) days written notice to the City. 4. If the insurance is written on a Claims Made Form, then, following termination of this Agreement, said insurance coverage shall survive for a period of not less than five years. 5. The insurance policies shall provide for a retroactive date of placement coinciding with the effective date of this Agreement. 6. The limits of insurance required in this Agreement may be satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and noncontributory basis for the benefit of CITY (if agreed to in a written contract or agreement) before CITY'S own insurance or self-insurance shall be called upon to protect it as a named insured. 7. It shall be a requirement under this Agreement that any available insurance proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be available to CITY or any other additional insured party. Furthermore, the requirements for coverage and limits shall be: (1) the minimum coverage and limits specified in this Agreement; Subdivision Agreement • 5 or (2) the broader coverage and maximum limits of coverage of any insurance policy or proceeds available to the named insured; whichever is greater. C. Deductibles and SIR'S. Any deductibles or self-insured retentions in Subdivider's insurance policies must be declared to and approved by the City Attorney, and shall not reduce the limits of liability. Policies containing any self-insured retention (SIR) provision shall provide or be endorsed to provide that the SIR may be satisfied by either the named insured or City or other additional insured party. At City's option, the deductibles or self-insured retentions with respect to City shall be reduced or eliminated to City's satisfaction, or Subdivider shall procure a bond guaranteeing payment of losses and related investigations, claims administration, attorney's fees and defense expenses. D. Proof of Insurance. Subdivider shall provide to the City Attorney all of the following: (1) Certificates of Insurance evidencing the insurance coverage required in this Agreement; (2) a copy of the policy declaration page and/or endorsement page listing all policy endorsements for the commercial general liability policy, and (3) excerpts of policy language or specific endorsements evidencing the other insurance requirements set forth in this Agreement. City reserves the right to obtain a full certified copy of any insurance policy and endorsements from the Subdivider. Failure to exercise this right shall not constitute a waiver of the right to exercise it later. The insurance shall be approved as to form and sufficiency by the City Attorney. 19. Repair or Reconstruction of Defective Work If, within a period of two years after final acceptance of the work performed under this agreement, any structure or part of any structure furnished or installed or constructed, or caused to be installed or constructed by Subdivider, or any of the work done under this agreement fails to fulfill any of the requirements of this agreement or the specifications referred to herein, Subdivider shall without delay and without cost to City, repair or replace or reconstruct any defective or otherwise unsatisfactory part or parts of the work or structure. Liability under the contracts of surety or guarantee referred to in paragraphs 11 and 12 of this agreement shall be released upon the completion of all work and public improvements to the satisfaction of the City Engineer as provided and permitted by the Subdivision Map Act of the State of California. Should Subdivider fail to act promptly or in accordance with this requirement, or should the exigencies of the case require repairs or replacements to be made before Subdivider can be notified, City may, at its option, make the necessary repairs or replacements or perform the necessary work, and Subdivider shall pay to the City the actual cost of such repairs plus fifteen percent (15%). 20. Notice of Breach and Default If Subdivider refuses or fails to obtain prosecution of the work, or any severable part thereof, with such diligence as will ensure its completion within the time specified, or any extensions thereof, or fails to obtain completion of said work within such time, or if Subdivider should be adjudged a bankrupt, or Subdivider should make a general assignment for the benefit of Subdivider's insolvency, or if Subdivider, or any of Subdivider's contractors, subcontractors, agents or employees, should violate any of the provisions of this agreement, City Engineer may serve written notice upon Subdivider and Subdivider's surety of breach of this agreement, or of any portion thereof, and default of Subdivider. 23. Breach of Agreement. Performance by Surety or City In the event of any such notice, Subdivider's surety shall have the duty to take over and complete the work and improvements herein specified; provided however, that if the surety, within thirty (30) days after the serving upon it of such notice of breach, does not give City written notice of its intention to take over the performance of the agreement and does not commence performance City may elect to take over the work and prosecute the same to completion, by contract or by any other method City may deem advisable, for the account and at the expense of Subdivider, and in such event, City without liability for so doing, may take possession of and utilize in completing the work, such materials, appliances, plant and other property belonging to Subdivider as may be on the site of the work and necessary therefore. The Subdivider shall be liable to the City for any excess costs, claims, damages, liability, or expenses of whatever nature or kind, direct or indirect, including reasonable attorney fees which are directly or indirectly caused by the execution and enforcement of this agreement. 24. Binding of Agreement This agreement shall bind, and the benefits inure to, the respective parties thereto, their legal representatives, executors, administrators, successors in office or interest, and assigns. 25. COYNE (hereinafter "OWNER"). WHEREAS, OWNER owns certain real property known as 51 Gold Hill Grade, San Rafael, California more specifically identified by deed in Recorder's Document Number 17-0003436 and described in Exhibit "A" attached hereto (the "Property"); and WHEREAS, the conditions of approval for a development project on the property, as contained in CITY Planning Commission Resolutions No. 16-19 and 16-20, adopted on September 13th, 2016, require OWNER to construct certain improvement, which include stormwater management facilities on the Property, the approved plans for which are included in the plans titled "Improvement Plans 51 Gold Hill Grade Subdivision" dated September 2016; which are on file with the Department of Public Works of the CITY, and collectively referred to hereafter as the "Improvements"; and WHEREAS, the aforementioned conditions of approval of the development project also required OWNER to maintain the Improvements in perpetuity, and to enter into an agreement with CITY specifying the scope of OWNER'S maintenance obligations and the rights of CITY with respect to enforcement of OWNER'S maintenance obligations. NOW THEREFORE, the parties agree as follows: 1. At its sole expense, the OWNER shall construct the Improvements in accordance with the approved plans on file with the CITY, within two (2) years of April 171h, 2017, or prior to occupancy of any residence constructed on the Property, whichever occurs first. 2. At its sole expense, OWNER shall use its best efforts to diligently and adequately maintain the Improvements, in perpetuity, in a manner assuring peak performance at all times, 5-1- 37.) �- t4 -4 -6 -is . and shall make such changes or modifications, subject to CITY approval, as may be reasonably necessary for the Improvements to continue to operate as originally designed and approved. 3. At its sole expense, OWNER shall inspect the Improvements as often as required, but in any event at least once a year, and shall provide CITY with an Annual Inspection Report on or before the anniversary of this Agreement, in a form approved by CITY, which describes the condition and performance of the Improvements. 4. OWNER, in removing and disposing of any materials as part of its maintenance of the Improvements, shall comply with all federal, state, and local laws. Upon CITY's written request, OWNER, at its sole expense, shall provide CITY with documentation in a form approved by the City identifying any materials removed in connection with maintenance of the Improvements, their quantity, and their destination. 5. OWNED agrees that CITY, its employees, contractors, and agents, may enter upon the Property, upon twenty-four (24) hours advance written notice, for any duration of time reasonably necessary to inspect the Improvements and do any related testing. CITY agrees that every effort shall be taken to minimize or avoid interference with OWNER's use of the Property in connection with such an inspection. 6. In the event OWNER fails to satisfactorily maintain the Improvements as required under this Agreement, and OWNER fails to cure such failure within thirty (30) days after written notice to cure is given by CITY, CITY, its employees, contractors, and agents, may enter the Property to cause any maintenance as may be necessary to be done on the Improvements, and may thereafter bill OWNER for the entire cost and expense of such maintenance, including administrative costs and interest, to the maximum amount permitted by law, from and after 30 days from the date the maintenance expense bill is mailed by CITY to OWNER. In the event any such maintenance expense bill is not paid within said 30 days, CITY may initiate a civil action to recover the amount owed, and the prevailing party in such action shall be entitled to recover its costs, including reasonable attorney's fees. CITY also shall be entitled to cause a lien for any such unpaid maintenance expense bill to be recorded against the Property. In addition, CITY shall be entitled to have the unpaid amount of the maintenance expense bill placed as a special assessment on the next regular tax bill levied against the Property, after which such assessment shall be collected in the same manner as ordinary municipal taxes are collected, and shall be subject to the same penalties and same procedures under foreclosure and sale in the case of delinquency as provided for ordinary municipal taxes. 7. CITY may require OWNER, from time to time, to post security in a form, amount, and for a time period satisfactory to CITY to guarantee performance of the obligations stated herein. Should OWNER fail to perform the obligations under this Agreement, CITY may, in the case of a cash bond, act for OWNER using the proceeds from such cash bond, or in the case of a surety bond, require the surety to perform the obligations of this Agreement. 8. OWNER shall indemnify, hold harmless, and defend the CITY from and against any and all claims, demands, suits, liabilities, losses, damages and payments, including reasonable attorneys' fees, claimed or made against or incurred by CITY arising from OWNER's construction, operation or maintenance of the Improvements. However, to the extent that liability is caused by the active negligence or willful misconduct of CITY, OWNER's indemnification obligation shall be reduced in proportion to the CITY's share of liability for the active negligence or willful misconduct. 9. This Agreement shall be binding upon the parties and their administrators, representatives, successors and assigns, and shall inure to the benefit of the parties, and each of thein, and to their administrators, representatives, successors and assigns. 10. This Agreement shall be recorded in the Office of the Recorder of Marin County, California, at the expense of OWNER, and shall constitute notice of the obligations herein set forth, which shall run with the land and shall be binding upon all of the successors and assigns in title to the Property. 11. All notices and other communications required or permitted to be given under this Agreement, including any notice of change of address, shall be in writing and given by personal delivery, or deposited with the United States Postal Service, postage prepaid, addressed to the parties intended to be notified. This Tentative Map approval grants the subdivision of a 3.19 acre pared with two existing residences into three Parcels as illustrated on the Lot Line Adjustment and Tentatlw Parcel Map - prepared by Oberkamper and Associates, Civil Engineers, Inc. This approval shall be valid for a period of two (2) years from the date of approval, or until September 13, 2018, unless a Parcel Map has been recorded or a time extension is requested 2. Any outstanding Planning Division application processing fees shall be paid prior to recording of the Parcel Map. 3. Within 5 day of the Planning Commission approval, the applicant smell submit a check in the amount of $2,210.25 made payable to the County of Marin, for recordation of the Notice of Determination (NOD) with the County recorder's office. The fee is required by the State of California Department of Fish and Wildlife prior to recordation of the CEQA determination. 4. Prior to recordation of the Final Map, or as allowed through subdivialon improvement bonding, the existing driveway shall be widened to 20 feet in width, extended to serve Lot 3, and include a Fire Department approved turnaround on Lot 3. These improvements shall be as shown on the approved plans, or as modified by conditions required as part of the Tentative Map review process. 5. The applicant shall be required to disclose the required future access driveway widening and extension to the prospective new buyers of Lot 1, Lot 2 and Lot 3. 6. Prior to installation of the road widening and extension, the application shall obtain all required grading and building permits and/ or improvement plans. 7. Prior to issuance of building permits or prior to the recordation of a Final Map, whichever occurs first, the developer shall pay to the City an in lieu Parkland Dedication fees for 3 new lots in accordance with the provisions of City Council Ordinance No. 1558. Parkland Dedication in lieu fees are, at this time, based on 1989 dollars. Adjustments of this figure may be necessary at the time of fee payment if the fair market value for parkland and associated improvements is adjusted in accordance with Section 15.38.045 of the Ordinance. The fees for 3 lots shall be $5,903.93. 1L Prior to the recordation of the Parcel Map, the applicant shall construct two new carports- one on Lot #1 and one on Lot #2 to satisfy the parking ;:.K,:.:.4ents for each new separate lot. The carports shall be designed to accommodate two covered parking spaces. Each lot shall also provide an area for two uncovered guest parking spaces. 9. Prior to the construction of the new structure, the applicant shall apply for and receive approval of a staff level design review permit and subsequently apply for and obtain a building permit for the construction of each carport. The building permits for the carports shall be finaled before recordation of the map. 10. Any future development on Lot 3 shall be subject to obtaining an Environmental and Design Review Permit through the Zoning Administrator with review and recommendation by the Design Review Board. 11. A Final Parcel Map must be processed consistent with the Minor Subdivision procedures of San Rafael Municipal Code Chapter 15.03. The final parcel map filed for the project shall substantially conform to the approved Tentative Map called Lot Line Adjustment and Tentative Parcel Map - prepared by Obefl a aper and Associates, Civil Engineers, Inc, except as conditioned herein. 12. These project conditions of approval shall be included on a plan sheet to be submitted with any plans submitted to the City for building or grading permits, or subdivision improvements. 13. Hours of construction, including deliveries, arrival of workers to the site, warming -up vehicles and any noise generating activities, shall be limited to occur between the hours of 8:00 am. to 6:00 p.m. Monday through Friday and 9:00 am. to 6.00 p.m on Saturdays. No work shall be permitted on Sundays or City observed Holidays. 14. The developers Civil Engineer must prepare the Final Parcel Map pursuant to procedures for Minor Subdivision (Chapter 15.03) and submit 3 sets directly to the Department of Public Works for review. A copy of the Final Parcel Map and Improvement Plans shall be transmitted to the Planning Division and Building and Fire Division for review prior to being scheduled for action by the City Council (no public hearing a required). 15. Grading and Improvement Plans shall be submitted to the Planning Division and Department of Public Works prior to recordation of a final parcel map fon the project, subject to the following requirements: a b. C. d. C. f. Peer review of the Level B geotechnical investigation prepared for the minor subdivision may be required prior to issuance of permits, to confirm final design details. Grading plan check and inspection fees will be required based on the earthwork quantities. DPW shall notify the Planning and Building Division when the Parcel Map has been recorded. The applicant shall be responsible for fees and costs associated with review and recordation of the Parcel Map, including the County Recorders fees. The developer's engineer shall submit a detailed drainage plan to DPW for review showing the proposed drainage system including layout, dimensions and details, construction details for detention box, outlet dissipater and detention pipe, SWPPP and MCSTOPP details. A recent Preliminary Title Report less than 6 months old will be required. Department of Public Works - Land Develnt Division Prior to approval of the tentative map: 16. Grading and Drainage a) The proposed setback from the top of bank is less that the recommended 25 feet. Driveway improvements this close to the creek shall require additional review. Provide a biological assessment to show that the area may be altered with improvements. Conduct a soil stability investigation and calculations to show the ability to construct a driveway in close proximity to the creek with the steep banks. b) Investigate the condition of the full length of the drainage course from above the fire road to below the culvert under the existing driveway. Provide consideration for stream bank restoration and drainage system improvements. Stabilization of the fire road at the drainage crossing shall also be reviewed. c) Provide a revised statement on the drainage characteristics that indicates how the additional runoff from the site will be retained, detained, or infiltrated in order to maintain the existing conditions. d) Provide curb, and gutter to catch and treat driveway runoff prior to draining to the creek. Show the details on the site plans. 17. Access a) The existing fire road is shown within the property boundary. Provide an easement for the existing fire road or propose realignment of the fire road during site improvements for continued fire road access. b) The driveway width appears to be less than 20' in some areas. The 20' width is generally required for fire access. Driveway width shall be confirmed by the Fire Prevention Bureau. 18. Subdivision ;.... a) Provide an engineer's estimate for the improvements proposed for the site. A subdivision improvement agreement may be requrrei for this work which shall be addressed at the time of Map approval. b) Submit details on proposed landscaping. Landscaping will need to be installed in such a way to preserve adequate sight distance from driveways. Landscaping in the vicinity of the wetlands and watercourse should be done in a manner to prevent creek bank erosion. c) Provide a maintenance agreement for the length of the drainage course along the property line and within the road Right -of -Way of Gold Hill Grade, as the watercourse lies mainly within the property but meanders into and has banks within the Right -of -Way. d) The northwestern dramageway follows the proposed lot line between Lot 1 and Lot 2 for approximately 401. This may cause confusion as to the maintenance of the drainage way. We recommend adjusting the lot line or including this with the maintenance agreement of the drainage course along Gold Hill Grade. Prior to recordation of aRnal Map: 19. General- Provide the plat and legal description, including closure calculations for review by the City Surveyor. 20. Grading and Drainage a) A detailed grading plan showing the proposed grading for the site shall be required. A Grading Permit shall be obtained from the City of San Rafael, Department of Public Works, 111 Morphew Street. b) Provide a detailed erosion control plan for this site to be submitted with the grading plan.
