A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SAN RAFAEL ACCEPTING PROPOSAL FROM INDUSTRIAL
POWER TECHNOLOGY FOR LIGHTING DESIGN SERVICES
FOR RELIGHTING SAN RAFAEL COMMUNITY CENTER
PARKING LOT
WHEREAS, the current outdoor lighting to the San Rafael Community
Center parking lot is in poor condition and in need of replacement; and
WHEREAS, current illumination levels are below present day
standards; and
WHEREAS, in the interest of public safety and welfare it is proposed to
replace the parking lot lighting as funds become available; and
WHEREAS, a proposal for design services to evaluate and redesign the
parking lot lighting has been received from Industrial Power Technology (I.P.T.) in
the amount of $6,000.00, which is attached hereto as Attachment "A"; and
WHEREAS, staff has reviewed said proposal and feels that it is
satisfactory; and
WHEREAS, the design work can be paid for out of P.G. & E. rebates for
Albert Park relighting ($6,560.00).
NOW, THEREFORE BE IT RESOLVED that the Director of Public
Works is authorized to accept, on behalf of the City Council, a proposal from I.P.T.
for aforesaid design services, a copy of which is attached hereto and marked
Attachment "A" and incorporated herein by this reference.

certify that the foregoing resolution was duly and regularly introduced and
adopted at a regular meeting of the Council of said City on Monday, the 1st day of

Industrial Power Technology, a California Corporation, is pleased to submit our proposal
for electrical engineering and design services to relight the parking lot at Albert Park
which is situated around the Community Center.
Our Scope of Work will consist of the following services:
1. Nighttime investigation and recording of existing illumination levels.
2. Investigation of existing panelboards and control equipment to determine how
much of this equipment should be reused or replaced.
3. Design of new lighting for parking lot.
New illumination levels will meet or exceed the recommendations of the
Illuminating Engineers Society.
City of San Rafael will furnish IPT with architecturally correct mylars to be used
for the design work.
4. Design of new circuits and controls, as necessary, to accomplish the lighting
programs desired by the City for the parking lot.
5. Participate in a design coordination meeting and a pre -construction meeting with
the City.
6. Prepare an opinion of probable construction cost.
7. Provide construction review and support including submittal review, a final site
visit upon completion of project, and a nighttime check of new illumination levels.
8. Prepare as -built reproducible drawings using information recorded by the installing
contractor.

Our fee to provide these services is $6,000. This fee is itemized as follows:

Our fee does not include:
$6,000
1. Design of new lighting for any areas other than parking lot and two pathway
lights.
2. Work other than that listed in Items 1 through 8 in the Scope of Work.
3. Direct project expenses (refer to attached Schedule of Charges.)
4. Administration of the bidding process.
5. Assembly of the specifications and bid documents. We understand that the City of
San Rafael will handle these items.
Terms and Conditions:
We will submit monthly progress billings in accordance with the Attached Schedule of
Charges, which is an integral part of this proposal.
Our fee and time schedule is based on the timely receipt of required design information.
In order to recover losses sustained by IPT for prolonged delays in design progress, a
project restart fee equal to 10 percent of the amount earned prior to the delay of design
progress for 30 days or more will be added to IPT's invoice for each occurrence after
starting the project and when such delays are caused by anyone other than IPT.
Exception: Delays in design review attributed to state agencies.
All reports, plans, specifications, field data, field rates, laboratory test data, calculations,
cost opinions, and other documents prepared by IPT as instruments of service shall remain
the property of IPT. IPT shall retain these records for a period of five (5) years following

ubmission of IPTs report, during which period they will be made available to the Client
at all reasonable times.
Client agrees to limit IPTs professional liability to the greater of the fees charged to the
Client by IPT for services performed for the Client, or the sum of Two Hundred Fifty

Thousand Dollars.
IPT shall submit to the client an opinion of probable cost required to procure, install,
construct, or modify work recommended, designed, or specified by IPT. IPT is not a
construction cost estimator or construction contractor, nor should IPT's rendering an
opinion of probable construction cost be considered equivalent to the nature and extent of
service a construction contractor would provide. IPT cannot guarantee the occurrence of
its opinions of cost; in recognition of that fact the client waives any claim against IPT
relative to the accuracy of IPT's opinion of probable construction cost.
All disputes arising from IPT's performance of this agreement shall be first submitted to
non-binding mediation, before exercising other available dispute resolution methods.
This proposal is valid only if accepted by July 15, 1991, unless extended by IPT.
If this proposal is acceptable, please initial above and sign below, keep a copy, and return
the original to our office.
