A RESOLUTION ACCEPTING PROPOSAL AND AUTHORIZING
THE SIGNING OF AN AGREEMENT WITH WILBUR SMITH
ASSOCIATES FOR UPDATING THE NORTHGATE AREA -WIDE
TRAFFIC MODEL
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES AS
FOLLOWS:
The Director of Public Works is hereby authorized to execute, on
behalf of the City of San Rafael, an agreement with Wilbur Smith
Associates for performing an update to the Northgate Area -wide
Traffic Model. A copy of their proposal for performing this work
entitled "St. Vincent's/Silvera Ranch Study Area (PHASE I)" is hereby
accepted, attached hereto, and incorporated herein by reference. The
terms of the agreement will be based on the above referenced
proposal and will be subject to approval of the City Attorney prior to
execution by the Director of Public Works.

Regarding: St. Vincent's/Silvera Ranch Study area (PHASE I)
Dear Jean:
Wilbur Smith Associates (WSA) is pleased to have this opportunity to work with you on this project.
It is our understanding that this project would be divided into two phases and that you would like
WSA to propose separately on each. This letter contains a brief outline of the overall project and
the scope of work, fee and schedule proposal for the first of the two phases.
PHASE I - The first project would consist of updating the existing City traffic model which was
prepared by WSA in 1986 and has been updated since. The study area zones and intersections are
shown in Exhibit 1 attached to this proposal. This Phase would consist of updating existing traffic
volume files, updating network geometry files where roadway configurations have changed, and
subtracting development which has occurred since the preparation of the original model from the
traffic model (since these developments will be included in the existing conditions counts). Also, if
changes have been made to the General Plan since the preparation of the original traffic model,
WSA would want to update its land use assumptions. No trip rates will be changed in this phase of
the project as the rates from the General Plan Circulation Element will be used.
The purpose of this task would be to get an accurate reading of the existing traffic conditions in San
Rafael and to forecast future traffic conditions. The results of this task would be presented in report
format to the City of San Rafael.
PHASE II - The second phase of the project, which will be further discussed in separate letter, will
be to evaluate the growth potential in the St. Vincent's/Silvera Ranch study area. In this phase of
the project, three land use assumptions will be added to future build -out traffic estimates. The results
of Phase I of the project will be used for the build -out traffic conditions. The land use assumptions
will vary in development type and density. For each of the three land use assumptions, three
different future roadway scenarios will be used.
The purpose of this task will be to 1) determine the maximum development which could occur in the
area of the project under various circulation networks, and then to 2) analyze impacts of development
alternatives and to determine which of the proposed future roadway networks would best
accommodate the future development scenarios.

Also as part of this phase, WSA will develop rail alignment alternatives for the NWPRR and will
discuss transit and parking in the study area. The result of this phase of the study will be presented
as a transportation impact study.
Scone of Work
This letter proposal focusses on Phase I of this project. As stated, Phase II will be addressed in a
separate letter proposal. WSA proposes a five task scope of work for PHASE I of this project. They
consist of. (1) Updating existing traffic volumes; (2) Updating network files; (3) Updating General
Plan build -out files; (4) Running the traffic model; and (5) Presenting findings. Each of these tasks
is discussed in greater detail below.
Task 1 - Undatine Existing Traffic Volumes
This task will consist primarily of gathering recent turning movement count data at the study
intersections. Nader Mansourian, of the City of San Rafael, supplied WSA with a list of recent traffic
counts which will be used where possible. In many cases, however, new traffic counts will have to
be conducted. No traffic counts more than two years old will be used. Based on the study
intersections which were included in the past traffic model and on a list of counts provided by the
City, new counts will need to be conducted at 27 locations during the PM peak period. Additional
intersections could be added to the traffic model at additional cost. The cost would be approximately
$800 per additional intersection. This estimate includes the cost of counting the intersection as well
as adding it to the model and carrying the analysis through the remainder of the study.
Task 2 - Updating Network Files
This task will consist of updating the roadway network geometry files where roadway and intersection
improvements have been made. The model was last updated in February of 1988. Also as part of
this task, WSA will review and update (where necessary) the traffic distribution assumptions made
in the last traffic model.
Task 3 - Updating General Plan Build -Out Files
The traffic model's future traffic forecasts are based on land use assumptions for future development.
The types and quantities of future development are estimated based on the City of San Rafael's
General Plan. In order to depict an accurate picture of the General Plan build -out traffic conditions,
WSA will update its General Plan assumptions. Important issues in this update will be any changes
to the General Plan since the update to the traffic model, so that land use assumptions can be
changed accordingly, and development which has occurred since the update, so that development
which was slated to occur and which now has occurred can be subtracted from the future
development scenario.
In order to complete this task, the City of San Rafael will need to provide WSA with a copy of the
City's most recent General Plan, copies of amendments to the General Plans, and a list of projects
which have occurred since the update to the traffic model.

Task 4 - Runnine the Traffic Model
In this task, the traffic model files will be updated and the traffic model will be run for existing PM
peak hour conditions and General Plan build -out conditions.
Task 5 - Presentine Findings
The results of the traffic model runs will be presented in a report to the City. The report will
document important assumptions and methodology. Also included in the report will be copies and
explanations of all of the model's inputs and outputs. This will allow other professionals to
understand what land uses were assumed, what trip generation assumptions were used, how vehicles
were distributed between zones, what road configuration assumptions were made, and what the
resulting levels of service were. Included in the explanation of the generation file will be trip rates,
assumptions about internal trips, TSM, and other factors which would affect this file. It will be
presented in a clear, concise manner in laymen terms. The City will be permitted one round of
comments on the results of the report. If additional response to comments were necessary, the City
would be charged on a time and materials basis for the work.
Fee and Schedule
WSA proposes to complete PHASE I of this project for a fee not -to -exceed $16,850 (see attached
Detailed Cost Estimate). If additional counts are added to the study, this fee would be affected.
Actual billing will be done on an hourly basis using a multiplier of 2.65 times payroll costs (salary plus
benefits). This assumes that no additional intersections will be added to the traffic model.
The data collection aspect of this phase will be extensive and may take as many as three weeks. The
entire project phase could be completed within six weeks. Prior to beginning work, WSA would like
to receiving written notification to proceed. The six week schedule is contingent upon receiving the
items identified in Task 3 of this scope within three weeks of project initiation.

AGREEMENT FOR PROFESSIONAL SERVICES
WITH WILBUR SMITH ASSOCIATES FOR UPDATING
THE NORTHGATE AREA -WIDE TRAFFIC MODEL
This Agreement is made and entered into this 21st day of October 1991 by and between the City
of San Rafael (hereinafter called City) and Wilbur Smith Associates (hereinafter called Consultant).
A. SCOPE OF WORK
In accordance with this Agreement, the Consultant agrees to provide professional services
as an Engineering Consultant to update the Northgate Area -Wide Traffic Model, as outlined
in the Proposal from the Consultant entitled "St. Vincent's/Silvera Ranch Study Area
(Phase 1)", dated September 4, 1991, marked Exhibit A-, attached hereto, and incorporated
herein by this reference. The Consultant agrees to be available and perform the work
specified in this agreement in the time frame as specified and as shown in Exhibit `A7.
B . INDEPENDENT CONTRACTOR
It is understood and agreed that the Consultant is, and at all times shall be, an independent
contractor and nothing contained herein shall be construed as making the Consultant, or
any individual whose compensation for services is paid by the Consultant, an agent or em-
ployee of the City, or authorizing the Consultant to create or assume an obligation for or on
behalf of the City.
C. PAYMENT
For the payments specified herein, which the City agrees to make, the Consultant will
undertake the above noted work. Payment for Professional Engineering services will be
made as follows:
L The Consultant shall receive payment on a time and material basis for services rendered in
accordance with the rates shown on his current fee schedule, set out in Exhibit "A7.
2 The total payment made for any individual work task will not exceed the amounts shown on the
Proposal Budget, set out in Exhibit "A7, without prior authorization by the City.
a Consultant's professional service fees shall be invoiced on a monthly basis.
4 Payments made by the City shall be made within 15 days of receipt of invoice.
D. TERMS
The terms of this Agreement shall be from the date of execution to until the completion of
work Either party may terminate this Agreement by giving other party thirty (30) days
written notice. In the event of termination, City shall pay Consultant all sums then due and
unpaid as of the date of receipt of notice. Payment by City of such compensation shall be
considered full and final settlement for all work performed by the Consultant under, this
Agreement. All completed reports and other documents and materials described in Exhibit
A" shall become the property of the City.
E. ARBITRATION
All claims or disputes between the City and the Consultant relating to this Agreement shall
be decided by arbitration pursuant to the current provisions of the California Code of Civil
Procedure and any successor statutes. The decision of the arbitrator shall be final and
binding on the parties. In interpreting the provisions of this Agreement, the arbitrator may
make an award of costs and fees, including attorney's fees necessitated by arbitration.
F. ALTERATIONS
This Agreement may be modified, as necessary, for the successful and timely completion of
the services to be provided. Any alteration shall be expressed in writing, as an amendment
to this Agreement, and shall be executed by both parties. Amendments to Exhibit A". may
be made by mutual agreement, in writing, signed by Consultant and the Director of Public
works, or the Director's appointed representative.
G. ASSIGNMENT
No assignment of this Agreement, either in whole or in part, shall be made by Consultant
without the prior written consent of City.

H. NOTICES
Any notice required to be given by the terms of this Agreement shall be deemed to have been
given when the same is sent by certified mail, postage prepaid, addressed to the respective
parties as follows:

1. INSURANCE
During the term of this Agreement, Consultant shall maintain: comprehensive general
liability insurance with a combined single limit of not less than $1,000,000 for bodily or
personal injury or property damage as the result of any single occurrence; Consultant shall
also maintain professional liability insurance with a limit of liability of not less than
$500,000 per claim, and in the aggregate. City shall be added as a named insured on the
general and comprehensive general liability insurance. Prior to beginning work under this
Agreement, Consultant shall provide the City with evidence that the insurance described
above is in place.
J. INDEMNITY
Consultant shall indemnify, defend and hold the City harmless from and against liability
arising from Consultant's negligent acts, errors, or omissions in performance of the work,
or for willful or intentional misconduct relating to activities carried out pursuant .to or in
connection with this Agreement.
IN WITNESS WHEREOF. City and Consultant have caused their authorized representatives to
execute this Agreement the day and year first written above.
