A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The 1L4YOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
UNITED STATES OF AMERICA (CORPS OF ENGINEERS) ENTITLED
"GENERAL INVESTIGATIONS, FLOOD CONTROL STUDY, FEASIBILITY PHASE"
a copy of which is hereby attached and by this reference made apart
hereof.

MEAS, the Water Resources Deve1.k...c,,.L Act of 1986 (P.L. 99-662)
specifies the cost sharing requirements applicable to the study;

For the purpose of this Agreement:
a. The term "Study Cost" shall mean all disbursements by the
Government pursuant to this whether from Federal okV.,.2 lations
or E "", funds made available to the Gcverrmient by the Sponsor, and all
Negotiated Costs of work performed by or contracted for by the Sponsor
pursuant to this Agreement. Such cost shall include, but not be limited
to: labor charges; direct costs; overhead expenses; supervision and
administration costs; and contracts with third parties, including
termination or suspension charges; and any termination or suspension costs
(ordinarily defined as those costs necessary to terminate ongoing
contracts or obligations and to LALyj=4.1y safeguard the work already
accomplished) associated with this Additionally, the "Study
Cost" includes a Review Contingency equal to the lesser of five (5) per
centum of the "Study Cost" or $50,000, such amount to be used in the event
of work required as a result of Division- or review through the "Study
Period" (see "Study Period " below). Should costs be incurred beyond this
amount, this Agreement will be modified to provide for 50-50 sharing of
the additional costs.
b. The term "Study Period" shall mean the time period for conducting
the Study commencing with the issuance of initial. Federal feasibility
funds following the execution of this Agreement, and ending when the
.L=t, -,.L L is submitted to the Office of Management and Budget (CMB) by the
Assistant Secretary of the Army for Civil Works ASA(CW) for review of
consistency with the policies and Y��y�a,LL= of the President.
C. The term "Negotiated Cost" is the cost of a work item,to be
a�.*,lished by the sponsor as in-kind services as specified in the Scope
of Studies incorporated herein and which is acceptable to both parties.
ARTICLE II - OBLIGA'T'IONS OF PARTIES
a. The Sponsor and the Government, using funds contributed by the
Sponsor and arY�yj,�iated by the Congress, shall expeditiously prosecute
and ccuplete the Study, currently estimated to be ocmpleted in 25 months
from the date of this Agreement, substantially in ccupliance with Article
III herein and in conformance with applicable Federal laws and
regulations, the Economic and ErrrLu u«,Lal Principles and Guidelines for
Water and Related Land Resources Implementation Studies, and mutually
acceptable standards of engineering practice.
b. The Government and the Sponsor shall each provide, in cash,
contracts, and in-kind services, fifty (50) �%-=,L of all Study Costs,
which total Study Cost is currently estimated to be $636,000, as specified
in Article IV herein; provided, that the Sponsor may, consistent with
applicable Federal statutes and regulations, contribute up to 25
of the Study Costs as in-kind services; provided further, the Gav,.,,n.„L
shall not obligate any cash contribution by the Sponsor toward Study Costs
until such cash contributuon has actually be made available to it by the
Sponsor.
c. The award any cm* act with a this party for services in

d. The Goven7nent and the Sponsor shall each endeavor to assign the

Study and shall, within the limits of law and regulation, conduct the

established by Article VI herein.
ARTICLE III - SCOPE OF cauui
e. The Gov-r..,...1L will not continue with the Study if it deteaaines
that there is no solution in which there is a Federal interest or which is
not in accord with current policies and budget priorities unless the
Sponsor wishes to continue under the terns of this Agreement and the
Department of Army grants an exception. If a study is discontinued, it
shall be concluded according to Article XII and all data and information
shall be made available to both parties.

there is no solution in which it has an interest ok which is not in accord

ARTICLE III - SCOPE OF .Ouu 'L7
Attachment 1, the Scope of Studies, is hereby incorporated into this
Agreement. The part -;es to this Agreement shall substantially ccuply with
the Scope of Studies in prosecuting work on the Study. The following
modifications to be approved by the Executive C loamttee, shall require an
u.«.G.Llent to this Agreement:
a. any modification which increases the total Study Costs by more
than _ 5 percent ( % to be negotiated with 15% maximum) (see Attachment
1, page A-9);
b. any modification in the estimated cost of a Study work item or any
obligation for a Study work item, which changes the total cost of that
work item by more than 15 percent (see Attachment 1, pages A-4 through
A-10);
c. any extension of the Study completion date of more than thirty
(30) days (see Attachment 1, page A-9); or
d. any reassignment of work items between the Sponsor and the
Government (see Attad ent 1, pages A-4 through A-9).
ARTICLE IV - M=OD OF PAYMENT
a. The Govern t shall endeavor to obtain AM each fiscal year

in the Scope of Studies i.,1.ti.L�/MLhted herein. Subject to the enactment of
Federal appropriations and the allotment of furls to the OwA acting
officer, the Government shall then fund the Study at least in the amounts
specified in the Scope of Studies herein.
b. The Sponsor shall endeavor to obtain during each G,-ovo,l,,...,..l,. fiscal
year the cash contribution for that fiscal year at least in the
amounts specified in the Scope of Studies L1WL JL Cited herein and, once it
has obtained funds for a cash contribution, shall make such funds

Agreement.
c. Finds made available by the Sponsor to the Gavel,.«..!I, and not

carried over and applied to the cash contribution for the succeeding
Government fiscal year; provided, that upon Study termination any excess
cash contribution shall be reimbursed to the Sponsor after a final
accounting, subject to the availability of «k.L,.I,Liations as specified in
Article XII herein.
d. Should either party fail to obtain funds sufficient to make
obligations or cash contributions or to incur Study Costs in accordance
with the schedule included in the Scope of Studies incorporated herein, it
shall at once notify the Executive ccamittee established under Article VI
herein. The Executive c mnittee shall determine if this Qlt LVC4L=44Should
be amended, suspended or terminated under Article XII herein.

representatives, City Manager, Pamela J. Nicolai; Director of Public
Works, Mr. David Bernardi; and Assistant Director of Public Works, Mr.
Floyd Strom.
b. To provide for consistent and effective ccmuunication and
prosecution of the items in the Scope of Studies, the Executive Ccm¢nittee
shall appoint representatives to serve on a Study Management Team.
c. The Study Management Team will coordinate all matters relating to
prosecution of the Study and ccnpliance with this Agreement, including
cost estimates, schedules, prosecution of work elements, financial
transactions and reccnmiendati.ons to the Excutive Committee for
termination, suspension or amendment of this Agreement.
d. The Study Management Team will yLcra.A-c periodic LCM►Lis on the
rL,. ,.,-ss of all work items for the Executive Committee.
ARTICLE VI - DISPUTE
a. The Study Management Team shall endeavor in good faith to
negotiate the resolution of oonflicts. Any dispute arising under this
Ay..Rr.=L«!L which is not disposed of by mutual consent shall be referred to
the Executive Oamftittee. The Executive Cmnittee shall resolve such
conflicts or determine a mutually agreeable process for reaching
resolution or for termination under Article XI herein.
b. Pending final decision of a dispute hereunder, or pending
suspension or termination of this Agreement under Article XI herein, the
parties hereto shall proceed diligently with the performance of this

-Ihe Govemm-ent and the Sponsor shall keep books, records, documents and
other evidence pertaining to study costs and expenses incurred pursuant to
this Agreement to the extent and in such detail as will rLjk=.Lly reflect
total Study Costs. The Govenmient and the Sponsor shall maintain such
books, records, dommients and other evidence for inspection and audit by
authorized representatives of the parties to this Agreement. Such
material shall remain available for review for a period of three (3) years
following the termination of this Agreement.
a. The parties to this Agreement act in an independent capacity in
the performance of their respective functions under this Agreement, and
neither party is to be considered the officer, agent, or employee of the
other.
b. To the extent permitted by applicable Federal law, any l.J,
documents, data, fundings, conclusions, or i cw ....=j,lations pertaining ng to
the Study shall not be released outside the Executive Cmmdttee or the
Study Management Team; nor shall they be represented as presenting the
views - of either party unless both Parties shall indicate agreement thereto
in writing.
ARTICLE IX - OFFICAIS NOT TO tsr, 4hr'1'1'
No member of or delegate to the Congress, or other elected official, shall
be admitted to any share or part of this Ay���t�, or to any personal
benefit that may arise therefrom.
In acting under its rights and obligations hereunder, the local sponsor
agrees to omply with all applicable Federal and state laws and
regulations, including section 601 of Title VI of the Civil Rights Act of
1964 (Public law 88-352) and Department of Defense Directive 5500.II
issued pursuant thereto and published in Part 300 of Title 32, Code of
Federal Regulations, as well as in Army Regulation 600-7, entitled
"Nondiscrimination on the Basis of Handicap in P uq.,.. . and Activities
Assited or Conducted by the Department of the Army."
The local sponsor warrants that no person or selling agency has been
employed or retained to solicit or secure this Aj-L -.-.— tom upon agreement or
understanding for a ommission, percentage, brokerage, or contingent fee,
excepting bona fide employees or bona fide established wiUM-L%Aal or
selling agencies maintained by the local sponsor for the purpose of
securing business. For breach or violation of this warranty, the
Government shall have the right to annul this Ay�=,=& without liability,
or, in its discretion, to add to the or consideration, or
otherwise recover, the full amount of such cpm;s.Gion, percentage,
brokerage, or contingent fee.
a. This Agreement shall be terminated at the ccupletion of the Study
Period; provided that prior to such time and upon thirty (30) days written
notice, either party may terminate or suspend this Agreement without
penalty.
b. Within ninety (90) days upon termination of this the
Study Management Team shall roc a final accounting of Study Costs,
which shall display disbursements by the Government of Federal funds, cash
contributions by the Sponsor, and credits for the Negotiated Casts of the
Sponsor subject to the availability of funds, within thirty (30) days
thereafter, the Government shall reimburse the Sponsor for the excess, if
any, of cash contributions and credits given over fifty (50) &=.L, -.,L of
total Study Costs. Within thirty (30) days thereafter, the Sponsor shall
provide the Government any cash contributions required so that the total
Sponsor share equals fifty (50) ��L1. of the total Study Costs.

FEASIBILITY STUDY
SOOPE OF STUDY

This Scope of Study (SCIS) presents the pi"y.Lcuu for the conduct and
management of the Marin County Shoreline San Rafael (anal General
Investigation Feasibility Study. Information is provided on the approach
and specific work activities necessary in formulating and evaluating the
alternative plans re,.AAtu,=,,ded in the Reconnaissance Phase, and determining
the Feasibility Study; cost sharing and schedule. This SOS will serve as
the basis for assigning tasks and establishing the value thereof for
in-kind contributions of the non -Federal sponsor.
The objective of this SOS is to provide for orderly and systematic
compilation of data arra achievement of coordination between the local
sponsor and others required in the planning and decision making processes.
The SOS, through the iterative process anh with continuous public
involvement, will be flexible in- achieving solutions to the San Rafael
Canal flood control problems and needs. Public concerns and preferences
will continually be considered and analyzed during the refining of the
alternative solutions and in the evaluation of their impacts.
II. DESCR=ION OF THE FEASIBILITY STUDY
The objective of the Feasibility Study is an in-depth examination
and refinement of the three alternatives recommended as a result of
Reconnaissance level investigations. Detailed development of Alternative
1 (Tide Barrier Structure Upstream of the Mouth of the Canal with Bypass
Pumps and Localized Flood Protection Along Summit Avenue and Marina Vista
Canal), Alternative 3 (Tide Barrier at the Mouth of the Canal with Bypass
Pumps Only) and Alternative 7 (Flood Walls on Both the North and South
Sides of the Canal) will facilitate the recommendation of one alternative
which will meet the flood control requirements of the Local Sponsor and
the planning objectives of the Federal Government. This recommended plan
will additionally be refined in terms of design, cost estimation,
envies u, uurr t al documentation and cost sharing arrangements. In accordance
with Section 905 of the Water Resources Development Act of 1986, a
nonstructural alternative to the re,-�mm=,Ied plan will be described if the
recommended plan does not have significant nonstructural features. The
completion of these refinements of the recommended alternative will
finalize the Feasibility phase of study and result in a final product
which can then be carried forward to the Project Design phase.
The work efforts, and scheduling, for the Feasibility Study is
shown on Figure 1, and the South Pacific Dvision Milestones are provided
on Figure 2. The following provides information on these as well as study
expenditures which are divided into five phases:

The first phase involves reviewing the extent of the flood
problem and establishing the existing and most probable future conditions
of the study area assuming a Federal project is not implemented. This
"without project" condition provides the basis for the evaluation of
alternative plans. Work activities will involve additional gathering of
information on the physical, enviA.%d.,.«,lal, ,_...A.,A„ic and geotechnical
characteristics of the study and project area. This information, obtained
generally fr m the Reconnaissance Report, will be reviewed from the
viewpoint of adequacy for formulation and decision raking purposes, and
determinations will be made as to the investigaticns required to update
and/or develop the information needed for the remainder of the Feasibility
Study. Where necessary, new data will be generated. Me tasks and
expenditures scheduled for initiation during this phase include the

At the end of this phase, with the exception of Fish and
Wildlife Studies, the without project condition will be well defined, the
additional study information will be detailed and the data collection will
have been initiated.
B. PHASE II. - PLAN SELECTION
The next phase involves the evaluation of the preliminary
alternative plans identified during the Reconnaissance Phase which will be
considered ultimately for rectum endation. Work during this phase will
include the refinement of the alternative plans including new plans or
revisions of the previous plans based on and resulting from the refined
without project condition, and feasibility level design criteria.
Additionally, more detailed plan evaluation will be undertaken during this
phase in order to determine the Federal interest in the alternative plans
based on Federal laws, policies and local interests. Of importance is a
comparison based on the economics of the plans studied, their cost
benefits and relationship to the National Economic Develcpnent Plan
(NED). The tasks and expenditures scheduled for this phase include the
following:

C. PHASE III. - DETAILED EVALUATION OF THE PLAN
The objective of phase three is the selection, design and
recommendation of a plan for construction. During this phase the design,
impact assessment and evaluation of the candidate plans will require
specific and well-defined data at a cmparable level for each plan, a
screening of these plans and the eventual selection of one plan to be
detailed for reconTendation for project constriction . Plan selection
will be based on the identification of the NED Plan and local d ,
interests. Activities will involve detailed design and evaluation of the
final alternative plan to be for construction. It is also
during this phase that the Financial Capability & Ability to Pay Analyses,
i.e., Institutional Studies, will be emphasized. The tasks arra
expenditures scheduled for this phase include:

The end of this phase signals the end of the plan
formulation process and the beginning of the report preparation phase.
D. PHASE IV. - DRAFT xr:rvxiv PREPARATION
Phase four involves preparing the draft Feasibility Study
Report/EIS for COE South Pacific Division and public review. The
will include the main text with envL-wu«.l.al, economic, engineering and
geotechnical appendices. Corps study management will be responsible for
incorporating pertinent information into the main text using the materials
provided by the support elements. Reproduction of plates and written text
would be performed at this time. Also during this time the preliminary
draft local Cost Sharing Agreement (IL'A) will be prepared. The
non -Federal Sponsor will be required to furnish a letter of intent

The final phase of the study involves incorporation of review

order to ensure that the sponsor is afforded the opportunity to
participate in any additional significant rewriting, documentation,
analysis, or reformulation as a result of Washington level review, a
"Review Contingency" will be included as a work item in the SOS. This
item will be five percent of the Total Study Dost or $50,000, whichever is
less and will be cost shared equally. Should cost be incurred beyond this
amount the FCSA will be modified to provide for 50-50 sharing of those
additional costs. Any costs relating to the Feasibility Report that are
incurred following coupletion of the Study Period will be 100 percent
Federal. The tasks and expenditures scheduled for this phase include:

Throughout the conduct of the study various management duties for
the study will be performed the cast of which is estimated at $136,000.
III. DETAILED DESCRIPTIONS OF STUDY TASKS
The total estimated cost for the Feasibility Study is $636,000.
The following provides a detailed description of the tasks to be
accomplished during the Feasibility Study:

what their concerns are and participate in public

08 SURVEY AND MAPPING
The local sponsor will provide up to
date topographic surveys contours, scaled at
1 inc1=100 feet, of the project areas
west of Highway 17 and the areas north
and south of San Rafael Canal. From these
the Corps will develop current topographic
maps and cross-sections for project design
work on the three alternatives.
09 HYDROLOGY AND HYEPAULIC INVESTIGATION
Hydrology - Review previous work,
perform analysis for determination of
the 10 -year, 50 -year, 100 -year, 500 -year
and standard project flood (SPF)
discharges. Existing drainage systems
will also be evaluated for adequacy
and for interior drainage conditions.
Compile written report including the
needed plates and drawings for
inclusion in Feasibility Report
and Technical Documentation Report.
Hydraulics - Review Reconnaissance Study
results and corplete design of alternatives
using newly developed hydrology. Provide
overflow areas for 500, 100, 25, and 10
year floodplain for existing conditions.
Prepare plot showing limits of 500 year
flood to table relating 500 year tide
to other events. For design conditions,
conduct hydraulic studies to optimize pump
sizes relating runoff event to area flooded
for the 500, 100, 25, and 10 year events.

for inclusion in the Feasibility Report,

The study schedule is presented on Figure 1, which is attached.
This schedule is based on considerations of the effort required for each
work activity in each work element. The overall Feasibility Study is
scheduled for completion within 25 months of initiation.

The study management organization consists of an Executive
Committee and a Study Management Team. The Executive Ccmuttee is
responsible for resolving any disputes that arise during the study. They
will decide on the solutions and study direction. The Study Management
Team consists of Corps personnel and personnel selected by the City of San
Rafael, the non -Federal sponsor. The responsibility of the team is to
execute the required tasks of the Study as described in the SOS and the
executed agreement. The Corps and sponsor study manager will be
responsible for the management of their respective tasks, budgets and
schedules.
Overall study management shall be the responsibility of the
Executive Committee. The Study Management Team will coordinate all
matters relating to the execution of the Study and compliance with cost
sharing agreement, including cost estimates, schedules, execution of work
elements, financial transactions and recommendations to the Executive
Committee for terminations, suspensions, or amendments to the agreement.
The study managers will keep books, documents and other
evidence pertaining to study costs and expenses incurred pursuant to the
agreement to the extent and in such detail as will reflect total
costs.

THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of
the City of San Rafael, a contract, lease or agreement with
UNITED STATES OF AMERICA (CORPS OF ENGINEERS) ENTITLED
