RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING THE
CITY MANAGER TO EXECUTE A CONTRACT FOR PROFESSIONAL SERVICES AT FALKIRK
NOT TO EXCEED $3,700
WHEREAS, Due to the resignation of the Cultural Affairs Supervisor
there is not sufficient staff to carry out and complete several
important projects at Falkirk Cultural Center; and
WHEREAS, The staff and the Council wish to complete the work
involved with the coming year's membership drive, and to have programs
for the community and volunteers for the Winter Holidays; and
WHEREAS, Ann Batman, Barbara Fuchs, and Robyn Prud'homme/Bauer,
through their consulting service known as, Organizational Support
Services, have submitted a proposal for interim support services for
Falkirk Cultural Center including completion of the Membership Program
and assisting staff with Winter Holiday activities for a cost not to
exceed $3,700.
NOW, THEREFORE, BE IT RESOLVED the City Council of the City of San
Rafael hereby authorizes the City Manager to execute a contract with
Batman, Fuchs, and Prud'homme/Bauer for professional services at Falkirk
not to exceed $3,700, said contract to be reviewed by the City
Attorney's Office.

certify that the foregoing resolution was duly and regularly introduced
and adopted at a regular meeting of the City Council of said City
held on Mondav the ___2p d day of November , 1987, by the

This U agreement made and entered into this 11" day of
PM &-&I-qV by and between the City of San Rafael, hereinafter
referred to as "City", and Ann Batman, hereinafter referred to as
consultant.
1. The City hereby employs consultant to provide services enumerated
in exhibit "A" and incorporated herein by reference. The term of this
agreement shall be November 3, 1987 through January 15, 1988.
2. In consideration of performing duties enumerated in Exhibit "A",
Consultant will receive $1,233: $411 on December 1, 1987, $411 on
January 11 1988, and $411 on January 15, 1988.
3. Consultant will report to and receive direction from the Library
Director and the Falkirk Curator in performance of duties enumerated
in exhibit "A". It is expressly understood that consultant work
assignments, and services performed under this agreement are all under
the direction of staff and are not of a policy-making nature.
4. It is understood that consultant is an independent contractor, not
a City employee, and as such shall not be entitled to vacation, sick
leave, or other fringe benefits granted to regular full-time employees
of the City.
5. Consultant agrees to hold harmless, indemnify and defend the City,
its officers and employees from any and all claims, loss, liability
and damages or claims for personal injury or property damage, which
may occur as a result of any action and/or omission of Ms. Batman or
her employees or agents from any suits or actions at law by any person
including Ms. Batman or her employees or agents for damages caused, or
alleged to have been caused for any reason occurring as a result of
services rendered under this agreement.
6. Consultant and City agree to submit any claims arising under this
agreement to binding arbitration pursuant to the current provisions of
the California Code of Civil Procedure and any successor statutes.
7. It is understood that the City shall have the right to terminate
this agreement at any time it is determined that the conditions of
this agreement have not been adhered to or that its continuation is
not in the best interest of the City. It is further understood that
Consultant shall have the right to terminate this agreement at any
time with a two-week notice to the City.

EXHIBIT "A"
Ann Batman, Barbara Fuchs, and Robyn Prud'homme-Bauer, hereinafter
referred to as consultants, will provide interim support services for
Falkirk Cultural Center in San Rafael under the direction of Library
Director Vaughn Stratford, from November 3, 1987 through January 15,
1988. Services to be provided are as follows:
1. At least one of the consultants will staff Falkirk Cultural Center
for three continuous hours Monday through Friday when Falkirk is open
to the public, beginning November 3, 1987 through January 15, 1988.
The consultants will work on projects enumerated in this exhibit,
answer telephones when the secretary is unavailable, relieve the
secretary for lunch, and complete appropriate tasks as assigned by
Library Director or Falkirk Curator.
2. Help carry out, under the supervision of the Falkirk curator,
Winter Holiday activities, including a member reception, downstairs
holiday decorations, and assistance with other holiday events as
needed.
3. Assist staff with the current membership drive, including
assisting with completion of the new brochure, assisting with the
composition and production of appropriate appeals letters,
assistance preparing and mailing brochures and letters, and assisting
staff in providing appropriate publicity for the campaign.
4. Assisting staff in evaluating and redesigning the current approved
caterers list including: development of selection criteria for the
list, composing and mailing letters to current and potential caterers,
collecting appropriate licenses, permits, references, insurance
certificates from caterers, assisting staff with the selection of an
interview panel, scheduling interviews.
The City of San Rafael will provide the following:
1. Regular Falkirk staff will be the contact with the City
for services such as printing, mailing, Public Works
assistance, and Parks Department assistance.
2. The exclusive use of a desk and telephone on the
premises of Falkirk will be assigned to consultants.
Necessary message services during the absence of the
consultants will be provided by regular Falkirk staff.
AGREEMENT
