BETWEEN THE CITY OF SAN RAFAEL AND THE UNITED STATES POSTAL
SERVICE FOR PROVISION OF MAIL SERVICES FOR RITTER CENTER CLIENTS
THIS GRANT AGREEMENT is made and entered into this (lft, day of
0.1-tqttIL 2017, by and between the City of San Rafael, a California
charter city ("CITY"), and the United States Postal Service ("USPS"), collectively
the "Parties".
WHEREAS, CITY and the Ritter Center, a nonprofit organization providing
support services to homeless and low-income persons at 16 Ritter Street in San
Rafael, have entered into a Memorandum of Understanding dated August 15,
2016 (the "MOU") in which they agreed to cooperate to effect certain operational
changes at the Ritter Center in an effort to mitigate certain perceived adverse
impacts of the Ritter Center's operations on persons and businesses in the
CITY'S downtown area; and
WHEREAS, pursuant to the MOU, CITY is working with the Ritter Center
to provide mail services to Ritter Center clients at a location other than Ritter
Center's offices at 16 Ritter Street, San Rafael, and CITY has undertaken the
lead role in identifying such alternative mail services; and
WHEREAS, in furtherance of those efforts, CITY has worked with USPS
to develop a program, to be supervised by the Ritter Center and funded by CITY,
to provide individual post office boxes to Ritter Center clients at the USPS Post
Office at 40 Bellam Boulevard, San Rafael, 94901-5333; and
WHEREAS, USPS has agreed to provide one hundred (100) individual
post office boxes for use in the planned program according to procedures it will
establish with the Ritter Center, at a total cost of $9,000 for a period of one year;

NOW, THEREFORE, it is mutually agreed and understood by the Parties
as follows:
STATEMENT OF AGREEMENT
1. The foregoing recitals shall be considered to be part of this Grant
Agreement.
2. CITY shall grant to USPS the sum of $9,000 from City's Homeless
Initiative Budget funds, by check made payable to the United States Postal
Service, within thirty (30) days following the date of this Grant Agreement.
3. USPS shall keep accurate records of the receipt and deposit of all
grant funds provided by CITY hereunder.
4. USPS shall use such grant funds only for the purpose of providing post
office boxes to clients of the Ritter Center as described in this Grant Agreement
for a term of one year, to commence on a mutually agreeable date not later than
sixty (60) days following the date of this Grant Agreement.
5. All notices under this Grant Agreement shall be in writing (unless
otherwise specified) delivered to the parties by hand, by fax, by commercial
courier service, or by United States mail, postage prepaid, addressed to the
parties at the addresses set forth below or such other addresses as the Parties
may designate by notice.

6. In the event USPS determines for any reason that it is necessary to
terminate the program services described herein prior to the termination of the
one year term, USPS shall provide notice of such termination to CITY and, within
30 days after the termination date, shall return to CITY a portion of the grant
funds equal to the percentage of the full term remaining after the termination
date.
7. The terms and provisions of this Grant Agreement shall extend to and
be binding upon and inure to the benefit of any assignee or legal successor to
any of the Parties to this Grant Agreement.
WHEREFORE, this Grant Agreement is executed by the duly authorized
representatives of each of the Parties, as of the date first set forth above.
