Pacific Gas and I-Wa, Electric Company WORK ORDER CITY OF SAN RAFAEL — IMPLEMENTATION PROJECT This WORK ORDER ("Work Order"), effective as of 6?e=TOAC—F— Z , 2017 ("Work Order Effective Date") is made and entered into by and between the City of San Rafael ("Customer") and Pacific Gas and Electric Company ("PG&E" or "Contractor"). This Work Order is subject to the terms and conditions of the PG&E Services Agreement between Customer and PG&E entered into on or about August 4, 2017 ("Services Agreement"). Customer and PG&E are referred to collectively as the "Parties." In accordance with the provision of the Services Agreement, the Customer wishes to engage PG&E to provide the Implementation Work, defined below in Section 1, subject to the terms of the Services Agreement and hereby notifies PG&E to commence work on the following Project: PROJECT NAME: City of San Rafael —SST Measure Implementation CONTRACT No.: SST-SNRFL-0002 AMOUNT OF WORK ORDER: $1,119,872.00 1. SCOPE OF WORK 1.1 PG&E will procure equipment for, construct, implement, and deliver to Customer those measures described in the Scope of Work ("SOW") at the designated Customer facilities described in the SOW (each facility a "Site" and collectively the "Sites"). The SOW is attached hereto as Exhibit A and incorporated by reference herein. The services to be performed under this Work Order will be referred to hereinafter as the "Implementation Work". PG&E will have no obligations to perform any Implementation Work under this Work Order unless and until PG&E and Customer have signed this Work Order. The issuance of this Work Order does not commit PG&E to perform any future work for Customer. 1.2 Subcontractors. PG&E reserves the right to engage third party subcontractors ("Subcontractors") to perform some or a portion of the Implementation Work. PG&E agrees that, as between PG&E and Customer, PG&E will be solely responsible for the Subcontractors performance of the Implementation Work under this Work Order. In addition, unless otherwise set forth in this Work Order, the fees and costs billed to Customer will be inclusive of any and all fees and compensation due to any Subcontractors. PG&E will be responsible for the payment of any compensation, monies, wages, or other payment due or allegedly due Subcontractors. For purposes of this Agreement, PG&E and its Subcontractors will be collectively referred to as "PG&E". 1.3 Term of Work Order. This Work Order will commence upon the Work Order Effective Date and continue until April 16. 2018; unless sooner terminated or extended as permitted under the Services Agreement (the "Work Order Term"). Page 1 of 21 Pacific Gas and & Electric Company 2. PERFORMANCE OF THE IMPLEMENTATION WORK 2.1 Proiect Construction 2.1.1 PG&E's Responsibilities. On the date Customer in writing authorizes and directs PG&E to commence construction of the Project, PG&E will commence and complete construction and implementation of the Project in accordance with the Services Agreement, this Work Order, the attached SOW, and any applicable Change Orders. PG&E will provide all professional and other services, labor, materials, equipment, tools, transportation, and other services necessary for the proper performance and completion of the Implementation Work. PG&E will be responsible for the means, methods, techniques, sequences, and procedures to implement the Project, and will oversee Project construction. PG&E will be responsible for preparation of the Site for the Implementation Work. It is acknowledged and agreed that PG&E, working on Customer's behalf, will provide all services to obtain all permits and approvals necessary to proceed with the Implementation Work. Permitting fees will be the responsibility of the Customer. 2.1.1.1. PG&E will use commercially reasonable efforts to minimize disruption to Customer's use and operations at the Site. PG&E will provide at least ten (10) calendar days written notice to Customer of any planned power or other utilities outages that will be necessary for the Implementation Work. Customer will cooperate with PG&E in scheduling such outages, and Customer agrees to provide its reasonable approval of any scheduled outage. 2.1.1.2. PG&E will take all reasonable precautions to ensure the safety and protection of PG&E personnel, Subcontractor employees, and Customer employees. 2.1.2 Customer's Responsibilities. 2.1.2.1. Customer will take reasonable measures to provide PG&E, its personnel, and Subcontractors with site access, suitable office space, and other reasonable accommodations and facilities necessary to permit PG&E personnel and its Subcontractors to perform the Implementation Work on this Project. While working on the Site, if requested by Customer, the PG&E Project team personnel will be located in an area adjacent to Customer's subject matter experts and technical personnel, and all necessary security badges and clearance will be provided for access to this area, all in accordance with Customer's vendor policies. Additionally, upon request Customer will provide to PG&E and its Subcontractors relevant site information or documents necessary to perform the Implementation Work, including but not limited to a copy of this Work Order, all Change Orders, the Services Agreement, a copy of relevant drawings, specifications, operation and maintenance manuals for equipment at the Site, and other pertinent documents. Page 2 of 21 VV., 4. Pacific Gas an 6 Electric Company 2.1.2.2. Customer will arrange for a temporary staging area for the storage and assembly of equipment for completion of the Implementation Work, if needed. 2.1.2.3. Customer will coordinate the Implementation Work to be performed by PG&E with the Customer's operations and other activities and with any other construction project that is ongoing at or around the Site. 2.2 Commissioning Services. PG&E will perform commissioning services in accordance with the equipment manufacturers' startup and commissioning recommendations. 2.3 Certificate of Substantial Completion. Promptly upon substantial completion of each Project measure, PG&E will submit a Certificate of Substantial Completion to Customer for such measure. Upon receipt of such certificate, Customer may inspect the Implementation Work and meet with PG&E's Project Manager to determine if the Project measure has achieved substantial completion. Customer will, within ten (10) business days of receipt of the Certificate of Substantial Completion, inform PG&E if Customer agrees that the Project measure has achieved substantial completion. If Customer disagrees that the Project measure has achieved substantial completion, Customer will specify in detail and in writing the deficiencies requiring correction in order to achieve substantial completion. When substantial completion has been achieved it will execute and return the Certificate of Substantial Completion to PG&E stating that: (i) the Project measure has achieved substantial completion and the date on which it did so, and (ii) that on and after that date Customer will assume responsibility for the Project measure's operation, maintenance, and repair, for damage to or destruction of the Project measure, and for the Project measure's security and insurance coverage. Title to the Project measure materials and equipment installed pursuant to this Work Order will pass to Customer on the date of substantial completion together with equipment warranties. 2.4 Close -Out Documentation. Within forty-five (45) days after each Certificate of Substantial Completion has been executed by Customer and received by PG&E, PG&E will provide Customer with (a) any applicable governmental approvals, permits, and sign -offs, (b) all equipment specifications and ratings, (c) any applicable test data and reports, (d) final as -built and shop drawings, (e) operating instructions, operations and maintenance manuals and schedules, recommended spare parts lists, and all other written information relating to the Project measure, and (f) equipment warranties. 2.5 Final Completion. Promptly after PG&E reasonably believes that Final Completion has occurred, PG&E will issue to Customer a Notice of Final Completion (defined below in Section 2.5.1). Thereafter, Customer will, within fourteen (14) business days, deliver its acknowledgment that Final Completion has been achieved. The date of Final Completion will be the date of Customer's written acceptance of PG&E's Notice of Final Completion. Customer's failure to respond within the fourteen (14) day notice period will be deemed acceptance that Final Completion has occurred. Page 3 of 21 Pacific Gas and &. Electric (Company 2.5.1 For purposes of this Work Order, the term "Final Completion" means the date when all of the following have been accomplished: (a) each Project measure has achieved Substantial Completion, (b) all "punch list" items have been completed, (c) all Close-out documentation has been delivered to Customer, (d) PG&E has delivered to Customer: (i) a release of all lien rights, (ii) certification that all claims for payment for labor and equipment for which PG&E is responsible have been paid or satisfied, (iii) copies of waivers/releases of lien rights by Subcontractors that have furnished more than twenty-five thousand dollars ($25,000) of goods, services or both for the Project, (iv) notice of all outstanding claims of PG&E, any Subcontractor or equipment or materials supplier or distributor that may affect Customer, PG&E or the Project, (v) a letter of indemnification regarding claims not addressed by waivers/releases, and (vi) removal of all of PG&E and Subcontractors' personnel, supplies, equipment, waste materials, rubbish, and temporary facilities from the Site. 3. ORDER OF PRECEDENCE In the event of a conflict between the provisions of the Work Order, the Scope of Work, and the Services Agreement, the following order of precedence will apply (in descending order): (a) this Work Order, (b) the Scope of Work, and (c) the Services Agreement. 4. CHANGE ORDERS If a Change occurs and a Change Order to this Work Order is necessary, the Parties agree to follow the Change Order process set forth in Section 4.2 of the Services Agreement. 5. AUTHORIZATION Upon receipt of the Work Order, Customer will review the Work Order and verify that the terms of the Work Order are acceptable to Customer. Customer's execution of this Work Order will indicate its acceptance of the terms and conditions set forth herein. 6. PAYMENT 6.1 PG&E will submit monthly invoices to Customer based upon an agreed upon percentage completion of each task line item in the Schedule of Values (Exhibit B), which is attached hereto and incorporated by reference herein. 6.2 Each PG&E invoice will reference this Work Order and be submitted to Customer's billing address, which is Citv of San Rafael, 1400 Fifth Avenue, San Rafael, CA 94901. Customer must render, or instruct its financial institution to render, all payments to PG&E within thirty (30) days from the invoice date. If a payment dispute arises under this Work Order that is not settled promptly in the ordinary course of business, the parties must first seek to resolve any such dispute between them by negotiating promptly in good faith negotiations. These negotiations will be conducted by the respective designated senior managers (Director Level or above) of each party responsible for their relationship, and will be escalated internally by each party as reasonably necessary to seek resolution of the dispute. If the parties are unable to resolve the dispute between them through these negotiations within thirty (30) business days following their commencement (or within such other period as the parties may otherwise mutually agree upon), then the parties will escalate the dispute to their most senior executives within their organization (VP level or above). Notwithstanding anything to the contrary in the Agreement or this Work Order, pending the resolution of the issues(s), PG&E may temporarily suspend its performance of the Implementation Work until such dispute has been resolved. 7. NOTIFICATIONS AND INTERFACE Both Parties will contact and/or deliver written notices (email is allowed) to the business contacts below in the normal course of business, and in the event of any problems which may significantly affect the performance of the Implementation Work under this Work Order. OWNERSHIP OF EQUIPMENT 8.1 Ownership and title to any equipment purchased by PG&E on Customer's behalf pursuant to this Work Order will be transferred to Customer upon Customer's payment for the particular equipment and no further agreement will be necessary to transfer ownership to the Customer. 8.2 PG&E will not be liable for any claims, liabilities, or losses arising out of, resulting from, or in any way connected with Customer's use of the equipment. 9. AUTHORITY Each Party represents and warrants that the individual signing below, as well as any Change Orders and approvals hereunder, has and will have all requisite power and legal authority to bind the Party on whose behalf he/she is signing to that Party's obligations hereunder. Measures PG&E will provide energy assessment implementation services for the energy conservation measures ("ECMs") described below: 1) ECM — Interior and Exterior Building Lighting Upgrades a) Interior Lighting Upgrades at City Hall, Downtown Library, Parkside Childcare Center, Pickleweed Childcare Center, and Fire Stations 54, 55, 56. b) Exterior Lighting Upgrades at the same buildings, excepting exterior lights that are metered separately from the buildings themselves (e.g. Fixtures on PG&E's LS2 tariff). 2) ECM — EMCS (Energy Management and Control System) Replacement of existing stand-alone programmable thermostats controlling the three packaged rooftop HVAC systems serving the Council Chambers and main lobby in City Hall. The new controls for these HVAC systems will be connected to the building's existing Direct Digital Control (DDC) system and controlled using daily schedules, occupancy detection and advanced energy conservation algorithms. 3) ECM - Streetlight Replacements In this ECM the existing cobra -head style streetlight fixtures with high pressure sodium (HPS) lamps and mercury vapor (MV) lamps will be replaced with new LED fixtures. B. Measures — SOW Descriptions ECM — Interior and Exterior Building Lighting Upgrades — Scope of Work 1) Project Overview The purpose of this project is to reduce the Customer's energy consumption and operating costs for the lighting systems at the facilities identified in this section. 2) Scope of Work a) General i) The proposed lighting retrofits will be designed and installed in accordance with California Title 24 requirements (2016 version). ii) The existing quantity and location of light fixtures will remain the same unless explicitly stated otherwise in this scope of work. b) Lighting Audit A lighting audit of each facility was performed that is the basis for this scope of work. The goal of the Page 7 of 21 Pacific Gas and &; Electric Company audit was to identify the quantity, type and location of fixtures, and characterize the operation of the lighting systems. The audit is presented in the tables incorporated below titled "Lighting Audit and Solutions Table". c) Lighting Rebates The applicable utility rebate (if available) will be procured on behalf of the City for the lighting upgrades installed in this project. d) Facilities Included i) Lighting retrofits will be performed for the following facilities: (1) City Hall (2) Downtown Library (3) Parkside Childcare Center (4) Pickleweed Childcare Center (5) Fire Station 54 (6) Fire Station 55 (7) Fire Station 56 Note: Not all lighting in each facility will be replaced. The lighting in some areas has been omitted due to long financial paybacks and/or CEC loan requirements. All replacements are clearly defined in Appendix A. e) Lighting Retrofits i) This section contains a general description of the work for the most common lighting retrofits for each facility. ii) The complete line -by-line description of the existing fixtures, quantities, locations and proposed retrofit solution for each facility are listed in the "Lighting Audit and Solutions Table" tables included in Appendix A. iii) The proposed lighting retrofit materials, including manufacturer and part number, are listed in the "Proposed Lighting Products" table included in Appendix B. iv) Interior Lighting (1) Existing linear fluorescent fixtures will be upgraded to LED by modifying them with LED retrofit kits. The existing fixture housing, lens and power wiring for each fixture will remain in place. The retrofit of each fixture typically includes: (a) Removal and disposal of the existing lamps and ballast. (b) Installation of new linear LED lamps and driver. (2) Existing compact fluorescent fixtures will be retrofit with new LED lamps that are compatible the existing fixture configuration. The existing fixture housing, lens and power wiring for each fixture will remain in place. Fixtures with screw in bases will receive screw-in lamps (A -type). Fixtures with fixed ballasts and lamps with pin -type bases will receive pin -type ballast compatible lamps and the existing ballast will remain in place. (3) Existing halogen fixtures will be retrofit with new PAR -type LED lamps that are compatible with the existing fixture configuration. The existing fixture housing, lens and power wiring for each fixture will remain in place. Page 8 of 21 1) 2) Pacific Gas and &; Electric Company (4) New occupancy sensors and related controls will be installed where required by Title 24. The new occupancy sensors/controls will be commissioned in accordance with Title -24 requirements. v) Exterior Lighting (1) No exterior lighting work is included for Pickleweed Childcare Center (2) Retrofit of existing fixtures (a) Existing compact fluorescent fixtures will be retrofit with new LED lamps that are compatible the existing fixture configuration. The existing fixture housing, lens and power wiring for each fixture will remain in place. Fixtures with screw-in bases will receive screw- in lamps (A -type). Fixtures with fixed ballasts and lamps with pin -type bases will receive pin -type ballast compatible lamps and the existing ballast will remain in place. (b) Existing halogen fixtures will be retrofit with new PAR -type LED lamps that are compatible with the existing fixture configuration. The existing fixture housing, lens and power wiring for each fixture will remain in place. (c) Most existing High Pressure Sodium (HPS) and Metal Halide (MH) fixtures will be retrofit with new PAR -type LED lamps that are compatible with the existing fixture configuration. In these fixtures the existing ballast will be removed and the line -side power will be rewired to the existing lamp base. The existing fixture housing, lens and power wiring for each fixture will remain in place. (3) Replacement of Existing Fixtures (a) Fire Station 56 (i) One (1) existing MH flood light will be replaced with a new LED flood light fixture. (ii) Eleven (11) existing HPS wall flush flood light fixtures will be replaced with new LED fixtures. (b) City Hall (i) Two (2) existing halogen flood light fixtures will be replaced with new LED flood light fixtures. (ii) Two (2) existing HPS pole -top flood light fixtures will be replaced with new LED pole top fixtures. (c) Parkside Child Care Center (i) Eight (8) existing MH floodlight fixtures will be replaced with new LED floodlight fixtures. ECM — EMCS - Replacement of Existing Programmable Thermostats with DDC Control — Scope of Work Project Overview The purpose of this project is to reduce the Customer's energy consumption and related costs for three existing packaged rooftop HVAC units (RTU) serving Council Chambers and the main lobby in City Hall, and improve remote visibility of these systems to the Facilities staff. Scope of Work Page 9 of 21 .F 1Pacific Gas and Electric Company a) General The existing stand-alone programmable thermostats will be replaced with new networked digital controls for the three (3) existing packaged rooftop HVAC units (AC -1, AC -2, and AC -3) at City Hall as shown on the roof plan in Figure 1 below. The new controls for each unit will be connected to the existing EMCS via BACnet communication. Power- must be maintained to the City's dispatch center at all times. ii) Shut down existing systems and secure (lock out / tag out) as approved by the City. iii) Remove the existing programmable thermostat for each unit and provide proper disposal of thermostat, or return to the City if requested. c) New Work i) Furnish and install new networked digital controls for each RTU, a total of three (3). The new controls for each RTU include: (1) One (1) programmable thermostat/rooftop unit controller with integral BACnet MS/TP communication capability. The thermostat/rooftop unit controller will be a Johnson Controls TEC -3000 series controller or a Viconics VT8600 series controller suitable for controlling the existing RTUs including: Page 10 of 21 Pacific Gas and & Electric Company (a) One (1) indoor fan (supply fan). (b) Up to two (2) stages of cooling (on/off control). (c) Up to two (2) stages of heating (on/off control). (2) One (1) remote occupancy sensor to monitor room occupancy status. The occupancy sensor will be wired to a digital input on the new controller (1 DI). (3) Wiring and terminations between the new thermostat/rooftop unit controller and the RTU. The existing wiring will be reused if it is suitable for the application. (4) BACnet MS/TP network wiring and terminations to connect the new controller to the existing building EMCS. ii) Integrate each new thermostat/rooftop unit controller into the building's existing EMCS and enable supervisory control and monitoring functions for each RTU including: (1) Time -of -day (TOD) scheduling. (2) User interface graphic showing key system parameters. (a) Room Temperature (b) Room Temperature Set -point (c) System occupied/unoccupied mode status (d) Room occupancy status (e) Indoor fan command status (f) Cooling command status (g) Heating command status (h) Manual override options to be included. iii) Provide a brief written sequence of operation describing the required temperature set -points and other control parameters, operating schedule and control actions to be implemented. iv) Provide configuration/programming for each new thermostat/rooftop unit controller required to operate the system in accordance with the sequence of operation. v) Test and adjust each new thermostat/rooftop unit controller to provide the operation described in the sequence of operation. Provide documentation of the final "as -built" settings and sequence of operation upon completion. ECM - Streetlight LED Retrofit — Scope of Work 1) Project Overview The purpose of this ECM is to reduce the Customer's energy consumption, utility costs, and maintenance expense for its streetlight systems. 2) Scope of Work a) General i) The work consists of removing existing HID fixtures and installing new LED fixtures in approximately 2700 streetlights. ii) The existing quantity and location of streetlight fixtures will remain the same unless explicitly stated otherwise in this scope of work. Pagel 1 of 21 Pacific Gas and Ral Electric Company b) Lighting Rebates The applicable utility rebate (if available) will be procured on behalf of the City for the streetlight upgrades installed in this project. c) Streetlight Inventory i) Customer provided an inventory of its existing streetlights in spreadsheet format that is the basis for this scope of work. The spreadsheet is titled "San Rafael Streetlight Inventory (10.21.2016).xlsx" and was provided on October 21, 2016. The inventory contains the fixture identification number, location, fixture style, type of light (lamp), and wattage for each fixture. ii) The complete inventory provided by the City is provided for reference in Appendix D. d) Streetlight Replacement i) The fixtures that will be replaced as part of this project are those identified in the inventory as cobra -head style fixtures with high pressure sodium (HPS) lamps and mercury vapor (MV) lamps. The total quantity of fixtures included in the scope of work is 2,700. All other fixtures identified in the inventory are not included in this scope of work. ii) The streetlight inventory that has been filtered to show only the fixtures included in the scope of work is shown in the "Streetlight Replacement List for SST Project" in Appendix C. iii) The proposed new streetlight fixtures, including manufacturer and part number, are listed in Table 1 "Proposed Streetlight Fixtures" below. In general, residential and feeder streets will receive Cree RSW fixtures while arterial roadways and intersections will receive Cree XSP fixtures. (2) A safety and traffic control plan will be developed for the work and submitted for approval by the City in accordance with the City's requirements. (3) Disconnect and remove each existing fixture and provide disposal of each in accordance with all applicable regulations. Alternately, return specified fixtures to the City if directed in writing Page 12 of 21 Pacific Gas and Electric Company by the City's project manager. The existing pole, arm and power wiring for each fixture will remain in place for reuse with the new fixture. (4) Install new fixtures on the existing poles/arms and connect the power wiring to the new fixtures. (5) Re-energize power to the fixtures, verify proper operation, and document completion of the work. Exclusions: 1. Costs for City permit fees for building lighting work (Title -24 compliance, etc.). 2. Temporary utilities or building services. 3. Testing, removal, abatement, or disposal of hazardous materials. 4. Handling, encapsulation, and abatement of asbestos containing materials (ACM). 5. Costs associated with performing work in areas with ACM, including, but not limited to, personal protective equipment, training, and certifications. 6. Overtime labor. 7. ADA code upgrades. 8. Fire sprinkler modifications/improvements. 9. Modification of fire alarm systems. 10. Expedited shipping fees. 11. Upgrades to existing stand alone, battery -powered lighting fixtures such as battery -powered emergency fixtures. 12. Modification, repair, replacement, or adjustment of existing lighting occupancy sensors. 13. Relocation of existing lighting fixtures unless specifically included in the scope of work. 14. Repair or replacement of existing lighting system components such as wiring, switches, controls, raceways, circuit breakers, lamps, ballasts, lenses, and reflectors unless specifically included in the scope of work. 15. Costs for service and maintenance of new or existing equipment are excluded 16. Installation and repair of duct smoke detectors and related controls for AC -1, AC -2, and AC -3 at City Hall. Assumptions / Clarifications: 1. Customer will provide and coordinate access for PG&E to all areas of the Customer's facilities required for execution of the work. 2. Customer will provide outages of utilities and building services required for execution of the work. 3. Customer will provide advance notification of building occupants, tenants, and other affected parties concerning installation activities, and interruptions, of building and utility services. 4. Relocation of computers, printers, servers, and other sensitive equipment located within the areas of work are assumed to be responsibility of Customer. PG&E will provide protection for furniture and flooring as required. 5. Customer will provide access to all areas of the facilities required for execution of the work. 6. Customer will provide outages of utilities and building services required for execution of the work. 7. All warranties will be one year from the date of substantial completion of the specific ECM. 8. PG&E shall submit a work plan for perform tasks with Customer Facilities for review and approval prior to performing any work. PG&E's work may not conflict with essential facility operations such as the Page 14 of 21 Pacific Gas and & Electric Company L Police Dispatch center and other vital services. All work (excluding streetlight replacement) which does not impact the current work of Customer Employees may be performed on non -holiday weekdays between 7:OOAM and 4:OOPM; however PG&E shall anticipate performing some of its operations within Customer Facilities at a time where the work does not conflict with current duties. 9. All streetlight replacement work can be performed on non -holiday weekdays. 10. Plenum rated wiring for low voltage controls will be installed without raceways within ceilings and walls. 11. The existing City Hall EMCS has sufficient capacity for addition of the new rooftop unit (RTU) controllers, programming, graphics, and trends. 12. The scope of services includes replacement of current light fixtures and ballast with energy efficient equipment.
