HomeMy WebLinkAboutCC Resolution 6899 (Falkirk Greenhouse Restoration)t RESOLUTION NO. 6S99 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL AUTHORIZING THE MAYOR TO SIGN AN AGREEMENT WITH MARIN HERITAGE FOR RESTOR- ATION OF THE FALKIRK GREENHOUSE WHEREAS, the City of San Rafael is the owner of the Falkirk Community Cultural Center, a nationally registered historic landmark; and WHEREAS, Marin Heritage is a group whose purpose is to preserve the architectural heritage of P4arin County; and WHEREAS, the City has previously granted Marin Heritage permission to restore the greenhouse on the Falkirk grounds. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of San Rafael hereby authorizes the Mayor to sign an agreement with Marin Heritage for restoration of the Falkirk greenhouse. LEONCI I, City Clerk 0-"I(;INAL 4 q 9 L* AGREEMENT BETWEEN MARIN HERITAGE AND CITY OF SAN RAFAEL FOR RESTORATION OF THE FALKIRK GREENHOUSE RE I TA L_9 1. The purpose of this agreement is to spell out the roles and working relationship of the City and Marin Heritage for the restoration of the Greenhouse including the sidewalk, but not including landscaping or master use plan for the facility. 2. Marin Heritage is a non-profit corporation registered with the State of California, ( ID #2.3 7424755) whose purpose is to assist in the preservation of the the architectural heritage of Marin County. Its address is P.O. Dox #1432, San Rafael, Ca. 94902. Marin Heritage was the motivating force in the preservation of Falkirk for public use and was solely responsible for its entry on the National Register of Historic Places. Consequently, Marin Heritage has a continuing interest in the property. 3. The City of San Rafael, hereinafter referred to as "the City", is the owner of Falkirk Community Cultural Center, a nationally registered historic landmark. 4. Marin Heritage, after learning that the City was considering razing the greenhouse for additional city parking, approached the City with a plan for restoring the greenhouse. With Council approval, and towards this end, the City has given Marin Heritage $5,000 (in matching funds) and Marin Heritage has contributed approximately $14,000 and countless volunteer hours to the project. The California State Office of Historic Preservation has granted $2,250 (in matching funds) to Marin Heritage for the project. 5. The City and Marin Heritage agree that the purpose of restoring the Greenhouse is to make it available for the public's use and that a plan for its use needs to be developed. 6. The City and Marin Heritage agree as follows: AGREEMENT 1. All work on the Greenhouse Project (GHP) will follow plans and specifications attached as exhibit A, which includes plans and project manual by Bruce Judd, A.I.A, and punch list from the City's Public Works Department. 2. Marin Heritage will provide the City with a timeline, not to exceed two years from the effective date of this contract: budget, which includes expenditures to date and projected expenditures: overall workplan, included on pages 3-6 of the project manual attached as exhibit A. 3. Marin Heritage will name a project supervisor who will be responsible for supervision of volunteers working on the GHF, and who will be the contact person for the City's Building Department. The project supervisor will be on site whenever volunteers are working on the GHP. The project supervisor may designate an alternate who can act in his stead. 4. Marin Heritage will provide the City with a Roster of Volunteers which will include the names of all volunteers working on the GHP. Marin Heritage will be responsible for promptly informing the City of any new volunteers who will be working on the GHP, so that the City may update the Roster of Volunteers. �. The City will provide electrical power to the Greenhouse and will maintain it, and provide security for it. 6. Marin Heritage agrees to indemnify, defend, and hold harmless the City, its agents, officers, and employees, from all claims, alleged liability, damages, suits, losses, costs, or expenses in law and equity (including costs of suit and expenses for legal services) arising out of bodily injury to or death of any person or damage to any property allegedly resulting from the operation of Marin Heritage, its members, or volunteer workers under this agreement, or until said project is completed. 7. Any independent building contractors employed on the GHP must be licensed by the State of California, and will be required to carry Worker's Compensation Insurance, public liability insurance and property damage insurance. The public liability insurance and property damage insurance shall insure the City, its elective and appointive Boards, Commissions, Officers, Agents and Employees, as follows: Public Liability: Not less than $5100,i)CYi1 per person and $1,000,000 for one occurrence. Property Damage: Not less than $1(__)0,C_)C)i) for one occurrence. The required insurance may be provided by a separate policy insuring the City, its elective and appointive Boards, Commissions, Officers, Agents and Employees or, if the contractor already has insurance, he may provide the City with the required insurance by obtaining a standard form of cross -liability endorsement. Evidence of satisfactory insurance must be furnished to the City before the contractor begins work on the greenhouse. Evidence must also be provided that the insurance carrier will not cancel or reduce the coverage of the policy without first giving the City at least ten (10) days prior notice. The provisions regarding insurance contained in this par- agraph shall not apply to the Marin Heritage Restoration consult- ant while engaged either as a consultant or a volunteer for Marin Heritage. 2 8. The City must accept all work performed on the GHP. The City accepts all work completed on the GHP to date. 9. The City's Building Department will make regular inspections of the Greenhouse to insure conformance to code. The City Building Department will work with the project supervisor who will be responsible for insuring that the project conforms to Building Department requirements. 10. Any changes to original plans and specifications must be approved by the City's Building Department and the Library Director. 11. The City will provide Workers' Compensation Insurance coverage to all volunteers working on the GHP. 12. Where 111arin Heritage plans to use volunteers, The Department of Public Works may deny Marin Heritage permission to do work which it deems dangerous or requiring skilled labor. 13. This contract may be cancelled for good cause by either party upon thirty days notice. Once notice is given all work: on the GHP shall cease. ATTEST: eanne M.
