RESOLUTION AUTHORIZING THE SIGNING
OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL HEREBY RESOLVES
as follows:
The Mayor and City Clerk are authorized to execute, on
behalf of the City of San Rafael, a lease or agreement with
SAN RAFAEL SANITATION DISTRICT FOR -MAINTENANCE
OF DISTRICT OWNED FACILITIES (FIRST AMENDMENT TO •
JOINT POWERS AGREEMENTS)
a copy of which is attached hereto, marked Exhibit "A", and incor-
porated herein by this reference.

FIRST AMENDMENT TO
JOINT POWERS AGREEMENTS
THIS AGREEMENT, dated December 17, 1984 , is between the
CITY OF SAN RAFAEL, a municipal corporation of the State of
California (City), and SAN RAFAEL SANITATION DISTRICT, a duly
organized and existing Sanitation District under the laws of the
State of California (District);

WHEREAS, City is a duly organized and authorized
municipal corporation having necessary powers for the maintenance
and operation of a sewage system; and
WHEREAS, District is a sanitation district, organized
pursuant to sections 2700, et seq., of the Health and Safety Code,
having the same powers as City in the maintenance and operation of
a sewage treatment and pumping stations; and
WHEREAS, District includes within its boundaries portions
of City, as well as contiguous unincorporated areas; and
WHEREAS, the parties have previously entered into Joint
Powers Agreements, dated 15 October 1969 and 5 November 1969,
regarding their respective rights and duties relating to the main-
tenance and operation of a sewerage collection, treatment and
disposal system within their respective ares; and
WHEREAS, the parties desire to amend the previously
mentioned Joint Powers Agreements to provide that the City will
furnish administrative and maintenance services to the District for
the operation and maintenance of all District -owned, force -main
lines and pump stations
NOW, THEREFORE, it is agreed as follows:
1. Effective 1 January 1985, the City will provide
operation and maintenance services to the
District's force -main sewer lines and pump
stations. In the event none of the current
DISTRICT employees performing the above work
decide to become City employees, the District
will assist the City for a period of 60 days in
training City employees to perform the work when
the City requests.

2. Payment to the City for the above services will
be as described in the budget proposal by the
City (see Exhibit A). The City will bill the
District monthly. Engineering services not
described in the budget are not contemplated by
this Agreement.
3. Prior agreements between the parties dated 15
October 1969 and 5 November 1969, remain in full
force and effect except as modified herein.
4. The District agrees to save, defend, indemnify
and hold harmless the City and its officers,
employees or agents from any claims or liability
for either personal injuries or property damages
arising out of the City's performance pursuant
to this contract. The District will name the
City as an additional insured on its liability
policies and provide the City with proof of such
insurance prior to the execution of this
Agreement.
5. Nothing in this Agreement shall obligate the
City to acquire and own either the force main
lines or pump stations or real property on which
those lines and stations are located.
Each of the parties hereto have caused this JOINT
POWERS AGREEMENT to be executed by their officers, duly authorized,
the day and year first above written.
