AGREEMENT FOR PROFESSIONAL SERVICES WITH
BKF ENGINEERS, INC. FOR DESIGN SERVICES
This Agreement is made and entered into tins b1'H day of AJD()erl&B~, 2017, by and
between the CITY OF SAN RAFAEL (hereinafter "CITY"), and BKF ENGINEERS, a corporation
authorized to do business in California (hereinafter "CONSULTANT").
RECITALS
WHEREAS, the CITY has determined that professional engineering design services are required
in connection with developing plan, specifications, and estimates associated with the Francisco Blvd.
West Multi Use Pathway from Second Street to Andersen Drive; and
WHEREAS, the CONSULTANT has agreed to render such services;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION.
A. CITY'S Project Manager. The Director of Public Works is hereby designated the
PROJECT MANAGER for the CITY, and said PROJECT MANAGER shall supervise all aspects of the
progress and execution of this Agreement.
B. CONSULTANT'S Project Director. CONSULTANT shall assign a single PROJECT
DIRECTOR to have overall responsibility for the progress and execution of this Agreement for
CONSULTANT. Greg Hurd is hereby designated as the PROJECT DIRECTOR for CONSULTANT.
Should circumstances or conditions subsequent to the execution of tIns Agreement require a substitute
PROJECT DIRECTOR, for any reason, the CONSULTANT shall notify the CITY within ten (10) business
days of the substitution.
2. DUTIES OF CONSULTANT.
CONSULTANT shall perform the duties and/or provide the services described in the "Scope of
Services" contained in CONSULTANT'S letter dated October 16, 2017, marked as Exhibit "A," attached
hereto, and incorporated herein.
3. DUTIES OF CITY.
CITY shall compensate CONSULTANT as provided in Paragraph 4, and shall provide
assistance and site access to CONSULTANT as described in Exhibit "A" attached hereto and
incorporated herein.
4. COMPENSATION .
For the full performance of the services described in Exhibit "A" by CONSULTANT, CITY
shall pay CONSULTANT on a time and materials basis in an amount not to exceed $448,614. Payment
for services shall be in accordance with the estimates contained in "Attachment 2" (Fee Proposal) and
"Attachment 3" (Professional Personnel Service Fees) of Exhibit "A" attached .
Payment will be made monthly upon receipt by PROJECT MANAGER of itemized invoices
submitted by CONSULTANT.
5. TERM OF AGREEMENT.
The term of this Agreement shall commence upon the date of execution of this Agreement and end
on September 1, 2018 when the work shall have been completed, unless the parties agree to extend this
Agreement for another 90 days, as approved in writing by City Manager.
6 . TERMINATION.
A. Discretionary. Either party may terminate this Agreement without cause upon thirty (30)
days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days written
notice mailed or personally delivered to the other party, and the notified party's failure to cure or correct the
cause of the termination, to the reasonable satisfaction of the party giving such notice, within such fifteen (15)
day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall incur
additional obligations tmder any provision of this Agreement without the prior written consent of the other.
D. Return of Documents. Upon termination, any and all CITY documents or materials
provided to CONSULTANT and any and all of CONSULTANT's documents and materials prepared for or
relating to the performance of its duties under this Agreement, shall be delivered to CITY as soon as
possible, but not later than thirty (30) days after termination.
7. OWNERSHIP OF DOCUMENTS.
A. Upon completion of all work under this Agreement, ownership and title to all reports,
documents, plans, specifications, and estimates produced as part of this Agreement will automatically be
vested in the CITY; and no further agreement will be necessary to transfer ownership to the CITY.
CONSULTANT shall furnish to CITY all necessary copies of data needed to complete the review and
approval process .

B. It is understood and agreed that all calculations, drawings and specifications, whether in hard
copy or machine-readable form, are intended for one-time use in the construction of the project described in
Exhibit "A".
C. CONSULTANT shall not be liable for claims, liabilities, or losses arising out of, or
connected with the modification or misuse by CITY of, the machine-readable information and data provided
by CONSULTANT under this Agreement; further, CONSULTANT shall not be liable for claims, liabilities,
or losses arising out of, or connected with any use by CITY ofthe project documentation on other projects in
addition to the project that is described in Exhibit "A", or for the completion of the project described in
Exhibit "A" by others, except only such use as may be authorized in Wliting by CONSULTANT.
8 . INSPECTION AND AUDIT.
Upon reasonable notice, CONSULTANT shall make available to CITY, or its agent, for inspection
and audit, all documents and materials maintained by CONSULTANT in connection with its performance of
its duties under this Agreement. CONSULTANT shall fully cooperate with CITY or its agent in any such
audit or inspection.
9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the
performance of any of their respective obligations heretmder, without the prior written consent of the other
party, and any attempt to so assign this Agreement or any rights, duties or obligations arising hereunder shall
be void and of no effect.
10. INSURANCE.
A. Scope of Coverage. During the term of this Agreement, CONSULTANT shall maintain, at
no expense to CITY, the following insurance policies:
1. A commercial general liability insurance policy in the minimum amount of one
million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for death, bodily
injury, personal injury, or property damage.
2. An automobile liability (owned, non-oWlled, and hired vehicles) insurance policy in
the minimum amount of one million dollars ($1,000,000) dollars per occurrence.
3. If any licensed professional perfonns any of the services required to be perfonned
under this Agreement, a professional liability insurance policy in the minimum amount of one million dollars
($1,000,000) per claim/two million dollars ($2,000,000) aggregate, to cover any claims arising out of the
CONSULTANT's performance of services under this Agreement. Where CONSULTANT is a professional

not required to have a professional license, CITY reserves the right to require CONSULTANT to provide
professional liability insurance pursuant to this section .
4. If it employs any person, CONSULTANTshall maintain worker's compensation
insurance, as required by the State of California, with statutory limits, and employer's liability insurance
with limits of no less than one million dollars ($1 ,000,000) per accident for bodily injury or disease.
CONSULTANT's worker's compensation insurance shall be specifically endorsed to waive any right of
subrogation against CITY.
B. Other Insurance Requirements. The insurance coverage required ofthe CONSULTANT in
subparagraph A ofthis section above shall also meet the following requirements:
l. Except for professional liability and Worker's Compensation Insurance, the
insurance policies shall be specifically endorsed to include the CITY, its officers, agents, employees, and
vohmteers, as additionally named insureds under the policies .
2. The additional insured coverage under CONSULTANT'S insurance policies shall
be primary with respect to any insurance or coverage maintained by CITY and shall not call upon CITY's
insurance or self-insurance coverage for any contribution. The "primary and noncontributory" coverage in
CONSULTANT'S policies shall be at least as broad as ISO form CG20 010413.
3. Except for professional liability insurance, the insurance policies shall include, in
their text or by endorsement, coverage for contractual liability and personal injury .
4 . By execution of this Agreement, CONSULTANT hereby grants to CITY a
waiver of any right to subrogation which any insurer of CONSULTANT may acquire against CITY by
virtue of the payment of any loss under such insurance. CONSULTANT agrees to obtain any
endorsement that may be necessary to effect this waiver of subrogation, but this provision applies
regardless of whether or not CITY has received a waiver of subrogation endorsement from the insurer.
5. If the insurance is written on a Claims Made Form, then, following termination of
tlus Agreement, said insurance coverage shall survive for a period of not less than five years.
6. The insurance policies shall provide for a retroactive date of placement coinciding
with the effective date of this Agreement.
7. The limits of insurance required in this Agreement may be satisfied by a combination of
primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be endorsed to
contain a provision that such coverage shall also apply on a primary and noncontributory basis for the benefit
of CITY (if agreed to in a written contract or agreement) before CITY'S own insurance or self-insurance
shall be called upon to protect it as a named insured .

8 . It shall be a requirement under this Agreement that any available insurance proceeds
broader than or in excess of the specified minimum insurance coverage requirements and/or limits shall be
available to CITY or any other additional insured party. Furthermore, the requirements for coverage and
limits shall be: (1) the minimum coverage and limits specified in this Agreement; or (2) the broader coverage
and maximum limits of coverage of any insurance policy or proceeds available to the named insured;
whichever is greater.
C. Deductibles and SIR's. Any deductibles or self-insured retentions in CONSULTANT's
insurance policies must be declared to and approved by the PROJECT MANAGER and City Attorney, and
shall not reduce the limits of liability. Policies containing any self-insured retention (SIR) provision shall
provide or be endorsed to provide that the SIR may be satisfied by either the named insured or CITY or other
additional insured party. At CITY's option, the deductibles or self-insured retentions with respect to CITY
shall be reduced or eliminated to CITY's satisfaction, or CONSULTANT shall procure a bond guaranteeing
payment of losses and related investigations, claims administration, attorney's fees and defense expenses.
D. Proof of Insurance. CONSULTANT shall provide to the PROJECT MANAGER or
CITY'S City Attorney all of the following: (1) Certificates of Insurance evidencing the insurance coverage
required in this Agreement; (2) a copy of the policy declaration page and/or endorsement page listing all
policy endorsements for the commercial general liability policy, and (3) excerpts of policy language or
specific endorsements evidencing the other insurance requirements set forth in this Agreement. CITY
reserves the right to obtain a full certified copy of any insurance policy and endorsements from
CONSULTANT. Failure to exercise this right shall not constitute a waiver of the right to exercise it later.
The insurance shall be approved as to form and sufficiency by PROJECT MANAGER and the City
Attorney.
11. INDEMNIFICATION.
A. Except as otherwise provided in Paragraph B., CONSULTANT shall, to the fullest
extent permitted by law, indemnify, release, defend with counsel approved by CITY, and hold harmless
CITY, its officers, agents, employees and volunteers (collectively, the "City Indemnitees"), from and
against any claim, demand, suit, judgment, loss, liability or expense of any kind, including but not limited
to reasonable attorney's fees, expert fees and all other costs and fees of litigation, (collectively
"CLAIMS"), arising out of CONSULTANT'S performance of its obligations or conduct of its operations
under this Agreement. The CONSULTANT's obligations apply regardless of whether or not a liability is
caused or contributed to by the active or passive negligence of the City Indemnitees. However, to the
extent that liability is caused by the active negligence or willful misconduct of the City Indemnitees, the
CONSULTANT's indemnification obligation shall be reduced in proportion to the City Indemnitees'
share of liability for the active negligence or willful misconduct. In addition, the acceptance or approval
of the CONSULTANT's work or work product by the CITY or any of its directors, officers or

employees shall not relieve or reduce the CONSULTANT's indemnification obligations. In the event the
City Indemnitees are made a party to any action, lawsuit, or other adversarial proceeding arising from
CONSULTANT'S performance of or operations under this Agreement, CONSULTANT shall provide a
defense to the City Indemnitees or at CITY'S option reimburse the City Indemnitees their costs of
defense, including reasonable attorneys' fees, incurred in defense of such claims.
B. Where the services to be provided by CONSULTANT under this Agreement are design
professional services to be performed by a design professional as that term is defined under Civil Code
Section 2782.8, CONSULTANT shall, to the fullest extent permitted by law, indemnify, release, defend
and hold harmless the City Indemnitees from and against any CLAIMS that arise out of, pertain to, or
relate to the negligence, recklessness, or willful misconduct of CONSULTANT in the performance of its
duties and obligations under this Agreement or its failure to comply with any of its obligations contained
in this Agreement, except such CLAIM which is caused by the sole negligence or willful misconduct of
CITY.
C. The defense and indemnification obligations of this Agreement are undertaken in
addition to, and shall not in any way be limited by, the insurance obligations contained in this Agreement,
and shall survive the termination or completion of this Agreement for the full period of time allowed by
law.
12. NONDISCRIMINATION.
CONSULTANT shall not discriminate, in any way, against any person on the basis of age, sex,
race, color, religion, ancestry, national origin or disability in connection with or related to the performance of
its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS.
CONSULTANT shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under this Agreement.
CONSULTANT shall perform all services under this Agreement in accordance with these laws, ordinances,
codes and regulations. CONSULTANT shall release, defend, indemnify and hold harmless CITY, its
officers, agents and employees from any and all damages, liabilities, penalties, fines and all other
consequences from any noncompliance or violation of any applicable laws, ordinances, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES.
CITY and CONSULTANT do not intend, by any provision of this Agreement, to create in any third
party, any benefit or right owed by one party, under the terms and conditions of this Agreement, to the other
party.

15. NOTICES.
All notices and other communications required or permitted to be given under this Agreement,
including any notice of change of address, shall be in writing and given by personal delivery, or deposited
with the United States Postal Service, postage prepaid, addressed to the parties intended to be notified.
Notice shall be deemed given as of the date of personal delivery, or if mailed, upon the date of deposit with
the United States Postal Service. Notice shall be given as follows:

For the purposes, and for the duration, of this Agreement, CONSULTANT, its officers, agents and
employees shall act in the capacity of an Independent Contractor, and not as employees of the CITY.
CONSULTANT and CITY expressly intend and agree that the status of CONSULTANT, its officers,
agents and employees be that of an Independent Contractor and not that of an employee of CITY.
17. ENTIRE AGREEMENT --AMENDMENTS.
A. The tenns and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with respect to the subject
matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONSULTANT and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject matter of
tlus Agreement, shall be valid or binding, except by way of a written amendment to this Agreement.
D. The tenns and conditions of this Agreement shall not be altered or modified except by a
written amendment to this Agreement signed by the CONSULTANT and the CITY.
E. If any conflicts arise between the tenns and conditions of this Agreement, and the tenns and
conditions of the attached exhibits or the documents expressly incorporated by reference, the tenns and
conditions ofthis Agreement shall control.

18. SET-OFF AGAINST DEBTS.
CONSULTANT agrees that CITY may deduct from any payment due to CONSULTANT under
this Agreement, any monies which CONSULTANT owes CITY under any ordinance, agreement, contract
or resolution for any unpaid taxes, fees, licenses, assessments, tmpaid checks or other amounts.
19. WAIVERS.
The waiver by either party of any breach or violation of any term, covenant or condition of this
Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any other term,
covenant, condition, ordinance, law or regulation, or of any subsequent breach or violation of the same or
other term, covenant, condition, ordinance, law or regulation. The subsequent acceptance by either party of
any fee, performance, or other consideration which may become due or owing under this Agreement, shall
not be deemed to be a waiver of any preceding breach or violation by the other party of any term, condition,
covenant of this Agreement or any applicable law, ordinance or regulation.
20. COSTS AND ATTORNEY'S FEES.
The prevailing party in any action brought to enforce the terms and conditions of this Agreement, or
arising out of the performance of this Agreement, may recover its reasonable costs (including claims
administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE / OTHER TAXES.
CONSULTANT shall obtain and maintain during the duration of this Agreement, a CITY business
license as required by the San Rafael Municipal Code CONSULTANT shall pay any and all state and
federal taxes and any other applicable taxes. CITY shall not be required to pay for any work performed
under this Agreement, until CONSULTANT has provided CITY with a completed Internal Revenue Service
Form W-9 (Request for Taxpayer Identification Number and Certification).
22. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month and year

Thank you ' for the -opportunity to present this proposal to provide consulting engineering and land surveying
services associated with developing improvement plans for a Multi-Use Path (MUP) associated with the Sonoma
Marin Area Rail Transit (SMARD between downtown San Rafael and Larkspur. This scope of services has been
developed to assist the City of San Rafael in the development of the final improvement plans for the MUP adjacent
to the currently planned rail between Anderson Avenue and Mahon Creek just south of 2nd Street in San Rafael. To
arrive at the estimated effort required by our office for this project, we have outlined our understanding, basis of
design, proposed scope of services, assumptions, and associated fee for services.
PROJECT BACKGROUND AND UNDERSTANDING
BKF Engineers (BKF) is currently working for the Stacy Witbeck Herzog (SWH) Team designing the
Francisco Blvd West realignment or "flip" project between Rice Drive and Second Street. These plans
are currently advancing to the final design phase with an anticipated completion date in December
2017.
The City of San Rafael has requested that BKF assemble a design team and prepare final construction
documents for the Multi-use Pathway (MUP) along the SMART R/W from Andersen Drive to Mahon
Creek. Due to our involvement and familiarity with this particular reach of the SMART project, BKF
has been asked to provide civil engineering and land surveying services for the development of the
final improvement plans .
As discussed in the pre-project coordination meeting held on August 31, 2017 with the City of San
Rafael, SMART and SWH, it is hopeful that the timing of construction for this particular segment of
the MUP will coincide or blend with the construction of the SMART work currently planned by SWH.
The actual coordination and contractual arrangements for this work to occur with SWH will eventually
be the responsibility of the City of San Rafael and SMART through separate negotiations and
agreements with SWH.
The plans for this segment of the MUP are anticipated to take advantage of the plans and work that
BKF is currently completing for SWH, subject to permission and/or authorization to use them as the
basis for the MUP design. The MUP plans for this segment between Anderson Avenue and Mahon
Creek will be developed as a complete and independent set of plans. Our goal will obviously be to
coordinate the design of the MUP Plans with the current SMART plans to avoid future conflicts or re-
work, however, due to the timing for the completing of the SMART work between Anderson and Rice,

the Francisco Blvd West realignment plans, construction schedule and schedule for the development
of the MUP plans, conflicts or re-work may not be completely avoided.
We do understand that the final planning and development of construction documents for the MUP
is a top priority for the City of San Rafael with a goal of realizing an opportunity to have it reviewed,
permitted and ready to construct in time to hopefully coincide SMART work planned by SWH in 2018
without any compromise or delay with the current SMART street and rail construction. Construction
and perhaps phasing of the entire from Anderson to Mahon Creek MPU will be dependent on the
construction sequencing, environmental windows of allowed construction activity, overall project
schedule and funding.
Although this scope of work does not include any environmental work or permitting we have allocated
time to work with Alta Planning + Design (Alta) to help coordinate the final environmental work and
permitting through providing preliminary plans to complement their current scope of work.
Environmental conditions of approval and/or mitigation requirements have not been included as they
are not know at this time.
BKF will retain STV Engineers for the structural aspects of the MUP. They will assist in the preliminary
and final design including the structure selection, the bridge over the unnamed creek and the requisite
plans and details to support the MUP as identified on the 35% drawings prepared by Alta.
BKF will retain WRECO for the geotechnical engineering services. WRECO services will consist of
performing the required field exploration, laboratory testing, and engineering report documents to
facilitate the design and preparation of the construction packages for the proposed MUP.

SCOPE OF SERVICES
Based on the Project Background, Understanding and the information provided during the preparation of this
proposal, BKF offers the following proposal for services for the MUP planning and design between Anderson Drive
to Mahon Creek. This scope is flexible and can be refined or adjusted based upon City feedback.
Task 1: Work Program
The objective of this task is to establish the project scope, budget and overall objectives and ensure that the work
being completed by the BKF Team is monitored and coordinated to meet the City of San Rafael's project goals and
overall requirements.
Task 1.1 : Kick -off Meetin g and Field Review
Introduction of Project team members
Meet with Alta and San Rafael staff to confirm work scope, schedule on project goals and special issues
Conduct a field review to review and note current conditions of the site
Discuss the design concepts and process for the exchange of electronic data associated with the base

Verify regulatory items, approval process and other administrative procedures
Task 1.2: Coordination and progress meetings (conference calls, web-conferences. emails)
Participate in regularly scheduled coordination meetings with the City of San Rafael to review progress and
schedule, discuss items of work requiring direction to ensure Project progress
In addition to the coordination meetings, BKF will engage in more frequent communication via e-mail or
telephone calls, as required, to keep the City of San Rafael and sub-consultants up to date on the status of
project issues and action items
Prepare agendas, minutes and action logs
Task 1.3: Monthly progress reports. schedule updates and invoices
On a monthly basis, prepare and submit to the City of San Rafael: the status of the scope, balance of
budgets, design progress and progression of schedule
Inform the City of San Rafael and sub-consultants of any changes to the schedule
Monitor BKF scope and budgets throughout the Project
Compile and submit monthly invoices
Task 1.4: Management of Project and Tasks
Provide supervision of the BKF team, including working with the City of San Rafael and sub-consultants
Monitor design to ensure progress, compliance with standards and adherence to the Project objectives
Advise and provide input to Alta of critical decisions and issues needing resolution for timely progression
of drawings
Task 1.5: Quality assurance of deliverables
Prior to each scheduled submittal BKF will complete an internal review the plans and supporting data to
ensure that the established quality standards, specific project needs and project scope of work items have
been met and that the drawings developed amongst the various consultants have been coordinated.

• Copies of additional supporting documentation or correspondence
Task 2: Existing and Proposed Conditions Analysis
The objective of this task is to provide the supporting information and data so that the design and construction
may proceed effectively with reliable information.
Task 2.1: Supplemental Surveys and Base Maps
Research, obtain and review available documentation including SMART base sheets for area between
Anderson Drive to Mahon Creek
Perform supplemental topographic survey to obtain additional information and existing conditions between
Anderson Drive and Mahon Creek
Perform site visits to verify design and verify conditions
Incorporate and supplement base sheets with additional detail obtained through data collection efforts,

of previously planned areas between Irwin Street and Mahon Creek to accommodate a MUP. This may
require the development of offsite stormwater quality mitigation areas in accordance with the Marin County
Stormwater Pollution Prevention Plan (MCSTOPPP). Offsite mitigation has not been included in this scope
of services.
Task 2.4: Geotechnical Evaluation
Review existing and new Geotechnical information as related to the site grading and drainage
recommendations and structural systems for the design and support of the MUP. The development and
assembly of geotechnical data will be developed and provided by WRECO and distributed to the BKF Team
and City of San Rafael. Refer to Attachment 1 for specific geotechnical scope of services.
Task 2.5: Environmental Permitting Review
Review mitigation requirements and conditions of approval associated with the environmental review
currently underway for the MUP location
Assist the City of San Rafael and Alta in responding to and considering the limits of the design and
construction of the MUP with respect to the mitigation requirements, conditions of approval and allowed
work window or schedule from the regulatory agencies. Incorporating any environmental conditions of
approval (beyond identifying allowable work windows or schedules) and/or mitigation requirements have
not been included as they are not know at this time.
Task 2 Deliverables:
• Updated base mapping in AutoCAD and PDF Formats
• One (1) copy memorandum summarizing findings for each item

Develop a set of 50% plans to match the project limits between Anderson Drive and Mahon Creek. Modified
plans shall include pathway layout with grading limits, fences, walls and drainage features along with typical
cross sections and preliminary construction details
During the 50% level design, STV, with support from the design team, will lead the Structure Type Selection (STS)
process. This process will identify the most appropriate and cost-effective wall for the pathway based on the
following criteria and constraints :
Meeting Resource Agency permit requirements including minimal wetland, channel & habitat impacts.
Geotechnical, soils and corrosion constraints
Available right-of-way and physical space
Constructability based on the construction staging by SWH and SMART and specific site limitations
including track operations and allowable environmental work windows
At this time the BKF team will be considering replacing the cast-in-place concrete retaining walls (as identified on
the 35% level MUP Drawings prepared by Alta) with mechanically stabilized earth (MSE) retaining walls incorporating
a light unit weight and high porosity backfill material. With the project site overlying bay mud, a highly compressible
material along with the currently planned retaining walls along the creek will be subject to inundation. The potential
design of the MSE walls combined with the light weight and high porosity construction material will allow for the
dissipation of pore pressures and i mprove the drainage characteristics.
Task 3.3: Pre p are Marin County Stormwater Pollution Prevention Plan (MCSTOPPP )
Prepare Marin County Stormwater Pollution Prevention Plan (MCSTOPPP) Stormwater Compliance
Checklist. This checklist will provide guidance on the type and amount of stormwater quality measures
required for the construction of the MUP and to mitigate the removal of the Stormwater Pollution
Prevention measures along the west side of the sidewalk between Irwin Street and Mahon Creek currently
proposed by SMART as a requirement of mitigating portions of the Francisco Blvd West realignment work.
BKF will work with the City of San Rafael to identify on and or offsite opportunities for mitigation. Design of
offsite mitigation has not been included in this scope of services.
Task 3.4: Develop Memorandum of findings related to conflicts and rework
Provide a memorandum summarizing our findings and noting any potential conflicts or possible re-work to
the pending improvements associated with the Francisco Blvd West realignment plans

SCOPE QUALIFICATIONS AND ASSUMPTIONS
BKF's services are limited to those expressly set forth in the scope. BKF shall have no other obligations or
responsibilities for the project except as provided in this proposal letter, or as agreed to in writing. BKF's services
shall be provided consistent with and limited to the standard of care acceptable to such services, which is that BKF
shall provide its services consistent with the professional skill and care ordinarily provided by consultants pract icing
in the same or similar locality under the same or similar circumstances. For the scope of work identified, we have
assumed the following:
MUP Improvement Base Mapping: This scope of services and proposal assumes that the base mapping for the MUP
Plans will be the improvement drawings for the Francisco Blvd West realignment work that BKF is currently preparing
for the SWH team. The current level of the drawings that BKF is preparing for the SWH team will be at or near 100%
and are quite different in terms of the completeness and level of detail than the 35% drawings provided by both
SMART and ALTA respectively. The BKF team will need written permission or authorization to use these drawings
and data contained within as they are currently the property of SWH and SMART.
Structural Engineering and Details: Structural calculations, design, and details will be provided by STY Engineers
under a subcontract with BKF Engineers.
Geotechnical Engineering Services: Site grading and drainage recommendations and the Structure Type Selection
for the design and support of the MUP will be based on a geotechnical report to be developed and provided by
WRECO . WRECO will provide these services under a subcontract with BKF Engineers
Existing Utilities: Unless otherwise indicated or provided by others, any existing utilities identified on BKF's initial
drawings/plans are based on information obtained by BKF, or provided to BKF, and may not be accurately
documented in their horizontal location or vertical profile. BKF highly recommends that critical facilities be potholed
during design or prior to construction . Potholing services are not included with our services and shall be provided
by others.

CEOA/EIR & Environmental Issues : We have assumed that the disposition of any environmental impacts as related
to CEQA will be addressed by an environmental consultant(s) and planners under contract with the City of San

FEES FOR PROFESSIONAL SERVICES

Final fees will ultimately depend on the level of effort needed to complete the scope of work, which is primarily
dependent on the actual level of services requested , conditions encountered, coordination and meetings with the
City of San Rafael, Alta, SMART, SWH, the work of project consultants, and the regulatory review process. These fees
are inclusive of our sub-consultants STV and WRECO and are provided for budgetary purposes, to demonstrate our
current understanding of the level of efforts anticipated for th is project and will be valid for the duration of the
project.
Professional service fees would be considered "not to exceed" and would accrue in general accordance with the
tasks, hours and hourly rates as identified on Attachment 2. The fees will be invoiced monthly, will identify the
professional category and associated hourly rate and include a brief description of the services performed during
that particular billing cycle . The fees are due upon presentation of an invoice. Reimbursable expenses will
accumulate and be invoiced as a separate line item on the monthly invoices in accordance with our rate schedule.
Fees for supplemental and additional services are proposed to be billed on a time and materials basis in accordance
with our Rate Schedule unless otherwise agreed upon. Additional services will be performed only if authorized .

BKF and our Team is able to commence working on this project upon your formal authorization to proceed. Based
on our understanding of the project, discussions associated with developing this proposal, contemplated
construction schedule currently underway by SWH and this scope of work, BKF anticipates that the duration of our
project management and design services will last five (5) to six (6) months from the time we are authorized to
proceed.
ACCEPTANCE
If this scope of service and fees for professional services is acceptable, BKF is prepared to proceed upon formal
authorization to proceed and execution of a professional services agreement.

GEOTECHNICAL SCOPE OF SERVICES

The scope of services will consist of performing the required field exploration, laboratory testing, and
engineering report documents to facilitate the design and preparation of the construction packages for the
proposed Francisco Boulevard West Multi-Use Pathway between Anderson Drive to Mahon Creek.
TASK 1 -PROJECT MANAGEMENT
CONSULTANT will attend the Project kickoff meeting and attend monthly coordination meetings. On a
monthly basis, WRECO will provide the Project Team with progress reports for the Project.
TASK 2 -Field Investigation and Laboratory Testing
WRECO will prepare a field Investigation for the proposed project which will address new embankment fills
over soft Bay Muds and for the proposed retaining structures and cantilevered trail structure. For this study,
WRECO will perform the following tasks:
• Pay all fees and obtain an Encroachment Permit from the SMART to perform boring work within their
Right of Way.
• Pay all fees and obtain Boring Permits from the Marin County Department of Environmental Health
for the field exploration borings.
• Have previously obtained Rights of Entry (by others) to access or perform soil borings in private
property.
• Mark out in white paint a minimum of 72 hours prior to the start of the field work and mark out the
proposed boring locations .
• Contract with a drilling contractor to perform the soil boring work. Up to six (6) soil borings will be
drilled with mud rotary drilling methods to completion depths of between 60 to 100 feet (60' -100')
below existing grades.
• Soil sampling will be performed using split barrel drive samplers driven with a 140 pound hammer
falling 30 inches in general conformance with performing the Standard Penetration Test (ASTM
D1586) and Shelby Tube push samplers. The 1.4 inch and 2.5 inch (ID) split barrel drive samplers will
be used to obtain disturbed representative soil samples. Sampling will be performed on 5 foot intervals
as drilling is progressed.
• Contract with a Cone Penetration Test sounding contractor and push up to three (3) CPT soundings to
completion depths of between 60 to 100 feet (60' -100') below existing grades.
• The borings and CPT soundings will be backfilled with neat cement grout and the soil cuttings will be
drummed and disposed of at a proper receiving facility.
• A WRECO representative will provide full time observations as drilling progresses. The recovered soil
samples will be classified using the 2010 Caltrans Soil and Rock Logging, Classification, and
Presentation Manual.
• Representative soil samples will be tested in a laboratory to better determine their engineering
parameters. Laboratory testing will generally consist ofmoisture/density testing, gradation
determination, corrosive potential, strength, and one dimensional consolidation testing. Actual testing
will be determined when the soil and rock samples are recovered during the field investigation.

• The descriptions of the soils encountered soils, summary oflaboratory testing, and locations of the
borings will be provided on a Boring Location Plan and Boring Logs prepared in accordance with
Caltrans requirements.
TASK 3 -GEOTECHNICAL ENGINEERlGN STUDY
WRECO will prepare Geotechnical Engineering Study for the proposed to provide design recommendations
for the construction of the multi-use trail. For this study, WRECO will provide the following design
recommendations for the project:
• Overall Project description
• Scope of work performed for this study.
• Summary of the previously performed geotechnical work for the SMART Larkspur project.
• Summary of the field exploration program and boring logs and CPT sounding logs performed.
• Summary of laboratory testing results.
• A brief discussion of the regional and local geology and how it applies to the Project site.
• Discussion of the new trail and types of construction such as at grade, embankment fill, retained fill,
and cantilevered structure.
• Discussion of the settlement characteristics of the site soils and estimated amount and duration of the
predicted settlement resulting from the new fill.
• Slope stability analyses for any new slopes constructed as part of the fill placement.
• Foundation recommendations for the proposed retaining walls and cantilevered trail stmcture.
• Recommendations for trail surfacing and grading.
All of this material will be presented in a Geotechnical Engineering Study for use in preparing the design
drawings and for bidding.

ASSUMPTIONS AND REQUIRED INFORMATION
The following assumptions were used in preparing this Scope and Fee for the subject project and the following
documents/information are required to perform the work:
• The limits of work were provided by via discussions and emails with Alta Planning.
• Copies of the existing site topography will be provided prior to the start of the field work.
• There will be one round of comments on the draft documents.
• WRECO is not required to attend any weekly conference calls or meeting with review agencies.
• Access to the Private property to perform the field work will be provided to WRECO by others at no
cost to WRECO.
• There will be no railroad or SMART coordination involved with the design documents WRECO
prepares for the proposed improvements.

WRECO is proposing a Value Engineering Proposal to replace the cast-in-place concrete retaining walls (as
identified on the 35% level MUP Drawings prepared by Alta) with mechanically stabilized earth (MSE) retaining
walls using Tire Derived Aggregate (TDA) as the backfill material.
CALRECYCLE currently has a program to promote the use ofTDA where the properties (light unit weight and
high porosity) make it a preferred construction material. With our project site overlying Bay Mud, a highly
compressible material along with the proposed retaining walls will be along the creek which will be subject to
inundation, TDA is a preferred construction material for both its low unit weight and dissipation of pore
pressures/drainage characteristics.
In addition, CALRECYCLE has a grant program which reimburses the owner for using TDA in an engineering
application where TDA is a preferred alternative. Basically the engineer, on behalf of the owner, submits a grant
application for the construction costs of the TDA (including delivery costs to the site), some placement costs,
and also engineering costs for design.
