A RESOLUTION AUTHORIZING THE SIGNING OF A
CONTRACT, LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAN RAFAEL RESOLVES as follows:
The MAYOR and CITY CLERK are authorized to execute, on behalf of the
City of San Rafael a contract, lease or agreement with
Ironside & Associates/Planning Consultants
230 Grand Avenue, Oakland, CA 94610
a copy of which is hereby attached and by this reference made a part hereof.

AGREEMENT FOR PLANNING SERVICES
THIS AGREEMENT entered into this 2nd day of February 1981,
by and between the City of San Rafiael, a Municipal Corporation of the
State of California, hereinafter called "City," and Ironside and
Associates, Planning Consultants, hereinafter called "Consultant".
WITNESSETH
WHEREAS, City has determined that it is necessary and desirable to
retain the services of Consultant for the purpose of preparing a revised
Housing Element of the General Plan as hereinafter described; and WHEREAS,
City and Consultant desire to enter into an agreement describing the ser-
vices to be performed and the compensation to be paid to Consultant; and
WHEREAS, pursuant to the authority of Government Code Section 65202, the
City Council of the City is authorized to contract with planning consul-
tants and other specialists for such services as it requires;
NOW, THEREFORE, in consideration of their mutual promises, covenants
and agreements herein set forth, City and Consultant do hereby mutually
agree as follows:
I Employment of Consultant. The City hereby engages Consultant
and Consultant hereby agrees to perform the professional services here-
inafter set forth.
II The Planning Area for which the professional services are to be
performed is defined to include the City of San Rafael and its planning area
as delineated on San Rafael General Plan Map I.
III Objectives of the services are to:
A. Develop a revised Housing Element that is consistent with
current State law.
B. Involve residents and officials of City in the formulation of
said revised element.
C. Prepare a revised Housing Element which is to be adopted by
the Planning Commission and City Council of City and can be
submitted to the State Department of Housing and Community
Development for review.
IV Consultant's Professional Services shall include the following
tasks and Schedule (Refer to Exhibit .
A. Data Collection, Analysis and Needs Analysis
1. Rely primarily on available data sources; County Housing
Element (1980), regional and local for base data as
outlined in the RFP andrequired by HCD Guidelines.
2. Staff assistance in identifying locally available data
to extent agreed upon. These sources might include such
things as recent EIRS, Copies of local codes and ordinances,
condition of building information, etc.
3. Jobs/housing balance will be included to the extent data
is available.
4. Housing market analysis in terms of cost of construction,
cost of land, etc. will be included to the extent that data
is available.
5. Review fair share allocation as prepared by County; review
and comment on methodology; develop appropriate fair share
numbers for San Rafael.
B. Goals and Policies including Quantified Objectives
1. Goals and policies will be developed in the public workshop
and reviewed and revised as necessary by the Housing
Committee. The existing policies and goals will form
the starting point for this review and formulation.
2. Objectives will be quantified by type as a derivative and
summary of data analysis.
3. Quantified objectives will be related to policies and to
the action program as recommended in the State Guidelines.
C. Program Development
1. The programs identified by the City in the RFP will all be
reviewed in the light of the identified housing needs and
citizen input. Other programs identified during the revision
process will be considered as appropriate.
2. Local ordinance revisions, identification of appropriate
local standards (e.g., percent of units in inclusionary
requirement, acceptable numbers for possible bonuses, etc.)
and projection of number of units gained by each program
in short and long term time frames will be completed.
D. Citizen Participation
1. CAC Organizational meeting; identify local housing issues.
2. Preparation of Workshop Workbook which will focus on
collected data, goals and policies, site selection
criteria, and action program alternatives and priorities.
The workbook will serve as a discussion guide for the
workshop and will be distributed to interested citizens
prior to the workshop.
3. Community -wide Housing Workshop sponsored by CAC and City.
4. Conclusions Report. A written summary of the conclusions of
the workshop will be prepared and distributed to workshop
participants within a week of the workshop.

5. Conclusions Meeting. The CAC will meet to review the
conclusions of the workshop, discuss and resolve items and/or
recommendations where direction from the workshop is not
clear. CAC will also have an opportunity to indicate where
their opinion differs from that of the wort. -shop and to
direct the consultant.
6. Administrative/Preliminary Draft Review. Committee review
of the draft to be sure that it reflects the consensus of
the CAC. This may involve more than one meeting.
7. CAC presentation of the Housing Element Draft to the City
Council and Planning Commission.
8. Public hearings and action respectively by the Planning
Commission and City Council.
E. Consistency with Other General Plan Elements and Environmental
Assessment
1. A section of the report will be prepared which addresses
the consistency of the Housing Element with the other
elements of the General Plan.
2. An environmental assessment dealing with the effects of
implementing the Housing Element will be prepared as a
section of the report. It will address all the major
concerns of CE@A as it relates to planning including
defining the project, identifying impacts and mitigations,
reviewing the alternatives including the no project
alternative.
F. Printing and Public Notice
1. Print 100 copies of workbooks and preliminary reports,
additional copies would be provided at cost plus 10%;
provide camera ready copy of draft and final reports, City
will provide the printing.
2. Notices to Committee members, interested citizens, local
organizations, etc., will be handled by the City.
VI Responsibilities.
A. City shall furnish to Consultant or assist Consultant in
obtaining all relevant maps and data readily available in public
offices, shall provide qualified administrative and/or technical
personnel to confer with Consultant, shall assist in arranging
interviews and formulating workshop groups, shall provide
meeting rooms in which Consultant shall conduct workshop and
feedback meeting, shall provide refreshments and meals (if
appropriate and desirable) for workshop and meetings, shall
conduct coordination meetings at times mutually convenient to
City and Consultant, shall review report drafts expeditiously,
shall arrange for mailing or delivery of reports to workshop
participants, shall participate in workshop and other meetings
and shall cooperate in all reasonable ways to permit expeditious
accomplishment of the services to be performed by Consultant under,
this Agreement.

B. Consultant agrees that the professional services outlined herein
shall be performed by professional personnel and technical
specialists all of whom are competent and have adequate background
and experience. Consultant shall perform all of the professional
services by and through its employees.
Consultant shall make all visits to the City necessary for the
conduct of the program; shall prepare reports in suitable form
for City's use; shall meet with citizens and public officials
as necessary to expedite the program.
Consultant agrees to attend four (4) Planning Commission and/or
City Council meetings/hearings necessary to assist in adoption of
the Housing Element. The aforementioned meetings are in addition
to the workshop, feedback meeting and coordinating meetings with
City staff. Consultant shall be compensated for additional
hearings/meetings according to the Schedule of Charges attached
and marked Exhibit B.
VII Compensation
City shall pay Consultant as full payment for all services per-
formed and costs incurred by Consultant under this Agreement a fixed fee
of thirteen thousand two hundred fifty dollars ($13,250).
By the 10th of each calendar month Consultant shall render a statement
to the City for services performed, by task, during the preceding month
or portion thereof and specifying the amount of money due, which statement
shall be subject to audit and approval by the City. Within thirty (30)
days after such statement is received by the City, City shall pay
Consultant the amount of such approved statement.
VIII Changes.
Any changes to this Agreement shall be mutually agreed upon by
and between City and Consultant and shall be set forth only in written
amendments to this Agreement, signed by the City Manager and properly
executed prior to any performance.
IX Assignability.
Consultant shall not assign any interest in this Agreement without
the prior written consent of the City.
X Termination.
In the event City or Consultant requests termination of services
for cause prior to completion of final reports, Consultant reserves the
right to complete such analyses as may be necessary to protect its profes-
sional reputation and to complete a report on the work performed to date.
Subject to the foregoing, City and Consultant shall have the right to
terminate this Agreement at any time on thirty (30) days prior written notice
containing approparite documentation of sufficient cause therefor. City
shall be liable to Consultant for the reasonable value of services
rendered up to the date of termination and all materials prepared under
this Agreement to that point, finished or unfinished, shall become
property of the City.

XI Term.
The term of this Agreement shall be for six (6) months from
the effective date of said Agreement which is the same period of time
anticipated to complete the planning study. Time is the essence of this
Agreement and City has undertaken to enter into same based upon the
representations of Consultant that it can perform the work within the
period of time specified and according to the time schedule.
X11 Ownership of Documents.
That all docments, written reports, surveys and any and all
information received, of any nature or type, assembled by the Consultant
for use in the preparation of the Study whether actually used or not,
belong to and shall be delivered to the City, upon receipt of final payment.
XIII Interest of Consultant.
The Consultant covenants that he presently has no real interest
and for the duration of this Agreement shall not acquire any real
interest, direct or indirect, in the above-described Planning Area or any
parcels therein which would conflict in any manner or degree with the
performance of his services hereunder.
XIV General.
Consultant shall carry and pay for such Workmen's Compensation
Insurance as is necessary to fully indemnify himself and to protect his
employees under the Worker's Compensation and Insurance Law of the State
of California and public liability insurance and to relieve City from all
responsibility thereunder in connection with the performance of this
Agreement.
In the performance of the work, duties and obligations
devolving upon Consultant under this Agreement, it is mutually understood
that the Consultant is at all times acting and performing as an independent
contractor and that the City shall neither have orexercise any control
or di rection over the methods by which Consultant shall perform his
professional work and functions. The Consultant is an independent contractor
and shall not be deemed, directly or indirectly to be officers or
employees of the City.
XV Representatives.
1 City designates the City Manager as its representative in
all matters under this Agreement, except execution
thereof. Any required notice shall be forwarded to his
attention at City Hall, 1400 Fifth Avenue, San Rafael,
California 94915.
(2) Consultant designates Robert L. Ironside, 230 Grand Avenue,
Oakland, California 94610, as the representative under this
Agreement.
