OF A LEASE OR AGREEMENT
THE CITY COUNCIL OF THE CITY OF SAibT RAFAEL HEREBY RESOLVES
as follows:
The Mayor and City Clari= are authorized to execute, on
behalf of the City of Sar_ Rafael, a lease or agreement with
WILBUR SMITH AND ASSOCIATES, INC., 111 PINE STREET,
SAN FRANCISCO, CA 94111
a copy of which is attached hereto, marked Exhibit "A", and incor-
porated herein by this reference.

AGREEMENT FOR P.REPA.RATION OF A
SUB -REGIONAL TRAFFIC IMPACT STUDY
TERRA LINDA VALLEY
CITY OF SAN RAFAEL, CALIFORNIA
This Agreement is made and entered into this 15th day of
January , 1979, by and between the City of San Rafael, a
municipal corporation (hereinafter referred to as "City"), and Wilbur
Smith and Associates, Inc., 111 Pine Street, San Francisco, California
94111 (hereinafter referred to as "Consultant").
W I T N E S S E T H:
WHEREAS, CITY desires a sub -regional traffic impact study to
establish the cumulative effect of ultimate development in the Terra
Linda Valley as described in the City's "Request for Proposal" dated
November 14, 1978; and
WHEREAS, CITY desires a traffic impact report which will be
the foundation for the traffic element of future environmental assess-
ments required for various planned projects in the Terra Linda Valley,
and which will also address the anticipated effects of development of
the remaining unplanned properties in the Valley; and
WHEREAS, CONSULTANT is qualified to undertake the above men-
tioned study and is willing to undertake same as described in the
Consultant's proposal dated December 11, 1978;
NOW, THEREFORE, in consideration of the premises of the cove-
nants and conditions hereinafter contained, CONSULTANT and CITY agree
as follows:
SECTION I
SCOPE OF CONSULTANT SERVICES
CONSULTANT agrees to perform a sub -regional traffic impact
study to establish the cumulative effect of ultimate development in
the Terra Linda Valley. The product of this study will be a document
which will be used by the CITY to determine the traffic conditions
that can be expected at critical points in the road network following

development of 14 planned projects for which development proposals have
been prepared plus remaining unplanned properties within the Valley.
The 14 development projects for which specific data are to be
provided are as follows:
1. Smith Ranch Property
2. Covenant Church Offices
3. McInnis Park
4. Professional Center Parkway Residential Development
5. Northgate East
6. First National State Bank of New Jersey Development
7. China Camp State Park
8. Luiz/Grady Ranches
9. Systems Applications, Inc.
10. Lucas Green
11. Northgate Mall Shopping Center Expansion
12. Wiltshire Property
13. Marinwood Residential Expansion
14. Commerce Clearing House Expansion
Having identified traffic sensitive areas, the report shall
propose various traffic improvements which could be constructed to main-
tain acceptable levels of service as incremental development occurs.
These improvements may be, but are not limited to: new roads, road
modifications, interchange modifications; traffic signals and channel-
ization.
The report shall be designed to function as the foundation for
the traffic element of future environmental assessments required for
the presently planned projects.
CONSULTANT agrees to interact with the County of Marin Highway
101 Task Force and agencies participating in the CAL -TRANS 101 corridor/
railroad abandonment study. As a minimum, CONSULTA14T shall contact the
following agencies, groups and individuals during the preparation of
the traffic impact report:

Traffic consultants retained by developers of property within
the Terra Linda Valley
The study shall consist of the following tasks:
Task 1 - Survey/Define Existing Traffic Conditions
This task will provide a key part of the foundation for the
traffic element of any subsequent development project environmental
assessment. The inventory and assessment of existing traffic conditions
shall cover each of the following:
Configuration of the existing road system and develop-
ment patterns to identify routes of access and egress
for each proposed development (and prospective future
development areas), and the land areas tributary to
each Highway 101 access route.
A detailed reconnaissance and documentation of the
physical characteristics and limitations of existing
access routes, 101 interchanges and the freeway itself,
including all information relative to existing roadway
widths and traffic controls required to determine
traffic capacity.
Collection and evaluation of existing maps, traffic
reports, planning reports, traffic volume data, etc.,
available from the City, County and State.
The collection of peak -period weekday turning movement
counts at key locations on Lucas Valley Road, Smith
Ranch Road, Freitas Parkway, Redwood Highway (frontage
road), San Pedro Road, Las Gallinas Avenue, Las Ranchitos
and Merrydale Road. Saturday counts would be obtained
at the Freitas Parkway intersection to supplement avail-
able data for Northgate marginal roads.
The collection of two consecutive days' machine traffic
counts at 10 locations.
Capacities of all key intersections based on existing
physical and traffic operational conditions. These
estimates will recognize peak volumes and operating
conditions to be determined as noted above.
Peak period travel speeds and critical points of delay
on major arterials providing access to Highway 101 and
alternative routes (such as Las Gallinas).
. Accident rates and locations on major arterials.

The existing traffic setting shall be fully documented and
presented to the CITY in the form of basic data, graphics (a traffic
flow map indicating existing traffic sensitive areas) and text repre-
senting a portion of the final report.
Task 2 - Define Proposed and Potential Land Developments
The CITY (Planning Department) will furnish specific develop-
ment densities or similar planning parameters for projects within
the CITY. The CONSULTANT shall generate assumed development densities
and characteristics (types of development) for unincorporated areas using
County information and guidance from the County Planning Department to
the extent available. The result of this task shall be an explicit
definition of additional development assumed to represent "build -out"
conditions in the Terra Linda Valley. The approximate timing of these
developments shall also be defined (i.e., early development, short-term
future, or long-term). The "build -out" condition determined from this
task shall be approved by the City before proceeding.
Task 3 - Conduct Trip Generation Analysis
This task shall include the development of estimates of vehicle
trip generation for each of the 14 specifically identified proposed
developments and for each of the other properties or tracts of land
identified by the CITY as having development potentials. Estimates of
daily and peak period auto trip generation and attraction shall be
developed for work and non -work trip purposes.
Available data shall be obtained and analyzed to establish trip
generation characteristics relating to existing major generators in the
area including the Northgate Mall and office employment centers. These
data shall be used to confirm assumptions about trip rates, transit
utilization and commuter orientation (local vs. San Francisco, etc.).
A trip matrix shall be developed representing the additional
demand to be accommodated. The "approach" distribution of traffic to
be generated by each proposed project shall be determined, and then
allocated to appropriate approach roads.
Task 4 - Conduct Basic Traffic Impact Analysis
A traffic impact analysis shall be undertaken to establish the
cumulative effects of future developments on traffic service levels

assuming no major traffic improvements (other than those presently under
construction). Peak period volume -capacity relationships and service
levels shall be determined, and critical (sensitive) locations shall
be specifically identified -- both for weekday and weekend traffic
conditions. Estimates shall be made of through traffic growth on High-
way 101 based on assumptions to be approved by the CITY. The products
of this task shall include projected traffic volumes on all key roadways
in the impact area, and a listing of intersections and roadway sections
with volume/capacity ratios indicating less than tolerable conditions
(service level D at key locations). The magnitude of need for east -
west cross -freeway capacity shall be specifically quantified.
Task 5 - Identify Candidate Traffic Improvement Projects
Having identified traffic sensitive areas under conditions of
development build -out in Task 4, opportunities for traffic improvements
shall be identified and defined in terms of specific candidate projects.
Small --scale (low-cost) traffic engineering improvement needs shall be
identified (traffic signals, channelization, minor roadway modifications),
as well as major (higher cost) improvements involving new access roads,
interchange modifications, major street extensions or up -grading, or
freeway widenings or modifications. These improvements would be defined
to the level of detail of functional design concept sketch plans suitable
for the purposes of the traffic impact analysis. Improvement opportunities
at each of the 101 interchanges shall be a primary focus of attention in
this task, although all traffic sensitive roadway sections shall be
evaluated as well as the access/egress requirements of each of the 14
projects for which development plans have been identified.
Candidate projects shall be classified according to timing
(immediate, short-range, long-range) and reviewed with the CITY to reach
agreement on two groups of improvements which should provide the basis
for Task 6.
Task 6 - Reassess Future Traffic Service Levels - Two Iterations
In this task, future traffic flow patterns shall be reassessed
assuming that a group of selected potential improvements are made.
Volume -capacity ratios and service levels at traffic sensitive locations

shall be re -analyzed to determine which levels of service would be
achieved under conditions of development build -out. Should the result-
ing level of service at any location be worse than level D, the number
of trips from the area tributary to that location which must be reduced
to achieve level D service shall be determined. The task shall then
be repeated for the second group of improvements.
Task 7 - Develop cost allocation
The CONSULTANT shall propose mechanisms whereby the City could
equitably develop charges to be imposed on new developments to fund new
traffic improvements necessitated by and of benefit to said new develop-
ments.
Task 8 - Prepare Draft Final Report
The CONSULTANT shall provide 7copies of a draft Final Report.
Major portions of this report shall consist essentially of interim task
working papers which shall be developed and presented to the CITY
follcwing completion of each task.
Task 9 - Final Report
The CONSULTANT shall respond to comments on the Draft Final
Report as required to clarify the technical procedures, assumptions or
recommendations and to correct any errors. Response to comments requir-
ing additional analyses shall be subject to additional funding. A fully
illustrated Final Report shall be provided (25 copies and camera-ready
original) along with originals or copies of all desired basic data.
Task 10 - Meetings and Presentations
The CONSULTANT shall present interim findings to the CITY at
appropriate intervals during the study (following completion of tasks
where feed -back is needed.) In addition, CONSULTANT project staff
shall attend up to three evening public meetings to present study
findings and conclusions. Suitable photographs and other graphic aids
shall be prepared for these presentations.
SECTION II
RESPONSIBILITIES OF THE CITY
CITY agrees to furnish or loan CONSULTANT the following:
1. Full information regarding CITY requirements for the project.

2. Available street and topographic base maps.
3. Project development data for the 14 projects identified
in this Agreement in a form suitable for traffic estimation
purposes.
4. Available traffic counts in the study area.
5. 200 -scale aerial photography.
6. Available land use data, city zoning maps, county zoning
maps and the relevant planning data.
7. CITY GENERAL PLAN.
8. Traffic circulation and impact reports from previous
studies.
9. CAL -TRANS design plans relating to Highway 101.
10. Lucas Valley Interchange Capacity Analysis.
11. Environmental Impact Reports on development projects in
the study area.
12. Other available data identified as relevant to the study.
The CITY agrees to furnish required data and comments on interim
reports in a timely manner and in conformance with the study schedule
included as part of this Agreement.
SCHEDULE
SECTION III
The CONSULTANT agrees to perform the study described herein
according to the schedule shown in Attachment A. The Draft Final Report
shall be completed within eight (8) weeks of authorization; the Final
Report shall be submitted within one week following receipt of all CITY
comments on the draft Final Report.
It is agreed that where events beyond the control of Consultant
cause unforeseen delays, the timing described herein may be extended an
amount equal to the period of the delay.
SECTION IV
PAYMENTS TO CONSULTANT
CONSULTANT agrees to perform all services described in Section
I of this Agreement for a fixed fee of $26,850.00.

Monthly partial payments will be made by the CITY to the
CONSULTANT following completion and acceptance of task reports, and
based on the allocation of costs shown below.

MISCELLANEOUS CONDITIONS
(A) INDEPENDENCE OF REPORT
No member or affiliate of the consultant or consulting team shall be
presently employed or engaged by the applicant or any principal or
affiliate of the Developers of proposed project in the Terra Linda
Valley. Neither shall any such consultant, affiliate or applicant
live in or own property in the immediate vicinity of the project.
(B) OWNERSHIP OF DOCUMENTS
Originals or copies of all documents, calculations, graphic exhibits
and correspondence developed or received during the course of the
EIR`s preparation shall become the property of the City. The
documents shall be delivered to the City immediately after acceptance
of the Final Report.
(C) STATUS OF CONSULTANT
Consultant is an independent contractor and shall not be deemed,
directly or indirectly, to be an officer or employee of the City.
(D) TERMINATION
1. The City reserves the right to terminate this Agreement at any
time by providing written notification to the Consultant.
Should said notification be received by the Consultant, all
work under this Agreement shall terminate, except for what
minor work is required to provide the City with a clear under-
standing of work completed and work remaining.
2. City shall pay Consultant all sums then due and payable under
this Agreement, including sums for work not completed, but in
preparation. Payment by City of such compensation_ shall be
considered full and final settlement for all work performed
by the Consultant under this Agreement.
3. Upon receipt of final payment, originals or copies of all
materials and documents, whether finished or not, shall become
the property of and shall be delivered to the City.
(E) :iONASSIGNMENT
It is mutually understood and agreed that this Agreement shall be
binding upon the City and upon the Consultant, their successors,
executors, or administrators. Neither this Agreement nor any part
thereof, nor any monies due or to become due under this Agreement
may be assigned by the Consultant without the written consent of
the City.

(F) ALTERATIONS
This Agreement may be modified, as necessary for the successful
and timely completion of the services to be provided. Any alter-
ation or variation shall be expressed in writing, as an amendment
to this Agreement, and shall be approved by both parties.
IN WITNESS THEREOF, City and Consultant have caused their authorized
representatives to execute this Agreement the day and year first above
written.
