Dear Jim:
This letter memorializes the agreement between the City of San Rafael ("City") and the
Golden Gate Bridge Highway and Transportation District ("District") in furtherance of
the design and construction of improvements to Cijos Street between 3rd and 4th Streets
in San Rafael, CA to facilitate bus operations at the San Rafael Interim Transit Center.
The District Board of Directors authorized this letter agreement to reimburse the City for
incurred costs, not to exceed $250,000 for these improvements, based upon the following
understandings:
1. The City agrees to undertake design and construction of improvements on Cijos Street
between 3rd and 4th Streets to facilitate the movement of transit buses, specifically, to
turn right onto Cijos Street from 3rd Street, and to turn left onto 4th Street from Cijos
Street. The City will contract and pay for the following:
• design of street improvements, including street paving, pavement
markings, curbs, gutters, sidewalks and associated utilities and street signs
("Improvements")
• issuing, awarding and paying for a contract for construction of the
Improvements.
2. The District will provide:
• review and comment on the design of the Improvements to assure the
accommodation of required turning radii onto and from Cijos Street and
3rd and 4th Streets;
• reimbursement for the design and construction contract costs of the
Improvements in a timely manner following completion.
3. The City is willing to design and construct the Improvements and to pay the
contractors awarded the design and construction contracts. The City will ensure
completion of the Improvements as soon as possible and in no even~'(;3-ebfl:UHY 2'8,

4. The District is willing to reimburse the City for the contract costs of design and
construction of the Improvements in the amount not to exceed $250,000. In the event
that bids for the construction of the Improvements exceed the not to exceed amount, the
parties agree to meet and confer on how best to proceed.

5. Reimbursement by the District will be based on invoices presented by the City of paid
invoices for services provided by the design and construction contractor for the
completed Improvements. District agrees to reimburse City's incurred costs for the design
and construction contracts for the Improvements within 30 days of receipt of invoices
from the City.
