AGREEMENT FOR PROFESSIONAL SERVICES
FOR DIGITAL SERVICE DESIGN CONSULTING SERVICES
THIS AMENDMENT to Agreement for Professional Services is made and entered into the
2-3 day of August, 2018, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"),
and CIVICMAKERS, LLC (hereinafter "CONTRACTOR').
RECITALS
WHEREAS, on June 1, 2018, CITY and CONTRACTOR entered into an "Agreement for
Professional Services" (the "Agreement"), pursuant to which CONTRACTOR agreed to provide
digital service design and education and change management services to CITY through August 31,
2018; and
WHEREAS, CITY and CONTRACTOR wish to revise the scope of duties of
CONTRACTOR pursuant to the Agreement;
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
I . Section 2 of the Agreement, entitled "DUTIES OF CONTRACTOR" is hereby
amended to include the additional services set forth in CONTRACTOR's proposal entitled
"City of San Rafael: Learning Lab 2.0 Scope of Work", attached to this Amendment as Exhibit
"A" and incorporated herein.
2. Section 4 of the Agreement, entitled "COMPENSATION" is hereby amended to
include additional compensation payable to CONTRACTOR for the services described in Exhibit
"A' to this Amendment, in a not -to -exceed amount of $15,920.00, and to change the total not -to -
exceed amount under the Agreement to $25,855.00.
3. Section 5 of the Agreement, entitled "TERM OF AGREEMENT" is hereby
amended to extend the termination date of the Agreement to November 30, 2018.
4. Except as specifically amended herein, all other terms and conditions of the
Agreement shall remain unchanged and in full force and effect.

City of San Rafael: Learning Lab 2.0
Scope of V ork
Overview
Throughout 2017, CivicMakers had the privilege of working closely with the City of San
Rafael to design a custom training program focused on employee engagement as a means
to improve the customer experience for residents. What came to be known as the
"Learning Lab" is part of a larger effort to instill a culture of innovation within the City by
allowing for cross -departmental teams to apply a creative problem -solving process to
shared challenges.
The CivicMakers team is excited to continue our partnership in the second half of 2018 to
facilitate Learning Lab 2.0. Below is a Scope of Work with Tasks and Deliverables.
