SUBJECT: Resolution Approving and Authorizing the City Manager to Sign an Amendment to
Agreement for Professional Services with Consultant Royston Hanamoto Alley & Abey for
Additional Services to Prepare and Produce Final Documents for the San Rafael Canalfront
Conceptual Design Plan and Canalfront Design Guidelines (P06-005)
RECOMMENDATION: Adopt resolution authorizing the City Manager to sign the
Amendment to Agreement for Professional Services.
ANALYSIS: On July 21, 2008, the City entered into an Agreement for Professional Services
with Royston Hanamoto Alley & Abey (RHAA) to provide professional planning services in
connection with the Canalfront Conceptual Design Plan project. With the completion of the
advisory committee's work, staff recommends amending the Agreement for Professional
Services to expand RHAA's scope of services to include final preparation and production of
the plan and design guideline documents. This additional work was originally to be completed
by staff, but sufficient funds remain to allow this work to be done by RHAA. The proposed
amendment to the contract expands the scope of work to include the final formatting of the
Conceptual Design Plan and the Design Guidelines for webposting as well as in a format that
allows for future editing by City staff, and the delivery to the City of one hundred color, spiral
bound copies of each document.
EXHIBIT A is the Resolution authorizing the City Manager to sign the Amendment to
Agreement for Professional Services, which has been approved as to form by the City
Attorney's office and is attached as an Exhibit to the Resolution.
FISCAL IMPACT: The Amendment to Agreement for Professional Services is an
expansion in the scope of services with an increase of $11,000 in the contract amount.
Funds from the Caltrans grant account are available for the increase in the contract amount.
OPTIONS: 1. Adopt resolution authorizing the City Manager to sign the Amendment to
the Agreement for Professional Services.
2. Adopt resolution with modifications.
3. Take no action.

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN RAFAEL
APPROVING AND AUTHORIZING THE CITY MANAGER TO SIGN
AN AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES WITH
CONSULTANT ROYSTON HANAMOTO ALLEY & ABEY FOR ADDITIONAL
SERVICES TO PREPARE AND PRODUCE FINAL DOCUMENTS FOR THE

(TERMS OF AGREEMENT COMMENCING ON JULY 21, 2008 AND ENDING ON
JULY 21, 2010, IN AN AMENDED AMOUNT NOT TO EXCEED $129,000)
WHEREAS, on July 21, 2008, the City of San Rafael (CITY) entered into an Agreement
for Professional Services ("Agreement") with Royston Hanamoto Alley & Abey
(CONTRACTOR) for the provision of planning services in connection with the San Rafael
Canalfront Conceptual Design Plan project; and,
WHEREAS, the CITY has determined that CONTRACTOR'S services should be
expanded to include final document preparation and production, and the contract compensation
increased a comensurate amount; and the CITY and CONTRACTOR now desire to amend the
terms of the Agreement; and,
WHEREAS, the CONTRACTOR has the expertise in final document production
necessary to perform the required professional services and is willing and able to provide said
services.
NOW, THEREFORE„ BE IT RESOLVED by the City Council of the City of San
Rafael that it hereby approves and authorizes the City Manager to sign the Amendment to
Agreement for Professional Services with Royston Hanamoto Alley & Abey in the form attached
hereto as Exhibit A, for additional services in connection with the Canalfront Conceptual Design
Plan project and additional compensation in the amount of $11,000, the amended total contract
expenditure not to exceed $129,000.

AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVICES
Dated July 21, 2008
This AMENDMENT TO AGREEMENT FOR PROFESSIONAL
SERVICES (hereinafter "AMENDMENT") is made and entered into this day of
12009, by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and
ROYSTON HANAMOTO ALLEY & ABEY, a California corporation (hereinafter
"CONTRACTOR"), and amends that certain AGREEMENT FOR PROFESSIONAL
SERVICES between the parties dated July 21, 2008 (hereinafter "AGREEMENT").
RECITALS
WHEREAS, section 17 of the AGREEMENT authorizes modification of the
AGREEMENT by a written amendment thereto signed by both CITY and
CONTRACTOR.
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
Section 2 of the AGREEMENT is hereby amended to read as follows:
2. DUTIES OF CONTRACTOR. CONTRACTOR shall perform
the duties and/or provide services as described in the Scope of Work in
Exhibit A attached and incorporated herein. In addition,
CONTRACTOR shall conduct the final formatting of the Conceptual
Design Plan and the Design Guidelines; deliver such documents in PDF
format for webposting, as well as in a format that allows for future editing;
and print and deliver to CITY one hundred (100) color, spiral bound
copies of each document.
2. Section 4 of the AGREEMENT is hereby amended to read as follows:
4. COMPENSATION.
A. For the full performance of the services described in Exhibit A
attached hereto, CITY shall pay CONTRACTOR as
described in Exhibit A. Payment will be made monthly upon
receipt by PROJECT MANAGER of itemized invoices
submitted by CONTRACTOR, for an amount not to exceed
$118,000.
B. For the full performance of the additional services described in
this AMENDMENT, CITY shall pay CONTRACTOR the
sum of $11,000, for a total compensation amount not to exceed
of $129,000
3. Except as otherwise provided herein, the AGREEMENT shall remain in
full force and effect.
