RECOMMENDATION: Staff recommends that the Agency Board approve the Amendment to the Professional Service Agreement with Beltran Maintenance to perform operational duties at the Downtown Farmers' Market for the 2009 season. DISCUSSION: Beltran Maintenance has held the contract for maintenance services at the Downtown Farmers' Market since April 1, 2003, and they have consistently provided the weekly Market with high quality, professional service. The City's Events Coordinator will continue to supervise this event operations staff for the entire Farmers' Market season. Labor would be provided by the contractual agreement with Beltran Maintenance, and charges would be based on an hourly rate. The scope of this labor includes assistance with street closures and trash disposal during the event. FISCAL IMPACT: The cost of this contract is included in the Agency's 2007-09 administrative budget. OPTIONS: 1. Approve amendment to agreement with Beltran as recommended by Staff. 2.Do not approve amendment to agreement with Beltran Maintenance and direct Agency staff to explore other options for handling the maintenance needs at the Farmers' Market. MOVED BY: SECONDED BY: RESOLUTION AUTHORIZING AN AMENDMENT TO THE EXISTING CONTRACT WITH BELTRAN MAINTENANCE FOR FARMERS' MARKET SERVICES THROUGH OCTOBER 31, 2009 IN AN AMOUNT NOT TO EXCEED $7,150. FINDINGS AND PURPOSE: The San Rafael Redevelopment Agency, Marin County, California, hereinafter referred to as Agency, does hereby declare, find and determine that: 1. WHEREAS, on February 17, 2003 the Agency directed the Executive Director to hire a maintenance company to provide services for the Downtown Farmers' Market; and 2. WHEREAS, Beltran Maintenance was hired to provide these services; and 3. WHEREAS, on March 16, 2009, AGENCY and CONTRACTOR amended the Agreement to extend services through October 31, 2009; and, 4. WHEREAS, Beltran Maintenance has provided high quality professional service to the Agency; and 5. WHEREAS, there is an ongoing requirement for Farmers' Market maintenance services through October 31, 2009; NOW, THEREFORE the Agency takes the following ACTION: RESOLVED, that the Agency authorizes the Director of Economic Development to execute an amendment to the existing Agreement for Farmers' Market Maintenance Services with Beltran Maintenance, extending the term of the Agreement through October 31, 2009. The compensation rate will remain at $16.75 per hour as set forth in the Amendment to Agreement for Maintenance Services. The total annual compensation fee shall not exceed $7,150 with the form of amendment to be approved by the Agency Attorney. BEIRNE Agency Secretary AMENDMENT TO AGREEMENT WITH BELTRAN MAINTENANCE This Amendment is made and entered into this 10th day of March, 2009, by and between the SAN RAFAEL REDEVELOPMENT AGENCY (hereinafter "AGENCY'), and BELTRAN MAINTENANCE (hereinafter "CONTRACTOR"). RECITALS WHEREAS, on April 1, 2003, AGENCY and CONTRACTOR entered into an Agreement by which CONTRACTOR provides maintenance services for the Downtown Farmers' Market to AGENCY; and, WHEREAS, on February 4, 2008, AGENCY and CONTRACTOR amended the Agreement to extend services through October 31, 2008; and, WHEREAS, AGENCY and CONTRACTOR desire to continue their Agreement for an additional year; AMENDMENT TO AGREEMENT NOW, THEREFORE, the parties hereby agree as follows: 1. Section 3 of the Agreement, "Term", shall be amended to read as follows: "This Agreement shall commence upon the date first written herein and shall terminate at midnight on October 31, 2009." 2. Section 4 of the Agreement, "Compensation", shall be amended to read as follows: "For the full performance of the services described herein by 'CONTRACTOR, AGENCY shall pay CONTRACTOR as follows: Payment will be monthly upon receipt by AGENCY Project Manager of itemized invoices submitted by CONTRACTOR. This contract has a not to exceed value of $7,150.00. The agreed upon billable hourly rate per worker is $16.75 per hour." 3. With the exception of the modifications stated herein, the provisions, terms and conditions of the original Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties have executed this Agreement as of the day, month and year first above written.
