HomeMy WebLinkAboutPW Canal Neighborhood Parking After-Study; First AmendmentFIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH W - TRANS FOR PROFESSIONAL SERVICES FOR THE CANAL NEIGHORHOOD PARKING AFTER -STUDY PROJECT THIS THIRD AMENDMENT to the Professional Services Agreement by and between the CITY OF SAN RAFAEL (hereinafter "CITY"), and WHITLOCK & WEINBERGER TRANSPORTATION, INC. dba W -Trans, (hereinafter "CONSULTANT"), is made and entered into as of the `P�_ day of 32020. RECITALS WHEREAS, the CITY and CONSULTANT entered into a Professional Services Agreement dated August 22, 2019 to perform preliminary traffic studies and public outreach in connection with CITY'S Canal Neighborhood Parking After -Study project, for an amount not to exceed $10,000 (the "Agreement"); and WHEREAS, CITY requires additional services for the implementation and evaluation of the Parking Study, and the CONSULTANT is willing to provide such services; AMENDMENT TO AGREEMENT NOW, THEREFORE, the parties hereby agree to amend the Agreement as follows: 1. Article II of the Agreement, entitled "DUTIES OF CONTRACTOR" is hereby amended to include the additional services set forth in CONSULTANT's proposal entitled "Proposal for Additional Services — East San Rafael Parking Study" dated April 10, 2020, attached to this First Amendment as Exhibit "A" and incorporated herein by reference. 2. Article IV of the Agreement, entitled "COMPENSATION" is hereby amended to include additional compensation payable to CONSULTANT for the services described in Exhibit "A" to this First Amendment, on a time and materials basis in accordance with the 'Budget" included in Exhibit "A", in a not -to -exceed amount of $6,000. 3. Except as specifically amended herein, all of the other provisions, terms and obligations of the Agreement between the parties shall remain valid and shall be in full force. We propose the following tasks to assist the City with implementation and evaluation of the Parking Study: Tasks 1. Incorporating City staffcomments and revising February 11, 2020 Letter Report on Parking Permit and Parking Management Options 2. Present Parking Permit and Parking Management Options at a City Council sub -committee meeting 3. Revising Letter Report on Parking Permit and Parking Management Options based on sub -committee comments 4. Present Letter Report on Parking Permit and Parking Management Options at a City Council meeting Schedule Work to begin upon receipt of written authorization to proceed. Exclusions Any item not specifically identified above, such as additional analysis, is not assumed in this proposal. W -Trans will respectfully request a contract amendment for any task that requires additional out -of -scope effort. Budget W -Trans will provide service on a time and materials basis at our current standard billing rates (attached). The estimated maximum fee for the project is $6,000, as follows: Labor $5,600; Mileage and Expenses $400; Total $6,000 This proposal will remain a firm offer for 90 days from the date of this letter.
