MASTER CONSULTANT SERVICES AGREEMENT
DATED JANUARY 30, 2020
WITH WRA, INC.
TASK ORDER NO. 32
Project Title: San Rafael Fire Department Fuel Reduction Projects
THIS TASK ORDER is entered into on MCA -Ck I G , 20 21 between the City of San
Rafael, a municipal corporation ("City"), and WRA, Inc., ("Consultant").
RECITALS
A. The City and Consultant have entered into a Master Consultant Services Agreement
("Agreement") dated January 30`h, 2020 under which Consultant has agreed to perform certain
professional consulting services for the City; and
B. Pursuant to the terms of the Agreement, the City wishes Consultant to perform certain
tasks as set forth in this Task Order, which constitute the Project;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
1. Scope of services. Consultant shall provide any and all of the services set forth in Attachment A
of this Task Order, dated February 19, 2021, as directed by the City.
Scott Yarger shall be the Project Manager for Consultant for this Task Order. Additional professional
services may be performed by other Consultant staff with prior notice and approval by City.
a. City's duties. The City will:
(1) Determine the scope of services, as set forth in Attachment A.
(2) Make available the project plans and specifications and other City data related to the
project, including full information as to the City's requirements.
(3) Designate Gavin Albertoli as the person at the City responsible for monitoring
performance under this Task Order.
b.Consultant duties. The Consultant will:
(1) Provide and perform tasks identified in Attachment A, Scope of Services.
(2) Provide miscellaneous consulting and other services related to the Project and not
stipulated elsewhere in this Task Order, when requested by the City in writing. A Task
Order Amendment is required if these additional services cannot be performed within the
Task Order budget.

With regard to each project given to Consultant that is subject to this Task Order, the time of completion,
work hours estimate, cost estimate and budget and fee schedule are set forth in Attachment A to this Task
Order.
Authorization to proceed.
The City will give Consultant authorization to proceed with the work specified in this Task Order only after
Consultant submits updated insurance certificates and endorsements, in accordance with Section 10 of the
Agreement.
Master Agreement terms; Conflicts.
Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Consultant in the
performance of work pursuant to this Task Order. [f there is a conflict between this Task Order and the
Agreement, this Task Order shall control.
5. Amendment of Task Order; Conflicts.
Except as provided in Section 1(b)(2) above, this Task Order may not be modified except by an Amended
Task Order executed and approved in the same mariner as the Task Order.
6. Signatures. The parties have executed this Task Order, as of the date first written above.

Biological Services

PURPOSE
The purpose of this Scope of Work is for WRA to provide Biological Services for the City of San Rafael
Fire Department (Department) in support of their wildfire prevention/fuels reduction projects at selected
sites throughout the Department's jurisdiction, starting with the Mountain Park Open Space, and McNear
Drive Open Space sites. For each site, WRA will provide a Rapid Biological Resources Assessment
(RBRA) report, field verification and preconstruction survey to verify that proposed fuel abatement
activities would not result in significant impacts to Biological Resources pursuant to Appendix G, Section
IV of the State CEQA Guidelines. A Project would have a significant impact on biological resources if it
would:
a) Have a substantial adverse effect, either directly or through habitat modifications, on any species
identified as a candidate, sensitive, or special -status species in local or regional plans, policies, or
regulations, or by the California Department of Fish and Game or U.S. Fish and Wildlife Service;
b) Have a substantial adverse effect on any riparian habitat or other sensitive natural community
identified in local or regional plans, policies, regulations, or by the California Department of Fish and
Game or U.S. Fish and Wildlife Service;
C) Have a substantial adverse effect on federally protected wetlands as defined by Section 404 of
the Clean Water Act (including, but not limited to, marsh, vernal pool, coastal, etc.) through direct removal,
filling, hydrological interruption, or other means;
d) Interfere substantially with the movement of any native resident or migratory fish or wildlife
species or with established native resident or migratory wildlife corridors, or impede the use of native
wildlife nursery sites;
e) Conflict with any local policies or ordinances protecting biological resources, such as a tree
preservation policy or ordinance; and/or,
f) Conflict with the provisions of an adopted Habitat Conservation Plan, Natural Community
Conservation Plan, or other approved local, regional, or state habitat conservation plan.

WORK PRODUCTS FOR EACH SITE
• Rapid Biological Resource Assessment Report
• Pre -activity Survey and Report
SCOPE OF WORK FOR EACH SITE
The following tasks would be completed for each Site. Email authorization to perform these tasks for
each site under the existing Master Services Agreement (MSA) would be given by the Department.
Task 1: Rapid Biological Resource Assessment Report
WRA staff will conduct biological and cultural analysis of Study Areas specified by the client and prepare
a report that conveys the results of this analysis for each site. The report will include the following
summary information:
Figures depicting: 1) Study Area location with aerial photograph, 2) Potential sensitive habitats (wetlands,
waters, riparian features), and 3) Treatment prescription zones, including Environmentally Sensitive
Areas (ESAs) that should be avoided.
The Report will also include: a) List of special status wildlife and plant species within 2 miles of the Site,
b) Evaluation of potential impacts to biological resources as a result of fuel abatement activities, and c)
Site specific avoidance surreys, measures, or identified ESAs where work should not occur, or where
certain types of work may be prohibited in order to avoid incurring significant impacts under CEQA, or
other relevant regulations.
Task 2: Pre -activity Survey and Report
Within 48 -hours of the commencement of fuel abatement activities at each Site, WRA will perform a pre -
activity visit to verify site conditions and ESAs, and perform any specific or prescribed clearance surveys
prescribed in each RBRA.
A letter report will be generated documenting any substantive changes to site conditions, limitations of
the kinds of activities that could occur, or changes to, or any additions or deletions of any previously
documented ESA(s).
SCHEDULE
Work will begin within one week of execution of this Scope of Work, and the RBRA report will be
completed within two weeks of the site visit for each Site. The Pre -activity Survey would occur within 48
hours of the start of fuel abatement activities, and would require 48 -hours notice to schedule the survey
(96 hours prior to fuel abatement activities occurring).
STAFFING
Justin Semion will be the principal in charge of the project. Scott Yarger will be the project manager.
Other staff will be assigned to the project as necessary.

ASSUMPTIONS
The following assumptions have been made in the preparation of this Scope of Work:
• The client can provide the Site boundaries in digital format (such as AutoCAD or GIS), properly
referenced to a geographic coordinate system.
• Costs presented below pertain to sites 50 -acres or less. Additional costs may be in incurred if
Sites are greater than 50 -acres.
• Any previous environmental reports supplied to the client for the project will be provided to WRA.
• Any previous correspondence between the client and government agencies that relate to
biological issues for the project will be provided to WRA.
• The Department will provide a list of activities to be performed at each site including relevant
generalized equipment. WRA will adapt this to create Site-specific Project Descriptions that will
programmatically avoid Significant Impacts to Biological Resources as defined by Appendix G,
Section IV of the State CEQA Guidelines.
• Any biological survey, assessment, or other reconnaissance is dependent on current conditions,
and the biological data obtained may not be accurate or applicable in subsequent years.
• RBRA evaluates Site conditions at the time, and does not constitute any protocol -level survey or
convey take coverage for any listed species or sensitive resource.
• This scope does not include costs for negotiation or consultation with any local, state, or federal
jurisdictional agency. No permit applications will be completed for this work.
• Should Biological monitoring of activities be recommended, WRA could perform these services
for an additional fee shown as Task 3 below.
• WRA cannot guarantee schedules or costs for actions taken by regulatory and other third -party
entities with authority to approve project activities, as these actions are outside of WRA's control.
• The Department assumes responsibility for all actions conducted on Project sites that may lead
to enforcement actions by federal or state government or regulatory agencies. The Department
agrees that WRA shall not be legally responsible or liable for, and shall be indemnified and held
harmless by Department for, any and all liabilities, costs, claims, damages, judgments, fines,
penalties, attorney fees and court costs to the extent they arise from WRA's performance under
this Agreement.
ESTIMATED COST
The estimated cost for the services described in this Scope of Work is provided below. This cost is based
on the assumptions above and normal working conditions. The Department will be invoiced monthly for
each completed Task during that month for each authorized Site.

This Scope of Work is subject to Terms and Conditions, which are described in the Master Services
Agreement between WRA and the City of San Rafael, dated January 30, 2020.
