MASTER CONSULTANT SERVICES AGREEMENT

THIS TASK ORDER is entered into on Ky r i I 15 , 202.1 between the City of San
Rafael, a municipal corporation ("City"), and BKF Engineers, ("Consultant").
RECITALS
A. The City and Consultant have entered into a Master Consultant Services Agreement
("Agreement") dated December 12, 2019 under which Consultant has agreed to perform certain
professional consulting services for the City; and
B. Pursuant to the terms of the Agreement, the City wishes Consultant to perform certain
tasks as set forth in this Task Order, which constitute the Project;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
1. Scope of services. Consultant shall provide any and all of the services set forth in Attachment A
of this Task Order, dated March 23, 2021, as directed by the City.
Jason Kirchmann shall be the Project Manager for Consultant for this Task Order. Additional
professional services may be performed by other Consultant staff with prior notice and approval by City.
a. City's duties. The City will:
(1) Determine the scope of services, as set forth in Attachment A.
(2) Make available the project plans and specifications and other City data related to the
project, including full information as to the City's requirements.
(3) Designate Shawn Graf as the person at the City responsible for monitoring performance
under this Task Order.
b.Consultant duties. The Consultant will:
(1) Provide and perform tasks identified in Attachment A, Scope of Services.
(2) Provide miscellaneous consulting and other services related to the Project and not
stipulated elsewhere in this Task Order, when requested by the City in writing. A Task
Order Amendment is required if these additional services cannot be performed within the
Task Order budget.

2. Date of completion; Work hours estimate; Cost estimate and budget: Fee schedule.
With regard to each project given to Consultant that is subject to this Task Order, the time of completion,
work hours estimate, cost estimate and budget and fee schedule are set forth in Attachment A to this Task
Order.
Authorization to proceed.
The City will give Consultant authorization to proceed with the work specified in this Task Order only after
Consultant submits updated insurance certificates and endorsements, in accordance with Section 10 of the
Agreement.
4. Master Agreement terms; Conflicts.
Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Consultant in the
performance of work pursuant to this Task Order. If there is a conflict between this Task Order and the
Agreement, this Task Order shall control.
5. Amendment of Task Order; Conflicts.
Except as provided in Section 1(b)(2) above, this Task Order may not be modified except by an Amended
Task Order executed and approved in the same manner as the Task Order.
Signatures. The parties have executed this Task Order, as of the date first written above.

Subject: Bungalow Avenue Rehabilitation
Dear Ms. Miller,
BKF Engineers (BKF) welcomes the opportunity to submit this Task Order request for civil engineering services
associated with the above referenced project. Based on our converstations, we have outlined a proposed scope of
services, assumptions, and associated fee based on our understanding of the project.
I. SCOPE OF SERVICES
The City has requested the assistance of BKF to collected limited topographic survey and prepare Construction
Documents for the rehabilitation of Bungalow Avenue from Woodland Avenue to La Loma Court and Woodland
Avenue between Bayview Street to Warner Court. Much of the existing roadway is paved in concrete; the City intends
for the pavement rehabilitation work to include an asphalt concrete overlay comprised of a 3" grind, 1" leveling
course, pavement fabric, and a 2" overlay. Additionally, drainage and pedestrian curb ramp improvements at the
Bungalow Avenue and Woodland Avenue intersection and at the Octavia Street and Woodland Avenue intersection,
as well as sidewalk gap closure on the west side of Bungalow Avenue, near the Woodland Avenue intersection, are
needed as part of the project. The following tasks represent our scope of services.
Task 1: Topographic Survey
BKF will provide supplemental topographic mapping in the areas of contemplated improvements along Woodland
Avenude between B street/Bayview to Warner Court as discussed in the email correspondence between the City of
San Rafael and BKF on March 17, 2021. The topographic information will include visible surface features
encountered during the course of our survey such as curbs, gutters, sidewalks, trees 6 -inches in diameter and
larger, fences, utility structures and evidence of underground utilities from USA paint marks and "dips" of gravity
wet utility structures. Underground utility locating and boundary surveying is not included in this scope of
services.
The horizontal and vertical datum of the survey work will be tied to the datums utilized by previous surveys in the
area. It is assumed the City will provide survey control and benchmark information from these surveys for use by
our office to coordinate the base mapping data sets. The topographic mapping is anticipated to be consolidated
into the design base map existing conditions mapping; a separate, stand-alone topographic map deliverable is
not included in this scope of services.
Task 2: Construction Documents
BKF will prepare a stand-alone set of Construction Documents for the rehabilitation work on Bungalow Avenue.
The set will include the following sheets:

BKF will also prepare an Engineer's Opinion of Probable Construction Costs and Contractor Bid Items list. The City
of San Rafael will be responsible for preparing all of the project Specifications for the work. We will submit the
drawings and estimates for City review at 90% design completion and provide a finalized 100% Construction
Document Set suitable for bidding. Plans will be prepared in AutoCAD 2018 on 22" by 34" sheets for scalable half
size printing. We understand that the City is planning to advertise this project to bid by mid-May 2021.
II. SCOPE QUALIFICATIONS AND ASSUMPTIONS
BKF Engineers' services are limited to those expressly set forth in the scope. BKF shall have no other obligations or
responsibilities for the project except as provided in this proposal letter, or as agreed to in writing. BKF will
provide the scope of services consistent with, and limited to, the standard of care applicable to such services.
III. COMPENSATION
BKF will provide services described herein on a time and materials basis in accordance with our contracted rate
sheet for a not -to -exceed amount of $29,150.
Reimbursable expenses such as reproduction, mileage, express and messenger deliveries, and computer
deliverable plots are included in the above referenced fees and will accrue on a cost plus 10 -percent markup basis.
For tasks requested not defined in this scope of services, BKF will identify them as potential extra work. We can
provide a scope and fee for these items or they may be tracked separately as extra work and billed on a time and
materials per our attached rate schedule.

Subject to the terms of a professional services agreement:
• Charges for outside services, equipment, materials, and facilities not furnished directly by BKF Engineers will be
billed as reimbursable expenses at cost plus 10%. Such charges may include, but shall not be limited to: printing
and reproduction services; shipping, delivery, and courier charges; subconsultant fees and expenses; agency
fees; insurance; transportation on public carriers; meals and lodging; and consumable materials.
• Allowable mileage will be charged at the prevailing IRS rate per mile.
• Monthly invoices are due within 30 days from invoice date. Interest will be charged at 1.5% per month on past
due accounts.
