equipment to prepare the waste for shipment and UN approved packaging and supplies for compliant
transportation and handling. For the Scope of Work, please see attached and for the pricing schedule please

4. A minimum charge of $350 applies to the invoice.
S. Transportation, labor and equipment is portal to portal, and requires a four-hour minimum unless
otherwise specified.
6. Unless otherwise specified, transportation rates include one hour of loading at the customer facility.
Demurrage rates will apply after one hour and will be billed in 15 -minute increments.
7. All invoices are subject to applicable Federal, State, and local taxes & fees as well as an Energy &
Insurance recovery charge tied to the National monthly average price for diesel fuel as published by

This Services Agreement ("Agreement") is entered into which the effective date shall be the date of the last signatory hereto, (the "Effective
Date") by and between Clean Earth Environmental Solutions, Inc., a Delaware Corporation by and through its subsidiaries or affiliates
designated herein ("Clean Earth"), located at 933 First Avenue, Suite 200, King of Prussia, PA 19406, and City of San Rafael Fire
Department, a municipal corporation ("Customer"), located at 1375 5th Avenue, San Rafael, CA 94901
t. Sole Terms. All Services, defined below, provided by Contractor to Customer are subject solely to the terms contained herein and any
addenda agreed to by the parties in writing and attached hereto (collectively, the "Agreement"). No term or condition on Customer's
purchase order or any other instrument, agreement or understanding shall be binding upon Clean Earth unless agreed to by the parties
in writing, provided that in the event of a conflict the terms of this Agreement shall prevail.
2. Clean Earth Services. Upon the issuance of a service order, price sheet, statement of work, manifest, proposal, quote or other similar
document (collectively, a "Service Schedule'), Clean Earth will provide Customer the services described therein (the "Services"), which are
specifically incorporated and made part of this Agreement.
3. Service Fee. Customer agrees to pay Clean Earth for the performance of the Services at the fees or rates set forth in a Service Schedule
or, if not specified therein, at Clean Earths standard fees or rates for such Services at the time the Services are rendered. Clean Earth
reserves the right to adjust the amount of each Service Fee from time to time, in its sole discretion. Additionally, Clean Earth may adjust
the contract price to account for operational changes it implements to comply with changes in law.
4. Payment Terms. Customer agrees to pay the Service Fee and all other amounts due within 30 days of the date of the invoice. Any
payments not received by Clean Earth on the due date will be subject to an interest charge on the unpaid balance of 1.5% per month
(or the maximum amount allowed by law). All payments must be in immediately available U.S. funds, payments made by credit card may
incur additional fees. In addition to Clean Earth's charges for services and products under this Agreement, the Customer shall pay al
taxes or other fees imposed or levied by any governmental authority with respect to such services or products. These taxes include al
sales, use, excise, occupation, franchise and similar taxes and tax -like fees and charges (but do not include any taxes on Clean Earth's
net income). Clean Earth shall cooperate with the Customer to determine the applicability of any exemption certificates that the
Customer provides to Clean Earth in a timely manner.
5. Fuel, Environmental and/or Other Surcharge. Customer agrees and acknowledges that Clean Earth may, from time to time, impose
and/or adjust a fuel, environmental and/or other surcharge of any amount for any duration, upon mutual agreement by both
parties.
5. Term of the Agreement. The term of this Agreement shall commence on the Effective Date and shall continue in effect for thirty-six (36)
months or until terminated in accordance with Paragraph 7 below ("Initial Term").
7. Default & Early Termination for Cause. Either party may immediately terminate this Agreement if the other party fails to cure its breach
of this Agreement within 30 days following receipt of written notice of such breach. Notwithstanding anything to the contrary, in the
event that Customer fails to pay any amounts owing under this Agreement when due, including by reason of bankruptcy or insolvency
Clean Earth may immediately suspend Services or cancel this Agreement in its entirety in its sole discretion.
a. Excused Performance. In the event either party is prevented, hindered or delayed from the performance of any act required hereunder
by reason of strike, lock -out, acts of God, legal process, failure of power or any other similar reason not directly the fault of such party
or by reason of the other party or its agents, then performance of such act shall be excused for the period of delay and the period for
the performance of any such act shall be extended for a period equivalent to the period of such delay.
9. Customer Warranties. Customer shall comply with all applicable federal, state and local laws, rules and regulations ("Applicable Laws"
and obtain and maintain throughout the term of this Agreement all permits, licenses and other forms of documentation required in
order for a generator to comply with such Applicable Laws. Customer agrees to provide MSDS sheets, if available, for each waste related
to the Services, on which Sheet there is an accurate and complete description, and which advises Contractor of the hazards and risks
presented to persons, property or the environment when exposed to the waste. Customer shall tender only Wastes under this
Agreement which conforms to the information provided and Customer represents that it has no knowledge of any constituent or
component not specifically identified in the applicable waste profile sheet that increases the nature or the extent of the hazard or risk
If Clean Earth determines that any unit of waste received from Customer is non -conforming for any reason, Clean Earth may deem al
waste that is tendered or accepted at the same time as the non -conforming unit to be non -conforming for the same reason. Contractor
may, in its sole discretion, reject or revoke acceptance of all non -conforming waste or except for processing all or any part of such waste If
Contractor accepts non -conforming waste, Contractor shall process the waste at its then prevailing rates.

Scope of Services for Bolinas Event — 2021
1.) Event Locations
Clean Earth Environmental Solutions is pleased to assist City of San Rafael Fire Department
in selecting and securing locations for the temporary HHW collection events. Each HHW
Collection event will be conducted on publicly and/or privately owned facilities. All sites must
be readily accessible to the public and contain paved surfaces.
Once sites are selected, Clean Earth will be pleased to meet with the site owners to assess
concerns and issues with utilization of the site for HHW purposes. Clean Earth will be pleased to
stay in contact with the site owner throughout the duration of the project. We will provide
evidence of insurance coverage if required.
2.) Permit Acquisition
Clean Earth understands that City of San Rafael Fire Department will prepare the permit by
rule and submit to the CUPA. A copy of the permit will be included in Clean Earth's work plan the
day of the event.
:s.) Operations, Health & Safety, and Contingency Plans
Clean Earth will be pleased to provide the appropriate site specific Operations, Health &
Safety, and Contingency Plans thirty days prior to each scheduled temporary collection
events. This plan is reviewed and updated annually and immediately following any significant
regulatory or client program changes. The Table of Contents for our standard plan has been
included on the following page.

materials. Clean Earth shall provide an adequate number of containers, packaging materials

5.) Turnkey Services
The following will summarize our on-site operations, on-site personnel responsibilities, and off-
site waste transportation and management plans for a temporary collection event.
• Permit applications will be prepared and submitted by the City.
• Labor needs and specific equipment requests will be confirmed by the Project
Manager.
• With the aid of technicians, equipment and materials will be loaded onto equipment
trucks the day prior to the event day.
• Equipment will be delivered to the site the evening prior to the HHW collection.
• Clean Earth staff will complete set-up of the entire site.
• Packaging areas will be double lined with 6 mil. visqueen by technicians.
• Sorting tables will be lined with visqueen and placed per the set-up plan.
• Dumpsters will be lined with dumpster liners and prepared for use.
• A decontamination station and break area will be set-up.
• Signage (no smoking etc.) and spill response stations will be established.
• Waste packaging segregation zones will be established and clearly marked.
• Vehicle ingress, egress and queuing will be established and marked with cones.
• A full drum staging area will be identified and lined with visqueen.
• The site will be ready for operation 1/2 hour prior to the first scheduled
appointment.
• A site safety meeting will be held prior to event opening conducted by the Clean
Earth Project Manager
Event Operations
Clean Earth will provide staffing for the following event positions/tasks.
Unloading (Technician)
The unloader will have the following responsibilities. Once the vehicle has stopped, and
the engine has been turned off, the unloader will remove the waste material from the
vehicle. It will be the responsibility of the unloader to ask the participant the identity of
the material being unloaded. Special attention will be given to unlabeled materials, and
those with conflicting markings/labels. The unloaders will be careful not to accept any
of the materials on the unacceptable list. Lab grade chemicals coming from homeowners
or businesses will be identified as they are unloaded as these could be the source of
explosives or radioactive materials.
Unloaders will only put the materials on the top of the waste carts for movement into and
around the facility. It will be the responsibility of the unloader to communicate to the
sorters, labpackers, and HazCat personnel any information on the identity of each
customer's waste. In the event of an evacuation, like the greeter, the unloading personnel
will instruct the customers to exit their vehicles and accompany them to the evacuation
assembly area.

Sorting/Screening (Chemist)
Sorting personnel will sort materials from the carts into the appropriate loosepack,
labpack, and bulk waste streams. They will utilize their experience with materials
management and material cheat sheets to determine the appropriate segregation of each
material.
The sorting personnel will be responsible for a majority of the facility packaging. Materials
will be moved from the screening area to packaging areas and packed by the sorters.
Laboratory/Unknown Identification (Chemist)
In this area personnel will characterize unknown materials using HazCat techniques. Care
will be taken while running these tests that incompatible materials are not mixed, and
that the testing apparatus is not creating additional hazards. Persons working in this area
will pay close attention to the materials being tested to avoid hazardousreactions.
Once identified, the materials will be returned to the sorting area to be packed. It is the
responsibility of the HazCat personnel to communicate to the sorting personnel the
hazardous nature of the materials being returned.
Waste Packaging
After screening has occurred, the wastes will be packaged in various. Packaging activities
may include bulking latex paints, oil and antifreeze, labpacking pesticide materials or
loosepacking oil base paints.
Waste Acceptance Protocol
Unacceptable Waste
Clean Earth's treatment facilities are permitted by the federal and state government
to accept most types and hazard classes of waste including dangerouswaste, extremely
hazardous waste, liquid, solid and compressed gasses. The few types of waste we are
not permitted to handle at HHW sites include:
• Explosives or explosive waste, with the exception of surface flares
• Ammunition
• Biological, biohazard or medical waste
• Radioactive waste
• Large compressed gas cylinders
• Business generated waste (unless CESQG)
• Solid Waste (household garbage)
• Water Reactives

• Residents will not be allowed to bring in more than two (2) 30 -gallon size bags
of asbestos
Clean Earth has the ability to subcontract and manage the above waste streams if they
are inadvertently accepted at the facility. Disposal pricing for the above wastes will be on
a case by case basis.
Site Tear -down
Clean Earth prides itself on its ability to ship waste and de -mobilize sites very quickly.
This is done for safety as well as for cost control purposes. All collected wastes are
shipped from the sites on the date of collection unless specified by a County
representative. While wastes are being loaded for shipment, the site will be torn down
and returned to its original condition before Clean Earth leaves the site that
afternoon or evening. Although de -mobilization is a priority for Clean Earth, the time
it actually takes may vary depending on participation and waste volumes.
6.) Waste Management
Clean Earth recognizes the commitment to the waste management hierarchy that
promotes source reduction, reuse, and recycling above other management methods such as
incineration and landfill. Clean Earth will ensure that the most appropriate waste disposal
methods are available for the household waste collected. Clean Earth will evaluate each
waste stream received on an ongoing basis. We will continually determine the available
technologies and our current capacity for managing the waste according to the following
hierarchy of waste management practices.

Clean Earth is committed to these priorities in waste management. We consider all available
waste management options in order to manage waste through reduction recycling,or reuse
when feasible. When not feasible, Clean Earth additionally offers fuels blending of flammable
materials to recover their fossil fuel energy content, and treatment and dischargeof corrosive
materials to render them non -hazardous. Both of these offerings allow the generator to avoid
the liability associated with the least preferred management methods of incineration or
landfilling whenever possible.
The table below lists the recommended packaging methods and management for each waste
stream anticipated to be handled through the HHW collection event. Waste shall be segregated
and packaged according to the requirements of the disposal facility.

7.) Invoicing & Reporting
Clean Earth offers a simplified approach to packaging, requiring waste be sorted and packaged
to D.O.T. requirements, and not beyond, for acceptance into our facilities.
Clean Earth will provide the proper shipping papers including manifests, bills of lading (BOL),
land disposal restriction forms (LDRs), and labels. Shipping papers will comply with all applicable
local, state, and federal regulations including California DTSC, US EPA, and US DOTas well as
those specific requirements of the receiving facilities. Clean Earth will provide pre-printed
shipping documents available for review prior to shipment.
Clean Earth will submit invoicing following each collection event. Each invoice will detail the
number of vehicles participating, the quantity and size of containers shipped per waste stream,
and the corresponding manifest or bill of lading number and line item. Other pertinent
information will be included such as the time period of service.
All reporting will be included with our invoice package. Regular reports will include information
from the collection event(s) and will cover an array of topics including basic waste volume and
types, general participation rates, and program costs. Clean Earth will prepare the Form 303
data for each collection event. The Form 303 will be submitted with invoice and/or annually.
Clean Earth is pleased to provide both a hard copy and electronic copy of the Form 303.
Scope of Work
Clean Earth will provide Labor at the hourly rates listed on the quote proposal. 60 car
events are generally run with a team of four staff.
Costs
Clean Earth will provide the following as fixed rates. Materials to run the event which does
not included packaging supplies, as well as the cost to run the appointment system. All costs
are reflected in quote proposal including additional materials, supplies, disposal, labor and fixed
event pricing. As the City of San Rafael Fire Department is now a part of the PaintCare program,
there will be no charge to the Department for any material (latex and oil based paint)
shipped under the PaintCare program and any supplies associated with the waste shipped.
