FOR HAZARDOUS WASTE DISPOSAL SERVICES THIS FIRST AMENDMENT to the Services Agreement by and between the CITY OF SAN RAFAEL Fire Department (hereinafter "CUSTOMER"), and CLEAN EARTH ENVIRONMENTAL SOLUTIONS, INC., (hereinafter "CLEAN EARTH"), is made and entered into as of the 1 st day of December, 2021. RECITALS WHEREAS, CUSTOMER and CLEAN EARTH entered into a Services Agreement dated October 21, 2021 (the "Agreement") pursuant to which CLEAN EARTH agreed to provide certain hazardous waste transportation and disposal services at event locations to be agreed upon by the parties during the term of the Agreement; and WHEREAS, CLEAN EARTH has asked CUSTOMER amend the Agreement to include pricing for additional products inadvertently omitted from the pricing list for the Agreement, and CUSTOMER has agreed to the requested amendment; AMENDMENT TO AGREEMENT NOW, THEREFORE, the parties hereby agree to amend the Agreement as follows: 1. The Agreement is amended to include additional disposal pricing items as set forth under "Pricing Details" in the Quote Addendum dated November 3, 2021 attached hereto as Exhibit A and incorporated herein by reference. 2. This addendum is to add additional services or pricing to your existing agreement with Clean Earth either at your request, or due to items or services performed that are not in your existing pricing schedule with us. Please see the below pricing schedule that will be added to your existing agreement as referenced below. Cylinder Notes and Ancillary Charges 1. A Cylinder Management Form will be required for each cylinder managed by Stericycle Environmental Solutions. 2. Disposal prices are for gas cylinders with original label, operable valve and in acceptable DOT shipping condition. 3. Unknown Identification Fee of $450.00 for each unknown gas that is sampled and analyzed. 4. Confirmation Fee for $200 for each suspected gas that requires confirmation, due to lack of original label. If results do not match suspected contents, then Unknown Identification Fee rate will apply, along with additional disposal costs, as applicable. 5. Inoperable Valve Fee: No charge for Category A. For Categories B through E, a tapping fee of $450.00 will apply for any size cylinder (lecture through large) found to have an inoperable valve. For Categories F & G, inoperable valve fees will be Case by Case. The disposal pricing as listed above is based on the information provided and will be confirmed following receipt of a completed waste profile. All pricing is pending profile approval and/or waste sample analysis. This disposal pricing supersedes any and all prior or contemporaneous quotes relating to those services identified herein, whether oral or written. Clean Earth further reserves the right to adjust, at Clean Earth's sole discretion, the fees or rates herein to account for operational changes implemented to comply with changes in law, rules, regulations, permits, licenses or approvals, or to cover increases in the cost of fuel, insurance, residue disposal, record keeping or to otherwise address cost escalation 2.
