THIS TASK ORDER is entered into on Y/VL �202Abetween the City of San
Rafael, a municipal corporation ("City"), and Miller Pacific E gineering Group, ("Consultant").
RECITALS
A. The City and Consultant have entered into a Master Consultant Services Agreement
("Agreement") dated March 6, 2020 under which Consultant has agreed to perform certain professional
consulting services for the City; and
B. Pursuant to the terms of the Agreement, the City wishes Consultant to perform certain
tasks as set forth in this Task Order, which constitute the Project;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
1. Scope of services. Consultant shall provide any and all of the services set forth in Exhibit A of
this Task Order, dated November 16, 2021, as directed by the City.
Scott Stephens shall be the Project Manager for Consultant for this Task Order. Additional professional
services may be performed by other Consultant staff with prior notice and approval by City.
a. City's duties. The City will:
(1) Determine the scope of services, as set forth in Exhibit A.
(2) Make available the project plans and specifications and other City data related to the
project, including full information as to the City's requirements.
(3) Designate April Miller as the person at the City responsible for monitoring performance
under this Task Order.
b. Consultant duties. The Consultant will:
(1) Provide and perform tasks identified in Exhibit A. Scope of Services.
(2) Provide miscellaneous consulting and other services related to the Project and not
stipulated elsewhere in this Task Order, when requested by the City in writing. A Task
Order Amendment is required if these additional services cannot be performed within the
Task Order budget.

2. Date of completion; Work hours estimate: Cost estimate and budget, Fee schedule.
With regard to each project given to Consultant that is subject to this Task Order, the time of completion,
work hours estimate, cost estimate and budget and fee schedule are set forth in Exhibit A to this Task Order.
3. Authorization to proceed.
The City will give Consultant authorization to proceed with the work specified in this Task Order only after
Consultant submits updated insurance certificates and endorsements, in accordance with Section 10 of the
Agreement.
4. Master Agreement terms; Conflicts.
Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Consultant in the
performance of work pursuant to this Task Order. If there is a conflict between this Task Order and the
Agreement, this Task Order shall control.
4. Amendment of Task Order; Conflicts.
Except as provided in Section 1(b)(2) above, this Task Order may not be modified except by an Amended
Task Order executed and approved in the same manner as the Task Order.
5. Signatures. The parties have executed this Task Order, as of the date first written above.

Introduction
In response to the City of San Rafael's request, Miller Pacific Engineering Group (MPEG) is
pleased to present this proposal to provide on-call geotechnical engineering and testing
services for small projects. We believe MPEG is uniquely qualified to provide on-call
geotechnical services based on our extensive experience in providing similar services to the
City of San Rafael and other public agencies throughout the northern Bay Area. Our proposed
scope and qualifications in providing these services are detailed herein.
Anticipated Scope and Budget
We understand the work will include geotechnical consultation and testing on an as -needed
basis primarily for short term assignments or small projects. We anticipate the scope of
services will include site inspections, consultation, email summaries, brief letters and/or daily
field reports with test results.
We recommend an annual budget allowance be established so that individual assignments can
be billed as needed. We expect individual assignments would range from $500 to $3,000 and
would recommend an annual budget of roughly $20,000.
As noted above, larger projects, such as; geotechnical feasibility evaluations, geologic hazard
studies, soils and foundation investigations, geo-civil design plans, and observation and
materials testing for capital improvement projects would have project specific proposals and
agreements for geotechnical services.
Firm Overview and Organization
Miller Pacific provides clients with services in the Geosciences by drawing on its professional
expertise in Geology, Civil and Geotechnical Engineering. MPEG is an employee -owned
California Corporation, certified Small Business Enterprise and Microbusiness and was founded
in 1989 by Eugene Miller. The firm has maintained a staff of about 20 to 25 employees over the
past five years. The vast majority of the firm's projects are located in the Bay Area and the firm
maintains offices in Petaluma, Novato, and Napa. The firm also maintain a soils testing
laboratory in our Petaluma office which is accredited by AASHTO and certified by the California
Division of the State Architect under their Laboratory Evaluation and Acceptance program (LEA
Certification No. 282).

MPEG consults with numerous municipalities and public agencies in Marin County and the
greater northern Bay Area with services including Geotechnical Planning, Geological Hazards
Analysis, Geotechnical Exploration and Testing, Foundation Engineering, Geotechnical Expert
Witness, Construction Monitoring, Materials Testing, and Geo -Civil Engineering. The firm has
an active quality control program, regular participation in professional activities and has
undergone four cycles of peer review inspections and evaluations by ASFE, the National
Association of Professional Firms Practicing in the Geosciences. An organization chart for the
firm is presented below.

3. Rates are for normal Geotechnical Engineering and Geological services. Rates
for depositions and testimony are $510 per hour for Principal; $460 per hour for
Associate; and $410 per hourfor Senior. All other personnel are $305 per hour. These
fees are due and payable at the time of service.
4. Schedule of charges is effective as of January 2021. It is subject to revision annually
and at other times without notice.
