FOR PUBLIC WORKS DIRECTOR RECRUITMENT SERVICES
This Agreement is made and entered into this &_ day of /'] 2022, by and
between the CITY OF SAN RAFAEL (hereinafter "CITY"), and CITY MANAGEMENT
ADVISORS, LLC doing business as PECKHAM & MCKENNEY (hereinafter "CONSULTANT").
AGREEMENT
NOW, THEREFORE, the parties hereby agree as follows:
1. PROJECT COORDINATION.
A. CITY'S Project Manager. The Administrative Services Director, Nadine Atieh
Hade, is hereby designated the PROJECT MANAGER for the CITY and said PROJECT
MANAGER shall supervise all aspects of the progress and execution of this Agreement.
B. CONSULTANT'S Project Director. CONSULTANT shall assign a single
PROJECT DIRECTOR to have overall responsibility for the progress and execution of this
Agreement for CONSULTANT. Maria Hurtado, Executive Recruiter, is hereby designated as the
PROJECT DIRECTOR for CONSULTANT. Should circumstances or conditions subsequent to the
execution of this Agreement require a substitute PROJECT DIRECTOR, for any reason, the
CONSULTANT shall notify the CITY within ten (10) business days of the substitution.
2. DUTIES OF CONSULT
CONSULTANT shall perform the duties and/or provide services as follows: an expedited
11 -week recruitment process for the position of Public Works Director to achieve the interests of
the City of San Rafael as outlined in the Proposal dated March 4, 2022, attached hereto as Exhibit
"A" and incorporated herein by reference.
3. DUTIES OF CITY.
CITY staff shall provide cooperation and information as reasonably required to assist
CONSULTANT perform the services and duties required under this agreement and shall compensate
CONSULTANT pursuant to the provisions of section 4, below.
4. COMPENSATION.
For the full performance of the services described herein by CONSULTANT, CITY shall
pay CONSULTANT a professional services flat fee of $26,000, based on the services outlined in
Exhibit "A", inclusive of expenses. Should additional services be requested, CITY shall pay
CONSULTANT the appropriate fees as outlined in the section called "Cost of Services" in Exhibit
"A" for additional recruitment services, in a total amount not to exceed $9,300.
Payment will be made upon receipt by PROJECT MANAGER of itemized invoices submitted
by CONSULTANT as outlined in the Cost of Services section of Exhibit A.
TERM OF AGREEMENT.
The term of this Agreement shall be for two year(s) commencing on the 4th day of March
2022 and ending one year after the close of the recruitment. Upon mutual agreement of the parties,
and subject to the approval of the City Manager the term of this Agreement may be extended for an
additional period of up to six months.
6. TERMINATION.
A. Discretionary. Either party may terminate this Agreement without cause upon thirty
(30) days written notice mailed or personally delivered to the other party.
B. Cause. Either party may terminate this Agreement for cause upon fifteen (15) days
written notice mailed or personally delivered to the other party, and the notified party's failure to cure
or correct the cause of the termination, to the reasonable satisfaction of the party giving such notice,
within such fifteen (15) day time period.
C. Effect of Termination. Upon receipt of notice of termination, neither party shall
incur additional obligations under any provision of this Agreement without the prior written consent
of the other.
D. Return of Documents. Upon termination, any and all CITY documents or materials
provided to CONSULTANT and any and all of CONSULTANT's documents and materials
prepared for or relating to the performance of its duties under this Agreement, shall be delivered to
CITY as soon as possible, but not later than thirty (30) days after termination.
7. OWNERSHIP OF DOCUMENTS.
The written documents and materials prepared by the CONSULTANT in connection with
the performance of its duties under this Agreement, shall be the sole property of CITY. CITY may
use said property for any purpose, including projects not contemplated by this Agreement.
8. INSPECTION AND AUDIT.
Upon reasonable notice, CONSULTANT shall make available to CITY, or its agent, for
inspection and audit, all documents and materials maintained by CONSULTANT in connection with
its performance of its duties under this Agreement. CONSULTANT shall fully cooperate with CITY
or its agent in any such audit or inspection.
9. ASSIGNABILITY.
The parties agree that they shall not assign or transfer any interest in this Agreement nor the

performance of any of their respective obligations hereunder, without the prior written consent of the
other party, and any attempt to so assign this Agreement or any rights, duties or obligations arising
hereunder shall be void and of no effect.
10. INSURANCE.
A. Scope of Coverage. During the term of this Agreement, CONSULTANT shall
maintain, at no expense to CITY, the following insurance policies:
1. A commercial general liability insurance policy in the minimum amount of
one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, for death,
bodily injury, personal injury, or property damage.
2. An automobile liability (owned, non -owned, and hired vehicles) insurance
policy in the minimum amount of one million dollars ($1,000,000) dollars per occurrence.
3. If any licensed professional performs any of the services required to be
performed under this Agreement, a professional liability insurance policy in the minimum amount of
one million dollars ($1,000,000) per occurrence/two million dollars ($2,000,000) aggregate, to cover
any claims arising out of the CONSULTANT's performance of services under this Agreement.
Where CONSULTANT is a professional not required to have a professional license, CITY reserves
the right to require CONSULTANT to provide professional liability insurance pursuant to this
section.
4. If it employs any person, CONSULTANT shall maintain worker's
compensation insurance, as required by the State of California, with statutory limits, and
employer's liability insurance with limits of no less than one million dollars ($1,000,000) per
accident for bodily injury or disease. CONSULTANT's worker's compensation insurance shall
be specifically endorsed to waive any right of subrogation against CITY.
B. Other Insurance Requirements. The insurance coverage required of the
CONSULTANT in subparagraph A of this section above shall also meet the following requirements:
1. Except for professional liability insurance or worker's compensation
insurance, the insurance policies shall be specifically endorsed to include the CITY, its officers,
agents, employees, and volunteers, as additional insureds (for both ongoing and completed
operations) under the policies.
2. The additional insured coverage under CONSULTANT'S insurance policies
shall be "primary and noncontributory" with respect to any insurance or coverage maintained by
CITY and shall not call upon CITY's insurance or self-insurance coverage for any contribution. The
"primary and noncontributory" coverage in CONSULTANT'S policies shall be at least as broad as
ISO form CG20 0104 13.
3. Except for professional liability insurance or worker's compensation
insurance, the insurance policies shall include, in their text or by endorsement, coverage for

contractual liability and personal injury.
4. By execution of this Agreement, CONSULTANT hereby grants to CITY
a waiver of any right to subrogation which any insurer of CONSULTANT may acquire against
CITY by virtue of the payment of any loss under such insurance. CONSULTANT agrees to
obtain any endorsement that may be necessary to effect this waiver of subrogation, but this
provision applies regardless of whether or not CITY has received a waiver of subrogation
endorsement from the insurer.
5. If the insurance is written on a Claims Made Form, then, following termination
of this Agreement, said insurance coverage shall survive for a period of not less than five years.
6. The insurance policies shall provide for a retroactive date of placement
coinciding with the effective date of this Agreement.
7. The limits of insurance required in this Agreement may be satisfied by a
combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall
contain or be endorsed to contain a provision that such coverage shall also apply on a primary and
noncontributory basis for the benefit of CITY (if agreed to in a written contract or agreement) before
CITY'S own insurance or self-insurance shall be called upon to protect it as a named insured.
8. It shall be a requirement under this Agreement that any available insurance
proceeds broader than or in excess of the specified minimum insurance coverage requirements and/or
limits shall be available to CITY or any other additional insured party. Furthermore, the requirements
for coverage and limits shall be: (1) the minimum coverage and limits specified in this Agreement; or
(2) the broader coverage and maximum limits of coverage of any insurance policy or proceeds
available to the named insured; whichever is greater. No representation is made that the minimum
Insurance requirements of this agreement are sufficient to cover the obligations of the
CONSULTANT under this agreement.
C. Deductibles and SIR's. Any deductibles or self-insured retentions in
CONSULTANT's insurance policies must be declared to and approved by the PROJECT
MANAGER and City Attorney and shall not reduce the limits of liability. Policies containing any
self-insured retention (SIR) provision shall provide or be endorsed to provide that the SIR may be
satisfied by either the named insured or CITY or other additional insured party. At CITY's option,
the deductibles or self-insured retentions with respect to CITY shall be reduced or eliminated to
CITY's satisfaction, or CONSULTANT shall procure a bond guaranteeing payment of losses and
related investigations, claims administration, attorney's fees and defense expenses.
D. Proof of Insurance. CONSULTANT shall provide to the PROJECT MANAGER
or CITY'S City Attorney all of the following: (1) Certificates of Insurance evidencing the insurance
coverage required in this Agreement; (2) a copy of the policy declaration page and/or endorsement
page listing all policy endorsements for the commercial general liability policy, and (3) excerpts of
policy language or specific endorsements evidencing the other insurance requirements set forth in this
Agreement. CITY reserves the right to obtain a full certified copy of any insurance policy and
endorsements from CONSULTANT. Failure to exercise this right shall not constitute a waiver of

the right to exercise it later. The insurance shall be approved as to form and sufficiency by PROJECT
MANAGER and the City Attorney.
11. INDEMNIFICATION.
A. Except as otherwise provided in Paragraph B., CONSULTANT shall, to the fullest
extent permitted by law, indemnify, release, defend with counsel approved by CITY, and hold
harmless CITY, its officers, agents, employees and volunteers (collectively, the "City
Indemnitees"), from and against any claim, demand, suit, judgment, loss, liability or expense of
any kind, including but not limited to attorney's fees, expert fees and all other costs and fees of
litigation, (collectively "CLAIMS"), arising out of CONSULTANT'S performance of its
obligations or conduct of its operations under this Agreement. The CONSULTANT's obligations
apply regardless of whether or not a liability is caused or contributed to by the active or passive
negligence of the City Indemnitees. However, to the extent that liability is caused by the active
negligence or willful misconduct of the City Indemnitees, the CONSULTANT's indemnification
obligation shall be reduced in proportion to the City Indemnitees' share of liability for the active
negligence or willful misconduct. In addition, the acceptance or approval of the
CONSULTANT's work or work product by the CITY or any of its directors, officers or
employees shall not relieve or reduce the CONSULTANT's indemnification obligations. In the
event the City Indemnitees are made a party to any action, lawsuit, or other adversarial proceeding
arising from CONSULTANT'S performance of or operations under this Agreement,
CONSULTANT shall provide a defense to the City Indemnitees or at CITY'S option reimburse
the City Indemnitees their costs of defense, including reasonable attorneys' fees, incurred in
defense of such claims.
B. Where the services to be provided by CONSULTANT under this Agreement are
design professional services to be performed by a design professional as that term is defined under
Civil Code Section 2782.8, then, to the extent permitted by law including without limitation, Civil
Code sections 2782, 2782.6 and 2782.8, CONSULTANT shall indemnify and hold harmless the
CITY and its officers, officials, and employees (collectively City Indemnitees) from and against
damages, liabilities or costs (including incidental damages. Court costs, reasonable attorney's fees
as may be determined by the Court, litigation expenses and fees of expert witnesses incurred in
connection therewith and costs of investigation) to the extent they are caused by the negligence,
recklessness, or willful misconduct of CONSULTANT, or any subconsultants, or subcontractor
or anyone directly or indirectly employed by them, or anyone for whom they are legally liable
(collectively Liabilities). Such obligation to hold harmless and indemnify any indemnity shall not
apply to the extent that such Liabilities are caused in part by the negligence or willful misconduct
of such City Indemnitee.
C. The defense and indemnification obligations of this Agreement are undertaken in
addition to, and shall not in any way be limited by, the insurance obligations contained in this
Agreement, and shall survive the termination or completion of this Agreement for the full period
of time allowed by law.

12. NONDISCRIMINATION.
CONSULTANT shall not discriminate, in any way, against any person on the basis of age,
sex, race, color, religion, ancestry, national origin or disability in connection with or related to the
performance of its duties and obligations under this Agreement.
13. COMPLIANCE WITH ALL LAWS.
CONSULTANT shall observe and comply with all applicable federal, state and local laws,
ordinances, codes and regulations, in the performance of its duties and obligations under this
Agreement. CONSULTANT shall perform all services under this Agreement in accordance with
these laws, ordinances, codes and regulations. CONSULTANT shall release, defend, indemnify and
hold harmless CITY, its officers, agents and employees from any and all damages, liabilities,
penalties, fines and all other consequences from any noncompliance or violation of any laws,
ordinances, codes or regulations.
14. NO THIRD PARTY BENEFICIARIES.
CITY and CONSULTANT do not intend, by any provision of this Agreement, to create in
any third party, any benefit or right owed by one party, under the terms and conditions of this
Agreement, to the other party.
15. NOTICES.
All notices and other communications required or permitted to be given under this Agreement,
including any notice of change of address, shall be in writing and given by personal delivery, or
deposited with the United States Postal Service, postage prepaid, addressed to the parties intended to
be notified. Notice shall be deemed given as of the date of personal delivery, or if mailed, upon the
date of deposit with the United States Postal Service. Notice shall be given as follows:

16. INDEPENDENT CONTRACTOR.
For the purposes, and for the duration, of this Agreement, CONSULTANT, its officers,
agents and employees shall act in the capacity of an Independent Contractor, and not as employees of
the CITY. CONSULTANT and CITY expressly intend and agree that the status of
CONSULTANT, its officers, agents and employees be that of an Independent Contractor and not
that of an employee of CITY.
17. ENTIRE AGREEMENT -- AMENDMENTS.
A. The terms and conditions of this Agreement, all exhibits attached, and all documents
expressly incorporated by reference, represent the entire Agreement of the parties with respect to the
subject matter of this Agreement.
B. This written Agreement shall supersede any and all prior agreements, oral or written,
regarding the subject matter between the CONSULTANT and the CITY.
C. No other agreement, promise or statement, written or oral, relating to the subject
matter of this Agreement, shall be valid or binding, except by way of a written amendment to this
Agreement.
D. The terms and conditions of this Agreement shall not be altered or modified except
by a written amendment to this Agreement signed by the CONSULTANT and the CITY.
E. If any conflicts arise between the terms and conditions of this Agreement, and the
terms and conditions of the attached exhibits or the documents expressly incorporated by reference,
the terms and conditions of this Agreement shall control.
18. SET-OFF AGAINST DEBTS.
CONSULTANT agrees that CITY may deduct from any payment due to CONSULTANT
under this Agreement, any monies which CONSULTANT owes CITY under any ordinance,
agreement, contract or resolution for any unpaid taxes, fees, licenses, assessments, unpaid checks or
other amounts.
19. WAIVERS.
The waiver by either parry of any breach or violation of any term, covenant or condition of
this Agreement, or of any ordinance, law or regulation, shall not be deemed to be a waiver of any
other term, covenant, condition, ordinance, law or regulation, or of any subsequent breach or violation
of the same or other term, covenant, condition, ordinance, law or regulation. The subsequent
acceptance by either party of any fee, performance, or other consideration which may become due or
owing under this Agreement, shall not be deemed to be a waiver of any preceding breach or violation
by the other party of any term, condition, covenant of this Agreement or any applicable law, ordinance
or regulation.
20. COSTS AND ATTORNEY'S FEES.
The prevailing party in any action brought to enforce the terms and conditions of this
Agreement, or arising out of the performance of this Agreement, may recover its reasonable costs
(including claims administration) and attorney's fees expended in connection with such action.
21. CITY BUSINESS LICENSE 1 OTHER TAXES.
CONSULTANT shall obtain and maintain during the duration of this Agreement, a CITY
business license as required by the San Rafael Municipal Code CONSULTANT shall pay any and
all state and federal taxes and any other applicable taxes. CITY shall not be required to pay for any
work performed under this Agreement, until CONSULTANT has provided CITY with a completed
Internal Revenue Service Form W-9 (Request for Taxpayer Identification Number and Certification).
22. SURVIVAL OF TERMS.
Any terms of this Agreement that by their nature extend beyond the term (or termination) of
this Agreement shall remain in effect until fulfilled and shall apply to both Parties' respective
successors and assigns.
23. APPLICABLE LAW.
The laws of the State of California shall govern this Agreement.
24. COUNTERPARTS ANIS ELECTRONIC SIGN-ATURE.
This Agreement may be executed by electronic signature and in any number of counterparts,
each of which shall be deemed an original, but all of which together shall constitute one document.
Counterpart signature pages may be delivered by telecopier, email or other means of electronic
transmission.

non-profit sector. In November 2016, Ms. Hurtado was appointed as the Assistant City Manager for the
City of Hayward, CA, where she oversaw the departments of Public Works, Maintenance Services,
Utilities, Finance, and Library and Community Services. Prior to this appointment, Ms. Hurtado was the
Chief Operating Officer (COO) for the City of Oxnard where she was responsible for IT, Finance,
Human Resources, Cultural and Community Services, and the Public Information Office (PIO),
including implementation of 121 recommendations resulting from an organizational assessment.
Ms. Hurtado had a long tenure in northern California before leaving to Oxnard. Ms. Hurtado was hired
in 2006 as the Director of Parks and Community Services for Tracy, CA and was subsequently
appointed and held the Assistant City Manager position from 2007 through 2015. In addition, Ms.
Hurtado completed two 6 -month Interim City Manager appointments in Tracy, where she was
responsible for Council and Community Relations and department operations.
Prior to her work with the City of Tracy, Ms. Hurtado served as Deputy Director of Parks &
Neighborhood Services for the City of San Jose, CA, Assistant Director for Parks and Community
Services and Assistant Director for Redevelopment and Housing for the City of Watsonville, CA. Ms.
Hurtado came from the non-profit sector prior to moving into local government and worked as the
Executive Director of an alcohol and counseling agency, which included a women's residential
treatment facility, drug and alcohol counseling center, and an anti -gang afterschool youth program.
Ms. Hurtado served as the Vice President on the ICMA Board of Directors for three years, representing
the West Coast Region. She is a member of Municipal Management Association of Northern California
(MMANC) and the Local Government Hispanic Network. In 2016, Ms. Hurtado served as the ICMA
102nd Conference Planning Committee Co -Chair held in Kansas City. Ms. Hurtado received the
MMANC West McClure Outstanding Assistant Award in 2012 and the League of California Cities 2018
Assistant City Manager of the Year award. Ms. Hurtado received her Master's in Social Work from San
Jose State University, a Bachelor of Arts degree in Sociology from the University of California in Santa
Cruz, and is a graduate of the Harvard Kennedy School Senior Executives in State and Local
Government Certificate program in Cambridge, Massachusetts.
Ms. Hurtado recently completed recruitments for the Public Works Director and the Planning Director
for the Town of Los Altos Hills, the Deputy Public Works Director for the City of Elk Grove, the City

Joyce Johnson joined Peckham & McKenney in 2005 and serves as the firm's Operations Manager. She

THE SEARCH PROCESS
A standard search process takes approximately 14 -weeks to conduct, and the candidates would most likely
begin employment with the agency four weeks later (estimated 18 -weeks in total or approximately four- to
five -months). While we will customize the search and project schedule to fit the specific interests and
needs of the City of San Rafael, the search process typically includes the following steps:
Project Organization — Prior to beginning the recruitment, necessary documentation (contract, insurance,
business license, retainer invoice, etc.) will be processed. We ask that the City identify a single point of
contact that will serve as our liaison throughout the recruitment, providing necessary information to us,
responding to our questions, and receiving and distributing all correspondence. A single point of contact
will ensure timely and clear communication throughout the process.
We will request a conference call with the Assistant City Manager and/or other appropriate City staff
person(s) to discuss the process, listen to specific desires and expectations, and respond to any questions or
concerns. We will discuss expected parameters of the search, the search timeline, and schedule future
meeting dates. During this phase of the process, we will also discuss and determine with the Assistant City
Manager the extent of involvement of other individuals in the search process.
In this phase of the process, we will also discuss with the Assistant City Manager the finalist interview
process and the various components to be considered. Ms. Hurtado will provide recommendations on best
practices. Please note that decisions on the extent of involvement of others as well as additional
components to the finalist interview process will impact the search, search timeline, and ultimately the cost
of the recruitment process.
Development of Candidate Profile (virtual_meetin — This step provides for the development of the
Candidate Profile that will serve as a guide in the identification of potential candidates, outreach and
recruitment efforts, screening and selection of your next Public Works Director. The Candidate Profile
includes information relating to the City of San Rafael; current and future issues and opportunities;
expectations, goals, and objectives leading to the success of the new Public Works Director; and the
background and experience, leadership style, skills and abilities, and personality traits of the ideal
candidate.
Your Recruiter, Maria Hurtado, will develop this profile following conversations with the Assistant City
Manager in the initial conference call, or other individuals identified in the initial conference call. If the
City desires the executive teams input, we would recommend a group meeting with the executive leadership
team for preparation of the Candidate Profile (see Project Organization above). With COVID-19, we have
found conducting outreach via Zoom is effective and efficient.
Our proposal includes up to the equivalent of 2 days of virtual meetings to develop the Candidate Profile.
We will request information relating to compensation and benefits, organization charts, and budget data. In
addition, we will request high-resolution photos to be used in an attractive brochure to market the
opportunity.

A draft of the Candidate Profile will be provided to our point of contact for review. We ask that all
revisions and corrections be provided to us in a timely manner in order to maintain the agreed-upon search
timeline. Our marketing and design professional will then prepare an attractive marketing brochure
incorporating the Candidate Profile. This brochure will be distributed to up to 500 identified industry
professionals. Copies of the brochure will also be made available to the City.
Advertisements will be placed in the appropriate industry publications and websites, and our firm will
assume responsibility for presenting your opportunity in an accurate and professional manner. Social
media, including LinkedIn and other platforms, will be used as appropriate. Full information on the
position will be posted on the Peckham & McKenney website and provided to the City for posting on its
website as well.
Recruitment —The main focus of our outreach will be direct phone contact with quality potential
candidates. With over 60 combined years of executive search experience, we are personally familiar with
potential applicants, have developed an extensive candidate database that is continuously updated, and well
connected to seasoned professionals for finding well-qualified referrals. We take pride in the placement of
women and applicants of diverse backgrounds, and are known for long, successful tenures of candidates
selected by the agency. Our recruiting efforts will focus on direct and aggressive recruiting of individuals
aligned with the experience, background and knowledge determined during the Candidate Profile
Development. Outreach will be also consistent with the conversations and plans / goals for finding the ideal
candidate as discussed during the Candidate Profile Development. We believe direct recruiting produces
the most qualified candidates.
Throughout this active search process, we will regularly update the City of the recruitment status and share
questions, concerns, and comments received from potential candidates as they consider the opportunity. By
doing so, we will "team" with the City to ensure that all issues and concerns of candidates are discussed and
understood thereby eliminating "surprises" once the resume filing deadline has occurred.
As resumes are received, they will be promptly acknowledged within 48 hours, and we will personally
respond to all inquiries. Once the resume filing deadline has passed, we will update the City on the status of
the recruitment, the number of resumes received, and our intent for preliminary interviews.
Preliminary Interviews — Upon our review of the resumes received, supplemental questionnaires may be
sent to candidates who appear to align with the Candidate Profile. The supplemental questionnaire is
intended, in part, to ascertain the applicant's familiarity with the City and writing ability; applicants will be
asked to address a few questions pertaining to the position that are based on information learned during
Candidate Profile Development.
Ms. Hurtado will conduct preliminary interviews with the individuals that most closely align with the
Candidate Profile. Internet research will also be conducted so that we may probe the candidate regarding
any areas of concern.
Candidates will be advised of the search schedule and updated regularly as to their status.

Recommendation of Candidates/Selection of Finalists (virtual meeting #2) _— A Recommendation of
Candidates packet will be provided to the Assistant City Manager and/or other appropriate staff as
determined by the Assistant City Manager prior to our meeting to discuss our recommendation of leading
candidates. This packet will include a full listing of all candidates who applied for the position, as well as
the cover letters, resumes, and responses to the supplemental questionnaires of the recommended group of
candidates for further consideration. We may include a first and second tier of candidates within our
recommendation.
Ms. Hurtado will meet with the Assistant City Manager and/or other appropriate staff in a one- to two-hour
Zoom meeting and will provide an overview of each recommended candidate, as well as share any concerns
about any potential candidate. Once a group of finalists has been selected by the appropriate person(s), we
will revisit early decisions during Project Organization relating to the finalist interview process. A one -day
finalist interview process is standard for initial finalist interviews (with the leading four to eight candidates),
however, the City may want to consider multiple interview panels. Ms. Hurtado will again provide
recommendations on the finalist interview process.
Peckham & McKenney will notify all candidates of their status. Those candidates selected as finalists will
be notified and provided with all necessary information to attend finalist interviews with the City. We will
prepare an interview schedule and confirm with our point of contact all necessary details.
If necessary, finalists will make their own travel plans and reservations. It is customary that the City
reimburse finalists for round-trip airfare, car rental, and lodging necessary to attend the interviews with the
City. We will confirm this with the City representatives at our meeting to recommend candidates.
Finalist Interview Process (on-site or virtual meeting 43) — Ms. Hurtado will provide facilitation during
the finalist interview process. An orientation session will be held at the beginning of the process, and we
will facilitate a review and discussion of the finalists at the end of the day. Interview materials, including
suggested interview questions, evaluation and ranking sheets will be provided. Again, a standard finalist
interview process of the leading four to six candidates is typically conducted within one day. Should the
process desired by the City require more than one day with your recruiter, an additional fee will be charged.
Oualification — Once the finalist candidate has been selected and a conditional offer has been made by
the City, a thorough background check will be conducted that is compliant with the Fair Credit
Reporting Act and Investigative Consumer Reporting Agencies Act. Peckham & McKenney utilizes the
services of Sterling Talent Solutionsthe world's largest company
focused entirely on conducting background checks. This investigation will verify degree verification;
certifications; and criminal, civil, credit, and motor vehicle records. We encourage our clients to
consider further vetting the candidate through a Department of Justice LiveScan (California clients) in
order to ensure that all known criminal history records (beyond seven years) are investigated.
Ms. Hurtado will also personally contact professional references, and a Reference Check Memorandum
will be provided. This comprehensive process ensures that only the most thoroughly screened candidate
is hired. In addition, negotiation assistance will be provided as requested by the City.

Peckham & McKenney's qualification process of internet-based research, background checking through
Sterling Talent Solutions, and reference checking has proven successful for our clients through the
years. In addition to relying on our services, clients are encouraged to utilize the background checking
protocols they normally would use in hiring a position of this type. Enhanced reference checking and
background investigation, if any, beyond the scope of this proposal is the client's responsibility.

COST OF SERVICES
Cost of Services
Peckham & McKenney is unique among recruiting firms for several reasons including having a fixed all-
inclusive fee. Over years of experience, we have found that an all-inclusive fee is simpler, cost-effective,
and efficient. Our fee to conduct the search process for your next Public Works Director is $26,000. Our
all-inclusive fee includes professional fees and expenses (out-of-pocket costs associated with advertising,
consultant travel, administrative support / printing / copying / postage / materials, telephone / technology,
partial background checks on recommended candidates, and full background check on selected finalist
only).
The fee quoted above is for a full recruitment process as described in The Search Process, including 3
days of virtual/on-site meetings. The first virtual meeting (1 day) is to develop the Candidate Profile;
the second virtual meeting (1 day) is to provide a recommendation of candidates; and the third on-site or
virtual meeting (1 day) is to facilitate finalist interviews.

Process of Payment
One-third of the all-inclusive fee is due as a retainer upon execution of the agreement. This retainer covers
upfront and necessary expenses incurred by Peckham & McKenney on the City's behalf for consultant
travel and advertising. If the retainer is not received by Peckham & McKenney within 30 days of execution
of the agreement, we will suspend the recruitment process until payment is received. The second third of the
full payment will be invoiced one month from contract execution, and it is due within 30 days following the
invoice date. The final third of the full payment will be invoiced two months from contract execution, and
it is due within 30 days following the invoice date.
If the City of San Rafael requires a different payment schedule, this must be agreed upon within the
contract. Peckham & McKenney expects payment of all invoices in a timely manner.

GUARANTEE AND ETHICS
Placement Guarantee Our placement record is particularly strong in that 89% of the candidates we have
placed remain in those positions for over five years. In the unlikely event, however, that a candidate
recommended by our process (external candidates only) leaves your employment for any reason within
the first year from the date of appointment (except in the event of budgetary cutbacks, promotion,
position elimination, or illness/death), we agree to provide a second search process upon negotiating a
mutual agreement on the professional services fee plus expenses.
Reopening the Recruitment Throughout the recruitment process, all of our efforts are made to present
recommended applicants for the successful placement of a candidate who fits the Candidate Profile. It is
extremely rare that our recruitment process fails to produce a preferred candidate in the first instance. If
the search process, however, does not result in a placement, we agree to provide a second search process
upon negotiating and mutual agreement on the professional services fee plus expenses.
As Albert Einstein said, the definition of insanity is "doing the same thing over and over again and
expecting different results." Prior to reopening a recruitment again, we will thoroughly review with the
City any adjustments in approach, compensation, and/or other variables necessary to achieve a
placement as a result of the process.
Ethics Time and again, we receive unsolicited comments from clients and candidates relating to our
integrity and high ethics.
■ First, we believe in honesty. No client should ever appoint an individual without being fully
knowledgeable of the candidate's complete background and history. Conversely, no candidate
should ever enter into a new career opportunity without full disclosure of any organizational
"issues."
• We strive to keep everyone involved in a recruitment process informed of the status. Not only do we
provide regular updates to our clients, but we also have a reputation for keeping our candidates
posted.
• As recruitment professionals, we do not recruit our placements -- ever. Should a placement of ours

THE ORGANIZATION
The City of Watsonville was incorporated
in 1868 and operates under a locally
approved City Charter. The Charter, first
adopted in 1908, established a Council -
Manager form of government.
The City Council appoints three
positions: the City Manager, City
Attorney, and City Clerk. The City
Manager serves as the chief executive
officcr of the City and is responsiblc to
the Council for the proper administration
of all City affairs and the implementation
of all policies established by the City
Council. All department heads are
appointed by the City Manager.
The City Council is elected on a non-
partisan basis from seven electoral
districts to four-year terms. Selections are
staggered with four Council Members
elected during one election and three
Council Members elected in the
following election two years later. The
Mayor and Mayor Pro Tempore positions
are rotated annually by Council District
pursuant to a recently adopted Charter
amendment. Council elections are held in
even years in conjunction with State-wide
general elections.
Watsonville is an engaged community
with active public participation from all
segments of the City. The City Council is
served by several resident advisory bodies,
including the Planning Commission,
Personnel Commission, Parks and
Recreation Commission, and Library
Board of Trustees.
Watsonville is a full-service city,
providing public safety, public works,
parks and community services, library,
and planning services. The City also has
several enterprise operations, including
a municipal airport, solid waste, water,
and wastewater. The City employs
approximately 407 full-time equivalent
positions and adopted a FY 2021/22
budget of $184.1 million.
THE POSITION
The City Council seeks a local
government professional who will
work collaboratively and respectfully
with the City Council to implement
the City Council's policies, goals and
objectives, manage the City's day-to-day
operations in collaboration with the
Executive Team and staff, and possess
the leadership ability and experience to
offer Council and staff guidance and
provide stability during this transitional

The new City Manager will be engaged

strong knowledge base in economic
development, financial management
(including development of revenue
generating strategies), land use policies,
airport operations, utilities, and General
Plan development and implementation.
The ideal candidate will be committed
to service delivery through empowering
and motivating staff, fostering new ideas,

inclusiveness and have a commitment to
goals and values to address racial equity,
diversity, and inclusion.
The new City Manager will be a
visionary, address resident and business
concerns, build on opportunities
for economic development, and
have creativity in tackling housing
development and business attraction,
retention and expansion. The City
Manager will have an opportunity to
engage the community in and lead the
organization through critical emerging
priorities over the next "'
couple of years, including
housing and affordable
housing, housing
element requirements,
homelessness,
development of green
spaces, climate change,
land development, charter changes, a
general plan update, and implementation
of the downtown specific plan, including
the Ramsay Park revitalization, a $23
million dollar project that will transform
the park into a state of the art facility
for the Watsonville community and
will include a dog park, an all-inclusive
playground, a nature center and brand
new lighted soccer fields.
The next City Manager will be attuned
to the demographics and perspectives of
this community, bring recommendations
forward in consideration of these
perspectives, and create a vision and
genuine connections with and for the
community, which requires a forward
thinking, innovative, collaborative and
thoughtful leader.
Through feedback from a Community
Survey, the Watsonville community
stated they want a City Manager that
is committed to inclusive leadership,
is goal and solutions oriented, has
integrity and discipline with a strong
work ethic, and is a dynamic leader
who is involved with and has a strong
presence in the community.
Candidates with a demonstrated track
record and commitment to excellent
internal and external customer service,
with strong administrative and leadership
experience serving in communities of
similar size, scope, and complexity as
City Manager, Assistant/Deputy City
Manager or Department Head are ideal
candidates. The minimum qualifications
include a Bachelor's degree and at least
one-year experience as a City Manager
or three -years' experience as an Assistant
City Manager or equivalent in a city of
comparable or larger size. A Master's
degree with major coursework in public
administration or business administration
and Bilingual English/Spanish is desired.
THE COMPENSATION
The current annual salary is $235,750.
Final salary will commensurate with
experience, education, skills and
background. The city also offers an

2% @ 60 formula for Classic Members

THE DISTRICT
ORGANIZATION
The Hayward Area Recreation and Park
District, known locally as "HARD" is
an independent special district created in
1944 by public vote to provide park and
recreation services. Located in Alameda
County 25 miles southeast of San
Francisco, the District encompasses over
100 square -miles and serves 290,000
residents in the City of Hayward and the
unincorporated communities of Ashland,
Castro Valley, Cherryland, Fairview and
San Lorenzo.
The jurisdictions contained within the
District are a diverse group of urban and
suburban areas. The central part of the
District is highly urbanized, represented
by the communities along the Highway
580 and Highway 880 corridors. Many
of these communities are nearly built out
and/or experiencing redevelopment. The
west District boundary is comprised of a
large area of relatively undeveloped Bay
shoreline, flanked on its eastern edge by
large -tract industrial uses. To the east,
the District boundaries extend well into
the hills north of Castro Valley, the
Hayward Hills and the Palomares Hills.
An extensive network of freeways and bus
lines, as well as three Bay Area Rapid
Transit (BART) stations (Hayward,
South Hayward, and Castro Valley), and
an Amtrak station serve the District.
Since its creation, the District has
provided residents with numerous
unique facilities and parks that are
treasures in the region, many of
which have received national and state
recognition for their design, innovation
and beauty, as well as hundreds of
educational and recreational classes and
programs. Today, HARD is the largest
recreation district in California with
over 140 parks, school parks, open space
areas, and facilities.
The District operates under the
Board/Manager form of government,
with five Board Members directly
elected for alternating four-year terms.
The Board establishes policy for the
District and appoints the General
Manager who is responsible for
carrying out those policies.
HARD provides services through 133
full time staff members within an overall
operating budget of $33.9 million for
Fiscal Year 2021-22 supporting five
departments: General Manager's Office
and Administrative Services, Parks and
Facilities Maintenance, Recreation, Arts
and Community Services, Golf, and
Capital Planning and Development.

community and neighborhood parks,
recreation and community centers,
senior centers, a golf course, sports
fields, school park areas, pools,
gymnasiums, and other facilities. The
District provides recreational programs
at its facilities and at other governmental
agency facilities. The District provides

THE POSITION
The Administrative Services
Department is responsible for
supporting the general needs of the
District, overseen by the Administrative
Services Director, who reports directly
to the General Manager, and includes
three divisions.
The Finance and Accounting Division
manages all financial aspects of the
District, including general accounting,
payroll, budget preparation and
coordination. financial analvsis.
The Human Resources Division
supports all the employees of the
District and is responsible for incident
reviews and ergonomic evaluations,
labor relations and contract negotiations,
management of workers compensation
and general liability claims and policies,
classification and compensation,
discipline and counseling, strategic
recruitment, promotion and selection,
performance planning and evaluation,
organizational development, resolution
of grievances, and other employee
assistance services.
The Information Technology
Division is responsible for the design,
implementation, and management of
information technology initiatives at
the District. This Division has three
components: the information systems
component establishes computer
system implementation and upgrades
while providing support for users,
the telecommunications component
maintains and operates the District's
telephone system, the technical systems
component supports and maintains
the various District systems and radio
communication system. This division
also administers outsourced technical
contracts and participates in the review
and design of the District's technical
related projects.
THE IDEAL CANDIDATE
The General Manager seeks candidates
with a strong finance background with
excellent communication and leadership
skills, with experience in budget
administration, processes, systems, an
understanding of OPEB, equipment
replacement and understanding of
financial forecasting. Candidates who
value internal and external customer
service and understand that the
Administrative Services Department
supports the District as a whole is
essential. This candidate will have the
ability to navigate through challenges,
be a collaborative and inclusive leader
and address the needs of each division.
Candidates who have good people
skills, a sense of humor, are good-
natured, patient and adaptive, while
paying attention to details, make well-
rounded candidates. The District seeks
individuals who are engaging, solution
oriented with demonstrated experience
in Finance, Human Resources,
Information Technology bond issuance
and development and monitoring the
capital budget. The new Director will
have significant progressive management
experience leading up to a position of
this caliber, and will address issues in an
open and collaborative way and be open
to mentoring staff at different levels of
the organization, particularly on the
budget process.
The District has gone through positive
transformation over the last several
years and the ideal candidate will
continue this transformation onto the
next level of performance. This position
presents candidates with opportunities
to implement a new ERP system,

selected for this position will be a

supportive in nature.
A Bachelor's degree in Finance, Public
or Business Administration or a related
field, and six years of professional
experience in municipal finance
management or administration with
at least three years in a supervisory
capacity, is required. A Master's degree
and/or CPA designation is desirable.
THE COMPENSATION
The annual salary is $198,060 and is
currently under review. Appointment
will be made depending upon the
qualifications of the selected candidate.
In addition, H.A.R.D. offers the
following comprehensive benefits:

members: 2% at 60. "New" Ca1PERS
members 2% at 62 for employees hired

LEAVE, HOLIDAYS AND VACATION:
Ten working days paid vacation each
year; fifteen days after five years of
service and twenty days after thirteen
years of service. Minimum of five and
up to ten days of administrative leave.
Fifteen paid holidays a year and three
paid days of negotiated time off between
Christmas and New Year's holidays
through 2022. Sick leave is accrued at
the rate of one (1) day per month.
