Yes, we of the Marin History Museum “exercise the option for a one year extension set
forth in section 2.2 of the current Lease” between the City of San Rafael and the Marin
History Museum signed July 1st, 2021.

Attorney Epstein,
We appreciate the opportunity of a one-year extension of our current lease agreement, between
the City of San Rafael and the Marin History Museum dated July 1, 2021, for the Boyd Gatehouse.
Such an extension would give the Museum and the City time to amend said lease.
Therefore, as Executive Director of the Marin History Museum, I agree to extend our current
agreement with the City of San Rafael, CA for the lease of the Boyd Gatehouse. Again, we extend
this current agreement in order that both the City of San Rafael and Marin History Museum meet to
discuss the Museum’s request for proposed changes to the current agreement. Such an extension
of time would also present both parties time to draft an amendment that includes an amendment
process, as well as any agreed upon changes to the lease terms.
Once again, thank you for extending our current agreement.

Subject: Marin History Museum Lease
Hi Paullet,
I’m following up on our phone call today with a summary of my understanding regarding the Boyd
House lease and how we can move forward with any potential changes:
1. The current lease (attached) expires June 30th, 2024, but has an option to extend for an
additional year. It does not state a formal process to extend the lease other than written
notification between both parties.
a. My suggestion is both parties agree via email to exercise this option so that we all
continue to be covered by its terms. I have previously sent Sue an email (also
attached), notifying the museum of the city’s desire and willingness to exercise this
option. FYI – the updated lease amount will be $1,260 / month as written in the
lease. I also included a clarification of who is responsible for exterior clean up.
Please let me know if there are any questions on this point.
2. Paullet mentioned the museum wishes to speak with the City about amending the lease,
potentially adding in the use of the tennis courts, and potentially other matters. However,
there doesn’t appear to be any written process in the lease to address amendments.
3. My understanding is that without a stated process for amending the lease, the two parties
of the lease would be able to add that process in writing if both agree.
a. Therefore, my suggestion is that both the City and Marin History Museum meet to
discuss the proposed changes by the museum, and draft an amendment that adds
an amendment process to the lease, as well as any agreed changes to the lease
terms. This would likely not be executed prior to June 30th, hence my suggestion to
exercise the option to extend to give more time for this work.
I’ve included staff from our City Attorney’s office for their input, and to correct any
misinterpretations I may have above.
