MASTER CONSULTANT SERVICES AGREEMENT

THIS TASK ORDER is entered into on Sep 11, 2023 between the City of San Rafael, a
municipal corporation ("City"), and Jill A Mercurio dba Mercurio Engineering, ("Consultant").
RECITALS
A. The City and Consultant have entered into a Master Consultant Services Agreement
("Agreement") dated September 1, 2023 under which Consultant has agreed to perform certain
professional consulting services for the City; and
B. Pursuant to the terms of the Agreement, the City wishes Consultant to perform certain
tasks as set forth in this Task Order, which constitute the Project;
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
1. Scope of services. Consultant shall provide any and all of the services set forth in Exhibit A of
this Task Order, dated August 22, 2023, as directed by the City.
Jill Mercurio shall be the Project Manager for Consultant for this Task Order. Additional professional
services may be performed by other Consultant staff with prior notice and approval by City.
a. City's duties. The City will:
(1) Determine the scope of services, as set forth in Exhibit A.
(2) Make available the project plans and specifications and other City data related to the
project, including full information as to the City's requirements.
(3) Designate Joanna Kwok as the person at the City responsible for monitoring performance
under this Task Order.
b.Consultant duties. The Consultant will:
(1) Provide and perform tasks identified in Exhibit A, Scope of Services.
(2) Provide miscellaneous consulting and other services related to the Project and not
stipulated elsewhere in this Task Order, when requested by the City in writing. A Task
Order Amendment is required if these additional services cannot be performed within the
Task Order budget.

With regard to each project given to Consultant that is subject to this Task Order, the time of completion,
work hours estimate, cost estimate and budget and fee schedule are set forth in Exhibit A to this Task Order.
Authorization to proceed.
The City will give Consultant authorization to proceed with the work specified in this Task Order only after
Consultant submits updated insurance certificates and endorsements, in accordance with Section 10 of the
Agreement.
4. Master Agreement terms, Conflicts.
Except as expressly otherwise provided herein, all terms of the Agreement shall apply to Consultant in the
performance of work pursuant to this Task Order. If there is a conflict between this Task Order and the
Agreement, this Task Order shall control.
Amendment of Task Order, Conflicts.
Except as provided in Section 1(b)(2) above, this Task Order may not be modified except by an Amended
Task Order executed and approved in the same manner as the Task Order.
Signatures. The parties have executed this Task Order, as of the date first written above.

RE: Amendeedf Project Management Proposal to Develop a Storm Drain Master Plan Dear "k:
The City of San Rafael would like to develop a Storm Drain Master Plan (SDMP) to help guide future
maintenance and capital investments on the city -owned storm drain infrastructure. The Master Plan would
likely include system inventory, pipe condition assessment, flow monitoring, hydrologic and hydraulic
modeling, model calibration, GI considerations, watershed storage, peak flow attenuation, sea -level rise and
other climate change considerations, gravity flow vs. pumping operations, and development of a CIP to
address these needs. A financial analysis plan may also be required in order to determine and justify funding
strategies, operation & maintenance needs, and projected staffing.
Following up on our discussion on August 18, the project will be completed in several phases. Given the
breadth of possible scope for the SDMP, the first phase will be in-depth review of the existing data,
discussions with staff, and determination of the specific aspects and issues to be addressed in the SDMP
study. Ultimately the SDMP may include the issues listed above and others — based on the needs of the
City. After determination of the project scope, the consultant will provide a proposal for the cited areas of
study to the City for consideration and prioritization. The second phase of the project would involve the
consultant conducting the selected assessments and presenting the results and recommendations in a final
SDMP Report.
Mercurio Engineering, in its role of providing On -Call Engineering and Professional Services to the City,
would serve as Consultant Project Manager (PM) representing the City initially in its solicitation of a
consultant specializing in storm drain system evaluation Master Plan development. Upon selection of a
SDMP consultant, Mercurio Engineering would be happy to provide continued PM services and oversight of
the Master Plan scope development and detailed study if needed.
We propose a Not to Exceed amount of $16,500 for Mercurio Engineering to lead the consultant solicitation
and selection effort for the SDMP Project with the assumption that this work will be completed no later than
December 31, 2023. The role of Project Manager will be filled by our Principal, Jill Mercurio, P.E., at a rate
of $220/hour. Staff rates are subject to increases effective January 1 of each year.
